6 Annexure A Tender for Rate Contract Central Electronics Limited, Sahibabad is interested to empanel competent vendors and award rate contracts for supply of various items as per annexure I. Interested bidders manufacturing or dealing in Pumps and VFD drives for Solar PV applications are requested to submit their bids at the office of Asst. General Manager, MMD on or before 17, March, 2015 (15:00 Hrs). All parties who are interested may submit their offer in line with the requirement but not limited to mentioning their profile, credentials details of PV products experience, installed capacity within the country and time taken/required for supply of their products. SCOPE OF WORK The consolidated requirement at Annexure -1 is for the next 6 months. Interested parties should offer their best prices along with delivery period. Vendors have to offer prices with two years and five years warranty. The quantity may vary as per the CEL s requirement. Empanelment and agreement for rate contract does not guarantee procurement from the bidder/ vendor. For each requirement CEL will issue communication to the successful bidders of quoting their best delivery schedule and PO would be awarded to the bidder quoting the earliest delivery schedule. CEL however reserves the right to split required quantity in 2 or more successful bidders. In such case the quantity awarded would be in proportion of L1>L2>L3>L4. The rate contract would initially be valid for 1 years and may be extended further at discretion of CEL. PRE-QUALIFICATION CRITERIA 1.0 The party must have manufacturing facility for the product specified in Annexure I. Authorized distributors/country offices of foreign manufacturer are also eligible to participate with original authorization from manufacturer. (Attach Documentary Proof). Authorized distributors must produce the proof that their principal s plant is in commercial production for more than 2 years. 2.0 The party must have a cumulative annual turnover of Rs. 10 Cr. in any of the last three financial years. (Attach Documentary Proof) 3.0 The product must be tested by any of the authorized laboratory approved by Govt. of India and must conforms to IEC/IS. (Attach Documentary Proof) Page 6 of 23

7 4.0 The party s/bidder s manufacturing plant must be in commercial production for more than two years. (Attach Documentary Proof) 5.0 The party/bidder must submit documentary proof (copy of purchase orders & letter from the customer regarding satisfactory supply/ installation) of supply to any Indian government institution or PSU. 6.0 The bidders must provide list of service centers in India. Complete details must be provided with name of service center, address, phone no. & contact person. Note : The party must submit the required documents in lieu of pre-qualification criteria. 8 1.0 General: INFORMATION AND INSTRUCTIONS FOR APPLICANTS 1.1 All information should include a covering letter listing the various enclosures. 1.2 Each page of the document must be signed by the authorized signatory of the firm. 1.3 All information required as mentioned in annexure-iii should be furnished by the applicant. If for any reason, any information is provided in a separate sheet, this fact should be mentioned against the relevant point. If no information is to be provided, a nil or no such case entry should be made. If any particular/query is not applicable in case of the applicant it should be stated as Not Applicable. 1.4 The applicant may furnish other information which if he thinks is necessary to establish his capability and helpful in completing envisaged work. 1.5 If any information furnished by the applicant is found to be incorrect either immediately or at a later date it would render him liable to the termination of the contract. 1.6 The document duly completed and signed should be submitted in a sealed cover super scribing Quotation for rate Contract- supply of Luminaries CFL, LED s and Charge Controller. 2.0 Definitions: In this document the following abbreviations and expressions have the meaning hereby assigned to them as follows. 2.1 CEL: means CENTRAL ELECTRONICS LIMITED, 4 INDUSTRIAL AREA SAHIBABAD. 2.2 APPLICANT: means the individual, proprietary firm, firm in partnership, limited company private or public or corporation or consortium. 2.3 BIDDER or Party: also means the individual, bidder, vendor, proprietary firm, firm in partnership, limited company private or public or corporation or consortium. 3.0 Final Decision Making Authority CEL reserves the right to accept or reject any application and to finalise the pre-qualification process and reject all applications at any time, without assigning any reason or incurring any liability to the applicants. 9 4.0 Others 4.1 CEL reserves the right to restrict the list of pre-qualified parties/applicants to any number deemed suitable by it. 4.2 Even though an applicant may satisfy the above requirement, he would be liable to disqualification if he/she has: 5.0 Agreement (a) Made misleading or false representation or deliberately suppressed the information in the forms, statements and enclosures required in the EOI-pre-qualification document. (b) Record of poor performance such as abandoning work, not properly completing the contract, or financial weakness etc. 5.1 All shortlisted / vendors haves to enter into a rate contract with CEL 6.0 Award Criteria 6.1 CEL reserves the right, without being liable for any damages or obligations to inform the applicants, to (a) Amend the scope, requirement of the rate contract and agreement. (b) Reject any or all the application without assigning any reasons. 7.0 Other Information: 7.1 CEL has the sole discretion to accept/reject one/all rate contract quotations without assigning any reason whatsoever. 7.2 CEL reserves the right to further shortlist for final selection from the empanelled parties for various assignments. 7.3 This advertisement does not constitute and will not be deemed to constitute any commitment on part of CEL for any purchase / work-order. 7.4 Furthermore, this advertisement neither confirms the right nor provides any expectation on any party to participate in the future proposed tenders. 7.5 CEL also reserves the rights to accept/reject any offer at any stage of the process and/or modify the process or any part thereof or to vary terms at any time without giving any reason. 10 7.6 Though adequate care has been taken for preparation of this document, the supplier/bidder shall satisfy himself that the document is complete in all respects. Intimation of any discrepancy shall be given to this office immediately. If no intimation is received from any bidder within ten days from the date of issue of the document, it shall be considered that bid document is complete in all respects. 7.7 The Central Electronics Limited (CEL) reserves the right to modify, amend or supplement this document. 7.8 While the bid has been prepared in good faith, neither CEL nor their employees or advisors make any representation, warranty, express or implied or accept any responsibility or liability, whatsoever, in respect of any statements or omissions herein, or the accuracy, completeness or reliability of information, and shall incur no liability under any law, statute, rules or regulations as to the accuracy, reliability and completeness of this bid document, even if any loss or damage is caused by any act or omission on their part. Variable Frequency Drive (VFD) A Variable Frequency Drive (VFD) is a type of motor controller that drives an electric motor by varying the frequency and voltage supplied to the electric motor. Frequency (or hertz) is directly related to the motor s speed (RPMs). In other words, the faster the frequency, the faster the RPMs go. If an application does not require an electric motor to run at full speed, the VFD can be used to ramp down the frequency and voltage to meet the requirements of the electric motor s load. As the application s motor speed requirements change, the VFD can simply turn up or down the motor speed to meet the speed requirement. The direct current generated by solar modules is input to the inverter and then converted into the alternating current to drive pumps directly. Additionally the output frequency is adjustable in real time according to sunlight intensity change. 18 Commercial terms and conditions: Annexure B 1. Terms of price: The offer should clearly indicate units and rates. Prices should be submitted on FOR CEL Sahibabad basis. 2. All requirements of export licensing, Govt. permissions or any other statutory clearance from the country of export as per regulations existing in the supplier s country shall be the responsibility of supplier. 3. Taxes and duties: The taxes and duties are to be clearly mentioned, if any. 4. Delivery/completion schedule. The manufacturer should mention delivery schedule in their offer. 5. Payment terms: Payment shall be released through ILC for 90% of the order value with a usance period of 45 days. Balance 10% of the order value shall be released after submission of PBG of equivalent value valid for warranty period of 2/5 years, as required on case to case basis. Quotation would be rejected if payment term is different from given here. 6. Guarantee/Warrantee period: The guarantee/ warranty period should be 2/5 years as required by CEL. Bidders should quote for the period of 2/5 years in the price bid. 7. Performance bank guarantee (PBG): PBG for 10% order value to be submitted with the supply. The PBG would be valid for the period of 2/5 years, as required, to cover the warranty period of material on case to case basis. 8. Price reduction for delayed delivery: In the event of delay in affecting the delivery within agreed period, a reduction in the price shall be 0.5% of the total order value per week or part thereof subject to maximum of 5% of the total order value. The date of submission & inspection call letter will be considered as delivery date for the purpose of price reduction for late delivery clause. 9. Inspection: Inspection will be done by CEL. CEL s representative shall have free access to the supplier s works during testing and final inspection. Vendor shall inform the purchase not less than one week in advance. All testing arrangements shall be the responsibility of the vendor. CEL reserves the right to inspect the material during manufacturing and/or before dispatch as per specifications and test protocols. Internal inspection report and inspection certificate must accompany the supply. 10. Validity of offer: The quotation/tender/bid submitted by the bidder/supplier shall be valid for a minimum period of 365 days from date of opening. 11. CEL reserves the right to enter into rate contract with two or more bidders. In case of rate contract with two or more bidders, the same shall be done at the lowest quoting bidder s rate. The quantities will be awarded depending on CEL s requirement and Page 18 of 23

19 earliest delivery schedule available. Micro & Small Enterprises quoting price within price band of L1+15 per cent shall also be allowed to supply a portion up to 20% of requirement by bringing down their price to L1 price where L1 is non MSEs (as per Public Procurement Policy for Micro & Small Enterprises (MSEs) Order 2012 ). 12. Any corrections/alterations in the tender/quotation/bid are to be duly signed by the bidder. CEL does not take any responsibility for delay in receipt or non-receipt or loss of tender(s) in transit. 13. CEL reserves the right to reject any or all tenders/quotations/bids received or accept any or all tenders/quotation/bids wholly or in part. Further, CEL reserves the right to order a lesser quantity without assigning any reason(s) thereof. CEL also reserves the right to cancel any order placed on basis of this tender in case of strike, accident or any other unforeseen contingencies causing stoppage of production at CEL or to modify the order without liability for any compensation and or claim of any description. 14. Earnest money amount of 1,00,000 in the form of demand draft favoring Central Electronics Limited and payable at Delhi and valid for 3 month to be submitted along with tender documents. No interest shall be payable on the earnest money deposited by bidder/ tenderer. The earnest money may be deposited through TT/SWIFT into CEL s account with Syndicate Bank. The earnest money of successful bidder would be converted into security deposit and would be returned (after deduction of bank charges, if any) to the bidder after 2 months of successful completion of work. Exemption from submission of EMD: The following type of bidders are exempted from submission of EMD subject to submission of relevant documents mentioned herein: a) Micro & Small Enterprise registered with DIC or KVIC or KVIB or Coir Board or NSIC or DHH or any other body specified by Ministry of Micro, Small and Medium Enterprises, Govt. of India. A copy of valid registration certificate should be submitted with technical bid of quotation. 15. Part-B: This should contain only Finance/Price Bid only as per format vide Annexure Opening of Tenders: Technical Bids/Quotations/tenders will be opened on 17/03/2015 at 1530 hrs (IST). The date for opening of price bids would be fixed after evaluation of the technical bids, usually within a week of opening of technical bids. Price bid of only those bidders would be opened who qualify the technical bid. The date of price bid opening would be intimated to the eligible bidders (qualified in the technical evaluation) at least 1 day in advance. 17.
