Any discrepancy or departure from the same shall make the bidder ineligible for participating in the tender: 1. The bidders should preferably have its registered/corporate office/branch office in NCR Delhi and having at least 10 numbers of technically qualified and trained staff in the field of solar. Valid proof alongwith name, qualification & experience of the staff (to be deputed for the work) may be attached in the technical bid. 2. Experience in the field of installation & commissioning or maintenance and operation of solar power plants for cumulative capacity of 250KWp during any of the last five years along with minimum one year experience related to AMC/CMC/O&M of solar power plants. 3. The above experience should be related with the orders received from any Govt. department (Central/State)/PSU/Any Govt. Authority or Govt. Institutions). Copy of purchase orders along with their completion certificate may be attached along with technical bid. 4. Average annual turnover in the last five financial years from any of the business segments mentioned at S.No.2 shall be minimum Rs. 50 Lakhs. Copy of the balance sheet/certificate of chartered accountant may be attached in the technical bid. Page 3 of 20

Administration Building - 100KWp b. Adjacent Building - 150KWp c. Qty. 1 CEL s Make Solar Modules (300Wp) 500KWp 500KWp 2 String Inverters, 20KW (20TL) Delta Make 30KW (30TL) With sensors & web monitoring 10 Nos. 10 Nos. 10 Nos. 10 Nos. 3 Structure 01 set 01 set 4 Junction Boxes 01 set 01 set 5 ACDB with metering 01 set 01 set 6 Cables, earthing etc 01 set 01 set 1.2 Scope of Work: The works to be governed by this Contract shall cover comprehensive maintenance and operation of both the Power plants at the above mentioned locations installed on various roofs The scope of work includes preventive maintenance on monthly basis, Breakdown maintenance, Cleaning of all equipments like solar Modules, Inverters etc. with all the electrical and associated equipments including civil works at building and structures PREVENTIVE MAINTENANCE SERVICES: In order to extend the life of plant, regular check-up of the plant on monthly basis is essential. Mainly string inverters, all types of cable connections, Solar Modules and structures, Earthing, Junction boxes, ACDB & DCDB as well as remote monitoring system etc. are to be checked properly to ensure that the both plants are running in good condition BREAKDOWN MAINTENANCE SERVICES: In case, any plant at any roof of the building is reported to be under breakdown, the party shall take an action to arrange to identify the fault and rectify/repair the defect and will replace the defective part of component or equipment during the CMC period if found Page 6 of 20

7 essential to do so to minimize the generation loss (refer clause 6). Monthly details of breakdown shall be submitted as per annexure C CLEANING OF SOLAR MODULES ON REGULAR BASIS: In order to maximize the generation of the power and maintaining the plant in good condition, proper cleaning work of Solar modules is essential which shall be done on regular basis i.e. twice in a month. Due care has to be taken while cleaning the solar modules which should be cleaned thoroughly and gently using sufficient water and soft wiper. 3.0 PERIOD OF CMC: The initial period of CMC shall be for two years which may be extended further on yearly basis till June 2024 on the basis of the performance of the party at the sole discretion of CEL, which will be binding on the successful bid. During the period of CMC, the party will ensure that CMC work is carried out by a team of trained staff with the technical qualification of ITI/Diploma Engineer/Graduate Engineer. For extension of CMC period further, the successful bidder has to extend the submitted Performance Bank Guarantee for another year within 15 days before the date of completion of previous CMC period. 4.0 MONTHLY REPORTING OF WORK DONE UNDER CMC: The party shall submit the monthly maintenance & Module cleaning report to GM/AGM (Projects) within 3 working days after completion of previous month as per the format enclosed showing details of energy generation. 5.0 PAYMENT TERM OF CMC: The payment shall be made on quarterly basis on submission of bills to CEL within 7 working days after receipt of payment from the end customer on back to back basis. In case, any penalty is deducted by end customer, the same amount will be recovered from the contractor. Payment realization from GNIDA is the responsibility of the contractor. 6.0 PENALTY CLAUSE: a- In case, the party fails to submit monthly report, it will be presumed that no CMC work has been carried out at site and accordingly, no payment will be released by CEL. b- All defects and deficiencies informed to the contractor shall be attended within three working days. If the complaints are related to replacement/repairs of any crucial/major components the same must be rectified within 10 days. c- If contractor fails to respond and arrange repair/rectification within reasonable time, the purchaser shall be free to get the repairs done through departmentally or through any Page 7 of 20

8 other sources at contractor s risks and costs without prejudice to the other remedies available under the contract. 7.0 SAFETY GEAR: During period of the CMC, contractors shall ensure that all safety precautions are taken by their men to protect themselves and site to prevent any untoward incident. In this regard contractor will ensure that adequate number of safety helmets, safety belts, safety jackets with reflective arm band, rope, ladders, emergency light etc. is available at site. CEL will not be responsible for any mishap at site during the CMC period. 8.0 SITE INSPECTION REGISTER A site inspection register will be maintained by the Engineer or his representative in which the contractor will be bound to sign day to day entries made by the Engineer or his representative. The contractor is required to take note of the instructions given to him through the site inspection register and should comply with the same within a reasonable time. The contractor will also arrange to receive all the letters etc. issued to him at the site of works. 9.0 DAMAGE TO THE PROPERTY: Contractor(s) executing the CMC works will take all care for avoiding any damage to the Property, electric cables/wires, pipelines/sewer lines etc. It may be further noted that if it is found that damage has occurred due to the negligence on the part of the contractor, the cost of the damage will be recovered from him/them. The decision of Engineer-in-charge/CEL will be final and binding upon the contractor(s) PERFORMANCE SECURITY DEPOSIT: The successful Bidder will be required to submit DD/BG for an amount equivalent to 5% of the Order value including taxes and duties as a performance Security Deposit for satisfactory execution of the work. The BG submitted shall be submitted within one week of issue of PO and shall be valid for a minimum period of two years to be extended to cover the extension of AMC period, if any. Page 8 of 20

9 Annexure-B Maintenance Guidelines of Grid Connected PV Plants For the optimal operation of a PV plant, maintenance must be carried out on a regular basis. All the components should be kept clean. It should be ensured that all the components are fastened well at their due place. Maintenance guidelines for various components viz. solar panels, inverter, wiring etc. are discussed below: 1. SOLAR PANELS Although the cleaning frequency for the panels will vary from site to site depending on soiling, it is recommended that The panels are cleaned at least once every fifteen days. Any bird droppings or spots should be cleaned immediately. Use water and a soft sponge or cloth for cleaning. Do not use detergent or any abrasive material for panel cleaning. Iso-propyl alcohol may be used to remove oil or grease stains. Do not spray water on the panel if the panel glass is cracked or the back side is perforated. Wipe water from module as soon as possible. Use proper safety belts while cleaning modules at inclined roofs etc. The modules should not be cleaned when they are excessively hot. Early morning is particularly good time for module cleaning. Check if there are any shade problems due to vegetation or new building. If there are, make arrangements for removing the vegetation or moving the panels to a shade-free place. Ensure that the module terminal connections are not exposed while cleaning as this poses a risk of electric shock. Never use panels for any unintended use, e. g. drying clothes, chips etc. Ensure that monkeys or other animals do not damage the panels. Inspect for hot spot & by pass diodes failure and take the corrective action accordingly. Check Solar panel and structure for any damage and repair/replacement if required. 2. CABLES AND CONNECTION BOXES Check the connections for corrosion and tightness. Check the connection box to make sure that the wires are tight, and the water seals are not damaged. There should be no vermin inside the box. Check the cable insulating sheath for cracks, breaks or burns. If the insulation is damaged, replace the wire. If the wire is outside the building, use wire with weather-resistant insulation. Make sure that the wire is clamped properly and that it should not rub against any sharp edges or corners. If some wire needs to be changed, make sure it is of proper rating and type. Page 9 of 20

10 3. INVERTER Remove any excess dust in heat sinks and ventilations. This should only be done with a dry cloth or brush. Check that vermin have not infested the inverter. Typical signs of this include spider webs on ventilation grills or wasps nests in heat sinks. Check functionality, e.g. automatic disconnection upon loss of grid power supply, at least once a month. Verify the state of DC/AC surge arrestors, cable connections, and circuit breakers. 4. SHUTTING DOWN THE SYSTEM Disconnect system from all power sources in accordance with instructions for all other components used in the system. Completely cover system modules with an opaque material to prevent electricity from being generated while disconnecting conductors. To the extent possible, system shutdown will not be done during day time or peak generation. Page 10 of 20

16 Annexure-D Commercial Terms and Conditions: 1. Quotations having deviation from our specifications, terms & conditions would be rejected. 2. Basis of price: Prices should be submitted as per scope of work described in Annexure A. 3. GST: GST is to be clearly mentioned. 4. Payment: As given in Annexure-A. 5. Performance Bank Guarantee (PBG): As given in Annexure-A. 6. Price variation Clause: Price variation would not be permitted and quotations having Price variation clause would be rejected. 7. Validity of offer: The quotation/tender/bid submitted by the bidder/supplier shall be valid for a minimum period of 90 days from date of opening. 8. Any corrections/alterations in the tender/quotation/bid are to be duly signed by the bidder. CEL does not take any responsibility for delay in receipt or non-receipt or loss of tender(s) in transit. 9. Earnest money: An amount of 96,000/- in the form of demand draft favoring M/s. Central Electronics Limited, payable at Delhi and to be submitted along with the technical bid. No interest shall be payable on the earnest money deposited by bidder/ tenderer. The earnest money may be deposited through TT/SWIFT/RTGS/NEFT into CEL s account with Syndicate Bank. The earnest money of successful bidder would be adjusted into Performance Security Deposit amount and would be returned (after deduction of bank charges, if any) to the bidder after two months of successful completion of CMC. In case the successful bidder is exempted for submitting the EMD as described below, Performance Security Deposit will be deposited by the successful bidder within seven days of receipt of purchase order through in the form of BG/DD as given in clause 10.0 Performance Security Deposit and to be extended further as per clause 3.0 Period of CMC of Annexure A, failing which, CEL will retain the equivalent amount till successful completion of CMC. Exemption from submission of EMD: Micro & Small Enterprise registered with DIC or KVIC or KVIB or Coir Board or NSIC or DHH or any other body specified by Ministry of Micro, Small and Medium Enterprises, Govt. of India are exempted from submission of EMD subject to submission of valid registration certificate with technical bid. 10. CEL reserves the right to reject any or all tenders/quotations/bids received or accept any or all tenders/quotation/bids wholly or in part. Further, CEL reserves the right to order a lesser quantity without assigning any reason(s) thereof. CEL also reserves the right to cancel any order placed on the basis of this tender in case of strike, accident or any other unforeseen contingencies causing stoppage of production at CEL or to modify the order without liability for any compensation and or claim of any description. 11. Submission of Tender: Tender/Quotation/Bid in sealed cover should be delivered at the Office of the General Manager, Materials Management Division, Central Electronics Limited, 4, Industrial Area, Saur Urja Marg, Sahibabad (U.P), INDIA. Last date of receiving of tenders/quotations is 10/08/2018 up to 15:00 hrs IST. The offer shall be submitted in TWO sealed envelopes (superscribed with tender No. and due date on the envelopes) as detailed below: Page 16 of 20

Cover: 2 This must contain only the Price Bid on company s letter head as per Price Bid format given in Annexure C. 12. Opening of Tenders: Technical Bids/Quotations/tenders will be opened on 10/08/2018 at 15:30 hrs (IST). The date for opening of price bids would be fixed after evaluation of the technical bids, usually within a week of opening of technical bids. Price bid of only those bidders would be opened who qualify in the technical bid. The date of price bid opening would be intimated to the eligible bidders (qualified in the technical evaluation) at least one day in advance. 13. In case an order placed by the CEL based on the quotation/bid/tender submitted by the bidder/supplier is not executed by the supplier/bidder, CEL may buy the ordered goods from elsewhere and recover the additional amount that CEL may have to spend in procuring the stores plus 10% to cover the overhead & incidental expenses. 14. Replacement of Rejected Material: Any material supplied against order placed on the basis of this tender and found to be defective on inspection or differing from approved samples or make or specifications will be replaced by the supplier free of cost or full refund made for the amount paid by Central Electronics Limited including freight and insurance and other incidental charges at CEL s discretion. 15. Arbitration: All the disputes, difference controversies/ difference of opinions, breach and violation arising from or related to this agreement between the parties, then the same shall be resolved by mutual discussion /reconciliations in good faith. If disputes, difference controversies /difference of opinions, breach and violation arising from or related to this agreement cannot be resolved within 30 days of commencement of reconciliations / discussions then the matter shall be referred to the sole arbitrator, nominated by CMD CEL, for this purpose and his/her decision shall be final binding on both the parties. The cost of arbitration, if any shall be shared equally between the parties. The arbitration proceedings shall be conducted by the Arbitral Tribunal in accordance with the provisions of the Arbitration & Conciliation Act, 1996 as amended from time to time. The place of arbitration shall be Delhi and language of such arbitration proceedings shall be in English. All disputes relating to this agreement shall be subject to jurisdiction of the courts at Delhi only. All the terms and conditions mentioned in the tender must be accepted as per format for Tender Acceptance Letter given in Annexure E, otherwise bid may be rejected. 16. In case of any ambiguity in the terms & conditions mentioned here-above and Annexure A of the tender, clause defined in Annexure-A shall supersede. Page 17 of 20
