2 VENDOR AGREEMENT: PART II EVENT INFORMATION, RULES AND REGULATIONS PLEASE NOTE: We recommend you make a copy of this page for your own records PARKING VENDOR VEHICLES: 1. Upon arrival, go to the east (rightmost) end of the main Derby Lane building and follow the directions to the vendor area. 2. Once you have unloaded, please return your vehicle to the front of the building and park it there for the duration of the event. SET UP: 1. Your exhibit space will be assigned at the discretion of event coordinators. You will be directed to your space when you arrive. 2. Your exhibit space must be set up on the day of the event from 8am 11am. Absolutely NO VEHICLES allowed in the vendor area after 10:30am. 3. You may not be able to unload near your space depending on the location; please be prepared to transport your things some distance to your space. 4. Setup should be completed no later than 30 minutes prior to opening. Bring your own assistants; event volunteers will not be available to assist with set-up. ELECTRICITY: 1. Electrical spaces are limited and not guaranteed. Exhibitors must supply their own electrical cords and power strip. 100ft cords may be needed. See power restrictions on Page No plugging into outlets that are not part of the event or have not been authorized for your use. DO S: 1. You must include St. Petersburg Kennel Club, Inc. dba Derby Lane Greyhound Track and Greyhound Pets of America, Inc. as additional insureds under Vendor s general liability insurance policy and supply a copy of an insurance certificate showing SPKC and GPA being added as additional insureds. 2. You are required to handle your own clean up. A clean up fee of $30 will be charged if your space requires clean up by event volunteers. 3. You are responsible for collecting and submitting sales tax to the Florida Department of Revenue for all sales you make. 4. All dogs brought to the event must be spayed/neutered and current on rabies vaccination. Proof is required. 5. Exhibitor booths must be set up for the entire event time. Displays must be manned at all times during event hours. DON TS: 1. Vendors cannot sell ready to eat food/snacks. 2. No generators. 3. No tents. Vendor spaces are sheltered. 4. No animals other than dogs are permitted to attend the event. Dogs are not to be left unattended or off-leash at any time. 5. DO NOT tear down your booth area prior to the event ending. MISCELLANEOUS: 1. Vendor fees will be waived for all 2018 Scramble Fore the Greyhounds sponsors! 2. No refunds due to weather or acts of nature. No refunds for participant s cancellation or failure to participate. 3. Each exhibitor is responsible for bringing their own table(s) and chairs. 4. Event hours are subject to change, pre-registered participants will be notified. 5. Spaces are limited and will be accepted on a first-come/first-serve basis. Assignments are at the discretion of the Event Committee. BY EXECUTING THIS AGREEMENT: VENDOR HEREBY REPRESENTS AND WARRANTS THAT HE OR SHE HAS READ AND UNDERSTOOD THE TERMS AND CONDITIONS OF THIS VENDOR AGREEMENT. VENDOR HEREBY AGREES TO COMPLY WITH RULES AND REGULATIONS ESTABLISHED BY DERBY LANE MANAGEMENT, INCLUDING WITHOUT LIMITATION THE EVENT INFORMATION, RULES AND REGULATIONS SET FORTH HEREIN AND ALL OTHER REQUIREMENTS OF DERBY LANE, WHETHER SUCH REQUIREMENTS ARE COMMUNICATED VERBALLY OR IN WRITING, BEFORE OR DURING THE EVENT. VENDOR ACKNOWLEDGES AND AGREES THAT FAILURE TO COMPLY WITH ANY SUCH RULE OR REGULATION, OR OTHER REQUIREMENT, MAY RESULT IN THE VENDOR BEING EVICTED FROM DERBY LANE S PREMISES WITHOUT RECOURSE OR REFUND. 3 VENDOR AGREEMENT: PART III Vendor s (business) Advance Release and Indemnification Agreement In exchange for good and valuable consideration (including, without limitation, Vendor s participation in the Mutt Derby event), the receipt and sufficiency of which is hereby acknowledged, Vendor acknowledges and agrees that by executing this Advance Release and Indemnification Agreement, Vendor hereby: (1) Assumes all risks and potential liabilities - whether currently foreseen or unforeseen that may arise out of or relate to Vendor s participation in the Mutt Derby Event; and (2) Waives, releases, dismisses and otherwise discharges in advance (a) St. Petersburg Kennel Club, Inc. dba Derby Lane Greyhound Track ( SPKC ), (b) Greyhound Pets of America, Inc. ( GPA ), and (c) the owners, directors, trustees, officers, employees, invitees, volunteers, representatives and affiliated organizations of SPKC and GPA (collectively the released parties ) from any and all claims and causes of action that Vendor may have against any one or more of the released parties in connection with any injury, harm, sickness, death or property loss or damage that either Vendor or any customer, employee or other person associated with Vendor incurs or sustains arising out of or related to Vendor s participation in the Mutt Derby Event; and (3) Agrees to indemnify, save and hold harmless each of the released parties from any and all claims, lawsuits, and threats of same, which is made by Vendor or any customer, owner, employee, or other person associated with Vendor s participation in the Mutt Derby Event; and (4) Represents and warrants that Vendor signs this Advance Release and Indemnification Agreement freely, voluntarily, and without relying on any inducement or statement other than terms and conditions expressly set forth herein in writing; and (5) Understands and agrees, by executing this Advance Release and Indemnification Agreement, Vendor waives and releases in advance all rights Vendor may have to make a claim or to bring a lawsuit against any one or more of the released parties due to any injury, harm, sickness, death or property loss or damage, sustained or incurred, in whole or in part, arising out of or related to Vendor s participation in the Mutt Derby Event and, in the event a claim, lawsuit or threat of same is made, Vendor will indemnify, save and hold harmless any and all such released parties from all costs and expenses, including reasonable attorney fees and court costs; and (6) Intends for this Advance Release and Indemnification Agreement to grant a full and unconditional advance release, recognized and enforced to the fullest extent permitted by the law. 4 VENDOR AGREEMENT: PART III (continued) Vendor s Personnel (individual) Advance Release Agreement In exchange for good and valuable consideration, the undersigned (who is either an officer, employee or other representative of a Vendor participating in the Mutt Derby event) acknowledges and agrees that by executing this Advance Release Agreement, he or she hereby: (1) Assumes all risks and potential liabilities - whether currently foreseen or unforeseen that may arise out of or relate to his or her participation in the Mutt Derby Event; and (2) Waives, releases, dismisses and otherwise discharges in advance (a) St. Petersburg Kennel Club, Inc. dba Derby Lane Greyhound Track ( SPKC ), (b) Greyhound Pets of America, Inc. ( GPA ), and (c) the owners, directors, trustees, officers, employees, invitees, volunteers, representatives and affiliated organizations of SPKC and GPA (collectively the released parties ) from any and all claims and causes of action that he or she may have against any one or more of the released parties in connection with any injury, harm, sickness, death or property loss or damage that he or she incurs or sustains arising out of or related to his or her participation in the Mutt Derby Event; and (3) Represents and warrants that he or she signs this Advance Release Agreement freely, voluntarily, and without relying on any inducement or statement other than terms and conditions expressly set forth herein in writing; and (4) Understands and agrees, by executing this Advance Release Agreement, he or she waives and releases in advance any and all rights he or she may have to make a claim or to bring a lawsuit against any one or more of the released parties due to any injury, harm, sickness, death or property loss or damage, sustained or incurred, in whole or in part, arising out of or related to his or her participation in the Mutt Derby Event; and (5) Intends for this Advance Release Agreement to grant a full and unconditional advance release, recognized and enforced to the fullest extent permitted by the law; and (6) Acknowledges and agrees that SPKC and GPA may take photographs, video recordings and audio recordings of the Mutt Derby (the Recorded Media ), that all rights, title and interest in the Recorded Media will belong to either SPKC or GPA, and that SPKC and GPA may use the Recorded Media whether or not such Recorded Media includes the undersigned s likeness, voice, or name and otherwise to disseminate and publish such Recorded Media worldwide via any medium for any purpose (including but not limited to television, radio and Internet broadcasts of the Mutt Derby, advertising and promotional materials of SPKC or GPA, etc.) without either SPKC or GPA being required to compensate the undersigned for exploiting the Recorded Media. The Vendor Agreement, payment and insurance certificate must be received by Friday, February 9 th. Each individual associated with Vendor, who will be attending the Mutt Derby event, must execute the Vendor s Personnel Advance Release Agreement.
