1 Group Underwriters Association of America Dear GUAA Exhibitor: The Renaissance Vinoy Resort and Golf Club St. Petersburg, Florida January 18 21, 2009 Thank you for your interest in this exciting event. GUAA has served the group insurance industry for over 32 years by offering education and industry insights for professionals in various capacities of the group insurance market. Over the years the focus of the organization has expanded to include not just underwriting but all the functional areas of the group insurance business. Generate interest in your products and services while enjoying the program! As an exhibitor, your application fee allows you full access to conference attendees throughout the program. You are invited to attend all the workshops and meal functions for one low price. Program Agenda: The program will begin Sunday, June 1st at 6:00 PM. Exhibitors will be set up near receptions and other meal functions throughout the event to allow for maximum exposure. The final session will adjourn on Wednesday the 4 th at approximately noon. Exhibitor Set Up: You may begin setting up around noon on Sunday or after the reception Sunday evening at 8:00 PM. Please plan to be fully set up before things start on Monday morning at 7:30 AM. Booth Space Assignment: Booth space will be assigned on a first come first served basis but there will be plenty of excellent space available. Hotel Accommodations: Hotel reservations should be made directly with The Renaissance Vinoy. The group rate of $225 expires on Friday, December 19, Reservation Line: Page 1 of 6

2 Shipping: Any receiving/shipping charges assessed by the hotel will be the responsibility of the exhibitor; please contact the hotel at (727) ext for details. Please plan for your exhibit materials to arrive no sooner than 5 days prior to the meeting date. Materials shipped to the hotel must be marked with a. St. Petersburg, FL Liability: The individual exhibitor hereby assumes entire responsibility and hereby agrees to protect, defend, indemnify and save the Hotel, its owners, its operator, The Renaissance Vinoy Resort and Golf Club, and each of their respective parents, subsidiaries, affiliates, employees, officers, directors, and agents, Group Underwriters Association of America, Inc. (GUAA) and Gritton Productions, Inc. harmless against all claims, losses or damages to persons or property, governmental charges or fines and attorney s fees arising out of or caused by its installation, removal, maintenance, occupancy or use of the exhibition premises or a part thereof, excluding any such liability caused by the sole gross negligence of the Hotel, GUAA or Gritton Productions, Inc. and its employees and agents. The individual exhibitor will obtain and keep in force during the term of the installation and use of the exhibit premises, policies of Comprehensive General Liability Insurance and Contractual Liability insurance, insuring and specifically referring to the Contractual liability set forth in this Exhibit Agreement in an amount not less than $2,000,000 Combined Single Limit for personal injury and property damage. The exhibitor agrees to provide a Certificate of insurance evidencing the coverage described above. General: Electronically generated sound (e.g., from a computer or public address system) is prohibited. Any acts or promotional procedures which in the opinion of the GUAA Management are considered to be disruptive in any way, or are an infringement upon the right of other Exhibitors, are prohibited. Failure to Hold Meeting: Should any contingency necessitate the cancellation or in any way prevent the holding of the conference, GUAA and or Gritton Productions, Inc. shall not be held liable for any expenses incurred by the Exhibitor. Any contract or agreement made by GUAA shall in such event be null and void. Page 2 of 6

4 Group Underwriters Association of America The Renaissance Vinoy Resort and Golf Club St. Petersburg, Florida January 18 21, 2009 Application and Contract for Exhibit Space We hereby make application for space at the Group Underwriters (GUAA) Winter Meeting to be held at The Renaissance Vinoy Resort and Golf Club, St. Petersburg, Florida. We agree to comply with and abide by all regulations set forth in the GUAA Exhibitor s Rules and Regulations governing the Exhibit Area and any regulation GUAA may add after notifying signed exhibitors in writing of the changes. The cost for each exhibitor space is U.S. $2500 which includes one (1) exhibitor representative. Any additional representatives will be charged at the rate of $850 per representative. We understand that this application must be accompanied by the total price shown above. If for any reason whatsoever, we must cancel our participation in the meeting after December 18, 2008, we understand that we will not receive a refund of the contract price. Regarding liability, exhibitor agrees to protect, save, and hold the GUAA, Gritton Productions and The Renaissance Vinoy Resort and Golf Club, its employees and beneficiaries and agents thereof (hereinafter collectively called Indemnities) forever harmless for any damages or charges imposed for violation of any law or ordinance, whether occasioned by the exhibitors or those holding under the exhibitor, and further, exhibitor shall at all times protect, indemnify, save, and hold harmless the Indemnities against and from any and all losses, costs (including attorney s fees), damage, liability or expense arising from or out of or by reason of any accident or bodily injury or other occurrence to any person or persons or to the property of same, including the exhibitor, its agents employees, and business invitees which arises from or out of or by reason of said exhibitor s occupancy and use of the exhibition premises or a part thereof, except such as shall arise directly from the acts of the Indemnities.
