You agree to rent from U the peronal property lited above (together with all exiting and future acceorie, attachment, replacement and embedded oftware, the Equipment ) upon the term tated herein. You agree that after You ign, We may inert or correct any information miing on thi Agreement, including Your proper legal name, erial number and any other information decribing the Equipment. 2. EQUIPMENT SERVICE, SUPPLIES; UNCONDITIONAL OBLIGATION. We have agreed to provide You with Equipment ervice during normal buine hour and to provide You with all labor, toner, developer and part neceary for You to produce copie, all of which are included in the Payment amount. However, You agree that You mut eparately purchae all other upplie, including, without limitation, copier paper and taple, at Your own cot, and You mut eparately purchae Equipment ervice outide Our normal buine hour and any ervice, part or upplie required by Your miue or abue of the Equipment, negligence, ue of improper upplie, electrical or environmental problem, improper moving, extraordinary ue or failure to follow the manufacturer uggeted ue intruction, each a reaonably determined by U. At your requet, We will alo provide You with training on the ue and care of the Equipment for no additional charge. You agree that: (a) You elected the Equipment baed on Your own judgment; (b) Your obligation hereunder are abolute and unconditional and are not ubject to cancellation, reduction or etoff for any reaon whatoever; and (c) if We aign thi Agreement puruant to Section 9 (i) the Aignee hall not be reponible for providing You with Software Support, other Equipment ervice, part or upplie, or for any other obligation that We owe to You (even though the Aignee may, a a convenience to You, bill and collect monie owed by You to U), (ii) if the Equipment i unatifactory or if We fail to provide any ervice or fulfill any other obligation to You, You hall not make any claim againt the Aignee and hall continue to fully perform under thi Agreement, and (iii) We are not an agent of the Aignee and are not authorized to waive or alter any term of thi Agreement. 3. PAYMENTS. Each Payment Period, You agree to pay U, by the due date et forth on Our invoice to You (i) the Payment, (ii) the applicable overage charge for each metered copy in exce of the applicable number of copie included in the Payment, and (iii) applicable taxe and other charge provided for herein. You agree to pay the minimum Payment amount even if You do not make the applicable number of copie in a given month. You agree that We may increae the Payment and/or the applicable overage charge once each year during the Term, by an amount not to exceed 10% per year. At Our option, You will (a) provide U by telephone or facimile with the actual meter reading when We o requet, (b) allow U to proce automatic meter read report generated by the Equipment, or (c) allow U acce to the Equipment to obtain meter reading. If We requet You to provide U with meter reading and You fail to do o within 7 day of Our requet, then (i) We may etimate the number of copie made and invoice You accordingly, and (ii) We will adjut the etimated charge for overage upon receipt of actual meter reading. A ued herein, a copy i an increment of the machine page counter caued by any operation of the Equipment which caue paper to print, including printing, copying and fax printing. Scanning doe not contitute a copy and i included at no extra charge, unle the number of page canned exceed twice the number of copie, in which cae You hall pay an additional fee determined by U for exce can. Retrictive endorement on check will not be binding on U. All payment received will be applied to pat due amount and to the current amount due in uch order a We determine. If We do not receive a payment in full on or before it due date, You hall pay a fee equal to the greater of 10% of the amount that i late or $29.00 (or the maximum amount permitted by applicable law if le). You hall pay U a returned check or non-ufficient fund charge of $25.00 for any returned or dihonored check or draft. 4. TERM; AUTOMATIC RENEWAL. The term of thi Agreement will begin on the date that it i accepted by U or any later date that We deignate (the Commencement Date ) and will continue for the number of month hown above (the Initial Term ). A ued herein, Term mean the term preently in effect at any time, whether it i the Initial Term or a Renewal Term (defined below). Unle You notify U in writing at leat 90 day before the end of the Term (the Notice Period ) that You intend to return the Equipment at the end of uch Term, then: (a) thi Agreement will automatically renew for an additional one-year period (a Renewal Term ) and (b) all term of thi Agreement will continue to apply. If You do notify U in writing within the Notice Period that You intend to return the Equipment at the end of the Term, then You hall make the Equipment available for return in accordance with Section 12. Thi Agreement i non-cancelable for the full Term. 5. INDEMNIFICATION. You hall indemnify and hold U harmle from and againt, any and all claim, action, damage, liabilitie, loe and cot (including but not limited to reaonable attorney fee) (collectively Claim ) made againt U, or uffered or incurred by U, ariing directly or indirectly out of, or otherwie relating to, the delivery, intallation, poeion, ownerhip, ue, lo of ue, defect in or malfunction of the Equipment or Our performance of any ervice hereunder, excluding any uch Claim caued by Our gro negligence or willful miconduct. Thi obligation hall urvive the termination of thi Agreement. We hall not be liable to You for any damage of any kind, including any liability for conequential damage, ariing out of the ue of or the inability to ue the Equipment or Our performance of any ervice hereunder. 6. DISCLAIMER. EXCEPT TO THE EXTENT WE HAVE PROVIDED YOU A WARRANTY IN WRITING, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, ARISING BY APPLICABLE LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The partie hereto agree that thi Agreement in the hand of an Aignee i, or hall be treated a, a finance leae under Article 2A of the Uniform Commercial Code (the UCC ). You hereby waive any and all right and remedie conferred upon You by Article 2A of the UCC. If thi Agreement i deemed to be a ecured tranaction, You hereby grant to U a ecurity interet in the Equipment and all proceed thereof. You authorize U to record UCC financing tatement to protect Our interet in the Equipment. You may be entitled under Article 2A of the UCC to the promie and warrantie (if any) provided to U by the manufacturer, which warranty right We aign to You for the Term (provided You are not in default). You may contact U for an accurate and complete tatement of thoe promie and warrantie (if any), including any diclaimer and limitation of them or of remedie. 7. OWNERSHIP; USE AND MAINTENANCE You will provide electrical power for the Equipment in accordance with manufacturer pecification, with uitable urge protector and free of expoed wire, afety hazard or extenion cord. You will maintain temperature,

8 humidity and other environmental condition at level recommended by the manufacturer. You will locate the Equipment in an area with ufficient pace for machine ventilation and adequate pace for repair a determined by U. You will ue upplie and paper pecified by U. You agree to maintain current anti-viru oftware for all computer ytem connected to the Equipment and hall hold U harmle in accordance with Section 5 for any damage caued by computer virue. You are reponible for Equipment maintenance to the extent thi Agreement doe not require U to provide the ame. You will not remove the Equipment from the Equipment Location unle You firt get Our permiion. If the Equipment i moved to a new location, We may increae the Service Payment portion of the Total Payment and/or overage charge by a reaonable amount in order to account for any increaed cot to U in providing covered ervice, part and upplie to You. You hall give U reaonable acce to the Equipment Location o that We may inpect the Equipment. We will own and have title to the Equipment (excluding any oftware) during the Agreement. If the Equipment include any oftware: (i) We don t own the oftware, (ii) You are reponible for entering into any neceary oftware licene agreement with the owner or licenor of uch oftware, (iii) You hall comply with the term of all uch agreement, if any, and (iv) any default by You under any uch agreement hall contitute a default by You under thi Agreement. You agree that the Equipment i and hall remain peronal property and without Our prior written conent, You hall not permit it to become (i) attached to real property or (ii) ubject to lien or encumbrance of any kind. You repreent that the Equipment will be ued olely for commercial purpoe and not for peronal, family or houehold purpoe. You will ue the Equipment in accordance with all law, operation manual, ervice contract (if any) and inurance requirement, and hall not make any permanent alteration to it. You will keep the Equipment in good working order and warrantable condition, ordinary wear and tear excepted ( Good Condition ). 8. LOSS; DAMAGE; INSURANCE. You hall, at all time during thi Agreement, (i) bear the rik of lo and damage to the Equipment and hall continue performing all Your obligation to U even if it become damaged or uffer a lo, (ii) keep the Equipment inured againt all rik of damage and lo ( Property Inurance ) in an amount equal to it replacement cot, and (iii) carry public liability inurance covering bodily injury and property damage in an amount acceptable to U. 9. ASSIGNMENT. You hall not ell, tranfer, aign or otherwie encumber (collectively, Tranfer ) thi Agreement, or Tranfer or ubleae any Equipment, in whole or in part, without Our prior written conent. We may, without notice to You, Tranfer Our interet in the Equipment and/or thi Agreement, in whole or in part, to a third party (an Aignee ), in which cae the Aignee will, to the extent of uch Tranfer, have all of Our right and benefit but will not have to perform any of Our obligation hereunder. Any Tranfer by U will not relieve U of Our obligation hereunder. You agree not to aert againt the Aignee any claim, defene or offet You may have againt U. 10. TAXES AND OTHER FEES. You are reponible for all taxe (including, without limitation, ale, ue and peronal property taxe, excluding only taxe baed on Our income), aement, licene and regitration fee and other governmental charge relating to thi Agreement or the Equipment (collectively Governmental Charge ). You authorize U to pay any Governmental Charge a they become due, and You agree to reimbure U promptly upon demand for the full amount. You agree to pay u a fee for Our adminitration of taxe related to the Equipment. You alo agree to pay U a documentation/proceing fee in the amount et forth on Page 1 (or a otherwie agreed to). You agree to pay U a upply freight fee for delivering upplie to You at a location more than 75 mile from any of Our location and for pecial order. In connection with the expiration or earlier termination of thi Agreement, You agree to pay U any Governmental Charge accrued or aeed but not yet due and payable, or Our etimate of uch amount. 11. DEFAULT; REMEDIES. You will be in default hereunder if (1) You fail to pay any amount due hereunder within 15 day of the due date, (2) You breach or attempt to breach any other term, repreentation or covenant herein or in any other agreement now exiting or hereafter entered into with U or any Aignee, (3) an event of default occur under any obligation You may now or hereafter owe to any affiliate of U or any Aignee, and/or (4) You and/or any guarantor or uretie of Your obligation hereunder (i) die, (ii) go out of buine, (iii) commence diolution proceeding, (iv) merge or conolidate into another entity, (v) ell all or ubtantially all of Your or their aet, or there i a change of control with repect to Your or their ownerhip, (vi) become inolvent, admit Your or their inability to pay Your or their debt, (vii) make an aignment for the benefit of Your or their creditor (or enter into a imilar arrangement), (viii) file, or there i filed againt You or them, a bankruptcy, reorganization or imilar proceeding or a proceeding for the appointment of a receiver, trutee or liquidator, or (ix) uffer an advere change in Your or their financial condition. If You default, We may do any or all of the following: (A) cancel thi Agreement, (B) require You to promptly return the Equipment at Your expene to any location() deignated by U, (C) take poeion of and/or render the Equipment (including any oftware) unuable (and for uch purpoe You hereby authorize U and Our deignee to enter Your premie, with or without prior notice or other proce of law), and ell, leae or otherwie dipoe of the Equipment on uch term and in uch manner a We may in Our ole dicretion determine, (D) require You to pay to U, on demand, liquidated damage in an amount equal to the um of (i) all Total Payment and other amount then due and pat due, (ii) all remaining Total the reidual value of the Equipment etimated by U at the inception of thi Agreement (a hown in Our book and record), dicounted at a rate of 6% per annum, (iv) interet on the amount pecified in claue i, ii and iii above from the date of demand to the date paid at the rate of 1.5% per month (or the maximum amount permitted by law if le), and (v) all other amount that may thereafter become due hereunder to the extent that We will be obligated to collect and pay uch amount to a third party (uch amount pecified in ub-claue i through v referred to below a the Balance Due ), and/or (E) exercie any other remedy available to U under law. You alo agree to reimbure U on demand for all reaonable expene of enforcement (including, without limitation, reaonable attorney fee and other legal cot) and reaonable expene of repoeing, holding, preparing for dipoition, and dipoition ( Remarketing ) of the Equipment, plu interet at the rate in ub-claue (iv) on the foregoing amount from the date of demand to the date paid. In the event We are ucceful in Remarketing the Equipment, We hall give You a credit againt the Balance Due in an amount equal to the preent value of the proceed received and to be received from Remarketing minu the above-mentioned cot (the Net Proceed ). If the Net Proceed are le than the Balance Due, You hall be liable for uch deficiency. Any delay or failure to enforce Our right hereunder hall not contitute a waiver thereof. The remedie et forth herein are cumulative and may be exercied concurrently or eparately. 12. RETURN OF EQUIPMENT. Upon expiration of the Term, provided You have performed all of Your obligation hereunder, We will promptly remove the Equipment from Your premie at Our cot and expene. The Equipment mut be made available to U in Good Condition (defined in Section 7). You are olely reponible for removing all data from any digital torage device, hard drive or other electronic medium prior to returning the Equipment or otherwie removing or allowing the removal of the Equipment from Your premie for any reaon (and You are olely reponible for electing a data ecurity tandard that meet Your buine need and complie with applicable law). We hall not be liable for any loe, directly or indirectly ariing out of, or by reaon of the preence and/or ue of any information, image or content retained by or reident in any Equipment returned to U or repoeed by U. 13. APPLICABLE LAW; VENUE; JURISDICTION; SEVERABILITY. Thi Agreement hall be governed by, enforced and contrued in accordance with the law of the tate of Our principal place of buine, or, if We aign thi Agreement to an Aignee, the law of the tate of the Aignee principal place of buine, and any dipute concerning thi Agreement hall be adjudicated in a federal or tate court in uch tate, or in any other court or court having juridiction over You or Your aet, all at the ole election of Owner or it Aignee. You hereby irrevocably ubmit generally and unconditionally to the juridiction of any uch court o elected by Owner or it Aignee in relation to uch matter and irrevocably waive any defene of an inconvenient forum to the maintenance of any uch action or proceeding. YOU AND WE HEREBY WAIVE YOUR AND OUR RESPECTIVE RIGHTS TO A TRIAL BY JURY IN ANY LEGAL ACTION. If any amount charged or collected under thi Agreement i greater than the amount allowed by law (an Exce Amount ), then (i) any Exce Amount charged but not yet paid will be waived by U and (ii) any Exce Amount collected will be refunded to You or applied to any other amount then due hereunder. Each proviion hereof hall be interpreted to the maximum extent poible to be enforceable under applicable law. If any proviion i contrued to be unenforceable, uch proviion hall be ineffective only to the extent of uch unenforceability without invalidating the remainder hereof. 14. MISCELLANEOUS. You authorize U or an Aignee to (a) obtain credit report or make credit inquirie in connection with thi Agreement, and (b) provide Your credit application, information regarding Your account to credit reporting agencie, potential Aignee and partie having an economic interet in thi Agreement and/or the Equipment. Thi Agreement may be executed in counterpart, each of which hall be deemed an original, but all of which together hall contitute the ame document; provided, however, only the counterpart which i marked Original and i in Our poeion hall contitute chattel paper under the UCC. You acknowledge that You have received a copy of thi Agreement and agree that a facimile or other copy containing Your faxed, copied or electronically tranmitted ignature may be treated a an original and will be admiible a evidence of thi Agreement. You waive notice of receipt of a copy of thi Agreement with Our original ignature. You hereby repreent to U that thi Agreement i legally binding and enforceable againt You in accordance with it term. 15. DIGITAL SUPPORT SERVICE. A ued herein, Software Support mean the technical ervice for computer connectivity to the Equipment, including loading print driver, configuring can etting, troublehooting problem printing individual file, relocation of Equipment within a 75 mile radiu of the original delivery location and reconfiguration of relocated Equipment for printing and canning. During the firt 30 day of the Term, We will provide You with Software Support for no additional charge. Thereafter We will continue to provide You with Software Support (a) for an additional payment of $10.00 per month for each item of Equipment (in addition to the Total Payment and other amount due under thi Agreement) for the Term if You checked the box for Digital Support Service Monthly Pay Option on Page 1 of thi Agreement, or (b) at the rate of $149 per hour if You checked the box for Digital Support Service Hourly Pay Option on Page 1 of thi Agreement. You acknowledge that the intallation, operation, upgrade or maintenance of the Equipment or oftware can caue data and/or file to be acceed, deleted or damaged and You will take precaution to backup, ecure and protect all oftware, data and removable torage media prior to requeting U to provide any Software Support.
