BID INSTRUCTION: i. Quotations will have to be submitted in a SINGLE Bid. The address of the firm submitting the quotation and the Officer to whom the quotation is addressed must appear distinctly on sealed covers. Further, on sealed cover, the following are to be written: Quotation for AMC of Workshop machineries for Dept of ME at IIT Guwahati. NIQ Ref No. S&P/AMC-232/ME/ , dated Last Date of Submission: (Monday) Date of Opening Tender: (Thursday) Venue of NIQ Opening: Dept of Mechanical Engineering ii. iii. Submission of Compliance Certificate: Duly filled and signed Compliance Certificate (as per format at ANNEXURE II) must be enclosed. Bid not transferable: The bid documents are not transferable and the seal and signature of the authorized official of the firm s must appear on all the papers and envelopes submitted. NIQ TERMS & CONDITIONS: 01. Rates: Rates should be quoted inclusive of all taxes and duties except service taxes. Note: Bidders shall indicate their rates in clear/visible figures as well as in words and shall not alter/overwrite/make cutting in the quotation. In case of a mismatch, the rates written in words will prevail. 02. Validity of Quotation: Quoted rates must be valid for 120 days from the last date of submission of quotation. 03. Duration of contract: The duration of contract shall be for 01 (one) year from the date of commencement of AMC at IIT, Guwahati, Assam. 04. Security of one year contract value will have to be deposited either by an unconditional Performance Bank Guarantee (as per format at ANNEXURE III) OR Fixed Deposit Receipt from a Commercial bank, in favour of the Registrar, IIT Guwahati valid till 60 days after the contract period. 05. Eligible Criteria: A) The vendor should visit workshop thrice in a year for preventive maintenance i.e. with an interval of four month. B) They should come with their own hand tools, however crane and other heavy tools if required those will be provided from workshop. C) They should attend immediately if there will be any breakdown. 2 -2- D) For preventive maintenance grease, oil etc will be provided by workshop. E) If any spare parts to be needed that has to be arranged by the party, however it will be reimbursed later on. F) The bidder should have an office at Guwahati. Necessary documents has to be provided in support. G) Sales Tax / VAT Clearance Certificate, Service Tax registration certificate, Provident Fund Code & Income Tax PAN No. Bidder should have a permanent Account Number (PAN) in India. H) The bidder should have round the clock communication facilities such as Telephone, Fax, , Tele-fax to enable IIT Guwahati to contact them for maintenance purposes as well as to enable them to attend to maintenance calls without any delay. I) The bidder should have earlier experience of providing AMC Service to any PSU, Govt. Organization etc., specially in NE region. The service provider has to mention clearly the name of such organization(s) with contact details and need to furnish necessary proof thereof. J) Organization details In case of a proprietorship firm, the name and address of proprietor, and certified copy of Certificate of registration of firm. In case Bidder is a partnership firm, certified copy of the partnership deed. In case of company (whether private or public), certified copy of the Certificate of Incorporation together with certified Memorandum / articles of Association. K) Copy of tender document duly signed and stamped towards acceptance to terms and conditions of the tender. L) Bidder is requested to furnish the complete and correct information required for evaluation of his Bid. If the information with regard to resources and concurrent commitments or any other information / documentation forming basis of evaluation is found in complete / incorrect the same may be considered adequate ground for rejection of the bid. M) Bidder will provide escalation matrix of how the call/complaints will be attended. 06. Non-performance Deduction for Breakdown maintenance: Deductions & liquidated damages will be levied as mentioned below. (a) Vendor shall mobilize and deploy the required manpower so as to commence the services at the specified site(s) within a maximum of Three working days (72 Hours) from the time the service request is made. (b) If the vendor fails to mobilize and deploy the required manpower / equipment and / or fails to commence the services within the period specified in sub clause(a) above, IIT Guwahati shall have, without prejudice to any other right or remedy in the law or contract including sub clause(c) below, the right to terminate the contract. (c) If the vendor is unable to mobilize / deploy and commence the services within the period specified in sub clause(s) above, they may request IIT Guwahati for extension of the time with unconditionally agreeing for levy and recovery of LD. Upon receipt of such a request, IIT Guwahati may at its discretion, extend the period of mobilization and shall recover from the contractor, as an ascertained and agreed Liquidated Damages, a sum equivalent to ½ % of annual contract value, for each week of delay or part thereof, subject to a maximum of 10% of the annual contract value. (d) The parties agree that the sum specified above is not a penalty but a genuine pre-estimate of the loss/damage which will be suffered by IIT Guwahati on account of delay on the part of the vendor and the said amount will be payable without proof of actual loss or damage caused by such delay. (e) LD will be calculated on the basis of annual contract value excluding duties and taxes, where such duties/taxes have been shown separately in the contract. 07. Genuine Pricing: Vendor is to ensure that quoted price is not more than the price offered to any other customer in India to whom this particular item has been sold, particularly to IIT/Institutes and other Government Organization. 3 Conditional tenders not acceptable: All the terms and conditions mentioned herein must be strictly adhered to by all the vendors. Conditional tenders shall not be accepted on any ground and shall be rejected straightway. Printed conditions mentioned in the tender bids submitted by vendors will not be binding on IITG. 09. VAT/CST/Service Tax: (a) Up-to-date Sales Tax clearance certificate, CST/VAT Registration Certificate indicating also the TIN number of the firm must be clearly mentioned in the quotation. For exemption from paying Octroi duty, wherever required, the Institute shall issue necessary certificates. (b) Concessional Form C & D is not applicable to us. (c) VAT Deduction at source: In case of supplier within Assam, VAT deduction at source, as per Order/ notification of the Govt. of Assam will be applicable. 10. Late and delayed tender: Late and delayed tender will not be considered. In case any unscheduled holiday occurs on the prescribed closing/opening date the next working day shall be the prescribed date of closing/opening. 11. Payment: Only 50% advance would be paid after acceptance of order against proforma invoice. 12. Enquiry during the course of evaluation not allowed: No enquiry shall be made by the bidder(s) during the course of evaluation of the tender till final decision is conveyed to the successful bidder(s). However, the Purchase Committee or its authorized representative (IIT Guwahati) can make any enquiry/seek clarification from the bidders. In such a situation, the agency shall extend full co-operation. The bidders may also be asked to arrange demonstration of the offered items, in a short period notice, as such the bidders have to be ready for the same. 13. The acceptance of the quotation will rest solely with the Director, IITG, who in the interest of the Institute is not bound to accept the lowest quotation and reserves the right to himself to reject or partially accept any or all the quotations received without assigning any reasons. 14. Force Majeure: If the performance of the obligation of either party is rendered commercially impossible by any of the events hereafter mentioned that party shall be under no obligation to perform the agreement under order after giving notice of 15 days from the date of such an event in writing to the other party, and the events referred to are as follows: I) any law, statute or ordinance, order action or regulations of the Government of India, II) Any kind of natural disaster, and III) Strikes acts of the Public enemy, war, insurrections, riots, lockouts, sabotage. 15. Termination for default: Default is said to have occurred (a) If the supplier fails to deliver any or all of the services within the time period(s) specified in the purchase order or any extension thereof granted by IIT. (b) If the supplier fails to perform any other obligation(s) under the contract. (c) Under the above circumstances IIT may terminate the contract / purchase order in whole or in part and forfeit the EMD/PBG as applicable. In addition to above, IIT may at its discretion also take the following actions: IIT may procure, upon such terms and in such manner, as it deems appropriate, goods similar to the undelivered items/products and the defaulting supplier shall be liable to compensate IIT for any extra expenditure involved towards goods and services obtained. 16. Applicable Law: (a) The contract shall be governed by the laws and procedures established by Govt. of India and subject to exclusive jurisdiction of Competent Court and Forum in Guwahati or India only. 4 -4- (b) Any dispute arising out of this purchase shall be referred to the Director IIT Guwahati, and if either of the parties hereto is dissatisfied with the decision, the dispute shall be referred to the decision of an Arbitrator, who should be acceptable to both the parties, to be appointed by the Director of the Institute. The decision of such Arbitrator shall be final and binding on both the parties. 17. ZERO DEVIATION Bidder is advised to quote strictly as per terms and conditions of tender document and not to stipulate any deviation/exceptions. This is a zero deviation tender. Bidder to note that taking deviation to following clauses of tender document lead to rejection of their bids: (a) Firm Price, (b) Scope of Work (c) Specifications (d) Price Schedule (e) Delivery/Completion Schedule (f) Performance Bank Guarantee/Security Deposit (g)arbitration/resolution of Dispute (h) Force Majeure (i) Validity of bids (j) Payment Terms (k)applicable Law (l)any other condition specifically mentioned in the tender documents elsewhere that non-compliance of the clause lead to rejection. 18. GENERAL Bidder shall give an undertaking on their letter head that the content of the bidding document have not been altered or modified. No extension in the bid due date/time shall be considered on account of delay in receipt of any document.
