Dear Sirs, 1.0 We, the undersigned Bidder, have read and examined in detail the specifications and bidding documents of Tower Package (Package-A3) for 400 kv D/C (Quad Bundle) Karcham Wangtoo Abdullapur Line Part III associated with Karcham Wangtoo HEP Transmission System. and hereby propose to supply the goods/ equipment/materials and provide the services/execute civil works for the subject package as set forth in the specification and documents. 2.0 PRICES AND VALIDITY 2.1 All prices and other terms and conditions of this proposal are valid for a period of six (6) calendar months from the date of opening of the bids. We further declare that prices stated in our proposal are in accordance with your "Instruction to Bidders" included in the Conditions of Contract, Volume-I of bidding documents. 2.2 We do hereby confirm that our lumpsum Bid price quoted in attached price schedules include all the import duties and levies including license fees law fully payable by us on imported items and other taxes, duties and levies applicable on bought-out components, materials, equipment and other items and confirm that any such taxes, duties and levies additionally payable shall be to our account. We further confirm that no taxes and duties (except Octroi/entry tax) shall be payable by Owner for bought-out items which are dispatched by our sub-supplier directly to the project site on sale-in-transit basis. We understand that we shall be provided necessary concessional sales tax declaration form, as concessional sales tax has been included in our bid price for such sale-in-transit transactions. Octroi/entry tax as applicable for destination site/state on bought-out finished items, which shall be dispatched directly from our sub-vendor's works to Owner's site (sale-in-transit) are not included in the bid price and the same has been indicated separately in attached price schedules. We understand that the applicable Octroi/entry tax in respect of such items of supply would also be reimbursed to us by the Owner subject to furnishing of documentary proof.

2 Page 2 of We confirm that our prices also include the Sales Tax on Works Contract, Turnover Tax or any other similar taxes under the Sales Tax Act and Services Tax & surcharge/cess on it as applicable. We further confirm that Owner would not bear any liability on this account. 2.4 All taxes and duties such as excise duty, sales-tax (but not surcharge in lieu of sales-tax) octroi duty/entry tax, local taxes, and other levies, if any, applicable solely on the transactions between the Owner and ourselves shall be to Owner's account and the same are not included in our bid price and are separately indicated in attached price schedule. 2.5 We further declare that while quoting the ex-works price, the due credit under CENVAT scheme as per relevant Government policies wherever applicable, have been taken into account. 2.6 We have studied clause 6.0 of Special Conditions of Contract, Vol.-IA relating to Tax and we hereby declare that if any income tax, surcharge on income tax or any other corporate tax is attracted under the law, we agree to pay the same. 3.0 CONSTRUCTION OF THE CONTRACT 3.1 We declare that we are making this offer on the basis of divisible Supply-cum- Erection Contract on a single source responsibility basis. The supply portion of the Contract will relate to the Supply of equipment and material and the Erection portion will relate to transportation, storage, insurance, erection, stringing, testing and commissioning etc. as specified in the bidding documents. However, we have no objection in case Owner decides to split the above mentioned package into two separate Contracts one Contract for Supply of all equipment on Ex-works basis and second Contract for all services such as transportation, insurance, handling at site, storage, insurance, installation, testing and commissioning etc of equipment/material as specified in the bidding documents. We hereby declare that the award of two separate Contracts, will not, in any way, dilute our responsibility for successful completion of work and fulfillment of all obligations as per Bidding Documents and that both the Contracts will have a cross-fall breach clause i.e. a breach in one Contract will automatically be considered as a breach of the other Contract which will confer on the Owner the right to terminate the other Contract at our risk and cost and/or recover damages under any or both the Contracts. 4.0 BID GUARANTEE We have enclosed a Bid Guarantee, in the form of... The relevant data for price adjustment are detailed out in Schedule-6(A3). 7.0 QUALIFICATION DATA We confirm having submitted the Qualification Data in two Copies, as required by you in your 'Instruction to Bidders' included in Conditions of Contract and the Special Conditions of Contract, in a separate envelope alongwith this Bid. Further we have filled in the information for qualification requirements in Schedule-9(A3). In case you require any further information in this regard, we agree to furnish the same. 8.0 ADDITIONAL INFORMATION In addition to the information called for in these proposal sheets, we have included with this proposal additional information as listed separately in Schedule-10(A3). 9.0 BOUGHT-OUT ITEMS We have furnished the details of all the items/sub-assemblies, which we propose to buy for the purpose of making supplies under the subject package as per the specifications, in Schedule-11(A3) WORK SCHEDULE If this proposal is accepted by you, we agree to complete the entire scope of work as per the bidding documents, in accordance with Schedules indicated in the proposal. We fully understand that the work completion schedule stipulated in this proposal is the essence of the Contract, if awarded. The completion schedule of the various major key phases of the work is indicated in Schedule-12(A3) INFORMATION REGARDING EX-EMPLOYEES OF POWERGRID

5 Page 5 of 6 We have furnished the details of Ex-employees of POWERGRID, who had retired/resigned at the level of General Manager and above from POWERGRID and subsequently have been employed by us, in Schedule-13(A3) CHECK LIST We have included a check list duly filled in Schedule-14(A3) CONTRACT PERFORMANCE GUARANTEE 13.1 We agree that if our proposal is accepted we shall provide a Contract Performance Guarantee of value equivalent to ten percent (10%) of the total Contract Price valid upto end of 90 days after the end of the contract warranty period in the form of Bank Guarantees in your favour, as per the provisions of bidding documents and enter into a formal agreement with you, within thirty (30) days from the date of issue of Letter of Award of Contract * We understand that not more than one (1) manufacturer is permitted for supply of tower parts under the package and confirm that we have participated in the bidding for the subject package proposing supply of tower parts from the following manufacturer: i).. We further confirm that a Joint Deed of undertaking as per format given at Annexure-C of SCC, alongwith the aforesaid manufacturer to guarantee quality & timely supply of tower parts is enclosed with the bid. We also confirm that, in addition to 10% Contract Performance Guarantee to be submitted by us as per para 13.1 of this proposal, a performance guarantee of 5% of the cost of such tower parts from the aforesaid manufacture shall be furnished. (* applicable only if supply of tower parts is proposed from the manufacturer other than the bidder himself) BID PRICE We declare that the following are our lumpsum price for the equipment and the works specified in your bidding documents. The price is for the entire scope of the works as specified in the specifications and documents. Lumpsum Price: Rupees.(In figures & In words) (as indicated at para A of attached Schedule -1(A3)) 15.0 We, hereby, declare that only the persons or firms interested in this proposal as principals are named herein and that no company, persons or firms other than herein mentioned have any interest in this proposal or in the Contract to be entered into, if we are awarded the Contract, and this proposal is made without any connection with any other persons, firm or party likewise submitting a proposal and that this proposal is in all respect for and in good faith, without collusion or fraud.
