This special terms and conditions is also a part of General Conditions of the tender. 2. The tenderer should study the entire tender document carefully and understand the conditions before quoting. If there are any doubts, he should obtain clarification but this shall not be a justification for late submission or extension of opening date / time of the tenders. 3. The tenderer should quote for all items in the tender schedule. The rate should be expressed both in figures and words. Wherever discrepancy exists between the two the rate expressed in words will prevail. 4. The rates quoted by the tenderer should be inclusive of all taxes, levies, P &F fees etc other than service tax & vat. BPCL will not pay any amount towards other taxes, levies, octroi, fees and the successful tenderer will have to adhere to all Govt rules & regulations etc. 5. In case it becomes necessary for the Corporation to temporarily suspend or postpone the tender partly or fully due to unforeseen circumstances, the Corporation shall not be liable for any compensation, on account of resultant losses. 6. Conditional and /or incomplete tenders are liable to be rejected. 7. BPCL reserves the right to reject any or all the tenders without assigning any reasons therefore. 8. You are required to submit the Tender document copy duly stamped and signed on all the pages by the authorized signatory of the agency. 9. You shall be required to enter into an agreement with us if the job is awarded to your agency at the time of placement of the personnel. Page 1 of 12

2 10. Your bid must be placed on the system on or before by 15:00 hrs. 11. Period of contract shall be one-year and can be extended for one more year on mutual agreement. 12. The Successful tenderer shall be responsible for, and shall pay any compensation to their employee s payable under the WORKMEN COMPENSATION ACT and the amendments thereto, for the injuries caused to workmen. Successful tenderer shall also be responsible for and pay the expenses for providing medical treatment to any of their employees who may suffer bodily injury as a result of any accident. 13. You will provide SURVEILLANCE AND CARE TAKING SERVICES for the Solpaur LPG Plant at At Chincholi(Kati), Post Sawaleswar Tal Mohol Dist Solapur and at Bhima Apartment Near Employment Square, Railway Lines Solapur ,Solapur. Since the services are to be provided on round the clock basis, normally in our view 01 No. Security Supervisor, 22 Nos Unarmed Security Guards and 3 nos. of unarmed security guard at BPCL housing complex required. Security Guards should be deployed uniformly so as to provide complete surveillance and security covers to the Plant & staff Qtr. round the clock. However, the aforesaid manpower requirement can be increased / decreased at the sole discretion of the Corporation. You will be fully responsible for the safety and security of the premises of BPCL Solpaur LPG Plant at At Chincholi(Kati), Post Sawaleswar Tal Mohol Dist Solapur and at BPCL housing complex, Solapur. 14. All the Security personnel deployed by you should be ex-serviceman as per the norms laid-down by Directorate General of Resettlement, Ministry of Defense. It will be your responsibility to ensure that the personnel always render proper and alert duty and are in proper uniform. 15. All the security guards shall be fully trained in firefighting operation, DG operation. We shall give the firefighting training before induction. The guards shall be taken on the duty only after satisfactory completion of training. No untrained guard shall be taken on duty. In addition, all the Security Guards would be given fire-fighting training on regular periods. In this connection, you have to maintain a register of their training particulars carried out from time to time. 16. Contract will be for the period of one year from one from the date of agreement, which can be extended for one more year on BPCL s option, subject to satisfactory performance, on the same rates, terms & conditions. Quoted rates will remain firm during this period. 17. Security guards to be paid wages as per DGR promulgated wages structure as revised time to time. Rates quoted should at least cover the cost of deployment of required manpower, which in any case, cannot be less than the rates periodically Page 2 of 12

3 stipulated by the State Govt. under the Minimum Wages Act. Provision for escalation in the Minimum Wages as per Govt. notification, would be considered. 18. Payment for services rendered would be made on monthly basis on production of bills with necessary supporting such as duly certified Attendance details of manpower deployed, issued by your site Supervisor, proof of ESI / EPF deposit s stamped receipts made etc. 19. Payment will be made on monthly basis, by A/c Payee Cheque or NEFT within 15 days from the receipt of bill and the recovery if any, shall be affected from your bills payable. The payment for the services shall be made upon disbursement of the wages to the staff engaged by you for the previous month duly witnessed by a company official at our premises after proof of effecting statutory benefits. 20. TDS, WCT as applicable from time to time (Prevailing rate of IT at source shall be deducted while releasing the payment. 21. The successful tenderer will accept full and exclusive liability for the Wages, PF, ESIC, Medical, Bonus, Gratuity, Leave, staff welfare, uniform, winter cloth & rain wear etc. for the personnel deployed by you and any other obligations referred under the law now and thereafter imposed by the Govt./Local bodies/dgr. 22. The successful tenderer shall deploy the manpower as follows. a) One Supervisor and Twnety Two(22) Unarmed Security Guards at Solapur LPG plant b) Three (3 ) Unarmed Guards at Staff Qtr. Solapur 23. The bidders shall be quoting as per DGR rates only and as per the latest revised rated of DGR w.e.f The parties quoting less than that will be rejected in the price bid evaluation itself. It is to be noted that parties quoting less than DGR revised amount will be rejected without any prior intimation. 24. The successful tenderer shall be providing the surveillance and vigilance of the plant/territory round the clock at our premises in three shifts each of eight hours starting from 08:00 HRS in the morning. 25. Shift timing could be changed by the corporation if required so. The timing of security will be match accordingly so that it should not coincide with Company staff timing. However the aforesaid manpower requirement can be increased/decreased at the sole discretion of the corporation. The successful tenderer will be fully responsible for the safety and security of Solapur LPG Plant /Territory office with all its assets. Page 3 of 12

4 26. The successful tenderer shall comply with all acts, laws or other statutory rules, regulations, bye-laws applicable with regard to the performance of the work, included herein or touching this contract, but not limited to Minimum Wages Act, 1946, Industrial Disputes Act, 1947, Workmen Compensation Act, 1928, ESI Act, Provident Fund Act, and from time to time such steps as may be deemed necessary in this regard. You shall keep the Corporation indemnified against all penalties, claims and liabilities of every kind for any violations of such Acts, Laws and Regulations etc. by you or your employees deployed at the site. 27. All type of register, muster roll, employment card, and overtime register, distribution of wages slip, all other statutory requirement in regards of keeping records should be comply by the successful tenderer, Xerox copy of return file to LEO to be submitted at the office. 28. BPCL will have no liability whatsoever concerning the persons deployed by the successful tenderer for the purpose. You shall keep the Corporation indemnified against all losses, damages, liability, claims arising out of or imposed by actions of your employees deployed for rendering the services. 29. You shall submit a police verification report of the personnel you are intending to deploy for the subject job. 30. In case theft or loss of Corporation property takes place due to the negligence or carelessness of security personnel, the successful tenderer will be responsible and shall make good the loss after due assessment by the Corporation Officials. 31. If, at any time during the period of contract, it is observed by the Corporation or its authorized representative, that the services rendered by you and your personnel are not to the satisfaction of the Corporation or any terms of the contract are violated, Corporation reserves the right to terminate the contract without any notice. You can also terminate the contract after giving one month s prior notice. 32. If any of your deployed employees conduct any illegal / unlawful or undesirable act in the premises, keeping in mind the sensitivity of the location, we will terminate those personnel and the same would be reported to you immediately for you to take action including providing necessary replacement. 33. Supervisor Grade /status and all the Guard Grade must comply with the DGR guidelines. 34. All personal deployed for the job must wear neat & tidy uniform always. Page 4 of 12

5 35. All the staff shall be allowed a weekly off once in a week, Holidays and at all times the strength at our premises shall be always maintained as per requirement. 36. The bill must accompanied with all the documentary proof if there is any change in the VDA or basic or notice of revision as per the Govt.of India from time to time. if the same is not included the bill will not be entertained. 37. Additional Guards may be taken as and when required by the corporation with prior intimation to the successful tenderer and same is not committed to the corporation. 38. Provident fund no. should be mentioned separately. 39. The required training for carrying out the day to day job shall be imparted after deployment of the personnel 40. Once the job is awarded to the successful tenderer, party has to submit the PF challan copy of all the staff who is working for the subject job in the second month bill otherwise the payment will not be released. 41. Following clauses as per general conditions of our tender shall also be applicable : a) Sub-letting Contract. b) Smoking and Hot Work. c) Clerical errors to be rectified. d) Disputes. CHARTER OF DUTIES: To check identity of employees / visitors / vehicles and its crew entering the premises. Checking and keeping record of the incoming and outgoing materials based on gate passes. Checking/controlling/searching/frisking of staff engaged by various contractors at entry gates, as per policy of the management. The security guards should have thorough knowledge of operating fire-fighting equipment installed in the LPG Plant, as petroleum products are highly inflammable. To inform and assist in operating fire-fighting equipment kept in LPG Plant premises. To frisk/search all staff, visitors and vehicles entering the site for any explosives or objectionable material/item. To report any untoward incident. To check any pilferage of products and implement anti-theft measures. To maintain visitors and staff movement records, if desired by the management. Daily Physical checking of movable/immovable assets of the corporation, open yard area, green belt tank lorry parking area and fire fighting facility of the plant. And the Page 5 of 12

6 records of the same to be maintained and reported to the officer in-charge on daily basis. Daily verification/matching of cylinders physical inventory with the book /system stock. After the completion of plant operations at around 2300 hours, it is the duty of security guard of 2 nd shift to carry out daily matching of stock of cylinders with respect to physical stock present in plant premises & stock moved in/out of the plant during the entire day. The security guard of 2 nd shift should directly report to respective Planning officer of plant with his daily stock report & liaise with the planning officer for closing operations of the day. The security supervisor/guard should leave the plant premises only after daily physical checking of inventory is completed & approval for the same has been obtained from Planning Officer. In the event of not carrying out this activity, penalty of Rs. 1,000/- per such incident will be deducted from the salary of security guard of 2 nd shift. The corporation will be very strict on this compliance since stock matching of plant is of paramount importance to the corporation. Verification of cylinders stock with BPCL Officer once a month and report to be prepared and attached with the each monthly bill. The security personnel shall be well versed with computer operation to operate biometric and other computer packages. In case of any loss of cylinders, recovery as per prevailing rates & at present penal rate shall be made from the bills. Instruction given by the concerned officer should be obeyed and same should be communicated to all the guard. Reporting of supervisor on daily basis should be maintained to concerned officer. 7 At any point of time the Gate A, Gate B & Barrier gate should not be unmanned. Regular training shall be imparted as per DGR guide lines. The handing over & taking over of duties shall be done at the duty position only. Frisking to be carried out for all the guards by the incoming & out going security guards. Deployment of guards, positions and no. of guards per day required will be sole discretion of the company. The night surprise inspections for every month shall be carried out by the contractor and reports shall be submitted along with monthly bills. No payment shall be made without submission of night surprise inspection reports. The vendor is supposed to visit the plant premises on every fort night basis and shall review the preparedness of the security, documents, records, registers and health condition of the security personnel and shall comply all statutory requirements. The requirement of guards on any day, Sunday/holiday will be decided by the company. Health check ups shall be conducted for every six months for all the security personnel and reports shall be submitted. No sub contract shall be allowed under any circumstances. All guards shall be below the age of 55 and both physically & mentally fit. The contract period is valid for 1 year from to and can be extendable for 1 more year based on the sole discretion of the company upon satisfactory performance of the vendor. Adequate number of uniforms, safety shoe shall be provided to security staff and guards shall wear neat, clean washed and decent uniform all the times. To maintain the security vigil, no guard shall be allowed to do over time and suitable absent & leave cover to be maintained by the contractor. Overtime shall be paid as per applicable prevailing laws. Guards shall take constant rounds in plant, parking & around the compound wall and use security wand system. There will be penalty of Rs.500/- for instance of finding beedi/matches/liquor bottle at BPC plant premises, especially at parking and toilet premises. Proper Flow of Box Lorry and tank lorry to be ensure by Guard in order to avoid the dry out or for smooth operation of plant. Take plant rounds as per assigned schedule using security Wand system covering every area & touch point & submission of wand for report download on daily basis to concerned officer. Security wand of housing complex to be produced for report download on weekly basis. Page 7 of 12

8 SCOPE OF WORK 1. The firm shall be responsible for the providing surveillance and care taking Security services at the Solapur LPG Plant and Staff Qtr,Solapur. The services would be rendered on round the clock basis(in shifts of Eight hours), including all Sundays and Holidays 2. The firm shall be responsible for keeping vigilance inside the boundary of the said premises and in close proximity outside the boundary keeping in mind the sensitivity of the said premises. It would be responsible for carrying out the checking, frisking the visitors, staff of the company working in the establishment, staff of the contractor labor, and other workers, any vehicle and other movable equipment/ contraptions that enter or leave the premises. It shall check the out going material from the premises at the time of their entry and exit from the said premises. It shall check the out going material from the said premises and ensure that the same is taken out only with the required gate pass/prior permission of the concerned officials of the company. It shall also check the incoming material and ensure that the same is taken in only against Delivery Challans/Prior permissions of the concerned officials of the company. 3. The firm shall ensure that all safety measures enforced by corporation are being followed in plant premises by visitors, staff of company, contract labours & other workers & if any deviation observed shall be bring into knowledge of concerned officer immediately. 4. It shall screen the visitors entering the premises and not allow any visitor to enter the said premises without getting the entry made in the visitors register which is signed by him/her (Visitor) and after taking the prior permission of the officer he/she is visiting. 5. It shall maintain a detailed list of inventory, in the Inventory Register for all the assets, equipment s, items lying in the said premises, common area and such other open areas where the assets or consumables are stored temporarily or permanently. It shall observe handing over / taking over of such inventory at the time of shift changes and record the same in a Log-book & any difference observed in stock of movable/immovable assets of the corporation shall be bring to notice of concerned officer immediately. For lockable spaces, handing over / taking over of the locks in good working conditions, in locked condition shall be checked at the time of handing over. Detailed events / observations shall also be recorded in the said log book. 6. It shall open / lock the rooms in the common area (e.g. Offices, hall, canteen etc.), switch on / off and check the functioning of the common area lights, boundary lights and carry out any other related operation as per the norms framed out by the Company or its authorized representative Page 8 of 12

9 7. It shall maintain a key register and ensure that the keys of the facilities in common area and such other gates or lockable spaces provided under their supervision and control, are stored in safe custody by its personnel. It shall also ensure that details about the movement of such keys are properly recorded in the key register. 8. The Firm shall also ensure that its representatives/personnel deployed in the said premises shall wear proper I-card, name plate and clean uniform at all time so that they are identifiable by general public/visitors. The Company shall not be liable to pay for these uniforms and / or their maintenance thereof. 9. The Firm shall ensure practice of all the safety measures in vogue as on date and as evolved from time to time as per the Company s policy by its representatives deployed under this agreement. It shall introduce and implement anti-theft gadgets and check pilferage. In addition, the personnel deployed shall also carry Lathi (provided by Agency), Flame Proof Torch (Provided by corp.) etc. The Firm shall ensure that all the personnel deployed by the Firm are trained to handle fire-fighting operations 10. The strategic points where surveillance personnel are to be deployed would be discussed and decided by the Firm in consultation with the Company through its authorised representative and the Firm shall ensure that the required personnel are religiously deployed at those strategic points. If the need arises, these strategic points may be changed by the Firm, with prior approval of the Company through its authorised representative. 11. The Supervisor /Representative must visit once in a fortnight to staff Qtr. Solapur and guide as per the instruction /check all the required as desired / endorse the comments in register duly maintained. 12. The shift timing for the Guard posted at the Staff Qtr. Solapur will be from 800hrs a.m. to 1600hrs(Ist Shift),1600hrs to 2400hrs p.m.(iind Shift) and from 2400hrs to 800hrs a.m.(iiird Shift).Shift timing change will be sole discretion of the Corp.and can be change with proper intimation to the concerned supervisor/representative. 13. Please quote your lowest rates as per guidelines of DGR 14. Successful Contractor has to submit following details with 15 days of LOI on MANDATORY/COMPULSARY basis failing which company reserves right to FOREFIT EMD/security Deposit/reject tender: a. Number of Workmen employed b. Wages details of employed workers c. PF details of employed workers d. ESI/insurance details of employed workers e. Employment registration certificate f. Police Verification details of each workmen employed. Page 9 of 12

10 15. Contractor should maintain all the records required to be maintained as per statutory rules & regulations. The contractor as and when called for by the officer in charge shall produce these records. 16. If at any time during the period of the contract, it is observed by the Company through its authorized representative/s that the services rendered by the Contractor are not to the satisfaction of the Company or any of the terms of the Agreement is violated, the Company shall have the right to terminate the contract and in such circumstance the Agency would not have any right to any claim and/or damages or loss from the Company. The Contract can be terminated by either party by giving one month s notice. 17. TDS/WCT will be deducted as per prevailing rules and regulations. 18. All the quantities mentioned in the Tender are approximate and indicative and payment will be made for the actual work done. Corporation does not guarantee any minimum quantity under any category. 19. The company reserves the right to reject any one of the offers without assigning any reason. 20. The Contractor shall be responsible for the good conduct of his personal deployed for the job. It would be the responsibility of Contractor to check the character and antecedents of his personnel & submit Police verification to the office. The same shall be submitted to the officer incharge before commencement of tender contract. 21. Contractor has to follow all safety rules & regulations in vogue/as and when emended by BPCL. 22. The firm shall indemnify the company against the consequences arising out of its personnel s default or negligence or violations of the rules applicable to the place of work. 23. Contractor will indemnify the company, its officers and its employees against all claims, demands actions, proceedings, losses/damages caused, charges and expenses and all other liabilities of whatever nature made, brought against suffered and incurred by company by virtue of or as a result of non performance or non observance by contractor of any terms and conditions set out in this contract letter and be performed or observed by him. Contractor has to indemnify the company this his labours engaged for various jobs in the plant does not claim for the employment in BPCL. BPCL is not responsible for any of the claims arising out of the dispute between the contractor and his employees. 24. That the firm shall also accept and indemnify the company against any liability for payment of compensation arising under the Workmen compensation Act or otherwise which the company may be called upon to make good under the provisions of the said act or any other for the time being in force, to any such personnel of the firm on account of or any injury sustained of claim arising from permanent disablement of the personnel during the course of employment and also indemnify the company for any expenses incurred by the company in connection with any claim preferred by its personnel and/against all actions, Page 10 of 12

11 claims and demand whatsoever in respect thereof or in respect of any loss, injury or damage whatsoever to any third person caused by its personnel. 25. Contractor has to indemnify the company that, neither the contractor nor his representatives and labours/staff employed by him will be considered as the company s employees and will have no right to represent the company in any matter. The contractor will absolve the company of any responsibility in this respect and furnish a declaration to this effect from time to time. 26. Contract is supposed to visit the site before quoting for the job for acquaints him with the job schedule and available facilities at the location. If the Contractor does not visit the site, then it is presumed that contractor has visited the site and understood all the items of the job thoroughly. 27. The Contractor shall be liable to pay any damage or compensation for any death or injury caused to the contract labour(s) engaged by him as its representative(s) for rendering the services under this agreement, either under the Workmen s Compensation Act or any Act in force at that time. In case of deployment of contract labour(s) at any establishment which falls in an ESI nonnotified area, the Agency shall take a policy under the Employer s Liability Insurance Scheme offered by Oriental Insurance Co. Ltd. or National Insurance Co. Ltd. Or any other equivalent policy, for the personnel engaged by it. 28. The Contractor shall also be under obligation to deduct, contribute and deposit towards EPF and ESI contributions for all the contract labour (s) engaged by it. The Contractor shall submit proof of such deposition in the form of attested copies of Form 6A (EPF Annual return) by 30 th April of the year and Form 6 (ESI six-monthly returns) by 31 st May and 30 th November. The bill towards the job carried out during a month should be submitted along with proof of submission of challan towards EPF and ESI contributions for the previous month. Any short payment noticed during the course of the contract shall be made good by the Agency, and the Corporation reserves its right to deduct any such amount equivalent to such short payment from the security deposit, in case of failure on part of the Agency to make good the default. 29. The Contractor shall make regular and full payments of wages in accordance with the latest applicable Minimum Wages, and any other payments due to its contract labour(s), deployed under the aforesaid contract and furnish necessary proof for the same. Such payments are to be made by the 7 th of every month in the presence of an authorized representative of the Corporation, who shall witness such payment and record the same in the Wage Register to be maintained by the Agency, in accordance with provisions of Contract Labour (Regulation & Abolition) Act, The Contractor shall, on a monthly basis, also submit to the Management, attested copies of Attendance Register / Muster Roll and Wage Register, in respect of its contract labour(s) engaged at the establishment. 31. The Contractor shall comply with the provisions of applicable Acts and Rules such as CL(R&A) Act 1970 and EPF & ESI Act, Payment of Wages Act, Minimum Wages Act or other statutory Rules, regulation with their latest amendments, bye-laws applicable or which might become applicable at Page 11 of 12

12 Solapur/Maharashtra with regard to the performance of the work included in this contract from time to time and take such necessary steps as may be deemed necessary in this regard. The Contractor shall keep the Corporation indemnified against all penalties, claims and liabilities of every kind or any violation of such Act, laws or Regulations etc. by it or its contract labour (s). 32. All non registered vendors of Solapur LPG Plant shall submit DD of required amount as EMD fees to Solapur LPG plant before due date of Tender as per clause no. 13 of General Conditions Of Tender. EMD DD must reach to plant before opening date and time of tender. In case the required EMD does not reach our office, the tender application shall be cancelled on the same grounds based on the discretion of the officer in-charge. 33. The persons employed by the successful vendor should be of suitable age for brisk working and should have knowledge about the work inside the plant. No person above the age of 60 years or below 18 years shall be employed by the successful tenderer in the plant. 34. The terms & conditions as per enclosed General conditions of Tender will remain unchanged. 35. Payment terms- The payment shall be done on monthly basis- please refer standard payment terms in this regard as provided in General Terms & Conditions. Payment shall be done upon receipt of bill in the prescribed format only. 36.
