ARTICLE I: Sectin A: Name, Purpse, Pwers and Gegraphic Area Name The name f this rganizatin shall be the Orland/Central Flrida Chapter f the Natinal Assciatin f Residential Prperty Managers, Inc., hereinafter referred t as the Chapter. Sectin B: Purpse The purpses fr which the rganizatin is established are t: Establish a permanent trade assciatin in the residential prperty management industry in the Metrplitan Central Flrida area. T prmte a standard f business ethics, prfessinalism and fair practices amng its members. T establish and prmte educatin f its members. T prvide and prmte an exchange f ideas regarding residential prperty management. T educate and prmte legislative initiative in the Metrplitan Central Flrida area. Sectin C: Pwers The chapter may exercise all pwers granted t it as a crpratin rganized under the nn-prfit crpratin laws f the State f Flrida. The chapter shall be subject t all rules, regulatins, ethics, and standards and bylaws f the Natinal Assciatin f Residential Prperty Managers, Inc. Chapter bylaws shall nt cnflict with thse f the Natinal Assciatin f Residential Prperty Managers, Inc., hereinafter referred t as the Natinal Assciatin. ~ 1 ~

2 Sectin D: Gegraphic Area This chapter's gegraphical definitin shall be: Orange, Oscela, Seminle, Vlusia, Brevard, Sumter, and Lake Cunties in Central Flrida. ARTICLE II: Sectin A: Membership: Prfessinal, Assciate, Supprt Staff and Preferred Partner Prfessinal Member A Prfessinal Member shall be an individual actively engaged in the management f residential prperties as an agent fr thers. The individual must fllw his/her specific state regulatry licensing law regarding licensure in perfrming the duties f a prperty manager. This member has cmpleted a curse f instructin cvering the NARPM Cde f Ethics. A Prfessinal Member may als be an emplyee f a cmpany, r emplyee f a prperty wner, r emplyee f an investr, wh handles all aspects f residential prperty management. These individuals must cmply with state licensing laws, but d nt hld an active real estate license. Sectin B: Assciate Member An Assciate Member shall be an individual actively engaged in the management f residential prperties as an agent fr thers. The individual must fllw his/her specific state regulatry licensing law regarding licensure in perfrming the duties f a prperty manager. An Assciate Member cannt hld the RMP and/r MPM designatin r hld elective ffice. An Assciate Member may als be an emplyee f a cmpany, r emplyee f a prperty wner, r emplyee f an investr, wh handles all aspects f residential prperty management. These individuals must cmply with state licensing laws, but d nt hld an active real estate license. Sectin C: Supprt Staff Member A Supprt Staff Member shall be a persn acting in the rle f supprt in the ffice f a Prfessinal Member and the Supprt Staff Member must nt be acting in a capacity requiring licensure accrding t his/her state s regulatry licensing law. A Supprt Staff Member des nt vte r hld elective ffice. Sectin D: Preferred Partner A Preferred Partner shall be an individual r business entity, which prvides prducts, services r expertise t the residential prperty management industry. Requirements relating t acceptance as a Preferred Partner, suspensin f Preferred Partner ship shall be identical t thse specified fr members, except that Preferred Partners are nt eligible t vte; hwever, Preferred Partners can be a chairpersn and can serve in advisry psitins t the executive cmmittee r chairpersns r cmmittee members. A Preferred Partner des nt vte r hld elective ffice. The Chapter shall nt recgnize NARPM Natinal r Flrida State Affiliate Members as Preferred Partners f this Chapter. Sectin E: Applicatin Prcess Acceptance int membership: An applicant fr membership in a chapter shall first be a member f the ~ 2 ~

3 Natinal Assciatin. A member f the Natinal Assciatin may be a member f mre than ne chapter as lng as that member meets all requirements fr each chapter membership. New Members must cmplete the initial Cde f Ethics curse f instructin frm the Natinal Assciatin f Residential Prperty Managers t becme a Prfessinal Member. Vte: Vting member shall be eligible t vte in persn at the annual meeting f the chapter in which fficers are elected. Any member shall be eligible t vte at all meetings f sub- cmmittees upn which the member serves, if any. ARTICLE III: Sectin A: Suspensin, Terminatin Resignatin and Reinstatement f Membership Suspensin f Membership Suspensin f membership shall result in a member being unable t vte in chapter matters fr a perid f time designated by these r the Natinal Assciatin Bylaws r, where such discretin is authrized by the natinal assciatin, fr any ne f the fllwing reasns: Suspensin f membership: Suspensin f membership fr reasns stated in the Bylaws f the Natinal Assciatin. By ntificatin f the Natinal NARPM Bard f Directrs as a result f vilatins f the Cde f Ethics and Standards f Prfessinalism. Sectin B: Terminatin f Membership Membership shall be terminated fr reasns identified belw. Upn terminatin, a member shall lse all rights and interests in the chapter and the Natinal Assciatin. Resignatin: Any member, ther than Preferred Partner, may resign at any time by frwarding a letter stating such intent t the Orland / Central Flrida Chapter and the Natinal Assciatin, if applicable. The letter shall indicate the date n which the resignatin is effective. N refund f Chapter r Natinal Assciatin dues shall be made fr any reasn. Preferred Partner may resign at any time by frwarding a letter stating such intent t the Chapter. The letter shall indicate the date n which the resignatin is effective. N refund f Chapter r Natinal Assciatin dues shall be made fr any reasn. Failure t Pay Obligatins: Membership shall terminate autmatically when a member fails t pay annual Chapter dues within 75 days f the due date. Members may file a letter f appeal t the executive cmmittee shuld an extensin be needed t pay bligatin. Delinquency in Payments: Any member failing t pay sums due t the Natinal Assciatin within 30 calendar days f an invice due date, shall be cnsidered delinquent. Delinquency status shall remain in effect fr ne year, r until payment f bligatins is made in full, whichever ccurs first. Cde f Ethics Vilatin: By ntificatin frm the Natinal Assciatin t the Chapter Executive Cmmittee, f a vilatin(s) f the Cde f Ethics and Standards f Prfessinalism r fr nn-payment f natinal annual dues. ~ 3 ~

4 Sectin C: Reinstatement f Membership A frmer member still meeting all membership requirements shall be reinstated: Upn request, if such request is received during the calendar year during which a resignatin ccurred. Upn request, prvided that all financial indebtedness incurred has been paid and is current. After a waiting perid f ne calendar year frm the date f terminatin as a result f a presidential request r by an actin f the bard f directrs f the natinal assciatin. Upn request, thrugh the nrmal applicatin prcedures, if the resignatin ccurred beynd the current fiscal year. ARTICLE IV: Sectin A: Executive Cmmittee/Bard f Directrs Respnsibilities and Duties The Chapter Executive Cmmittee/Bard f Directrs, hereinafter knwn as the Cmmittee, shall have respnsibility fr the management f the Chapter and shall exercise all rights and pwers nt expressly reserved by these Bylaws r the Bylaws f the Natinal Assciatin. Such management respnsibilities shall include, but nt be limited t: Establishing and implementing an rganizatin framewrk fr the Chapter. Establishing new r mdifying existing perating rules that are nt incnsistent with these Bylaws, the Bylaws f the Natinal Assciatin r their intent. Changes t the Bylaws must be submitted t the Bard f Directrs f the Natinal Assciatin fr apprval. Establishing annual Chapter dues, applicatin fees and special assessments. Establishing new cmmittees and disslving existing cmmittees. Sectin B: The Executive Cmmittee All Chapter Executive Cmmittee members shuld faithfully attend all Chapter Executive Cmmittee meetings and regular Chapter meetings. Executive Cmmittee members can nly miss ne bard meeting per six mnth time perid and ne regular meeting per six mnth time perid, t be excused by the President. Missing mre than this amunt will require a simple majrity vte frm the remaining members f the Cmmittee t either excuse the absence r discuss remval f the bard member fr failure t faithfully attend all functins. The Executive Cmmittee shall be cmpsed f six (6) fficers as fllws: President: The President shall: Be the Chief Executive Officer f the Chapter. Preside at all meetings f the Chapter. Attend all Chapter Executive Cmmittee and regular Chapter meetings. Act as an alternate signatry fr funds withdrawn frm the Chapter accunt(s). Sign all legal dcuments. Undertake respnsibility fr such ther activities as deemed apprpriate by the Cmmittee. Shall ensure the cmpletin f all dcumentatin required by the Natinal Assciatin Annual Chapter Cmpliance Reprt. ~ 4 ~

5 Crdinate and prepare with the bard members the Chapter f Excellence Award checklist and applicatin t include supprting dcuments. Serve a term f ne year cmmencing with the beginning f the new calendar year. Participate in mandatry cnference calls held by the Natinal Reginal Vice President. Attend Leadership Training at Natinal Cnventin r Reginal Cnferences. Ntify Membership Chair f new members upn ntificatin frm Natinal ffice. Must be a Prfessinal Member f the Chapter. Must attend annual Bard Leadership Training ffered by the Natinal Assciatin f Residential Prperty Managers. (Required) President-Elect: The President-Elect shall: Be elected t a three-year term as an fficer (ne year as President-Elect, ne as President and ne as Past-President). Attend all Chapter Executive Cmmittee and regular chapter meetings. Act as an alternate signatry fr funds t be withdrawn frm the Chapter accunt(s). Fulfill the respnsibilities f the President during his/her absence. Undertake ther activities as are deemed apprpriate by the President. Replace the President at the end f the fiscal year. Autmatically accede t the presidency during a calendar year when the presidency becmes vacant. Serve a term f ne year cmmencing with the beginning f the calendar year. Crdinate chapter meeting venue, banquet event rders and equipment needed fr scheduled speakers and wrkshps, sign Banquet Event Order and verify with Cmmunicatins Chair and venue fr the number f expected attendees. Archive all needed dcuments fr Chapter f Excellence Award t pass n t incming President- Elect. Participate in mandatry cnference calls held by the Natinal Reginal Vice President. Attend Leadership Training at Natinal Cnventin r Reginal Cnferences Must be a Prfessinal Member f the Chapter. Ntify all Chapter members f upcming meetings Crdinate speakers and lecturers that are relevant t the residential industry fr Chapter meetings. Undertake respnsibility fr such ther activities as deemed apprpriate by the Cmmittee. Oversee the submissin f Chapter reprts including Chapter f Excellence submissin Must be back up fr attendance at annual Bard Leadership Training ffered by the Natinal Assciatin f Residential Prperty Managers, if the President is unable t attend (Required). Vice-President: The Vice-President shall: Attend all Chapter Executive Cmmittee and regular Chapter meetings. Seek ut and crdinate speakers and lecturers that are relevant t the residential industry fr at least five (5) Chapter meetings per year, submit planned speakers t executive Cmmittee fr apprval. Ntify Cmmunicatins Chair f speaker s bigraphies and tpic descriptin fr prmtinal purpses. Undertake respnsibility fr such ther activities as deemed apprpriate by the Cmmittee. Serve a term f ne year cmmencing with the beginning f the calendar year. Attend Leadership Training at Natinal Cnventin r Reginal Cnferences. Must be a Prfessinal Member f the Chapter. ~ 5 ~

6 Past President: The Past-President shall: Attend all chapter executive cmmittee and regular chapter meetings. Undertake respnsibilities as assigned by the President. Shall serve as Chairman f the Nminating Cmmittee. Fulfill the respnsibilities f the President during the absence f the President and President-Elect. Serve a term f ne year cmmencing with the beginning f the calendar year. Must be a prfessinal Member f the Chapter. Secretary: The Secretary shall: Attend all Chapter Executive Cmmittee and regular Chapter meetings Maintain current Chapter membership recrds t cincide with the Natinal Assciatin's membership database. Recrd, maintain and distribute minutes f all regular and special meetings f the Cmmittee as apprpriate. File all federal, state and lcal reprts, as needed. Undertake respnsibility fr such ther activities as deemed apprpriate by the Cmmittee. Serve a term f ne year cmmencing with the beginning f the calendar year. Crdinate raffles, prizes and dnatins fr meetings and charity events. Must be a Prfessinal Member f the Chapter. Treasurer: The Treasurer shall: Attend all Chapter Executive Cmmittee and regular Chapter meetings Be a signatry fr all funds withdrawn frm Chapter accunt(s). Distribute annual renewal ntices fr Chapter dues and special assessments. Depsit all funds int a federally insured financial institutin. Prepare a financial reprt fr the Cmmittee at each meeting and upn request. Prepare an end-f-fiscal year reprt fr the Natinal Assciatin. File all federal, state and lcal reprts, as needed, alng with tax and ther financial reprts with the apprpriate gvernment agencies. Undertake respnsibility fr ther such activities as deemed apprpriate by the Cmmittee. Serve a term f ne year cmmencing with the beginning f the calendar year. Retain in safe keeping the pst ffice bx key and retrieve mail frm the bx weekly. Prepare and submit applicatins fr chapter grants t Natinal. Must be a Prfessinal Member f the Chapter. ARTICLE V: Sectin A: Cmmittee Eligibility, Nminatins, Electins, Term f Office and Filling Vacancies Eligibility T be eligible t serve as a Chapter Officer, an individual shall be a member in gd standing with bth the Chapter and the Natinal Assciatin. Furthermre, the Chapter member must be willing t fulfill the duties f the ffice t which he/she is elected, including thse duties relating t the Natinal Assciatin. T be cnsidered fr the President r President Elect psitin, that candidate must have previusly served the Chapter n the Executive Cmmittee as either the President, President Elect, Vice President, Secretary, Treasurer. T be cnsidered fr the Vice President, Secretary r Treasurer psitin, that candidate must have served as a frmer Executive Cmmittee Member, Cmmittee Chairman fr ne year r Cmmittee Member fr at least 2 years. If there are n candidates that meet the qualifying criteria fr a psitin, the current Executive Cmmittee, by majrity vte, may grant an exceptin t the qualifying criteria f that candidate. ~ 6 ~

7 Sectin B: Ntificatin f Members and Nminatins Chapter members shall be ntified in writing, r electrnically by thrugh the Chapter system f the pending electin and nminatins slicited frm Chapter Members at least thirty (30) days prir t the date f the electin. Nminatins shall be dne in either f tw ways: Write-in: Any member wh writes in the name f a nminee shall prvide a signed letter frm the individual s nminated indicating the said individual's willingness t serve if elected and signed by five percent (5%) f the prfessinal Chapter members. Nminee will then need t submit a Cnsent t Serve frm t the presiding authrity fr an interview. Member Self Nminatin All members can submit their wn Cnsent t Serve frm t the Nminating Cmmittee t be interviewed and cnsidered fr each bard psitin. Sectin C: Electins Electins shall be cnducted n later than the September chapter meeting, r electrnically n later than the mnth f September, if apprved by the Chapter Executive Cmmittee, prir t the end f the calendar year. (Required) Presiding Authrity: The immediate Past President shall cnduct the electin. The immediate Past President can delegate the electral prcess t the President-Elect r any ther Past President Member prvided that member is nt a nminee. Nminating Cmmittee The immediate Past President shall serve as Chair f the Nminating Cmmittee and the President shall appint the ther tw members f the cmmittee. The slate f candidates and recmmendatin f the Nminating Cmmittee shall be Orland Central Flrida chapter Executive Cmmittee fr apprval t be n the ballt and then final slate f candidates will be presented t the membership fr final vte. Uncntested Offices: The Presiding Authrity shall identify t the Executive Cmmittee thse ffices fr which there is nly ne nminee. Upn a mtin t clse the nminatins fr such ffices, that nminee shall be cnsidered duly elected. Cntested Offices: In the case f cntested ffice(s), each ffice shall be dealt with thrugh a ballt presented t thse wh are in attendance at the Chapter meeting, r electrnically if apprved by the Chapter Executive Cmmittee. The nminee receiving a simple majrity shall be elected t the psitin. The Chapter shall nt allw nminatins frm the flr f the chapter meeting. If electrnic electins take place write-in candidates must be slicited. Write-in candidates shall be added t the slate if said candidates names are presented in writing t the Nminating Cmmittee thirty (30) days befre the electin, accmpanied by the signature f ten percent (10%) f the prfessinal members in gd standing recmmending the candidates fr a directr r fr an fficer psitin. Sectin D: Term f Office An fficer's term f ffice shall cmmence with the beginning f the Chapter s calendar year and cnclude at the end f the same year. ~ 7 ~

8 Sectin E: Vacancy An ffice shall be declared vacant when an fficer: Resigns that ffice thrugh written ntificatin t the President r the Secretary. Is n lnger eligible fr membership in the Chapter r the Natinal Assciatin. Is n lnger capable f fulfilling duties f the ffice invlved. Sectin F: Filling a Vacated Office In the event that the psitin f President is vacated, the President-Elect shall autmatically fill that psitin and shall cntinue t serve as bth President and President-Elect. In the case f ther fficers, a vacated ffice shall be filled when mre than three (3) calendar mnths remain befre the next electin at which the vacancy shall be filled. Prcedure: By an individual nminated and apprved by the executive cmmittee t fill the remaining year f term. At the next electin, the remainder f the term fr the ffice must be filled thrugh the nminatin prcess. ARTICLE VI: Meetings, Lcatins and Majrity Rules Sectin A: The Executive Cmmittee shall meet with the same frequency as the Chapter meetings, r at a time apprved by the Chapter Executive C mmittee, which must be n fewer than fur (4) meetings annually. (Required) Ntice f Regular Cmmittee Meeting: With the advice and cnsent f the President, the Secretary shall ntify all members f the Executive Cmmittee f the date, time and place by electrnic mail with a read receipt, t each member f the Cmmittee. Waiver f Ntice: Attendance by any member f the Executive Cmmittee at a regularly scheduled meeting at which date, time and place is established fr the next meeting shall cnstitute a waiver f ntice f the next regular meeting f the Cmmittee. Electrnic r Cnference Call Meetings: If apprved by the Chapter Executive Cmmittee, meeting can be held electrnically r by cnference call in rder t cnduct the business f the C hapter. Sectin B: Lcatin All meetings f the Chapter shall be held within the gegraphic definitin f the chapter. All meetings f the Executive Cmmittee shall be held within the gegraphic definitin f the Chapter unless therwise waived by all the members f the Executive Cmmittee. Annual meeting lcatin f the Chapter shall be apprved by the Executive Cmmittee. Sectin C: Qurum A majrity f the Executive Cmmittee fficers in attendance shall cnstitute a qurum. Qurum: A qurum t cnduct business by the members shall be 10% f the members eligible t vte at a regularly scheduled meeting. A Chapter event can be held withut a qurum, but n business can be cnducted. ~ 8 ~

9 Sectin D: Simple Majrity Vte All actins and decisins f the Executive Cmmittee shall be made fficial by simple majrity vte f the members present at any regular r special meeting f the Cmmittee, unless therwise precluded by law. ARTICLE VII: Sectin A: Cmmittees Appintment Except as therwise stated in these Bylaws r the Bylaws f the Natinal Assciatin, the Chairpersns and members f all sub-cmmittees shall be appinted by the President with the advice and cnsent f the Executive Cmmittee. Sectin B: Respnsibilities Cmmittees shall undertake such respnsibilities as are identified in these Bylaws r as may be assigned t them by the President with the advice and cnsent f the Executive Cmmittee. N cmmittee may take any actin n behalf f r representative f the Chapter, unless specifically authrized by the Executive C mmittee. Sectin C: Cmmittee Chairs Duties: Preferred Partner Chair: The Preferred Partner Chair shall: Slicit and welcme participatin f Preferred Partner members in the Chapter. Arrange fr Preferred Partner member sptlights at chapter meetings and in the Chapter newsletter. Crdinate annual Preferred Partner members dues structure and benefits package with apprval f the Cmmittee. Select the best quality Preferred Partner members fr beneficial relatinships with the C h a p t e r. Send membership renewal invices n later than Nvember 1 st each year. Ntify Executive Cmmittee f any Preferred Partner dues in arrears and remve frm prmtinal material as required. Ntify Cmmunicatins Chair f all new and prspective Preferred Partner members. Leverage Preferred Partner member benefits (i.e. Preferred Partner discunts, preference services t Chapter members). Attend all Chapter Bard Meetings. Must be a Prfessinal Member f the Chapter. Certificatin Chair: The Certificatin Chair shall: Prmte NARPM classes and designatins t members. Cnvey infrmatin abut the value and benefit f NARPM classes and prmte class attendance in the chapter area and at state, reginal and natinal events. Cnvey infrmatin abut the benefit f prfessinal designatins including CSS, RMP, MPM, CRMC. Crdinate and arrange fr NARPM classes cntinuing educatin credit, if pssible. Attend all Chapter Bard Meetings. Must be a Prfessinal Member f the Chapter. Cmmunicatins Chair: The Cmmunicatins Chair shall: Attend all Chapter Bard Meetings t assist with chapter events and planning f meetings with all members f the Bard. Assist President and the Bard with regular ntificatins t the Chapter members. ~ 9 ~

10 Crdinate with Marketing Chair t update Chapter website and all scial media, as applicable. Add all new members t the chapter list and the RegOnline database. Crdinate with all ther Chair persns t prmte the Chapter. Reprt t Chapter President and ther Bard members as President deems apprpriate. Must be a Prfessinal Member f the Chapter. Legislative Chair: The Legislative Chair shall: Be the fcal pint fr the Legislative related tpics and issues fr the Chapter. Keep abreast f lcal laws and rdinances and reprt t the Bard and the members n prpsals and legislatin that affects thse in prperty management rles. Be primarily cncerned with legislative develpments and changes that affect the lcal r reginal real estate market but shuld als be aware f sme similar issues and prpsals at the state and federal levels. Subscribe t and maintain a list f pertinent websites at varius levels f gvernment t share with Chapter members wh wish t becme mre aware and knwledgeable n varius legislative tpics. Develp relatinships with the lcal apartment assciatin(s) and Realtr Bard(s). Attend all Chapter Bard meetings. Must be a Prfessinal Member f the Chapter. Membership Chair: The Membership Chair shall: Maintain current Chapter membership recrds t cincide with the Natinal Assciatin s membership database at Review Natinal at-large members list, at least quarterly, fr Flrida at-large members that are lcated within the gegraphic area f the Orland / Central Flrida Chapter, infrm Natinal t add them t the Orland / Central Flrida Chapter list; then cntact said new member and welcme them t ur chapter. Ntify Cmmunicatins Chair f all new members and prspective members. Present reprt at Bard meeting f current membership in the C hapter. At Chapter Meetings: Intrduce all new members and first-time attendees and welcme them t the meeting and the C hapter. Prmte membership thrugh netwrking. Crdinate with Natinal HQ fr Member Applicatins available at each Chapter event. Assist prspective members with applicatin prcess, have prspect submit applicatin t Natinal HQ fr prcessing, fllw thrugh with new member and ensure they Natinal t be added t the Orland Chapter. Handle all membership related inquiries. Attend all Chapter Bard meetings. Must be a Prfessinal Member f the Chapter. Cmmunity Awareness Chair: The Cmmunity Awareness Chair shall: Lcate varius charity event pprtunities t present at the first scheduled Bard Meeting t participate thrughut the year and present t the Bard fr apprval. Upn the directin f the Bard; schedule the events with the applicable venues, ntify the Cmmunicatins Chair f the events, and track attendance f members. Attend all Chapter Bard meetings. Must be a Prfessinal Member f the Chapter. ~ 10 ~

11 Marketing Chair: The Marketing Chair shall: Prepare and publish a regularly scheduled newsletter fr distributin at Chapter meetings. Sectin C: Creatin and Disslutin The president, with the advice and cnsent f the executive cmmittee, shall have the authrity t create and disslve sub-cmmittees accrding t the needs f the chapter. ARTICLE VIII: Cde f Ethics & Standards f Prfessinalism Acknwledgment and Enfrcement As a cnditin f membership all Prfessinal Members f NARPM must cmplete a NARPM Cde f Ethics training nce within a fur-year perid, beginning January 1, 2012, and each fur-year perid thereafter. Each Prfessinal Member f the Assciatin is required t cmplete a NARPM apprved ethics training either in classrm r thrugh ther means as apprved by the Bard f Directrs f NARPM Natinal. Failure t satisfy this requirement will result in the prfessinal members reverting t an Assciate Member until curse is cmpleted. Be Unppsed t Applicatin: By receipt f the Chapter Charter, the Chapter des hereby frmally agree t nt take any legal actin(s) against the Natinal Assciatin, its Officer(s), Directr(s), Cmmittee Chairpersn(s), Cmmittee Member(s) r the Chapter, its Officer(s), Sub-Cmmittee Chairpersn(s) r Sub- Cmmittee member(s) fr any prescribed actin identified by these Bylaws r the Bylaws f the Natinal Assciatin taken fr the purpse f enfrcing the applicable Cde f Ethics and Standards f Prfessinalism. Sectin B: Enfrcement It is the duty f the President f the Chapter t reprt all vilatins t Natinal Assciatin's Cde f Ethics and Standards f Prfessinalism t the Natinal Assciatin's Grievance Cmmittee. ARTICLE IX: Sectin A: Financial Cnsideratins Calendar Year The chapter's financial year shall be a calendar year. Sectin B: Chapter Dues ~ 11 ~

12 The Chapter may charge annual and pr-rated dues, subject t apprval by the Natinal Assciatin, as utlined belw: Payable: Dues fr lcal chapters are payable n later than January 1 f each year. Nn-payment f Dues: Failure t pay the annual Chapter dues within thirty (30) days after the first day f the year shall result in autmatic terminatin f Chapter membership, unless there are extenuating circumstances. Member Dues: The amunt f the Chapter dues fr all members and each class f membership shall be established annually by the Bard f Directrs during the budgeting prcess. Affiliate/Preferred Partner dues: The amunt f lcal Chapter dues fr Preferred Partner dues shall be established annually by the Bard f Directrs during the budgeting prcess. The Chapter will charge dues t Natinal and Flrida State Affiliate members. Late Fees: Any payment received after the due date will be cnsidered late, and a late fee will be assessed. The Bard f Directrs must apprve any schedule f late fees r returned check fees during the budgeting prcess. Sectin C: Special Assessments Special Assessments may be established by the Executive Cmmittee and impsed upn its Chapter members and/r Preferred Partners fr a specific funding purpse. The purpse and amunt f any special assessment shall be annunced at a regular r special meeting f the Chapter prir t the impsitin f such an assessment. N mre than ne special assessment may be impsed in any calendar year. Sectin D: Budget The Treasurer, in cnjunctin with the Executive Cmmittee, shall prepare an itemized budget f incme and expenses fr each calendar year. The budget shall nt exceed the Chapter's ability t pay the same and shall be apprved by the Orland Executive Cmmittee r Bard f Directrs. Sectin E: Nn-Binding The Chapter shall nt have any authrity t financially bligate r bind the Natinal Assciatin f Residential Prperty Managers Inc., fr any reasn. ARTICLE X: Sectin A: Prpsals and Prcedures fr Amending Prpsals Amendments t these bylaws may be prpsed by any Chapter Member r Bard f Directr f the Natinal Assciatin f Residential Prperty Managers, Inc. at any time thrugh a letter addressed t the Executive Cmmittee and presented r mailed t the Secretary. Any prpsal shall be studied by the entire Executive Cmmittee r an Officer f the Executive Cmmittee r by a Sub-Cmmittee created and/r assigned fr that purpse, as appinted by the President. Sectin B: Prcedure fr Amending The entity assigned fr the purpse f reviewing prpsed Bylaw revisins shall present the prpsed amendment ~ 12 ~

13 t the Executive Cmmittee with its findings and prpsed recmmendatins f actins. A tw-thirds majrity f the Executive Cmmittee is necessary in rder t amend these B ylaws. Once apprved by the Chapter Executive Cmmittee, amendments shall be subject t apprval by the Bard f Directrs f the Natinal Assciatin prir t their implementatin r adptin by the Chapter and a final cpy f these Bylaws are t remain n file at Natinal s ffice. ARTICLE XI: Sectin A: Miscellaneus Invalidity The invalidity f any prvisin f these Bylaws shall nt impair r affect in any manner the validity, enfrceability r affect the remainder f these Bylaws. Sectin B: Waiver N prvisin f these Bylaws shall be deemed t have been abrgated r waived by reasn f any failure t enfrce the same, regardless f the number f vilatins r breaches which may have ccurred. Sectin C: Hld Harmless and Indemnify The Chapter shall hld harmless and indemnify members f the Executive Cmmittee, Officer(s), Sub-Cmmittee Chairpersn(s) and Sub-Cmmittee Members, as well as the Natinal Assciatin, its Bard f Directrs, Officers, Chairpersns and Cmmittee Members wh are acting within the scpe f their respnsibilities, duties r these Bylaws. Sectin D: State Laws These Bylaws may be amended t cnfrm and cmply with the laws, statues, rules and regulatins f the gverning bdies f lcal, cunty and/r state authrities that have jurisdictin. Shuld amendments t these Bylaws be required by Flrida state law, Chapter shall ntify the Natinal Assciatin f said amendments but n further actin will be required. Sectin E: Disslutin Shuld the membership vte by majrity t disslve the peratins f the Orland / Central Flrida Chapter, all remaining funds in the treasury will be sent t the Natinal Assciatin f Residential Prperty Managers. Sectin F: Sexual Harassment Any member f the Assciatin may be reprimanded, placed n prbatin, suspended r expelled fr harassment f an Assciatin emplyee r Assciatin Officer r Directr after a hearing in accrdance with the established prcedures f the Assciatin. As used in the Sectin, harassment means any verbal r physical cnduct including threatening r bscene language, unwelcme sexual advances, stalking, actins including strikes, shves, kicks, r ther similar physical cntact, r threats t d the same, r any ther cnduct with the purpse r effect f unreasnably interfering with an individual s wrk perfrmance by creating a hstile, intimidating r ffensive wrk envirnment. The decisin f the apprpriate disciplinary actin t be taken shall be made by the investigatry team cmprised f the President, and President-Elect and ne member f the Bard f Directrs selected by the highest-ranking fficer nt named in the cmplaint, upn cnsultatin with legal cunsel fr the Assciatin. If the cmplaint names the President, r President-Elect, they may nt participate in the prceedings and shall be replaced by the Immediate Past President r, alternatively, by anther member f the Bard f Directrs selected by the highest-ranking fficer nt named in the cmplaint. ~ 13 ~
