3 REQUEST FOR STATEMENTS OF QUALIFICATIONS OWNER S REPRESENTATIVE FOR THE KLAMATH RIVER RENEWAL CORPORATION S KLAMATH RIVER DAM REMOVAL PROJECT SECTION 1 - GENERAL INFORMATION 1.1 Intrductin The Klamath River Renewal Crpratin ( KRRC ) is sliciting Statements f Qualificatins (SOQs) frm interested and qualified cnsultants t serve n behalf f the KRRC as the Owner s Representative in cnnectin with (1) the decmmissining and remval f fur hydrelectric dams n the Klamath River; (2) permitting and regulatry assistance with the dam remval prcess; and (3) habitat restratin and mitigatin f adverse impacts (the Prject ). Respndents t this RFQ ( Respndents ) are invited t submit SOQs describing in detail their technical qualificatins t perfrm the requested services. The issuance f this RFQ is the first step in a tw-step prcurement prcess. Only thse cnsultants that respnd t this RFQ and are shrtlisted ( Shrtlisted Respndents ) by the selectin cmmittee in accrdance with the requirements f this RFQ will be issued a request fr prpsals (RFP) and invited t submit a prpsal in respnse t the RFP. Three r mre cnsultants are expected t be shrtlisted as eligible t participate in the RFP stage f this prcurement. The selected Owner Representative (including sub-cnsultants) will nt be eligible t participate in any capacity n the dam remval cntractr team ( Prject Cntractr ). 1.2 Backgrund The Prject invlves (1) the decmmissining and remval f the Irn Gate Dam, Cpc N. 1 Dam, Cpc N. 2 Dam, and J.C. Byle Dam (the Prject Facilities ), lcated n the Klamath River in Klamath Cunty, Oregn and Siskiyu Cunty, Califrnia; (2) permitting and regulatry assistance with remval f the Prject Facilities; and (3) assciated site remediatin and restratin and measures t avid r minimize adverse dwnstream impacts. See Figure 1 fr a map f the Prject Facilities and the Klamath Basin. The Prject Facilities were cnstructed between 1911 and 1962 and nne f the Prject Facilities were equipped with adequate fish ladders. As a result, anadrmus fish, primarily salmn, have been blcked frm accessing mre than 400 river miles in the upper Klamath Basin fr clse t a century. Remval f the Prject Facilities will significantly increase spawning habitat fr salmn, steelhead and ther affected species. Additinally, dam remval will make the water cler and therefre mre hspitable, especially during the key spawning perids, and imprve water quality by mitigating r eliminating the txic blue-green algae fund in reservirs due t the increase in mving water. The Prject Facilities are currently wned and perated by PacifiCrp KHSA and KRRC On April 6, 2016, PacifiCrp, the states f Oregn and Califrnia, U.S. Department f the Interir, U.S. Department f Cmmerce s Natinal Marine Fisheries Service, the Yurk Tribe, the Karuk Tribe, and ther entities signed the amended Klamath Hydrelectric Settlement Agreement (KHSA) t reslve disputes that arse in the FERC relicensing prceeding fr the Prject Facilities. The KHSA prvides fr the transfer and remval f the Prject Facilities and related Prject wrk, and called fr the creatin f the KRRC. The KRRC is a 501(c)(3) rganizatin frmed t versee the Prject. 1

4 1.2.2 FERC License Transfer and Surrender On September 23, 2016, PacifiCrp and the KRRC initiated a public regulatry prcess befre the Federal Energy Regulatry Cmmissin (FERC) under the Federal Pwer Act t start review f a plan fr dam remval. FERC gave public ntice n Nvember 10, 2016 f the filing by KRRC and Pacificrp f the FERC license transfer and surrender applicatins. The FERC prject number is P (Lwer Klamath Prject). Fllwing a public prcess and FERC apprval, PacifiCrp will transfer the license fr the Prject Facilities t KRRC and KRRC will versee the Prject. PacifiCrp will cntinue t perate the Prject Facilities until they are decmmissined. If apprved by FERC, dam remval is expected t begin in Figure 1 The Klamath Basin 2

5 1.3 Prject Backgrund Materials Backgrund materials fr the Prject can be accessed under the Resurces tab n KRRC s website at: SECTION 2- REQUESTED SERVICES 2.1 General The Owner s Representative will wrk under the directin f the KRRC bard, executive cmmittee and general manager in cnjunctin with cunsel and ther cnsultants and cntractrs retained by the KRRC. KRRC will make all strategic and plicy decisins cncerning the Prject. The Owner s Representative will assist the KRRC by prviding advice and assistance with three phases f the Prject: (1) Planning, Prcurement and Pre-design; (2) Prject Implementatin; and (3) Pst-Implementatin. The Owners Representative will act as the technical representative f the KRRC t ensure that the Prject is prcured in accrdance with KRRC bard plicy and cmpleted in accrdance with the Prject Agreement and related dcuments ( Cntract Dcuments ) within the established budget and schedule. The Owners Representative will prvide recmmendatins fr crrective actin when actual r ptential cnstraints t the schedule ccur r unexpected csts ccur. 2.2 Planning, Prcurement and Pre-design Phase The Owner s Representative s respnsibilities during this phase are expected t include assisting KRRC in: Develping a critical path schedule fr the Prject; Refining the estimated cst f the Prject; Develping the Prject budget including the affrdability ceiling; Develping the Definite Plan as described in Sectin 7.2.1A f KHSA; Making FERC submittals and respnding t infrmatin requests, in cnjunctin with KRRC s FERC cunsel; Cnducting getechnical, hydraulic, dam safety and envirnmental reviews; Managing the regulatry and permitting prcesses with all nn-ferc regulatry agencies, and prviding the necessary technical expertise t assist the KRRC in securing required permits; Crdinating with the Califrnia State Water Resurces Cntrl Bard, the Oregn Department f Envirnmental Quality and ther invlved state and federal agencies; Develping further Prject-related backgrund infrmatin, including: Dam cnditin assessments; Site surveys; Hazardus substances investigatins; Getechnical investigatins; Decmmissining requirements; 3

6 Develping and implementing frmal prcedures and prcesses t enable the KRRC t identify, assess and manage Prject risks; In cnjunctin with the KRRC management and legal teams, assist KRRC in: Establishing the final Prject definitin; Determining the apprpriate Prject delivery methd; Preparing a request fr qualificatins fr the Prject Cntractr; Evaluating the statements f qualificatins; Preparing a Request fr Prpsals fr the Prject Cntractr; Cnducting a pre-prpsal cnference and individual meetings; Evaluating Prpsals submitted by the shrtlisted Respndents; and Negtiating and finalizing the Prject Agreement. 2.3 Prject Implementatin Phase The Owner s Representative s respnsibilities during this phase are expected t include assisting KRRC in: Facilitating a kick ff/chartering meeting; Reviewing in-prgress design dcuments fr cmpleteness, feasibility, and cnstructability; Identifying and address any schedule r budget issues that result frm the design wrk; Participating in regular Prject prgress meetings; Reviewing Prject Cntractr submittals and make recmmendatins; Reviewing Prject related invices and payment applicatins and make recmmendatins t KRRC fr payment; Reslving Prject issues that arise during Prject design cmpletin; Prviding mnthly Prject status reprts that include updated cst and schedule reprts and that identify any current r ptential issues; Prviding n-site representatives t mnitr dam remval and habitat restratin and mitigatin; Ntifying KRRC if the wrk f the Prject Cntractr is nt being perfrmed in accrdance with the requirements f the Cntract Dcuments; Cnducting regular n-site meetings with the Prject Cntractr and ther team members including representatives f KRRC; Mnitring the maintenance f the cnstructin schedule and budget; Maintaining Prject cnstructin recrds; Prviding timely respnses t requests fr infrmatin frm the Prject Cntractr; Prviding timely respnse t Prject Cntractr requests fr change rders; Develping a punch list and mnitr implementatin and cmpletin f punch list items; 4

7 Prviding advice and assistance t KRRC in reslving cnstructin issues, claims and disputes; and Recmmending apprpriate levels f cntingency t carry during all phases f the Prject. 2.4 Pst-Implementatin Phase The Owner s Representative s respnsibilities during this phase are expected t include assisting the KRRC in: Managing the clse-ut f the Prject Agreement including cmpletin f final punch list items; Accmpanying representatives f KRRC n a final walk thrugh the dam remval and habitat restratin sites; Analyzing all claims fr extra cmpensatin made by the Prject Cntractr; Assisting in reslving claims that KRRC may have against the Prject Cntractr; Assisting with any legal prceedings; Prviding analysis f the cst f the cmpleted Prject; Finalizing recrd drawings; and Turning ver Prject recrds t KRRC. SECTION 3 PROCUREMENT PROCESS 3.1 RFQ and Qualificatins Submittal This RFQ is the first step in the prcurement prcess fr the selectin f the Owner s Representative. In rder t be eligible t submit a prpsal in respnse t the frthcming RFP ( Prpsal ), a respnse must be received t this RFQ, the Respndent must be shrtlisted by the KRRC s Selectin Cmmittee, and the Respndent must have received an RFP. Using the criteria established in Sectin 5, the KRRC s selectin cmmittee will evaluate the general and technical qualificatins f Respndents based n SOQs received in accrdance with Sectin 4, as well as clarificatins submitted by Respndents in respnse t KRRC requests, discussins with references, and analysis f ther publicly-available infrmatin. During the evaluatin f SOQs, the Owner shall have the right t seek clarificatin frm Respndents. The SOQ evaluatin prcess is further described in Sectins 4 and RFP and Prpsal Prcess During the secnd phase f the prcurement fr Owner s Representative, an RFP will be issued t each Shrtlisted Respndent. The RFP will specify the requirements fr submissin f the Prpser s Prject apprach, schedule recmmendatins, and rates fr prfessinal services. Details related t the Prpsal evaluatin prcess will be included in the RFP. SECTION 4 SUBMITTAL REQUIREMENTS 4.1 General Instructins Respndents must fllw the requirements stated in this RFQ. Adherence t these requirements will ensure a fair and bjective analysis f each SOQ. SOQs shuld prvide a 5

8 clear, cncise descriptin f the Respndent s capabilities t satisfy the requirements f this RFQ Submittal Date and Address Respndents t this RFQ must submit ten hardcpies and ne electrnic cpy (in the frm f a flash drive, cntaining a single Adbe Prtable Dcument Frmat (PDF) file) f the SOQ t the KRRC n r befre December 9, 2016 at 5:00 p.m. PST. SOQs received after this deadline will nt be cnsidered and will be returned unpened. The SOQ shall describe the qualificatins and relevant experience f the Respndent team, and any resurces that may be required t cmplete the tasks utlined in the SOQ. Sectin specifies the SOQ frmat and length requirements. Sectins thrugh describes the elements that each SOQ must cntain in rder t be deemed respnsive. SOQs that d nt meet these submittal requirements may be deemed t be nn-respnsive and may be rejected. Each SOQ will be evaluated n the basis f the cmpleteness f the submittal, the quality f the cntent and the verall qualificatins f the Respndent team SOQ Frmat and Length The submitted SOQ must be rganized in accrdance with the list f SOQ cntents utlined in Sectins thrugh and must nt exceed 25 pages f text, with a minimum fnt size f 10 pint fr the main text. The intrductry letter, which is nt included in the page cunt, shall nt exceed 2 pages. Any referenced resurces persnnel resumes nt t exceed tw pages each and supprting infrmatin shall be cntained in an appendix fllwing the SOQ main text and will nt be cunted in the page limitatin. All pertinent infrmatin shall be included in the bdy f the 6

9 SOQ as members f the KRRC s review cmmittee may nt review the infrmatin fund in the appendix. The SOQ may include frnt and back cvers and sectin dividers and these t will nt be included in the page cunt limitatin. The KRRC prefers straightfrward, cncise and cmplete SOQs that demnstrate the Respndent s understanding f the Prject and the capabilities f the Respndent team Intrductry Letter Key elements f the SOQ may be summarized in the intrductry letter. In additin, this part element f the SOQ shall include the fllwing:. The name f the Respndent and printed name, signature, title, telephne, fax and address f the fficer f the Respndent authrized t represent the Respndent in any crrespndence and negtiatins and execute all required dcuments; and The address f the primary ffice f the Respndent that will be prviding the Owner s Representative services. Included with this infrmatin shuld be name f the Respndent s prject manager fr this effrt and his r her cntact infrmatin (telephne, fax, ) Persnnel Qualificatins The SOQ shuld prvide infrmatin abut each member f the Respndent s Prject team, including relevant wrk experience, educatinal backgrund and training and ther demnstrated cmpetency that is relevant t the Prject, including: An rganizatin chart with the key Prject team members clearly identified and a descriptin f the rganizatinal structure that will be used t manage the Prject; Assurances that the Respndent s prject manager will be cntinuusly available t serve in that capacity fr the duratin f the Prject; Identificatin f ther key persnnel r sub-cnsultants that will prvide the Owner s Representative services; Infrmatin regarding the qualificatins, prfessinal registratins, certificatins and ther relevant experience f the key Prject team members and sub-cnsultants; Demnstrated relevant wrk experience, including perfrmance f similar services n similar prjects by Prject team members within the past five years; and Demnstrated ability f key Prject team members t prvide similar prfessinal services n time and within budget. The KRRC stresses the need fr cntinuity and fr this reasn it expects that n changes f key persnnel by the selected Owner s Representative team be made thrughut the duratin f the Prject. Changes r substitutin f key persnnel n the Respndent team after submissin f the SOQ will nt be permitted withut prir apprval by the KRRC Relevant Experience The SOQ shall include a brief prfessinal wrk histry f relevant prjects as it relates t the capabilities f the Respndent s firm, key Prject team members and any sub-cnsultants. Relevant prjects shuld include nly prjects that had significant input frm individuals wh will be assigned t wrk n this Prject. The fllwing shuld be addressed: 7

10 Describe relevant prjects by name, type, lcatin and date, perfrmed within the past five years that best characterize high level wrk quality and cst cntrl. Prvide detailed infrmatin n the type f prject wrk dne as utlined in the requested services f this RFQ. Include cntact infrmatin (name, rle n the referenced prject, phne number and address) fr each prject wrk reference. Identify the rles f key Prject team members wh were invlved in the reference prject and their specific wrk respnsibilities; Describe the Respndent s experience with alternative delivery methds; List the types and length f experience the Respndent s firm has with respect t design, dam remval, and versight with respect t hydrelectric facilities, including areas f expertise; Describe the Respndent s experience with crdinating permitting and regulatry prcesses fr similar prjects; Describe the Respndent s experience with habitat restratin and mitigatin f adverse impacts frm dam remval and similar prjects; and Prvide infrmatin n at least tw relevant prjects where the Respndents develped and implemented a creative/innvative slutin t accmplish their client s gals Ptential Cnflicts f Interest Respndents shall identify and discuss as apprpriate any ptential cnflicts f interest that may arise in perfrming the Owner s Representative services fr KRRC, including ptential cnflicts f interest with the State f Califrnia; the State f Oregn; Klamath Cunty, Oregn; Siskiyu Cunty, Califrnia; Pacificrp; and invlved federal agencies, including FERC and the U.S. Army Crps f Engineers. 4.3 Schedule fr Owner s Representative Sectin A summary f the anticipated schedule f the majr activities assciated with this Owner s Representative slicitatin prcess is presented belw. 11 4.4 Respnse Date T be cnsidered, SOQs must be delivered t the KRRC n r befre the date and time specified in Sectin 4.1 f this RFQ. Mailed SOQs shuld allw sufficient delivery time t ensure timely receipt f the SOQs. 4.5 Reimbursement The KRRC accepts n liability fr the csts and expenses incurred by the Respndents in respnding t this RFQ, respnses t clarificatin requests, and any ther activities included as part f this prcurement prcess. 4.6 Clarificatins The KRRC may cntact the Respndent fr any clarificatin that may be necessary t understand the SOQ. Any changes r clarificatins will be dcumented in writing. 4.7 SOQ Withdrawal Any SOQ may be withdrawn at any time befre the SOQ due date specified in Sectin 4.1 f this RFQ by prviding a written request fr the withdrawal f the SOQ t the KRRC. Withdrawal f a SOQ will nt prejudice the right f the Respndent t file a new SOQ. 4.8 KRRC Reserved Rights The KRRC expressly reserves the fllwing rights: T reject any r all f the SOQs r prtins theref; T waive any defect, irregularity, r technicality in the SOQs received; T cancel this RFQ in whle r in part at any time: Issue ne r mre amendments t this RFQ t extend the due date fr the SOQs r any ther reasn; r Take any ther actin affecting the RFQ prcess, the RFP prcess, r the Prject that wuld be in the best interests f the KRRC. SECTION 5- EVALUATION AND SELECTION PROCESS The SOQs will be evaluated with reference t the submittal requirements set frth in Sectin 4 f this RFQ. The submittals will be reviewed by a selectin cmmittee appinted by the KRRC s Bard f Directrs (the Selectin Cmmittee ). The selectin cmmittee will shrtlist the Respndents deemed t be the mst qualified t prvide the Owner s Representative services by the selectin cmmittee based n the evaluatin criteria set frth in this sectin. SECTION 6- ANTICIPATED PROJECT PROCUREMENT AND IMPLEMENTATION SCHEDULE The services f the Owner s Representative are expected t cmmence in the first quarter f 2017, and the planning, prcurement and pre-design phase is expected t cnclude with the executin f the Prject Agreement in the furth quarter f The Prject implementatin phase is expected t begin in early 2019, with dam remval cmpleted by the furth quarter f
