Deadline for Registration 28 January Registration Fee ees and Catalogue Entry 6.1 Registration fees An up-front registration fee of EURO 300,00 per main exhibitor, and EURO 200,00 per co-exhibitor is due and payable upon submission of application. The exhibitor will be invoiced for the corresponding amount. The registration fee includes a basic entry in the catalogue (max. 4 lines), consisting of exhibitor s name (in Latin and Cyrillic) and the full address. 6.2 Catalogue Entry Exhibitors will receive a form in due time to specify the basic entry, as well as additional entries. Prices for such additional entries will be given on such form. Co-exhibitors can be listed with additional entries as well. 6.3 Exhibitors will be fully responsible for the wording and its spelling, as well as for the selection of pictures they want to be entered in the official catalogue. Exhibitors wishing to use their standard insurance company have to submit prove of coverage to the organizers. Any waiver of individual company-specific or general services shall not give right to reduction of the participation fee. All fees are net, not including V.A.T. which may have to be paid separately. Any additional technical services required, e.g. power, security elements, water (where available), local labour etc., are provided exclusively by VF Messen GmbH at an additional charge and will have to be ordered using special order forms. Fees for additional stand construction services supplementary to those included in the package price, and any other order for services shall be charged according to VF Messen GmbH s price lists valid at the time of the event. The price list for such services will be mailed to exhibitors in due time. Should an exhibitor want to apply for additional build-up or dismantling time, or make use of his stand outside the official opening hours, he will be invoiced for this extra time by the organizers. For the pricing, please consult the exhibitor s manual issued in due time. All given prices are fixed prices and not negotiable. Should local laws or prescriptions of the hall owners lead to additional costs, the organizers reserve the right to adapt their service prices accordingly. 7.6 Taxation VAT (if applicable by German law) and any local taxes or fees required by local law will be invoiced separately. The organizers will inform exhibitors about such eventual taxes and fees at receiving such information Payments Exhibitors will effect all payments due to authorities and organizers without withholding of, deduction for or on account of any present or future taxes, duties, assessments or governmental charges of whatever nature imposed or levied by any governmental authority in connection with their taking part in this trade show. Should any exhibitor become obligated by law to make such withholding or deduction at source, he will pay VF Messen GmbH the full originally specified amounts in the agreed terms independently of any tax requirement or requests of any kind issued by local authorities. The exhibitors shall pay all taxes, deductions and withholdings not later than eight business days after receiving the corresponding instruction or invoice. Certificates of any such payments will have to be transmitted promptly to VF Messen GmbH for legal termination of the exhibitor s contract.

6 8. Application Applications must be submitted using the enclosed form, acknowledging these Conditions of Participation. The completed application form bearing a legally binding signature should be mailed to: VF Messen GmbH Neumarkter Strasse Munich, Germany info@future-mongolia.com Fax: The registration fees will be invoiced once the application has been received and the exhibitor has been foreseen to be accepted by the organizers. The contract becomes binding for both parties once the payment has arrived in the organizer s account. Exhibitor s conditions or provisos contained in applications are under no circumstances binding for the organizers. Requests for specific locations will neither be binding for the organizers. The organizers will assign the space to the exhibitors according to best knowledge and needs of the exhibition as a total. Not assigning the space as wished by the exhibitors does not give the exhibitors the right to cancel the signed contract. Particulars given by exhibitors shall be stored by automatic data processing and shall be made available to third parties involved in the organization of the trade show upon implementation of the contract. Applications shall be processed in the order of receipt. Any applications received after the registration deadline can only be considered if sufficient space is available. Any services to be performed by any service company will have to be ordered through VF Messen GmbH, having the exclusive right to nominate and contract service companies. Excluded from such role are stand constructers under the direct control of the exhibitors. Exhibitors are requested to submit details of such stand constructors to the organizers in order to avoid problems of admission. 9. Admission The organizers reserve the right to admit or reject applicants and exhibits. Exhibitors exposing exhibits fitting to title and remit of the fair are admitted. There is no legal right for admission. Any applicant having failed to meet his financial obligations towards VF Messen GmbH in previous fair participations or under this contract may be rejected or at a later stage excluded from the event. As stated under article 8 of these Conditions of Participation, the payment of the registration fee is the basis for the exhibitor s contract coming into effect. VF Messen GmbH shall be entitled to revoke any admission if such admission was based on misunderstandings, false information or if the preconditions for an admission do no longer apply. Should VF Messen GmbH be compelled to relocate or change individual stands, entrances, exits or aisles at a later point in time, this shall not give right to any claims. If the space allocated is no longer available due to reasons beyond organizers fault, the exhibitor shall be entitled to withdraw and to a refund of the participation fee. No right of claims for damages shall be created by such situation. Once admitted, the exhibitors have to fulfil all of their obligations towards VF Messen GmbH, even if the export from the origin country or the import into the hosting country of exhibits in whole or in parts will be rejected by any law, the exhibits fail to arrive in time or at all at the fair independently of any reason for this. Should any exhibitor fail to take over the allocated stand one day before the opening day, the organizers reserve the right to dispose of his surface. Exhibitor s obligations for full payment of the allocated stand surface remain in force. No refund shall be made in this case.

Terms of Payment 10.1 Registration fee and participation costs set forth in Items 6 and are due upon receipt of the corresponding invoices Invoices for additional, separately ordered services or deliveries are payable at the time of performance or on receipt of the invoice From 1 January 2006, a European Payments Council resolution requires all European banks to process all cross-border Euro payments, received within the European Union and the European Economic Area (EEA), with mandatory BIC (Bank Identifier Code - colloquially known as SWIFT code) and IBAN (International Bank Account Number) information. Remittances quoting the name of the event, exhibitor s name and invoice number, are payable into the account of VF Messen GmbH: Bank: Münchner Bank eg, München Kto SWIFT (BIC): GENODEF1M01 BLZ IBAN: DE For all outstanding liabilities, VF Messen GmbH may retain the stand equipment and products of the relevant exhibitor as security. Sec. 562a, sent. 2 of Germany s Civil Code (BGB) shall not apply. VF Messen GmbH shall not be liable for damage to and/or loss of goods to which a lien attaches If invoices are sent to a third party on exhibitor s instructions, the latter shall still remain debtor In case of default, interest shall be charged at a rate 8% above the current base rate according to Sec. 247 of Germany s Civil Code (BGB). Where terms of payment are not met, VF Messen GmbH shall be entitled to rescind the contract or otherwise dispose of the stand area. Item 11 of the Conditions of Participation shall apply Withdrawal or Non-Participation Exhibitors are entitled to withdraw their application prior to admission and before the set deadline for application free of charge. After such date but prior to admission, they shall forfeit any other advance payment made (No. 6). Following admission, the exhibitors are no longer entitled to withdraw the application or reduce the exhibition space. Both the participation fee and any other costs actually incurred must be paid. If the exhibitors fail to occupy the allocated stand surface and the organizers can re-rent such surface to a new applicant (allocation of such surface to another already contracted exhibitor is not considered as re-rental), the exhibitor shall pay 40% of the participation fee as well as any other costs actually incurred. The exhibitor reserves the right to furnish evidence that such requested payment is excessive. Withdrawal announced by exhibitors or any waiver of the allocated stand area shall only come to effect upon formal acceptance by VF Messen GmbH. VF Messen GmbH is entitled to rescind the contract in the case of current insolvency proceedings against the exhibitor s assets or where such proceeding is rejected by authorities due to insufficient value of assets. Exhibitors are in the obligation to immediately bring such proceeding to the knowledge of VF Messen GmbH.

8 12. Co-exhibitors and group stands Exhibitors are entitled to host companies in their assigned stand with the written consent of the organizers only. Such approval can be given by acceptance of main exhibitor s application mentioning such companies or by written approval on demand at a later stage. Once the organizers have invoiced the main exhibitor for the additional registration fee and have received the corresponding amount in their bank account, such companies are considered to be approved. They will have the status of co-exhibitors and will be entitled to exhibit own products and have own staff at the stand. The organizers reserve the right to reject companies as co-exhibitors if their products or services do not fit into the scope of the trade fair. The organizers will in case of any doubt consult with the applying exhibitors to clarify the situation. A rejection of a co-exhibitor by the organizers will not influence the contractual situation between main exhibitors and organizers. Without prior consent of the organizers, exhibitors are not permitted to sub-lease their allotted stand either fully or in part to third parties, whether payable or not. Products or companies other than those specified in the application form, or admitted separately by the organizers in writing at a later stage, will not be allowed on the stand. The organizers will exclusively treat with main exhibitors who will be held responsible for all costs of services or deliveries in favour of admitted subleasers, as well as for the strict fulfilment of all contractual obligations accepted by main exhibitors. The presence of non admitted co-exhibitors and sub-renters or products will give the organizers the right to cancel the main exhibitor s contract without further notice and to remove the exhibits at main exhibitor s cost. Such action undertaken will not give the exhibitors the right to claim for damages. Should a main exhibitor decide to have his stand operated by staff of the mother company and daughter companies, such daughter companies will not be considered to be co-exhibitors. Additionally represented companies are companies whose exhibits are shown under the name of and by the exhibitor. Manufacturers of equipment, machinery or other products which are necessary for the demonstration of exhibitor s products are not considered to be co-exhibitors or additionally represented companies. In accordance with the regulations of admission, co-exhibitors can be entered into the official fair catalogue with their full address provided the respective forms have been sent to the organizers in due time and all corresponding fees have been paid. The organizers can authorise group stands or national pavilions provided they are in line with the overall pattern of the fair. Such stand will have to nominate an authorized representative and make sure that all members of the group or pavilion will entirely respect the rules and regulations issued by VF Messen GmbH as stated in the contractual arrangement with the entity signing the exhibitor s contract. All exhibiting companies in a group stand or a national pavilion will be held solidary liable for all obligations toward the organizers. 13. Exhibits All exhibits must be listed on the application form giving an exact description. Any display of inflammable or pungent materials or of exhibits entailing noise requires a prior written consent of the organizers. Exhibits may not be removed during the course of the fair. The operation and demonstration of exhibits is governed by local laws. If local legal norms are not available the organizers will issue such regulations based on German norms. VF Messen GmbH can not be held responsible for questions of local legal requirements and local licenses, be it for the operation of exhibits, be it for quotas and sales procedures.

9 14. Technical l Guidelines The Technical Guidelines are a constituent part of these Conditions of Participation and must be adhered to. The Technical Guidelines shall be handed over to the exhibitor at the latest with the order form for services. 15. Fair Insurance and Exclusion of Liability All exhibitors must dispose of a third party liability insurance offering sufficient coverage to cover all damages that might occur to them. On demand the organizers can provide such insurance coverage to exhibitors. VF Messen GmbH has as well concluded a general insurance arrangement for the fair covering the usual insurable risks such as fire, burglary, theft, breakage, leakage and water damage, including the risks of transportation to and from the fairgrounds. On demand exhibitors can take out this insurance coverage at their own cost. A corresponding application form will be sent to exhibitors together with the service order forms. Exhibitors not making profit of this offer will have to sign a reverse form stating their own risk coverage (insurance company and details of coverage) and relieving the organizers from all liability should they be hit by any kind of accident or damage. For the joint coverage all damages incurred must be reported in writing to the police and to the insurance broker, as well as to the organizers within 24 hours. VF Messen GmbH is liable for financial losses and damage to property or assets only in the case of gross negligence. VF Messen GmbH accepts no duty to perform proper care with respect to exhibits and/or stand fittings. This exclusion is not limited by general security measures provided or by individually provided stand fitting. Exhibitors are liable for all damages caused to third parties as a result of his participating in the fair, including damages to exhibition hall and other buildings, fittings or installations on the fair grounds, especially the greens surrounding the open air exhibition space. The organizers can in no case be held liable for such damages. Claims addressed to exhibitors must be answered by exhibitor s insurance, whether he is insured individually or under the general agreement concluded by the organizers. 16. Circulars Once stand areas have been allocated, the organizers will issue circulars giving information on preparations for and the staging of the fair. Any consequences arising from disregarding these circulars shall be borne by the exhibitor Reservations Any rules and regulations of the host country or local contractual partner differing from these Conditions of Participation imposing additional restrictions to the exhibitors shall have precedence at all times. VF Messen GmbH shall not be liable for any resulting losses or other disadvantages for exhibitors. The organizers shall be entitled to postpone, curtail, extend or cancel the event and close some or all sections of the fair either temporarily or permanently where unforeseen circumstances beyond organizers control require such measures. Should it become necessary to do so, exhibitors shall not be entitled to withdraw from their contract or to claim compensation; should they nevertheless waive there right to the allocated stand area, Item 11 of these Conditions of Participation will apply. VF Messen GmbH shall not be liable for any losses sustained or disadvantages suffered by exhibitors as a result of such measures. Rather, exhibitors shall in such case be required to bear a reasonable share of the costs incurred to VF Messen GmbH in preparing for the event. Where exhibitors have placed orders with the organizers for services supplementary to

10 those covered by the participation fee (Item 7), they shall be billed for a contribution to the cost incurred up to this point in time. 18. Final Provisions In submitting the application, the exhibitor agrees to these Conditions of Participation. Any other agreements, individual permits or special arrangements shall require written form duly signed by both, exhibitors and organizers. Exhibition contract and Conditions of Participation shall be governed by the law of the Federal Republic of Germany. If any of those documents have been issued as well in German, the German wording shall be binding. The place of jurisdiction shall be Munich, Germany, or if so requested by the organizers, the legal seat of the exhibitor. Failing other arrangements subject to the prior consent of VF Messen GmbH, the place of performance for payments is Munich (Germany). Should any of the above terms be or become invalid, the validity of the remaining terms shall not be affected. The resulting gaps shall be filled with new valid terms coming as close as possible to the initial intention of the parties, maintaining the overall sense and purpose of the contract. Any claims of exhibitors against the organizers shall be barred after six months. The period of limitation shall commence with the end of the month in which the event closed. VF Messen GmbH 07.
