2 SECTION - I NOTICE INVITING EOI BRAC Bank Limited 1 Gulshan Avenue, Gulshan 1, Dhaka Requesting Office : Procurement Department, BRAC Bank Ltd. Annex 3, 6, Gulshan Avenue, Dhaka Date of Issue : EOI Document available from: Due Date & Time of Receipt of the EOI : COB On behalf of BRAC Bank Limited (BBL), sealed EOIs are invited for enlistment of Creative/Advertising Agency for creative and strategic directions, of BBL for a period of two years. 1. Creative/Advertising Agencies fully accredited with Bangladesh Broadcasting Authority (BTV as well as Bangladesh Betar) and having minimum annual Audited turnover of BDT. 10/- Crore (Taka Ten Crore) in Advertising for the last two years i.e. FY and as per audited statement of accounts. 2. The bidder must have experience of serving bank or financial institutions with a minimum annual turnover of more than BDT.500 crore during each of the last two years. 3. Intending bidders may obtain a copy of the EOI document containing the terms and conditions along with the relevant specifications from The EOI document shall be available from to The bidder is not supposed to change any clause in the EOI document downloaded from the website. However, the printed version of EOI Document available along with the amendments (if any) issued by BBL will be applicable to all the bidders. 4. 3 SECTION II A. INTRODUCTION INSTRUCTIONS TO THE BIDDERS 1. DEFINITIONS (a) Client means BRAC Bank (BBL), Head Office, 1 Gulshan Avenue, Gulshan 1, Dhaka (b) The Bidder means the Company which participates in the EOI and submits its bid. (c) BBL means BRAC Bank (d) The Agency means the company rendering the services under the contract. (e) The Services means all activities related to conduct & performance of contractual obligations under the contract. (f) The Letter of intent indicates the intention of BBL to enter in to an agreement with the company. (g) The Work Order/ Release Order means the order placed by BBL on the Agency signed by BBL including all attachments and appendices thereto and all documents incorporated by reference therein. The Work Order/ Release Order shall be deemed as Contract appearing in the document. (h) The Contract Price means the price payable to the Agency under the Work Order/ Release Order for the full and proper performance of its contractual obligations. (i) Acceptance is a process of accepting satisfactory services by BBL rendered by the Agency. 2. ELIGIBILITY CONDITIONS 2.1 The bidder must be a registered Bangladeshi Company under The Company Act, In such a case, a Certificate of Incorporation/ Article of Association should be submitted as a proof. A Consortium or a Joint Venture of a group of registered companies can also apply. In this case the certificate of registration of joint venture/ consortium must be submitted as a proof.

4 2.2 In case the bidder is a single registered company the annual turnover of the company should be a minimum of BDT. 10 Crore (Taka Ten Crore) during the last two years as per the audited Statements of Account. If the bidder is a consortium or a joint venture, the turnover of each of the members of the consortium or joint venture, as the case may be, should be a minimum of BDT 10 crore ( Taka Ten Crore) per year during each of the last two years i.e. FY and as per audited statement of accounts. If the audited statement for the year is not available, the Agency may submit the same for the FY , and The bidder should be fully accredited with Bangladesh Broadcasting Act and also accredited with Bangladesh Television and Bangladesh Betar. A copy of the certificate of accreditation must be submitted. 2.4 The bidder must have experience of serving bank or financial institutions with a minimum annual turnover of more than BDT.500 crore during each of the last two years. 2.5 The bidder should not have been barred by any government agency. The bidder has to give an undertaking to this effect. If the undertaking is found to be false at later date after the empanelment, the said empanelment is liable for termination with immediate effect without any notice. 2.6 The bidder should have a full-fledged office in Dhaka city to support timely service for the activities within the scope of the work. The bidder must submit the address of such office. 2.7 If the bidder is already serving any bank/financial institutions direct competition of BBL, they will have to give an undertaking that they will terminate the contract with any other Bank or financial institution soon after the issue of Letter of Intent by BBL and before the signing of the agreement. 3. COST OF BIDDING There is no cost to obtain this TOR or to participate in this EOI. The bidder shall bear all the costs associated with the preparation and submission of the EOI including any man-hour involved, presentation or logistics. BBL will, in no case, be responsible or liable for these costs, regardless of the conduct or outcome of the biding process.

5 SCETION III 4. SCOPE OF WORK 4.1 Creative /Advertising Agency Annual brand plan and necessary support for brand steering to ensure desired brand equity Communication/marketing solutions towards achieving business target through strategy, conceptualization and design (for all types of media like print/tv/radio/outdoor/web etc.) Coordinating with the media releasing agency for proper release Market Survey and analysis related to strategic position and creative work such as Pre ad release testing, Pre & Post campaign brand recall & impact analysis etc. SCETION IV 5. Content of the bid Your bid should contain the following information: Detailed working concept which allows BBL to examine the technical aspects with will include: 5.1 Technical Proposal Current market assessment Where does BBL brand stand today? Where should BBL brand go to? How to go there (way forward: campaign ideas and plan, creative designs, brand strategy.)? 5.2 Financial Proposal Remuneration/rates for creative solutions and brand management Agency commission for brand management.

6 SCETION V 6. SUBMISSION OF BIDS Interested agencies may submit the sealed bids in two separate envelopes as detailed below: 6.1 Sealed Envelope I, shall contain the bid in original duly super scribed as Expression of Interest for enlistment of Advertising Agencies Technical Proposal. Sealed Envelope II, scribed as Expression of Interest for enlistment of Advertising Agencies, Financial Proposal. 6.2 The name and address of the bidder should be mentioned on each envelope. EOI complete in all respects may be submitted to the Procurement Department, BRAC Bank Limited, Apartment No. D-3 (3 rd Floor), House No. 6, Block-SWH, Gulshan Avenue, Gulshan-1, Dhaka-1212 by COB EOI received after due date & time shall not be entertained. Bid submitted through Post or through Courier Service must reach on or before the due date and time. Any transit delay will be at the risk of the bidder. 6.3 Only shortlisted agencies may be invited for a presentation at mutually convenient date and time for the technical proposal. 6.4 BBL reserves the right to cancel any bid without assigning any reason. 6.5 BBL shall at its discretion, extend this deadline for submission of bids, in which case all rights and obligations of BBL and bidder previously subject to the deadline will thereafter be subjected to the deadline as extended. 6.6 Modification/withdrawal of the bid: Adjustments to or withdrawal of bids are to be communicated in writing by post by the deadline for submission of bids. Subsequent adjustments or modifications to the bid, which can be submitted up to the deadline for submission of bids, shall also be subject to the requirements for sending in the bid (section 6.2 herein).
