3 Customer BOUNCE A customer is a person who has enrolled on the Bounce app and has taken one or more paid rides.

4 Partner JULIA Driver Partner JOHN Non-Driver Partner A Partner can be a driver or a non-driver. Both are independent representatives of Bounce.

5 Partner Compensation Driver Partners earn compensation when they drive. Both driver and non-driver Partners will earn compensation on the rides taken by personally referred customers and on the rides provided by directly referred drivers. Both also can earn compensation on rides taken by customers referred by indirectly referred Partners and on rides provided by indirectly referred Partners. Driver Partners get paid weekly on the rides they provide. Partners also get paid monthly, on the 15th of each month, for the royalties and bonuses they earn from rides provided the previous month.

9 1 BASE FARE COMPENSATION

10 BASE FARE COMPENSATION As a new Bounce driver Partner, you start by earning 75% of base fares, but you can earn more. Base Fare is what is charged to customers for mileage and time. It excludes taxes, surcharges, tolls, and booking fees. Revenue from base fares 75% Driver Partner

12 ADDITIONAL BASE FARE COMPENSATION Would you like to earn more than 75% in Base Fare Compensation? Good. Bounce believes you should, too. We ve identified 10 achievements, each worthy of a raise in Base Fare Compensation. To earn the maximum, you don t need to meet every goal. You only need to accomplish 5 of them. Goal Achievement 1 You provide a total of 100 rides. 2 You provide a total of 200 rides. 3 You provide a total of 300 rides. 4 You provide a total of 400 rides. 5 You provide a total of 500 rides. 6 Your personally referred driver Partners in total provide 100 rides. 7 Your personally referred driver Partners in total provide 200 rides. 8 Your personally referred driver Partners in total provide 300 rides. 9 Your personally referred driver Partners in total provide 400 rides. 10 Your personally referred driver Partners in total provide 500 rides. After each goal is met, you will be paid 1% Additional Base Fare Compensation on your next rides. In all you can earn up to 5% in Additional Base Fare Compensation. This means together with your Base Fare Compensation and Additional Base Fare Compensation, you can earn up to 80% of base fares when you drive for Bounce.

20 Partner Network Alex, your1 st level down (DIRECT) (L1) ALEX YOU Your personally referred Partner Alex, refers Betty. Betty refers Charlie. Charlie refers Daniel. And Daniel refers Emma. Alex is your first level down (L1), Betty your second level down (L2), Charlie your third level down (L3), Daniel your fourth (L4) and Emma INDIREC CT Betty, your 2nd level down (L2) Charlie, your 3rd level down (L3) BETTY CHARLIE your fifth level down (L5). Betty, Charlie, Daniel and Emma are your indirect referrals. The Partner network is five levels deep starting with your L1, Alex, and ending with your L5, Emma. Alex, Betty, Charlie, Daniel, and Emma could be drivers or non-drivers. There is no limit to the number Daniel, your 4 th level down (L4) of Partners you can have in your Partner network. For example, you could have 15 Partners at L1, 5 at L2, 10 at L3, and so forth. DANIEL Emma, your 5 th level down (L5) EMMA Your network when you have one Partner each at levels 1, 2, 3, 4 and 5.

24 Partner YOU DRIVERS CUSTOMERS REFERRAL RO OYALTIES on L1 DRIVERS L1 L 1 CUSTOMER S on L1 All Bounce Partners earn 1% L1 royalties on the base fare compensation from rides provided by personally referred drivers and on the rides taken by personally referred customers. You do not need to be active to be paid as a Partner.

25 Bronze Partner When you have... REFERRAL RO OYALTIES 100 or more activity points in a month 100 or more rides provided by you and the drivers in your driver network OR 100 or more activity points in a month Active Bronze Partners earn base fare royalties on up to 3 levels of drivers providing rides, and on up to 3 levels of customers taking rides. 30 or more rides taken by your personally referred customers and by the customers referred by Partners in your Partner network...you ll be paid as a Bronze Partner.

26 Bronze Partner As a Bronze Partner, you will earn on your L1 REFERRAL RO OYALTIES on L1 on L2 DRIVERS L1 L2 YOU L1 L2 CUSTOMERS on L1 on L2 & L2 and 1/4% royalties on your L3 rides provided by drivers in your Partner network and on rides taken by customers referred by you and your Partner network. 27 Silver Partner When you have or more activity points in a month Active Silver Partners earn base fare REFERRAL RO OYALTIES 500 or more rides provided by you and the drivers in your driver network* OR 100 or more activity points in a month royalties on up to 4 levels of drivers providing rides, and on up to 4 levels of customers taking rides. 150 or more rides taken by your personally referred customers and by the customers referred by Partners in your Partner network* *A maximum 50% of this requirement can be met from any one leg of your referral network. A leg begins with a personally referred Partner and includes all directly & indirectly referred Partners and customers from your personally referred Partner....you ll be paid as a Silver Partner.

29 Gold Partner When you have or more activity points in a month Active Gold Partners earn base fare REFERRAL RO OYALTIES 1,500 or more rides provided by you and the drivers in your driver network* OR 100 or more activity points in a month royalties on up to 5 levels of drivers providing rides, and on up to 5 levels of customers taking rides. 450 or more rides taken by your personally referred customers and by the customers referred by Partners in your Partner network*...you ll be paid as a Gold Partner. *A maximum 50% of this requirement can be met from any one leg of your referral network. A leg begins with a personally referred Partner and includes all directly & indirectly referred Partners and customers from your personally referred Partner.

Active Platinum Partners earn base fare 100 or more activity points in a month royalties on up to 5 levels of drivers REFERRAL RO OYALTIES 5,000 or more rides provided by you and the drivers in your driver network* OR 100 or more activity points in a month providing rides, and on up to 5 levels of customers taking rides. At L3, the percentage doubles from 1/4% to 1/2% for Platinum Partners. 1,500 or more rides taken by your personally referred customers and by the customers referred by Partners in your Partner network* *A maximum 50% of this requirement can be met from any one leg of your referral network. A leg begins with a personally referred Partner and includes all directly & indirectly referred Partners and customers from your personally referred Partner....you ll be paid as a Platinum Partner.

Active Diamond Partners earn base fare REFERRAL RO OYALTIES 100 or more activity points in a month 20,000 or more rides provided by you and the drivers in your driver network* OR 100 or more activity points in a month royalties on up to 5 levels of drivers providing rides, and on up to 5 levels of customers taking rides. The royalty doubles from 1/4% to 1/2% at L4 & L5 for Diamond Partners. 6,000 or more rides taken by your personally referred customers and by the customers referred by Partners in your Partner network*...you ll be paid as a Diamond Partner. *A maximum 50% of this requirement can be met from any one leg of your referral network. 36 Partner 101 st Bonuses Network Providing 101 rides as a driver Partner is an accomplishment for celebration. Therefore, each month, Bounce reserves ½ % of the company s total base fare revenue from all Bounce driver Partners in a bonus pool to be shared with active and qualifying Partners As an active driver Partner, when you provide your 101 st ride, you will earn one share in this pool for that month. 1 Share Keep personally referring driver Partners who provide 101 or more rides. ½ % Total Base Fare Revenue There are 2 ways you can earn 101 st Ride Bonuses, when you are active. These bonuses are paid monthly. 2 1 Share BONUS POOL 101 ½ % of the total Base Fare collected by Bounce When each of your personally referred driver Partners provides his/her 101st ride, and you are active, you will earn one share in this pool that Share Value = Number of shares issued that month month.

38 Partner Every 20 Network New Customer Bonuses Bounce loves new customers. Keep personally referring new customers. Each month, Bounce reserves ½% of the company s total base fare revenue from all Bounce driver Partners in a bonus pool to be shared with active and qualifying Partners who refer many new customers When your 20th, 40th, 60th, 80th, 100th, etc. 1 Share ½ % Total Base Fare Revenue personally referred customers take their first rides, These bonuses are paid monthly. you will earn one share in this monthly pool. You do not need to be the driver on these rides to earn a share. BONUS POOL You can earn more than one share in this pool in the same month. For example, if your 20th and ½ % of the total Base Fare collected by Bounce 40th personally referred customers take their first rides in the same month, you will earn two shares of this pool that month. Share Value = Number of shares issued that month
