DIRECTOR OF PUBLIC WORKS EXTENSION OF CONTRACT SERVICES AGREEMENT WITH PROSCAPE LANDSCAPING, INC. FOR LANDSCAPE AND LIGHTING MAINTENANCE DISTRICT NO. 1 (LLMD) LANDSCAPE MAINTENANCE SERVICES Summary: In 2008, the City entered into a contract service agreement with Proscape Landscaping, Incorporated (Proscape) to provide landscape maintenance services for the Landscape and Lighting Maintenance District No. 1 (LLMD). An amendment to the Contract Services Agreement is being proposed to provide a one-year contract extension. Recommendation: Authorize the City Manager to amend the Contract Services Agreement for landscape maintenance services for LLMD, in a form approved by the City Attorney, for a one-year term, with a contract amount of $28,420. Fiscal Impact: The current annual cost of the contract is $28,000. Proscape agreed to continue providing landscape maintenance services with a one and one half percent (1.5%) increase for a contract cost of $28,420. The cost of the contract is funded through annual assessments levied on California Crown properties which comprise the LLMD. LLMD s budget for FY can absorb the increase of 1.5 percent without raising the assessment.

2 Contract Services Agreement Proscape Landscaping (LLMD) June 7, 2011 Page 2 Background and Analysis: In 2008, after a competitive bidding process, Proscape Landscaping was awarded the landscape maintenance services contract agreement for LLMD for a period of three years. The original contract terminates on July 31, The extension will commence on August 1, 2011 and include a 1.5% rate adjustment with an option to renew for one additional year at a mutually agreed upon amount. The landscape maintenance services comprises over 50 percent of the entire budgetary costs for the Assessment District and to maintain the contract at approximately the same cost will provide financial stability for LLMD for an additional year. Proscape Landscaping, Inc. has effectively implemented the City s landscape maintenance program specifically designed for the LLMD as evidenced by the neighborhood s continued overall satisfactory appearance. Additionally, staff has been pleased with Proscape s commitment to providing quality service and responsiveness to inquiries or requests made by staff. Based on Proscape s performance, limited contractual cost increase and resident satisfaction, staff is recommending the approval of the one-year contract extension. 3 CONTRACT SERVICES AGREEMENT AMENDMENT #1 THE AGREEMENT FOR CONTRACT SERVICES (herein Agreement ) entered into on June 10, 2008, by and between the City of Signal Hill (herein City ), a Municipal Corporation, and Proscape Landscaping, Inc. (herein Contractor ) is hereby amended on this 7 th day of June 2011 as follows: 1) Amend Section 2.1, Contract Sum by substituting $28,420 for the Contract Sum for a one-year contract term. 2) Replace Exhibit C, Schedule of Compensation with Exhibit C-1, Amended Schedule of Compensation. 3) Replace Exhibit D, Schedule of Performance, with Exhibit D-1 Amended Schedule of Performance. The term of this amendment to the Agreement shall commence on August 1, 2011 and shall terminate on July 31, At the conclusion of the term, the City and Contractor may agree to extend the contract for an additional one-year term if the parties mutually agree on an annual rate adjustment, which shall not exceed the rate of inflation or CPI Index of the Los Angeles metropolitan area. 2. CONTRACTOR shall perform maintenance of Landscape and Lighting Maintenance District #1 in accordance with the schedule provided at commencement of the original Agreement in 2008.
