October 20, 2005 Landscape Maintenance Contract Proposal This Agreement for Landscape Maintenance Services, effective January 1st, 2006, between AREA LANDSCAPE SERVICES, INC., hereinafter referred to as "THE CONTRACTOR" and THE OASIS AT PALM AIRE ASSOC., INC. as "THE ASSOCIATION'. WHEREAS; THE ASSOCIATION has 167 (one hundred sixty seven) homes, one (1) clubhouse, one (1) pool area and all other common areas, and: WHEREAS; "THE ASSOCIATION' desires to independently contract with "THE CONTRACTOR" for the care and maintenance of the lawn and landscape for such real property. Term: this agreement shall commence on the date this agreement is executed and shall continue in full force and effect for a period of one year. This Agreement shall automatically renew at the end of the first and succeeding years for additional one year periods, unless written notification is received by either party within thirty days of the termination date of any one (1) year period. Either party may terminate without cause by thirty (30) day notice. Services and Conditions: MOWING Lawn areas shall be mowed thirty (30) times per year as follows: Three (3) times per month during May thru October and two (2) times per month during November thru April. During months with three (3) cuts, mowing shall be performed at ten (10) day intervals. During months with two (2) cuts, mowing shall be performed at fifteen (15) day intervals. Mower blade height shall be set at 3"-3 112". Fields shall be mowed one (1) time per month during the summer months and every other month during all other months. EDGING All walkways, driveways, sidewalks, curbing, roadways, tree rings, and plant/shrub beds shall be edged at each mowing. It is understood all rock beds shall have a secure border edging as to avoid a dangerous situation. I

2 WEEDING All plant, hedge, and/or tree beds shall be treated to be kept free of weeds one (1) time per month or more often when necessary. Control by liquid spray treatment and/or scuffle method. Method determined by location. The weeds in the pavers shall be sprayed with a commercial grade weed killer one (1) time per month or more often when necessary. TRIMMING Trim with string-trimmer around all structures, trees, and areas that cannot be reached with mower etc.., this will be done with each mowing. HEDGES & SHRUBS All shrubs shall be trimmed one (1) time per month, to a height determined by THE CONTRACTOR and THE ASSOCIATION. Pruning frequency of certain plants will be determined according to species, location, and time of year; the appropriate pruning method shall be utilized during the course trimming. GROUNDS CLEAN-UP THE CONTRACTOR shall be responsible to insure all plant beds, walkways, sidewalks, and roadways are clean after each mowing. Before each mowing THE CONTRACTOR shall perform debris removal such as; paper, cans, trash etc.. THE CONTRACTOR agrees to remove all debris, trimmings, lawn cuttings etc.. and dispose of them properly offproperty. Under no circumstances shall debris be flushed into the storm drains. FERTILIZATION and BROADLEAF WEED CONTROL February (Lawn Weed & Feed) with 1.05% Atrazine and 3% Iron and at least 40% Slow Release Nitrogen, (S.C.U), apply at the rate of 4.51bs or product per thousand feet. March (Plants and Trees) Slow Release Nitrogen (S.C.U) and 50% Slow Release Potassium (S.C.K.), 4.5% Iron, 2.00% Magnesium, 2.5% Maganese. AprillMay (Lawn) Slow Release Nitrogen, (S.C.U), 4% Iron, 1.00% Manganese. Apply at the rate of SIbs of product per thousand square feet. June (Plants and Trees) Slow Release Nitrogen (S.C.U.) and 50% Slow Release Potassium (S.C.K.), 4.5% Iron, 2.00% Magnesium, 2.5% Maganese. September (Plants and Trees) Slow Release Nitrogen (S.C.U.) and 50% Slow Release Potassium (S.C.K.), 4.5% Iron, 2.00% Magnesium, 2.5% Maganese. (Lawn) % Slow Release Nitrogen, (S.C.U), 4% Iron, 1.00% Manganese. Apply at the rate of 5lbs of product per thousand square feet. November (Lawn Weed & Feed) with 1.05% Atrazine and 3% Iron and at least 40% Slow Release Nitrogen, (S.C.U), apply at the rate of 4.51bs or product per thousand feet.

3 THE CONTRACTOR shall inspect the turf for "Succulent BroadleafWeeds" and treat with the appropriate chemical from November thru March 15 th. It shall be understood this weed type is an aquatic weed and it should be controlled with cultural practices as well. PEST CONTROL THE CONTRACTOR shall not be responsible for pest damaging insects under the contract agreement. THE CONTRACTOR may be contracted to conduct such services over and above this agreement upon request and approval. TREE TRIMMING Trees shall be trimmed so as to maintain an eight (8) foot ground clearance where tree height permits. THE CONTRACTOR shall trim and remove dead and low hanging Palm fronds with each mowing cycle. THE CONTRACTOR shall crop and boot all Queen and Sable Palms not less than one (1) time per year and shall remove all debris created from this service. THE CONTRACTOR shall not be responsible for major tree surgery, removal, topping, thinning out, or ornamental shaping of hardwood or canopy trees. SPRINKLER MAINTENANCE THE CONTRACTOR shall perform preventative maintenance on all sprinkler systems and shall make adjustments as required. This service shall include a check and cycle of the irrigation system not less than one (1) time per month. The maintenance check shall include an inspection of clocks, valves and cleaning of clogged heads and head coverage adjustments as needed. THE CONTRACTOR will replace pop-up sprinkler heads as needed. All sprinkler heads will be raised as needed by THE CONTRACTOR. THE CONTRACTOR shall be responsible for all damage caused by THE CONTRACTOR'S personnel. THE CONTRACTOR shall not be responsible for the replacement or major repair of sprinkler systems or rotor heads. Needed repairs will be reported to the homeowner and THE ASSOCIATION. THE CONTRACTOR will undertake such repairs and replacements as may be contracted directly with the homeowner. It is specifically understood that THE ASSOCIATION will not be responsible for the repair and replacement of the private property of homeowners. THE ASSOCIATION shall be responsible for the sprinkler system in all common areas other than monthly checks and adjustments by THE CONTRACTOR. The cost of repair or replacement of the sprinkler system in the common areas is the responsibility of THE ASSOCIATION. THE CONTRACTOR shall perform such work only as authorized by THE ASSOCIATION. THE CONTRACTOR will respond to calls for service from homeowners or THE ASSOCIATION in not more than three (3) business days. MULCHING THE CONTRACTOR shall provide mulching on all lots and common areas. Mulching shall be performed not less than one (1) time per year and a minimum of twelve (12) bags (18 cubic feet) of mulching shall be provided at each lot during each mulching cycle. Common areas shall receive a minimum of six hundred (600) bags (900 cubic feet) of mulch each year.

4 ANNUAL PLANTS THE CONTRACTOR shall provide and plant annual flowers on each lot and in all common areas. A minimum of eight (8) plants shall be planted or provided to each lot one (1) time per year. Annuals shall be planted in all common areas to include the Guardhouse, Atlantic Boulevard, in the traffic median east of the Clubhouse, Passive Park and at the front and rear entry gates to the development. THE CONTRACTOR shall provide and plant not less than a total of six hundred and fifty (650) fall annuals in the common areas. Not less than six hundred fifty (650) fall annuals at all common area locations shall be planted by November 15 th of each year, but not before October is". Not less than six hundred fifty (650) Caladium's (spring annuals) shall be planted in all common areas by May 15 th of each year, but not before April 15 th. THE CONTRACTOR'S service shall include planting services, potting soil, and initial fertilization. The base plant cost for the purposes of this contract shall be $1.85 per plant. THE ASSOCIATION agrees to reimburse THE CONTRACTOR for the costs of plants in excess of the base plant cost. RESPONSmILITY FOR LIVING LANDSCAPE THE CONTRACTOR will not be responsible for the replacement of tree, shrubbery, or sod which deteriorates as result of water stress. Any damage to the irrigation system which occurs through no fault of THE CONTRACTOR will be the responsibility of THE ASSOCIATION. Any damage to the system directly caused in the course of performance of the service herein described shall be repaired by THE CONTRACTOR at no cost to THE ASSOCIATION. THE CONTRACTOR will be responsible for the replacement of any and all living landscape material (trees, shrubs, grasses) that die due to the gross neglect on the part of THE CONTRACTOR only. THE ASSOCIATION must provide THE CONTRACTOR with written notice of the damage and its causes. THE CONTRACTOR shall replace or cause to be replaced the plant material as soon as it is reasonably possible. THE CONTRACTOR shall not be responsible for the replacement of plant material if the plant material is removed prior to inspection by THE CONTRACTOR or replaced by any other party. FAILURE OF RESPONSmILITY If THE CONTRACTOR fails to perform the work described in this agreement or fails to perform any provisions of this agreement, THE ASSOCIATION, after three days written notice to THE CONTRACTOR, shall allow THE CONTRACTOR to correct the work in question within seventy two (72) hours of such notification. COMPENSATION Total estimated Lawn Maintenance cost is based on the following: 2005 Compensation: $ front & backyards (monthly) $ front yards only (monthly) Example $65.78 x 127 x 12 front & backyards = $100, $42.76 x 40 x 12 front yards only = $20, Total estimated annual cost - $120, This is payable at the office of THE CONTRACTOR in monthly payments, without notice, on the first and the fifteenth of every month. A written receipt of the invoice from THE CONTRACTOR will be sent to THE ASSOCIATION'S Management Company at the end of
