18 18 PARTNER PROGRAMME TEAM CASH BACK Qualified Team Partners also receive cashback for turnover generated by 1 st and 2 nd generation Team Partners and Players. This cashback is worth 5.26% of the contributions to margins for one pay period. You can withdraw the team cashback received or use it to play more of Lopoca s games.! 19 START BENEFITING 19 TEAM COMMISSIONS To be eligible for team commissions, you need to be qualified (i.e. you must have generated enough points in the respective pay period eg. by purchasing IQ-vouchers or from your own turnover). You must also have two qualified 1 st generation Team Partners; one in your right team and one in your left team. TEAM COMMISSIONS ARE PAID FOUR TIMES PER MONTH. At the end of each pay period, Lopoca calculates the turnover generated by your left team and your right team. Each time your teams (left and right combined) generate turnover of 300 points, with at least 1/3 (100 points) on the weaker team side, as a qualified partner you receive one step, worth goes to your commission account and goes to your mandatory account, which goes into The Nugget Game as credit.

20 20 PARTNER PROGRAMME STAY QUALIFIED TIP: CONSIDER REGISTERING FOR AUTO-PURCHASE WHICH WILL SET UP AN AUTOMATIC ORDER FOR IQ-VOUCHERS. IF YOU ARE NOT A QUALIFIED TEAM PARTNER, YOU WILL NOT BE CREDITED ANY POINTS, AND YOU WILL LOSE THE POINTS YOU ALREADY ACCUMULATED. To be qualified, team partners must have generated at least one point through the purchase of an IQ-Voucher or their own turnover in the specific pay period. Further points a Team Partner X may require to be qualified (e.g. if the Team Partner X holds the status Manager or a higher status in the Gold Club) may also be generated through purchases made or turnover generated by the Team Partner X himself/ herself, but also by turnover generated by his/her team in the respective pay period.! 21 START BENEFITING 21 To guarantee a balance between the teams, in cases where a Team Partner X has teams which differ considerably in terms of their performance, points will be deleted at the end of each calendar year in compliance with the following rules: The points of the stronger team which is to be carried forward to the following calendar year equals fifteen times the points generated by the weaker team in the last four (4) pay periods. This figure (points to be carried forward ) is limited to a maximum of 150,000 Points. The stronger and the weaker team will be identified in accordance with the points as at the 31st of December. The accounts will be prepared at the beginning of the first week of the new calendar year. If a Team Partner has registered after the 30th June, such deletion will not be made until the end of the calendar year following the calendar year of registration.

22 22 PARTNER PROGRAMME GOLD CLUB Once you have successfully completed registration with Lopoca and paid to become a Team Partner, you have the chance to get on the Lopoca career ladder and move from being a Team Partner to becoming a Member and then from being a Member to becoming an Apprentice and so on. To be eligible to join the Gold Club you need at least two personal enrolments, which have to be Team Partners. In other words: to join the Gold Club, Team Partner X must have at least one 1 st generation Team Partner in his/her right and his/her left team. REMEMBER: Your status in the Gold Club can vary between the highest status you have achieved and your current status, depending on the qualification criteria you meet. This means, for example, you may have achieved the Manager status once, but currently hold Mentor status because you no longer meet all the criteria to qualify as a Manager. This can happen e.g if one of your 1 st generation Team Partners loses his/her qualified status.

27 START BENEFITING 27 THE WORLD POOL Hold Gold Club President Status and automatically become a member of the World Pool. As a World Pool member, you are paid a share of Lopoca s total global profit. In order to qualify for the World Pool membership, Team Partners must maintain an qualified Gold Club President Status.

28 28 PARTNER PROGRAMME 1. If you are qualified you get the Nugget Game Bonus payment. This payment is based on your Nugget Holding from the trading fee in a pay period. 2. Purchasing IQ-vouchers is one way of qualifying for commission payments in a pay period. 3. Withdrawals are made to your personal, verified bank account. STAY IN THE KNOW 4. Within 14 days at the end of a pay period, Lopoca may have to make adjustments to the total amount of Partner Programme benefits you are to receive per pay period. As a result of this, you will not have free access to the funds credited to you, until the 14-day period after the end of the pay period has elapsed. You can then access the funds gained as benefits in the Partner Programme and either have them paid out via one of the methods of payment available or use them in one of Lopoca s exciting games. 29 LEARN MORE If you have not bought any IQ- Vouchers, you will not take part in the IQ-Game. In addition, if you are not qualified in a specific pay period you will not be awarded any points from your team s gaming turnover. 7. All cashbacks, bonuses, commissions etc received as part of the Partner Programme are subject to income tax and social security contributions. Lopoca strongly recommends you seek tax advice in the country in which you are obliged to pay taxes. 6. At the end of each pay period, the winners of the IQ-Game will be announced (all IQ-Vouchers bought during this pay period are of relevance). 50% of the IQ-Game turnover will be distributed among the winners based on the tier in which they have won. A further 30% of the IQ-Game turnover will be divided among the points awarded in the IQ-Game and are thereby credited to all qualified Team Partners. The remaining 20% of the IQ- Game turnover is retained by Lopoca as contributions to margins. The IQ- Game does not impact on cashbacks.

30 30 PARTNER PROGRAMME STAY IN THE KNOW A withdrawal cannot be requested where the money deposited has not been used in any games or only a few games. The company reserves the right to refuse such withdrawals at its own discretion on the basis of best practice in the prevention of money laundering. Under such circumstances the company can ask a Team Partner/Player for more information in regard to the requested payout and review its decisions based on the new information provided. If you access Lopoca s website, you do so at your own risk. Lopoca does not guarantee that it is permitted in your jurisdiction for individuals to use services and/or any of Lopoca products. This also applies to advertising or taking part in Lopoca activities.

31 GET LEARN STARTED MORE 31 USEFUL TERMS LOPOCA GAMING PLATFORM: An internet platform for gaming ( operated by LOPOCA Gaming Ltd, which is head quartered in Malta, according to a licence issued in the Republic of Malta. TEAM STRUCTURE: This is based on a simple two-team structure: one team on the left (the left leg), and one on the right (the right leg). Because this plan involves just two teams, Lopoca s Partner Programme is easy to understand and replicate. All Team Partners are assigned to teams according to their date of registration and referrer s preference. The team structure provides information on the position of individual Team Partners and shows partners the team allocated to them online, which is important to their potential success. REFERRER: A Player or Team Partner who recommends a new Player or a new Team Partner for enrolment to the gaming platform. PLAYER S/TEAM PARTNER S OWN GAMING TURNOVER: Turnover generated by an individual Player or Team Partner. from gaming, or payments through the gaming platform COMMISSION ACCOUNT: Every Player and Team Partner has his/her own commission account on the gaming platform. This account can only be accessed by him/her. All cashback and other benefits received as part of the Partner Programme are credited to it according to the applicable conditions at the end of each pay period. Funds credited to the commission account may either be withdrawn or used to play Lopoca games. TEAM PARTNER: An individual who has paid a membership fee or the annual renewal fee respectively and therefore is a part of the Partner Programme. 32 32 PARTNER PROGRAMME USEFUL TERMS PAY PERIOD: The period for which the electronic pay system pays cashback and benefits received as part of the Partner Programme by Players or Team Partners. The pay period is generally 7-8 days long. PLAYER S/TEAM PARTNER S OWN CASHBACK: Every Player and every Team Partner receives a 7.88% share of the contribution to margins paid out as cashback on his/ her own gaming turnover from games played (sportsbetting, casino). It is credited to his/her commission account. The Player or Team Partner can either request a withdrawal of these funds or use them in Lopoca games. NUGGET GAME: The Nugget Game is a product unique to Lopoca. The game allows Team Partners and Player to buy and sell Nuggets online. The value of these Nuggets is determined by those that play. CONTRIBUTION TO MARGINS: The basis for calculation of Partner Programme benefits for Team Partners is equal to the proceeds of the gaming operator (Lopoca Gaming Ltd) less donations to charity.
