Select Villages with its associated companies owns and manages these luxury resorts in this niche hospitality industry. We currently run a village at Stoneleigh in Sidmouth, Devon and has planned an expansion of such villages to other sites. Our associated operations company has seen unparalleled occupancy levels, validating the notion of a healthy return on the select ownership purchase by the shareholders. Operating in this niche hospitality industry enables us to offer an 8% agreed rental income on the select ownership and a further 8% bonus on exit from ownership.

5 SELECT OWNERSHIP MODEL Every cottage is owned on a 199 year lease by a limited company (special purposes vehicle); The value of every cottage is supported by an independent valuation; A limited company is set up to own every cottage and there are 100 shares in the company; The Select Shareholder, may purchase up to 49% of the shares as many cottages he pleases. Under the legal agreements, they will enjoy the following priority payments: 1. All monies used to purchase the shares in the company; 2. All monies that are owed as annual net returns; 3. All monies that are owed at the point of exit from the Select Ownership of the cottage;

6 SELECT OWNERSHIP MODEL The developer retains 51% of the shares in the company. Under the legal agreements the developer will not be entitled to a single penny from the shareholding until the preferential shareholder is fully paid their entitlement; 49% ownership of the shares entitles the shareholder(s) to 25 days of free use of the holiday cottage in the mid-to-low season. In value terms, this usage amounts to an extra 3% per annum return on their shareholding; Shareholders may purchase up to 49% of the shares by themselves or with other people that they know or with other parties that have expressed a similar interest. To make life simple, they will be allowed to buy 10%, 20%, 30%, 40% or the full 49% of the shares in the company;

7 SELECT OWNERSHIP MODEL During Select Ownership Shareholders will not be expected to make any further payments towards: ground rents; service charges; utilities payments; wear and tear of furniture; renewal of furniture; insurances; non-domestic business rates; on-going expenses of the company. In short, the legal agreements are there to protect them from becoming liable for any on-going regular expenses; Sell Back Option - Between 2 5 years they will have the Option to sell their shares, fixed at the rate of 8% increase on their purchase price; Buy Back Option - After 5 years the Developer will have the option of buying back from the Shareholder their shares with an agreed rate of 8% increase on the purchase price. The Shareholders will retain their ownership of the shares for at least 2 years whilst they enjoy all the benefits of ownership;

9 AGREED RETURN ON INVESTMENT (ROI) 8% agreed ROI annually on initial Purchase Price Optional exit from Purchase after 2 years worth 4% annually Agreed exit from Purchase after 5 years worth 1.6% annually The Occupancy Entitlement is valued at 3% annual return on the purchase price Therefore the fixed returns range from 9.6% to 12% per annum with a further 3% in Occupancy Entitlement. Net returns No hidden costs. This means no deductions for: service charges; ground rent; insurance; utilities; non domestic business rates; wear and tear of furniture; renewal of furniture; ongoing expenses of the company.

14 AGREED EXIT Sell Back Option - Between 2 5 years Select Owner will have the Option to sell their shares, fixed at the rate of 8% increase on their purchase price. This means that they do not have to sell, but will have the option to sell within this period. Buy Back Option - After 5 years the Developer will have the Option to buy back the shareholding from the Select Owner with a fixed rate of 8% increase on the purchase price. At Select Villages, we have created flexibility in Select Ownership in order to accommodate both short and medium term financial commitment preferences.
