1 THIRD ADDENDUM SOLICITATION FOR BIDS VENDING CONCESSION April 6, 2018 PROSPECTIVE BIDDERS: This Third Addendum to the Solicitation for Bids (SFB), dated March 1, 2018, for a Vending Concession at St. Louis Lambert International Airport as amended by the First Addendum dated March 5, 2018 and the Second Addendum dated March 14, 2018 is issued for the following reasons: 1. To provide a current Living Wage Bulletin effective April 1, 2018 (see Attachment #1); 2. To answer questions from prospective Bidders (see Attachment #2); 3. To provide Gross Sales of Airport vending machines from (see Attachment #3); and 4. To provide a copy of the current Airport Vending Contract effective December 1, 2013 November 30, (see Attachment #4) Your fully complete Bid must be submitted, with all necessary attachments, by 1:00 P.M., LOCAL TIME, May 4, An original and five (5) fully complete copies of your Bid must be submitted in a sealed envelope, addressed to: Airport Properties Department St. Louis Lambert International Airport Terminal 1, Room MTN Lambert International Boulevard St. Louis, Missouri, The words "BID FOR VENDING CONCESSION must be plainly written across the left-end face of the envelope. The name and address of the Bidder must also appear on the face of the envelope. Bids will be publicly opened and read immediately following the 1:00 P.M. deadline. Bids received after the due date and time, or not delivered to the designated point, will not be considered and will be returned to the Bidder unopened. 1
2 All other terms and conditions of the SFB as amended by the First and Second Addendums and not inconsistent with this Third Addendum are unchanged and remain in full force and effect. 5 QUESTIONS AND ANSWERS Q. What are the Gross Sales and revenue paid to the Airport during the term of the current Concession Agreement? A. The Gross Sales and revenue paid to the Airport is provided as Attachment 3. Q. Has either the Minimum Annual Guarantee or Percentage Fee payable changed during the Term of the current Concession Agreement? A. Yes. See Attachment 4 to this Third Addendum (First Amendment to the current Concession Agreement). Q. What is the number of Airline Passengers that went through St. Louis Lambert Airport in the last five years? A. The number of enplanements over the last five (5) years was previously provided in Section 18 of the Instructions to Bidders of the SFB. Q. Have any late fees been paid during the Term of the current Concession Agreement? A. None Q. How much is the Airport Processing and Administrative fee charged in addition to Utility fee? A. The Airport does not charge processing and administrative fees in addition to the utility fee. Q. Is the $15.00 utility fee per vending machine or per outlet location? A. Per outlet location Q. Would the Airport consider applying industry standard insurance limits which mirror many other airport vending concession service agreements? A. The successful Bidder will, at its own expense, maintain the insurance types and amounts described in Article IX entitled Insurance, Damage and Indemnification of Appendix B entitled Agreement. Q. Were any late fees or liquidated damages assessed during the term? A. No late fees or liquidated damages were assessed during the term. 5
6 Q. Is a copy of the current contract and any amendments available? A. Yes, attached hereto. Q. Will the City consider changes to the indemnification sections of the Sample Agreement (Article IX)? A. The Airport is not able to make changes to the contract language requested. The indemnity provisions are standard and non-negotiable. Q. When do Minimum Annual Guarantee Payments start? A. On the commencement date. Q. Will the Airport consider a without cause termination clause? A. The Airport will not consider a without cause termination clause. Q. May a Concessionaire lease additional storage / operational space at the Airport? A. Yes, subject to space availability. In Terminal 1, the current rate is $43.77 per square foot while in Terminal 2 the current rate is $48.95 per square foot (these rates adjust July 1 each year). A separately approved agreement would be required. Q. Would the Airport consider the addition of non food vending machines? A. The Airport would consider adding Premises for certain non food vending items subject to approval. However, Bidders should base their Bids on the Premises as currently indicated in the Solicitation For Bid. Vending of electronics, books, and newspapers would be specifically prohibited. Any other vending item would need specific approval. 6
