1 REQUEST FOR PROPOSALS FOR NON-PROFIT OPERATION OF RETAIL CONCESSION 1. INTRODUCTION The (AUTHORITY) located in Belgrade, MT invites qualified and interested non-profit organizations (NPO) to submit proposals to operate a non-exclusive retail /educational store within the Bozeman Yellowstone International Airport terminal. The AUTHORITY wishes to enter into a non-exclusive agreement with a NPO that demonstrate to the AUTHORITY s satisfaction the experience and qualifications necessary to successfully operate a retail/educational concession at the Airport. The term of the Agreement shall be five (5) years starting February 1, 2018 with an option for two, one-year extensions subject to mutual agreement. THE AIRPORT: The Airport began as a municipally owned and operated airport in In 1972, the Airport became owned and operated by the by Resolution. The Airport serves the southwest region of the state, including Gallatin, Broadwater, Jefferson, Madison, Meagher and Park counties. It is the primary commercial airport serving the Yellowstone National Park region. Major employers in the region are government, retail trade, service, tourism, manufacturing and agriculture. The Airport is located approximately eight miles west of the city of Bozeman and two miles east of the city of Belgrade. The Airport ranks as the 8 th busiest passenger airport in the seven-state FAA Northwest Mountain Region (WA, OR, ID, MT, WY, UT and CO), and is the busiest airport in Montana with approximately 1.2 million passengers using the Airport every year. The Airport currently has scheduled passenger service provided by six airlines (Allegiant, American, Delta, Frontier, Alaska, and United). NON-STOP DESTINATIONS (YEARLY AND SEASONAL): 1

RETAIL OPERATION NPO will provide the traveling public with retail items, souvenirs, educational programs and displays of regional interest and unlike other offerings associated with an airport gift store. 4. MINIMUM SERVICES AND OPERATING STANDARDS NPO shall retain an active, qualified, competent and experienced manager or other similar authorized representative at the Airport to manage and supervise the concession granted herein. NPO shall, at all times, employ and provide trained personnel adequate to conduct the concession in a first-class manner. All personnel of the NPO shall present a neat and clean appearance and shall be courteous and efficient in the discharge of their duties in order to promptly and efficiently serve the public and to provide a high quality of operation. NPO employees shall conduct themselves in a professional manner with passengers and employees at the Airport. Retail operations shall be open to the public every day subject to flight schedules; NPO must be flexible with hours. NPO agrees to maintain premises leased by it at the Airport in a neat, clean, safe condition at all times. NPO shall fully comply with all Transportation Security Administration (TSA) security requirements and Airport Rules and Regulations. 5. INVESTMENT IN FACILITY NPO will be required to make a minimum invest in store fixtures of $150,000 over the term of the agreement. Fixtures include shelves, lighting, displays, monitors, point-of-sales system, floor covering. This requirement will be waived for the incumbent NPO due to their substantial initial investment. 6. CONCESSION FEE, MINIMUM ANNUAL GUARANTEE NPO agrees to pay a concession fee based on a percentage of gross annual sales as defined in the proposed agreement or a Minimum Annual Guarantee (MAG). In no case shall the Minimum Annual Guarantee be less than $17,000 or percentage of gross sales of less than 10%. 7. DISADVANTAGED BUSINESS ENTERPRISES (ACDBE) It is the policy of the AUTHORITY to promote concessions by disadvantaged business enterprises including firms owned and controlled by minorities and/or women. The Concession Agreement will be subject to the requirements of the U.S. Department of Transportation's regulations, 49 CFR Part 23. NPO agrees that it will not discriminate against any business owner because of the owner's race, color, national origin, or sex in connection with the award or performance of any concession agreement, management contract, or subcontract, purchase or lease agreement, or other agreement covered by 49 CFR Part 23. 3

INSURANCE NPO shall maintain in effect at all times during the term of the Agreement, insurance in the following amounts: Comprehensive General Public Liability Comprehensive Automotive Liability Worker's Compensation $1,000,000 per each occurrence $2,000,000 aggregate limit $1,000,000 per each occurrence Montana Statutory Requirements 9. MINIMUM QUALIFICATIONS In order to ensure a high level of service to the traveling public, the Authority will consider only proposals from NPOs that demonstrate actual experience operating brick and mortar retail operations with minimum sales of $500,000 annually. NPOs who fail to meet these qualifications shall not be considered. 10. PROPOSAL EVALUATION Properly completed proposals will be reviewed by staff. Based upon staff review, a short list of qualified NPOs may be interviewed. Following any interviews (if needed), staff will recommend to the Airport AUTHORITY Board the NPO they feel is best qualified to undertake operations based on the following criteria: (1) Revenue to the AUTHORITY Meet the greater of Minimum Annual Guarantees or percentage of revenue to the AUTHORITY based on thresholds stated within this RFP (Proposal Form). (2) Experience Non incumbent s ability to operate effectively in an airport or similar public/private facility and the ability to provide daily support and onsite management (Statement of Qualifications Form Non-Incumbent). (3) DBE Participation Description of program for the direct involvement including the percentage of Disadvantaged Business Enterprises (DBE) in the activities, management and support of the concessions (no more than one page). 11. CONFIDENTIALITY OF PROPOSALS NPOs must identify each portion of their proposals which they deem confidential, or which contain proprietary information or trade secrets. NPO must provide justification of what materials, upon request, should not be disclosed by the AUTHORITY. AUTHORITY records are subject to disclosure to the public under the Montana Open Records Act. The AUTHORITY may use or disclose the data submitted by each NPO for any purpose, unless its use is so identified and restricted by the NPO. The NPO s opinion of proprietary information is not binding on the AUTHORITY. 12. CLARIFICATIONS AND/OR REVISIONS NPOs must examine this RFP carefully before submitting a proposal. NPOs may request additional information or clarification by the date specified in the RFP timetable from the Airport Contact Person. NPO s failure to request additional information or clarification shall preclude the NPO from subsequently claiming ambiguity, inconsistency, or error. 4

5 The Contact person will issue responses to inquiries and any other corrections or amendments he/she deems necessary by the deadline date. NPOs should rely only on the representations, statements or explanations that are contained in the RFP and any written addendum to this RFP. Where there seems to be a conflict between the RFP and any addendum issued, the last addendum issued will prevail. 13. 6 17. REJECTION OR ACCEPTANCE OF PROPOSALS Prior to the acceptance or rejection of any proposal, the AUTHORITY reserves the right to require submission of additional evidence of qualifications, experience, financial ability, or the ability to provide the required services needed to operate in a manner commensurate with the highest standards of similar operations. The AUTHORITY reserves the right to reject any or all proposals. The AUTHORITY reserves the right to waive minor technicalities. 18. TIME OF AWARD The AUTHORITY will announce the award of no later than January 17, 2018 based on the proposal it deems most advantageous to the AUTHORITY and the traveling public over the entire term of the Agreement. Selection of the successful NPO shall be based upon the information supplied in connection with the proposal, supporting documentation and recommendation of staff. The AUTHORITY shall be the sole judge of the parties best qualified to undertake retail concessions. 19. 7 PROPOSAL FORM TO: 850 Gallatin Field Rd., Suite 6 Belgrade MT The NPO hereby represents and certifies to the Authority that: this Proposal is made without connection with any other bidder, it is made in good faith without collusion or fraud; the bidder has fully examined and understood the Request for Proposal and sample Non-exclusive Concession Agreement; if this bid is accepted, the NPO shall forthwith execute the Non-exclusive Concession Agreement. The NPO accepts conditions of the Minimum Annual Guarantee throughout the term of the Non-exclusive Concession Agreement. The Minimum Annual Guarantee shall be the greater of $17,000 or 10% Gross Revenue as described in the Non-exclusive Concession Agreement.
