In case you fail to submit acceptance by depositing duplicate copy with Sale order amount in stipulated time along with DD or through RTGS, Ambuja Cements Limited reserve the rights to forfeited EMD and cancel the Order. 2) THE SCRAP OFFERED for sale is on AS IS WHERE IS and NO COMPLAIN BASIS. Therefore Selection or Segregation of scrap is not allowed. However, we reserve the right to select or sort out any scrap as per our requirement. In case scrap Buyer have objection to this clause than his order can be cancelled and deposited amount by Bidder is refunded. Security Money will be forfeited. No claim in this regard whatever will be entertained. 3) SHORT DELIVERY - a) If any items is short delivered due to non-availability at the time of lifting, either equivalent material agreeable to Buyer would be issued or amount equivalent to that quantity will be refundable. b) In case any item shown during RFQ,but at later date e.g during loading if any such item is not found or denied for issue/ sale for whatsoever reason than company reserve the rights to offer you another scrap or refund your equivalent amount of that item without assigning any reason.

4 4) PAYMENT AGAINST SALE ORDER- -The given rates in Sale order will be on Ex works Basis. Buyer will be allowed to lift the scrap against full payment of material within 5 days from Date of receipt of scanned Sale order and send by E- mail. 4.1) Rates mentioned in Sale orders are exclusive of Value added Tax (VAT) & Excise Duty, and are applicable at prevailing rates as mentioned above on the basis rates. 4.2) TCS (U/S 206 of IT act, 1.0 % or as per Govt. Notification on the total sale value will adjusted from your deposit. 5) DELIVERY ORDER: On receipt of the full payment against Sale order, Finance will issue Money deposit Receipt to Bidder. Bidder has to Show this receipt to Manager Stores. Manager Store will issue delivery order /out gate pass against Sale order on day to day basis. 5.1 The quality mentioned in Sale order is approximate quantity & can vary(+/-)20 to 25 %. 5.2 If buyer want refund of balance amount then same will be refunded. 5.3 In case Buyer Wants to wait till more scrap is generated, than he has to give a letter to Stores. If his request is accepted than he will get the balance scrap on same rates as per his Sale order. 5.4 In case amount is excess than order value then Stores can consider for issuing amendment of excess Quantity once buyer give a letter and Deposit the amount for excess material. 5.5 Once the scrap is cleared from Factory Gate of Ambuja Cements Limited than no claim whatsoever will be entertained. 5.6 During the course of execution of this Sale order,in case due to negligent act by your staff /workmen/agent/supervisor/transporter engaged by you, and accident occurred resulting in damage /loss to any machinery /equipment/vehicle/any property, living creature of company or any third party,the entire cost of damage/loss shall be to your account. Ambuja Cements Limited shall not be responsible or liable for any compensation for such damage /loss. 6) SECURITY MONEY, for successful bidder s EMD will be converted into Security Deposit & balance amount will be deposited/adjusted as per the amount of security deposit before lifting of scrap which is 10% of sale value. This Security Deposit will be refunded after 30 days of successful lifting of Scrap. EMD or Security Deposit bears no interest at the time of refund. Security Money cannot be adjusted against last DO. Buyer has to give a letter for refund by DD or RTGS 6)A. If any buyer fails to deposit advance payment within given time period, as per mentioned above, EMD amount will be forfeited & scrap material can be sold to second highest bidder or any other approaching party without any information to the successful bidder/s. 6)B. If the successful buyer fails to lift the complete scrap material within the stipulated period, the sale order will automatically stand terminated and the EMD amount will stand forfeited for the breach of sale order by the ACL company. In this case, the ACL reserves the right to dispose of the balance scrap material in the Lot and the said buyer will have no claim for whatsoever reasons. 6)C Extension of Validity of S.O.:- In case you fail to complete lifting of ordered items as mentioned in our sale order within agreed specified periods, Ambuja Cements Limited reserve the right to cancel the Sale order at our own decision without refunding any amount for balance Quantity.We also reserve the right to forfeit the EMD amount in case Sale order is cancelled. As very special case, Ambuja Cements Limited can consider extension of order against request letter submitted by Buyer with given genuine reasons with documentary proof. 7) SAFETY & MEDICAL 7.1 Your staff/crew will be allowed to lift material from our Premises only if you obtain approval from Manger Safety and GM HR after submission of requisite documents. For getting your workman/ staff I- Cards Card approved, you will have to get your crew examined for fitness and blood group from any Govt. Hospital. Handover the same to Safety Manger through Manger Stores. Safety Manger will organize required Safety training and then approve I- card. In case you deploy more no. of workman, which require labour License, then you shall obtain the same and handover to Mgr HR. In case you are required to lift the Scrap within 3 days, than Manger Stores may issue temporary Gate Pass. 7.2 You will take care of all the necessary steps to ensure safety of staff/ workmen/ agent/ supervisor / transporter engaged by you in execution of this sale order. All your staff must have I- Card duly

5 approved by our safety manger. Any time if any of your workmen found without I- Card will be send out from our premises and a fine of Rs 500/- will be imposed on you. For details on safety training and medical examination of your staff please contact our Manger Stores on any working day. 7.3 You shall ensure that workmen /staff engaged by you in our premises shall maintain proper discipline and do not wander heather and thither. They should not indulge in any illegal and immoral actives.they shall abide by the rules & regulations of our company. If found, they will be send out of gate and your Sale order will be cancelled and EMD is forfeited. 7.4 As per Factories Act, 1948 any accident compensation arrived out of your scrap lifting, if any, to your /s workmen/supervisors would be borne by you. 7.5 During the course of execution of this Sale order,in case due to negligent act by your staff /workmen/agent/supervisor/transporter engaged by you, and accident occurred resulting in damage /loss to any machinery /equipment/vehicle/any property of company or any third party,the entire cost of damage /loss shall be to your account. Our company shall not be responsible or liable for any compensation for such damage /loss. 7.6 You and your workmen are subject to the security rule of company in force while in the company s premises. You shall be responsible to ensure that your employees, agents, workmen, representatives etc. follow our company safety policy and regulations and use safety belts, gloves, helmets, masks etc. as necessary for their safety. 7.7 Enclosed is our OH and Safety policy which you have to adhere to refer Annexure -III 8) LOADING, TRANSPORTATION AND UNLOADING:- Scrap cutting, loading, transportation and unloading is in your scope. You have to cut, pack etc and Load scrap at your own cost from the location allotted to you by our Manager Stores/Store In-charge. Industrial oxygen & DA cylinders is only allowed for cutting of scrap & cylinders are in your scope. Scrap will be transported by you at your own risk and responsibility & no equipment is provided by ACL for loading/unloading. 9) OTHER TERMS & CONDITIONS:- 1. You are allowed to lift the material between 9:00 AM to 5:00PM during working days. You should plan for lifting of Scrap in consultation with Manager Stores well in advance and lifting schedule approved by manager stores. You shall inform one day advance for placing and loading the scrap to our manager store, Last moment /without one day advance information for placement of truck may be denied by Stores. 2. The scrap material lifted can be inspected / checked for weight by our Officers which is loaded in your vehicles by unloading or visually. 3. Valid license of Drivers and registration of Vehicle is to be shown to Manger Stores. If found without valid papers and license at any point of time during loading, than vehicle will be send out after unloading of all the material at your own cost. A fine of Rs shall be imposed on you. You are allowed to lift the material between 9:00 AM to 5:00PM during week days ( 6 days in our company except holidays. ). Accordingly you should plan to place trucks for loading the Scrap. You are required to contact Manger Stores for next day planning in one day advance. 10) Once the scrap is cleared from our premises by you, no claim whatsoever will be entertained. The quality mentioned in our Sale order is approximate quantity and can vary +/- 20 to 25 %. 11) Any dispute /differences arising out of this sale order shall be settled by arbitration. The provision of Indian Arbitration Act shall apply and Unit Head of Ambuja Cements Limited Unit - Bathinda shall be the sole authority to appoint arbitrator. Arbitrator s decision shall be final and binding on both the parties. 12. INSTRUCTIONS DURING COLLECTION OF SCRAP AFTER APPROVED BID

6 Any vehicle which is deployed for collection of scrap at our plant should full fill the following terms and conditions otherwise vehicle entry will be restricted at Main Gate. If Vehicle entry delayed due to your negligence and not full filling the following vehicle safety requirements, we will not be responsible. 1. You shall deploy roadworthy good condition vehicle having fitness certificate 2. Driver should have valid license with vehicles valid documents. 3. Vehicles reverse horn should be in working condition. 4. Back light should be in working condition. 5. All side indicators should be in working condition 6. It should have both side rear view mirrors. 7. Its wiper should be in working condition. 8. Driver must use seat belt and should have first aid box. 9. Vehicle should be equipped with fire extinguisher. 10. Lifting equipment hired by customer should have load test certificate. 11. Buyer has to ensure that all his labors who will be engaged by you for scrap loading, must have Work Men Compensation Policy (insurance), Medical Fitness Certificate, safety training to be attended at plant, and should have proper (PPE) Personal protective equipment. 13) TERMINATION - We shall have right to terminate the Sale order by giving one week s time without assigning any reason whatsoever. In all such eventuality, we shall not be liable for any compensation. 14). Bathinda Court, Distt Bathinda shall have the executive jurisdiction in case of dispute on all matters of this sale order. 15). This sale order is subject to the jurisdiction of our works. 16) FORCE MAJEURE: Neither party shall be liable for non-performance either in which or in part of this contract due to reasons unforeseen and beyond its reasonable control such as strikes, lock-outs, acts of god, etc. in your/ our works premises. The foregoing shall not, however, be considered as waiver of either party s obligations under this contract and as soon as the occurrence shall cease, the affected thereby shall promptly fulfill its previously unfulfilled obligations under this contract. This sale order is being sent to you /handover to you in duplicate. You are requested to return one copy to us duly signed by you along with Sale order value amount as a token of your acceptance of this sale order. All Line Managers / Supervisors must do safety observations and they must ensure all problems are noted and corrected. All unsafe practices / incidents must be recorded. Unsafe practices must be corrected; incidents must be investigated, root causes found & corrected. Training is essential to have a healthy and safe working environment. Promote off the job safety for employees. FIVE HEALTH & SAFETY RULES 1. I assess & controls the risk before starting any task. 2. I only perform activities for which I am authorised. 3. I never override or misuse health & safety devices, and I always use the required PPE. 4. I do not work under the influence of alcohol or drugs. 5. I report all accidents. Our intent is to partner with suppliers, and / or your sub-contractors / agents, who have not only set for themselves high standards in sustainability, but have specifically targeted avoidance of bribery and corruption by following an Ethical Code of Conduct. BRIBERY AND CORRUPTION: Service Provider, Suppliers, and / or your sub-contractors / agents shall conduct their business ethically and shall NOT subscribe to bribery or corruption in any form. They shall not either directly or indirectly, or request, agree to receive or accept any undue pecuniary or other advantage for the purpose of obtaining, retaining, directing or securing any commercial, contractual, regulatory or personal advantage. It includes any financial or other advantage given or requested for the improper performance of a business activity. NOTE:

8 Quantity May vary +/- 25 % as scrap is lying at various places and offered Quantity is estimated Quantity. Ambuja Cements Limited reserves the right to remove any item from the shown Scrap. In case during your visit if any item is not found than you can mentioned the same in your Bid Physically Not Found. Money will be charged on items that are weighed at our weighbridge and our weights are final acceptable to Bidders. All Money Transactions will be only thru DD or RTGS. Cheque or Cash is not accepted. Before participation customer should physically see the material and confirm material quality,quantity & participate, No man power, tools tackles and equipments will be provided for loading all in party's scope. Customer has to follow all safety rules as per sale order,all the man power assigned for the job must use PPE and providing of PPE will be on party's scope ****X****
