1 Supplier Code of Conduct Contractors Responsibilities towards Safety & Environment Contractor's Responsibility to Ensure Safety: 1. Site Operations and Safety Regulations The Contractor shall be solely responsible for the adequacy, stability and safety of its Operations on the Site. The Contractor shall, prior to the commencement of Works at the Site, prepare and submit to the Owner a comprehensive set of safety regulations in connection with its operations at the Site. The Contractor shall comply with and shall ensure that all of its employees, agents and Sub- Contractors of any tier engaged in work at the Site comply with the provisions of such safety regulations. 2. Safety Supervisor The Contractor shall have on its staff at the Site a person dealing with the safety andprotection against accidents of all staff and labour including any other men, servants, agents or any person concerned with any activity of the Owner. This person shall hold diploma in industrial safety from a recognized institute approved by the State Government and shall have the authority to issue instructions and to take protective measures in connection with implementing safety at his work site and the prevention of accidents. 3. Health and Safety Records and Reports The Contractor shall maintain such records and make such reports concerning safety, health and welfare of persons at the Site and damage to property at the Site as the Owner shall from time to time reasonably require consistent with Good Industry Practice. The Contractor shall in any event report to the Owner details of any accident occurring on the Site or, if occurring elsewhere, which causes damage to any Plant and Equipment intended for incorporation in the Facility, as soon as reasonably practicable after its occurrence. 4. Health and Safety Precautions The Contractor hereby confirms that all design, manufacture, construction and commissioning work undertaken in India complies with all applicable Health and Safety at Work Codes and regulations in force in India from time to time until the date of Final Completion. Without prejudice to its general obligation to comply with Applicable Laws concerning health and safety precautions, the Contractor shall at its own cost take all due precautions to ensure the safety of its staff and labour and, in collaboration with and to the requirements of the local health authorities where appropriate, shall ensure that medical staff, first aid equipment and stores, sick bay and suitable ambulance service are available at the Site at all times throughout the period of the Contract and that suitable arrangements are made for the prevention of epidemics and all necessary welfare and hygiene requirements. In the event of the outbreak of any illness of an epidemic nature, the Contractor shall comply with and carry out such regulations, orders and requirements of any Competent Authority for the purpose of dealing with and overcoming the same. Safety Non Compliance Without prejudice to its general obligation to comply with Applicable Laws concerning health and safety precautions, the Contractor fails to take all due precautions to ensure the safety of its staff and labor and implementation at site, the Owner will withheld 10% of its payment ( running as well as final ) until such time the same gets implemented. In case of continual noncompliance over a period, the Owner will be forced to suspend the work and the cost of such suspension will at Contractors account. The regular audit of safety compliance at site will be carried by Owners safety officers at site and the report in this matter will be binding on the Contractor. A) Safety: The contractor shall be responsible to take all precautions to ensure safety of the labours / workers at work. The contractor will supply his labours / workers safety equipment as per rules. The following requirements are to be fulfilled prior to safety clearance: a. Driving license of the all individuals of contractors whoever are using 2/4 wheeler of Technological vehicles. b. Declaration certificate for individual in MVPL's format. c. The contractor shall apply for the safety clearance through Execution In charge & H.R Department of the company. d. Detailed list of PPEs required for the individual contracts inside the plant will be made available by MVPL's Safety Department and the same will have to be provided to all individual workmen before getting the safety clearance. e. The contractor shall provide to MVPL a duly acknowledged receipt of the employees having been given the PPEs both mandatory and specific to the contract, without which no payments shall be released to the contractor. f. Physical Fitness certificate (Certified by MBBS Doctor)and persons tobe working in high risk jobs, as to provide with necessary medical clearance certificate from MBBS doctor as per MVPL's format. g. Competency certificate has to be produced by the contractor for their workmen engaged for Specialized jobs, as per MVPL's format. h. List of tools & tackles, machine & equipment and pressure vessels along with copies of their Validity certificate issued by competent person as per CG. Factories Rules. i. Name of the safety officer /supervisor /steward and contact number with I.D. Page 2 of 6
3 B) Illegal Gratification: This contract shall be terminated without notice if any bribe, commission, gift or advantage given, promised or offered by the contractor to any employee of MVPL. C) Vehicle Norms: The contractor shall comply with legal statutory requirement in respect to Vehicle Emission Norms, Permits, Driving License, Registration number, Insurance, Working condition of Rear Lights, Brake Lights, Indictors, Reverse Horn etc., as per Motor Vehicles Act D) Occupational Health & Safety (OH & S): The contractor shall be responsible to take all precautions to ensure safety of the labours/workers at work. The contractor will supply his labours / workers safety equipment as per rules. If you're bringing your own equipment to carryout of job inside the plant such equipment should be subject hazard identifications and risk assessment prior to commencing of work. The persons engaged by you shall be given appropriate awareness on OH&S, those personal who will carry out jobs affecting OH&S shall be properly trained and made competent for the job performed by them. During emergency situation which may be faced in the plant your personal should move to the emergency shelters. They should not spread any rumor.( An OH &S booklet is available in Safety Department and is required to be signed by the contractor agreeing to comply with the same). E) Discipline at Work Area: Contractor has to maintain discipline at work area. He has to keep the area neat and clean after work is overall. F) Penalty for Violation of Safety Measures: In case of any violation of safety measures and or on non compliance of safety PPE by the Contractor or his employee (s), MVPL shall penalize the contractor as follows: Rs 500/- First time Rs 1000/- Second time onwards If contractor continue for failing to provide the safety & PPE MVPL reserves its right to terminate the contract. At any point of time safety compliance will be checked by MVPL's SAFETY department. The contractor shall immediately upon knowing of any accident, damage or losses, in which he is involved on the site, should inform the area-in-charge. Page 3 of 6
4 The contractor shall take all safety precautions and provide adequate supervision by competent persons in order to do the job safely and damage to plant, personnel, equipment, and the environment. Any accident causing fatal or non-fatal injury to the employee(s) of the contractor shall be the exclusive responsibility of the contractor. In the event MVPL and /or its employee(s) areprosecuted by any other authority under law for accident causing fatal or non-fatal accident, the Contractor undertakes to reimburse MVPL all fines, penalties and expenditure incurred in connection with defending such prosecution by MVPL and towards this the contractor irrevocably agrees to MVPL deducting. Additional Information: 1. Contractor has to provide helmet and safety shoes for all their workmen along with safety Goggles, safety belt, appropriate safety gloves (rubber, cotton, leather), safety net, visor and ear plug (if necessary). 2. Contractor has to ensure the equipment such as Crane / mobile crane, Hoists, A - frame, Wire rope, Chain slings, Chain pulley block, Lifting tackles, Forklift & Safety belt etc. are to be tested and certified by the relevant authority and approved by the Inspectorate of Factories. 3. Contractor has to submit the valid copy of approvals from relevant authority/inspectorate of Factories to the concerned Engineer In-charge. 4. Contractor has to ensure that the electrical equipment s (welding m/c, hand-drilling m/c, Cutting m/c, circuit breaker and grinding m/c etc.) are certified by the relevant authorities for their smooth working. 5. Contractors have to start the work after obtaining the necessary workpermit from the concerned Engineer In-charge. 6. Contractors have to ensure that the entire job carried out at site should be as per the compliance with Safety, Health & Environment procedures. 7. Contractors have to follow the control measures to ensure that the risks are eliminated /Mitigated. 8. After completion of work, contractors shall move the scrap to the specified location of the scrap yard. 6. Contractor's Responsibility to Protect Environment 1. Contractors shall have to follow the respective control measures while carrying out particular activity to ensure compliance with environmental standards. 2. Contractors need to ensure Pollution Under Control (PUC) Certificate and fitness certificate obtained for the vehicle used for transportation. Drivers have to show these certificates as and when required along with their Driving License. Page 4 of 6
5 3. Contractors and their employees should not use (throw away) plastic items. 4. Contractors and their employees should not throw any waste materials (Put them in respective dustbin). 5. Contractors and their employees should not wash the vehicle inside the Plant. 6. Contractors and their employees should not take bath inside the plant. 7. Contractors have to ensure that none of the resources (water, energy, steam, compressed air, etc.) are misused. 8. Contractors have to ensure good housekeeping in their work place. 9. Contractors have to ensure that none of their work will result in pollution of air, water, soil & noise. 7. Anti-Bribery Policy 1. The vendor or contractor shall comply with the Anti-Bribery & Corruption (AB&C) requirements under as applicable to them under the vendor code. 2. The company (MVPL) shall have a right to initiate "audit proceedings" against the vendor or contractor to verify compliance with Anti-Bribery & Corruption (AB&C) requirements. Such audit may be carried out by the company or by a reputed agency to be appointed by the company at the sole discretion of the company. The vendor or contractor shall extend full cooperation for smooth completion of the audit mentioned herein. 3. Notwithstanding anything in this contract, the company shall have a right to terminate the contract forthwith in case, it is found that the vendor has failed to comply with AB&C requirements as envisaged in the Vendor Code. 8. Supplier Code of Conduct This Supplier code is applicable to all 'Suppliers'('Suppliers' herein refers to suppliers / vendors / agents / consultants / contractors / joint venture partners / third parties) who have business relationship with Vedanta (Vedanta herein refers to the company and any its subsidiaries) The Suppliers: 1. Shall ensure compliance to all governmental norms local & international on Statutory Compliances such as Environment Protection, Minimum Wages, Child Labour, US Foreign Corrupt Practices Act, UK Bribery Act, Anti Bribery, Corruption, Health & Safety etc. 2. Shall follow all Environmental, Health & Safety and other operational policies of the company while executing the work under the agreement/ contract at company site. Page 5 of 6

Shall not take any recourse to any unethical behavior (implicit or explicit) with any employee of MVPL for the purpose of obtaining an order or any information that may result in a favorable financial impact. More specifically: A) Shall not offer or accept bribe or use other means of obtaining undue or improper advantage. No Supplier, or its representatives or employees, shall offer to any employee of MVPL a kickback. Favor, gratituity or anything of value to obtain favorable treatment or for the advancement of business. B) Shall not take any advantage of any family / social / political connections in obtaining favor with regard to any order.merit shall be the sole attribute for association with MVPL. C) Shall not offer any gift or entertainment for the purpose of obtaining an order or any undue favor (also refer the Gift Policy of Vedanta which is loaded on company website). 4. Shall forthwith report any unethical activity or discrimination if practiced by any MVPL employee / other suppliers as per MVPL whistleblower policy(upload on the company website). 5. Shall desist from unfair trade practices with your competitors who are also associated with Vedanta. 6. Shall protect / not in-fringe with any Vedanta intellectual property /information / technology which comes to your knowledge during the courseof your buisness relationship / dealings with Vedanta. Vedanta expects is suppliers to comply with the conditions of the Supplier Code in letter and spirit.it is the Suppliers responsibility to read and understand the contents of Vedanta's Supplier Code & Code of Conduct & Business Ethics policy and agree to uphold its values during your business association with Vedanta. The supplier hereby confirms that the price offered for services under the contract is the lowest price and agrees not to provide the same services to any other customer at a lower rate without compensating us with the differential amount immediately.
