(BIDDING DOCUMENT NO.: 6501/T-021/07-08/CHE/40) (INTERNTIONL COMPETITIVE BIDDING) 1.0 Hindustan Petroleum Corporation Limited (HPCL) propose to implement the Clean Fuels Project at their Visakh Refinery, Visakhapatnam, ndhra Pradesh, India and have appointed Engineers India Limited (EIL) as consultant for implementation of this Project. 2.0 EIL, on behalf of HPCL, hereby invites sealed bids for Flue Gas Desulphurisation Unit-I & II and PTU under single stage two bid system (Part-I: Techno-commercial part and Part-II: Price part) from competent agencies with sound technical and financial capabilities fulfilling the Qualification Criteria stated under Sl. No.5.0 below. 3.0 INTRODUCTION ND BRIEF SCOPE OF WORK: 3.1 Flue gas De-Sulphurisation Unit (FGD-1 and FGD-2) based on BELCO s EDV wet Scrubbing technology and Purge Treatment Unit (PTU) is required to be supplied and installed for treatment of flue gases from Fluidized Catalytic Cracker Unit (FCCU) to remove sulphur gases and Catalytic Dust. The FGD-1 and FGD-2 consists of EDV wet scrubbing system for treating flue gases and PTU for treating the purge liquor generated by the wet scrubbing unit. Major Equipments like Quench / bsorption Spray Tower, Spray Nozzles, Cyclolabs, Stack, will be issued as free issue materials, other equipment like Clarifier, Filter Bins, Water and Caustic Tanks, Oxidation Tanks, Oxidation Blowers, Centrifugal Pumps, Metering Pumps, gitators and Mixers, Cartridge Filter, Effluent Cooler, Sumps and related Piping and Instrumentation etc. shall be supplied by the contractor as part of this tender. 6 Part : -1.2 CONTRCTS & PURCHSE FLUE GS DESULPHURISTION PROJECT: CLEN FUELS CLIENT: HPCL, VIZG REFINERY Page 6 of The bidder shall have executed One (1) work fulfilling experience criteria as per para or above, of value not less than INR 6448 Lakhs (Indian Rupees Six Thousand Four Hundred & Forty Eight Lakhs) or US $ 15,016,300 (US Dollars Fifteen million Sixteen Thousand & Three Hundred). or The bidder shall have executed Two (2) works fulfilling experience criteria as per para or above, each of value not less than INR 4030 Lakhs (Indian Rupees Four Thousand & Thirty Lakhs) or US $ 9,385,190 (US Dollars Nine million Three Hundred Eighty Five Thousand One Hundred & Ninety). or The bidder shall have executed Three (3) works fulfilling experience criteria as per para or above, each of value not less than INR 3224 Lakhs (Indian Rupees Three Thousand Two Hundred & Twenty Four Lakhs) or US $ 7,508,150 (US Dollars Seven million Five Hundred Eight Thousand One Hundred & Fifty) The period of 10 (ten) years for past experience shall be reckoned from the last day of the month previous to the one in which bids are invited The Bidder shall furnish documentary proof of the copy of work order/contract agreement(s), relevant pages of contract documents and certificates of satisfactory operation of previous plants from the Owners for himself or its associates / affiliate / constituent member(s) of Joint Venture / Consortium, subcontractor if any Experience of only the bidding entity shall be considered for qualification. Bidder s Inhouse work experience (where for the past experience referred for qualification, the contractor and the owner belong to the same organisation) shall not be considered as valid experience for the purpose of qualification Bidder or its associates/ affiliate/ constituent member(s) of Joint Venture/ Consortium, subcontractor shall not be BELCO s competitor. Bidder shall certify that he or his associates/members are not competitor of BELCO or affiliated formally / informally with one of the BELCO s competitors. In case BELCO does not agree with bidders contention, such bids shall not be considered for further evaluation. 5.2 Financial Criteria nnual Turnover nnual Turnover of the Bidder shall be more than INR 5525 Lakhs (Indian Rupees Eight Thousand Six Hundred & Thirty Five Lakhs) or US $ 12,866,790 (US Dollars Twelve million Eight Hundred Sixty Six Thousand Seven Hundred & Ninety) during one of the three preceding financial years i.e. financial years ending December 2006, December 2005 and December 2004 or financial years , and Net-Worth Net worth of the bidder for financial year ending December 2006 or financial year shall be positive. However, bidder's not having positive networth for financial year ending December 2006 or financial year will also be considered provided the annual reports for last 2 (two) consecutive financial years ie. financial years ending December 2006 and December 2005 or financial years and indicate profit before tax. 7 Part : -1.2 CONTRCTS & PURCHSE FLUE GS DESULPHURISTION PROJECT: CLEN FUELS CLIENT: HPCL, VIZG REFINERY Page 7 of GENERL 6.1 Bids may be submitted by: a) a single person/ entity (called sole bidder); b) a newly formed incorporated joint venture (JV) which has not completed 3 financial years from the date of commencement of business; c) a consortium (including an unincorporated JV) having a maximum of 3 (three) members; d) an Indian arm of a foreign company. 6.2 Fulfillment of Eligibility criteria and certain additional conditions in respect of each of the above Four (4) types of bidders is stated below, respectively: a) The sole bidder (including an incorporated JV which has completed 3 financial years after date of commencement of business) shall fulfill the qualification criteria in para 5.0 above. b) In case the bidder is a newly formed and incorporated joint venture and which has not completed three financial years from the date of commencement of business, then either the said JV or any one constituent member/ promoter of such a JV shall fulfill the qualification criteria specified for bidder in para 5.0 above. The other member(s) experience fulfilling experience criteria of engineering sub-contractor specified in para above shall also be considered. If the bid is received with the proposal that one constituent member/ promoter fulfils the qualification criteria specified for bidder in para 5.0 above, then this member/promoter shall be clearly identified and he/it shall assume all obligations under the contract and provide such comfort letter/guarantees as may be required by Owner. The guarantees shall cover inter alia the commitment of the member/ promoter to complete the entire work in all respects and in a timely fashion, being bound by all the obligations under the contract, an undertaking to provide all necessary technical and financial support to the JV to ensure completion of the contract when awarded, an undertaking not to withdraw from the JV till completion of the work, etc. c) In case the bidder(s) is/are a consortium (including an unincorporated JV), then the following conditions shall apply: 1) Each member in a consortium may only be a legal entity and not an individual person; 2) the Bid shall specifically identify and describe each member of the consortium; 3) the consortium member descriptions shall indicate what type of legal entity the member is and its jurisdiction of incorporation (or of establishment as a legal entity other than as a corporation) and provide evidence by a copy of the articles of incorporation (or equivalent documents); 4) One participant member of the consortium shall be identified as the Prime member/lead member and contracting entity for the consortium; Format No. EIL Copyright EIL ll rights reserved

8 Part : -1.2 CONTRCTS & PURCHSE FLUE GS DESULPHURISTION PROJECT: CLEN FUELS CLIENT: HPCL, VIZG REFINERY Page 8 of 11 5) this prime member/lead member shall be solely responsible for all aspects of the Bid/Proposal including the execution of all tasks and performance of all consortium obligations; 6) the prime member/lead member shall fulfil the qualification criteria for bidder in para 5.0 above. The other member(s) experience fulfilling experience criteria of engineering sub-contractor specified in para above shall also be considered. 7) a commitment shall be given from each of the consortium members in the form of a letter signed by a duly authorized officer clearly identifying the role of the member in the Bid and the member s commitment to perform all relevant tasks and obligations in support of the Prime/lead member of the Consortium and a commitment not to withdraw from the consortium; 8) No change shall be permitted in the number, nature or share holding pattern of the Consortium members after pre-qualification, without the prior written permission of the Owner. 9) No change in project plans, timetables or pricing will be permitted as a consequence of any withdrawal or failure to perform by a consortium member; 10) No consortium member shall hold less than 25% stake in a consortium; 11) Entities which are affiliates of one another are allowed to bid either as a sole bidder or as a consortium only; 12) ny person or entity can bid either singly or as a member of only one consortium. 13) The division of scope of work among the consortium members shall be generally commensurate with their past experience. 14) The prime/lead member of consortium shall be solely responsible for the project management. d) In case the bidder is an Indian arm (subsidiary, authorized agent, branch office or affiliate) of a foreign bidder, then the foreign bidder shall have to fulfill the qualification criteria in para 5.0 above. If such foreign company desires that the contract be entered into with the Indian arm, then a proper back to back continuing (parent company) guarantee shall be provided by the foreign company clearly stating that in case of any failure of any supply or performance of the equipment, machinery, material or plant or completion of the work in all respects and as per the warranties/ guarantees that may have been given, then the foreign company shall assume all obligations under the contract. Towards this purpose, it shall provide such comfort letter/guarantees as may be required by Owner. The guarantees shall cover inter alia the commitment of the foreign company to complete the entire work in all respects and in a timely fashion, being bound by all the obligations under the contract, an undertaking to provide all necessary technical and financial support to the Indian arm or to render the same themselves so as to ensure completion of Format No. EIL Copyright EIL ll rights reserved

Only one affiliate may submit a bid. Two or more affiliates are not permitted to make separate bids directly or indirectly. If 2 or more affiliates submit a bid, then any one or all of them are liable for disqualification. However upto 3 affiliates may make a joint bid as a consortium, and in which case the conditions applicable to a consortium shall apply to them. ffiliate of a bidder shall mean any company or legal entity which: (a) (b) (c) controls either directly or indirectly a bidder, or which is controlled directly or indirectly by a bidder; or is directly or indirectly controlled by a company, legal entity or partnership which directly or indirectly controls a bidder. Control means actual control or ownership of at least a 50% voting or other controlling interest that gives the power to direct, or cause the direction of, the management and material business decisions of the controlled entity. 6.4 One of Joint Venture / Consortium members should have purchased the bidding document. 6.5 Members of the Joint Venture / Consortium shall enter into a Memorandum of Understanding (MoU) for the purpose of preparing and submitting the bid. The MoU shall also clearly outline the proposed roles and responsibilities of each member at each stage. copy of the MoU should be submitted alongwith the bid. 6.6 The bids submitted on Joint Venture / consortium basis shall be considered only if the bid is accompanied by the MoU and contains an undertaking from each member of the Joint Venture / consortium certifying that it is an exclusive member of that particular consortium alone and not a member of any other consortium nor an independent bidder, bidding for this work and has submitted only one bid in response to this tender. 6.7 In case of Joint Venture / Consortium bidder, the job will be awarded in the name of the Lead Member. Consequent to award of work, the Joint Venture / Consortium bidder cannot change the composition of their members. 7.0 Bidder / Joint Venture / Consortium member(s) shall not be under liquidation, court receivership or similar proceedings. 8.0 Failure to meet the Qualification Criteria as per para 5.0 above shall render the bid to be rejected and bids of only qualified bidders shall be considered for detailed technocommercial evaluation. Therefore, the bidder shall in their own interest furnish complete documentary evidence in the first instance itself, in support of their fulfilling the Qualification Criteria as given above. 9.0 The Bidder shall furnish documentary evidence by way of copies of work order, completion certificate, plant operation certificate, MOU with Engineering-Sub- Format No. EIL Copyright EIL ll rights reserved

Request for sending Bidding Document by post, courier or any other mode shall not be entertained. Foreign Bidders will be required to remit the cost of Bidding Document in Indian Rupees or in equivalent US Dollars, as mentioned in the Bidding Document. ccredited Representatives of Foreign Bidders in India are also permitted to purchase the Bidding Document on behalf of Foreign Bidders, with specific authorisation from the later, on payment of requisite cost of the Bidding Document Licensor s Technical Information for this work shall be issued to the bidders who have purchased the Bidding Document after they execute Non Disclosure greement with Licensor as per proforma enclosed with the bidding document. Bidders desirous to submit their bid will be issued on request, Licensor s Technical Information from EIL office in Chennai, India on execution of Non Disclosure greement In the event Licensor declines to execute the Non Disclosure greement with any of the bidder, they shall not be issued the Licensor s Technical Information and cost of Bidding Document shall be refunded to the bidder on return of the Bidding Document issued to them Bidder shall submit Integrity Pact as per proforma enclosed with the bidding document along with Techno-Commercial part of the bid, duly signed by the same signatory who signs the bid i.e. who is duly authorized to sign the bid. ll the pages of the Integrity Pact shall be duly signed by the same signatory. Bidder s failure to return the Integrity Pact along with the bid, duly signed, shall lead to outright rejection of such bid EMD/Bid security shall be paid in favour of Hindustan Petroleum Corporation Limited, Visakhapatnam in the form of a Demand Draft payable at Visakhapatnam or Bank Guarantee in the prescribed proforma issued by a Scheduled Bank in India (except from co-operative banks) in case of Indian Bidders and in case of foreign bidders either through an Indian scheduled bank or a foreign bank having a branch in India, through its Indian branch and valid for Six (6) months plus Two (2) months claim period from the due date of submission of bid.
