1 «BON COP BAD COP 2» CONTEST AT COUCHE-TARD CONTEST LOCATION AND DURATION: The contest will take place in participating Couche- Tard establishments (hereinafter the contest sponsor ) in the province of Quebec from March 29 th 2017 to May 2 nd 2017 at 5 p.m. (hereinafter the duration of the contest ). ELIGIBILITY: The contest is open to all residents of the province of Quebec who have reached the age of majority as of the date they enter the contest. Employees, agents and representatives of the contest sponsor and of PepsiCo Canada Beverages, their subsidiaries and affiliates, their advertising and promotion agencies, their suppliers of prizes, materials and services related to this contest, or any other party directly linked to this contest, and members of their immediate family are excluded from participating. For the purposes of these terms and conditions, "immediate family" designates the participant s father, mother, brothers, sisters, children, legal or common-law spouse and all persons with whom such employees, agents and representatives reside. Participations received after 5pm on May 2 nd won t be taken into account. The participations will be subject to verification and will be declared void if it s discovered that they haven t been presented in conformity to this present rule. HOW TO ENTER: A PIN number will be randomly dispatched and printed on your register receipt when purchasing a select Rockstar product. During the duration of the contest, visit to access the contest registration page. Complete the required fields on the entry form (the «entry form»), enter your PIN following the directions on screen and confirm that you have read, understood and accepted the contest rules and that you are 18 years of age or older by clicking the box. Then, click the Send button to register. Participants can access the website via Internet or mobile devices to enter their PIN. Usage of mobile devices may cause standard data fees. You will obtain one (1) participation corresponding to one (1) chance of winning one of the featured prizes. For people who want to get a PIN number by mail without purchasing (no purchase required), please refer to section 7 of these present rules. PARTICIPATING WITHOUT PURCHASE: To obtain a PIN with no purchase required, write to us and provide your name, full address, city, province, postal code, your phone number (with area code), your birth date and your address. Address your letter by mail to Rockstar Contest at Couche-Tard free PIN request to the following address: 4204 Boulevard Industriel, Laval, Quebec, H7L 0E3. Upon reception of your correspondence, the contest administrator will send you one (1) PIN (no purchase required). You will then be able to visit and enter your PIN for 1 single chance to win. Follow the instructions at section 3 of these present rules for more information on the registration process. For demands received after April 15th, the contest administrator will register you directly on the website and give you 1 chance to win. Offer limited to one (1) PIN request per envelope, until depletion of stocks.

2 PRIZE DESCRIPTION: twenty-five (25) prize, consisting of one (1) quadruple pass to a special projection of BON COP BAD COP 2 with the movie s artists, in a drive-in theatre of Montreal area. Projection due in the week of May 14 th Exact place and time will be given to the winner. Total approx. value of two thousand (2 000) dollars CAD. Prize must be accepted as is and is not refundable, transferable and cannot be replaced or converted to money. Contest sponsors reserve the right to, at their own discretion, to substitute the prize with another of equivalent value. All other costs not specified in the prize are winner s responsibility. DRAFT OF LOTS: On May 14 th 2017 at 10 h 00 AM, in Laval, Quebec, a sponsor s representative will randomly draw twenty-five (25) eligible participations among the whole list of registered participations through the duration of the contest. The order of draft will represent the order of the listed prizes above. Participant s chances of winning depend on the total number of eligible participations received. Limited to one (1) prize per participant per residence. During five (5) business days starting on May 4 th 2017, between 9 AM and 5 PM, a representative will try to reach participants, at the address and phone number sent in the registration form. If it shows impossible to reach a participant in these five (5) days, this said participant will not be eligible to win anymore. The name of another participant will then be drawn and the draft process will be restarted. The contest sponsor reserves the right to modify the draw schedule at any time. The contest sponsor is not responsible of the participant s unreachability or incapacity of participating in the draft process, for reasons of any kind. 3. HOW TO CLAIM PRIZES: To be declared a winner, the selected participant must: a. Sign the declaration form and liability waiver (hereinafter the "declaration form") that will be sent to him and return it to the contest sponsors WITHIN 5 DAYS AFTER HAVING RECEIVED IT, after which the prize will be canceled and the participant will be disqualified. b. Answer a regulatory mathematical question on the declaration form, without any help of any form. All sponsor decisions regarding the contest (including eligibility, validity, content or participant exclusion) is final, obligatory and without appeal, under reserve of the decisions of the Régie des Alcools, des Courses et des Jeux du Québec, in relation with

3 questions within its field of competence. Attribution of the prizes is subject to verification under these official rules. All prizes must be accepted as is and cannot be transferred to another person, substituted for another prize or exchanged in part or in whole against money, subject to the provisions paragraph below. TERMS AND CONDITIONS By entering this contest, each participant (i) agrees to be bound by the contest rules herein, notably to all requirements relative to eligibility and (ii) accept to apply contest judges decisions, taken at the judges discretions. If a selected participant fails to meet any of the conditions mentioned in the paragraph above or any other condition in the contest rules, that participant will be disqualified. The sponsor declines all responsibility concerning entry forms and request for participation without purchase that are, as the case may be, incomplete, incomprehensible, inaudible, illegible, fraudulent, mutilated or late. A proof of sending (screenshot, etc.) does not constitute a proof of delivery. Entry forms [and requests for participation without purchase] are the property of the contest sponsor and will in no case be returned to participants. The contest sponsor reserves the right, at his sole discretion, to stop or disqualify any person entering this contest or who attempts to participate by means contrary to the rules herein or in a manner prejudicial to other participants (e.g., use of entry forms obtained from an unauthorized source, entries exceeding the allowable limit, computer hacking, piracy, etc.). The sponsor reserves the right to exclude a participant who is not complying with this present set of official rules or is refusing to participate in an investigation concerning a failure to comply with the rules. Any attempt to deliberately damage the website or undermine the legitimate operation of this contest is a violation of criminal and civil laws. If such an attempt is made, the contest sponsor reserves the right to seek damages from that person, without prejudice to the rights of the contest sponsor to seek any other remedies to the extent permitted by law. This person could be referred to the competent judicial authorities. A participant implied in above mentioned activities will be disqualified and will see his prize took away. The sponsor reserves the unconditional right, at his sole discretion, to reject a registration form that he suspects to have been made with a script, macro command, robotic reproduction, programming or another automatic process. The Sponsor

4 reserves the unconditional right, at his entire discretion, to reject a registration form that he suspects to violate the official contest rules. In case of a dispute on the identity of the person who has submitted her online registration form, the form will be deemed presented by the authorized owner of the address provided at the moment of registration. The authorized owner of the account is the natural person to who has been attributed an electronic address by an internet service provider or any other provider of electronic addresses for who belongs the said electronic address domain. By participating or attempting to participate in this contest, participants release the beneficiaries from all responsibility for any damage they may incur due to their participation or attempted participation in the contest, to their acceptance, possession or use of an attributed prize, including reclamations of damage and interest for personal injury or material damages. Under reserve of the Régie des alcools, des courses et des jeux du Québec, The contest sponsor reserves the right, at his sole discretion, to cancel, terminate, modify or halt this contest, according to laws in force. Any dispute concerning the organization of a publicity contest may be submitted to the Régie des alcools, des Courses et des Jeux du Québec to help both parties reach a settlement. If a participant is judged not eligible, refuses the prize, does not answer correctly to the mathematical regulatory question, does not accept or omit to sign the declaration form and liability waiver, if the confirmation of prize deliverance is not received or if the prize is returned because of the impossibility to reach the recipient, the said participant will be reputed to have renounced his prize. The sponsor will then be able, at his sole discretion, to randomly pick another winner. Potential winners (or their legal tutor) may have to provide a piece of identification with photo (e.g. driver s license). By accepting the prize, any winning participant authorizes the Contest Sponsor, Beneficiaries and their representatives to use, if required, their name, photograph, image, declaration regarding the prize, place of residence and/or voice without any form of compensation and at their sole discretion, without limit as to the period of use in any social media or website and globally, for advertising purposes or any other purpose deemed relevant in the contest context, except when the law prohibits it.

5 All registration forms or other material used in the contest context that has been modified, reproduced, stolen, transferred, exchanged, negotiated or sold (bidding websites in particular), not emitted, unauthorized, illegally acquired or with errors will be considered void. The sponsor or participants disclaim any liability with respect to the malfunctioning of any computer component or systems, software or communications line, online systems, servers or access providers, viruses, any loss of function because witnesses are not activated, non-reception of s, congestion on the Internet, the security or privacy of information transmitted via computer or telephone networks, or any breach of privacy due to interference by hackers or any combination of these factors. Neither the sponsor nor participants are responsible of damages to a user system caused or coming from the participation to the contest or the download of information necessary to the participation to the contest. The sponsor disclaims all responsibility in case of postal mail or 24h mailing services returns if a prize couldn t have been delivered because of the absence of a forwarding address. Post office boxes are not accepted as a valid delivery address. The sponsor declines all responsibility once the prizes have been shipped. The sponsors and releasees do not make declarations and do not offer any sort of guarantee concerning the appearance, security or performance of a prize. The winners undertake the risk of loss or damage linked to the prizes after their deliveries. DISCLOSURE Neither the beneficiaries nor the releasees guarantee that the access to the contest website or its use won t be interrupted or exempt of errors. The sponsor reserves the right, at his sole discretion, to end the contest in parts or as a whole, without notice, or to modify or to suspend the contest at all moments, under the reserve of the approval of the Régie, in case of fraud, technical malfunctions, in particular malfunctions concerning servers and networks, computer materials, bugs, viruses, programming errors, communication or any other causes independent to the sponsor s will that harm the management, integrity or security of the contest or if any other factor disrupts the good execution of the contest as prescribes the present official contest rules. Without the precedent dispositions reach being limited and under the reserve of the approval of the Régie, if, for reasons of any kind, the number of participants receiving a winning notification is exceeding the number of prizes established in this present set of rules, the sponsor reserves

6 the right, at his sole discretion, to end the contest in parts or as a whole or to modify or to suspend the contest at all moments and deliver only the number of prizes featured in these official rules while randomly delivering the prizes that haven t been attributed at the moment of the contest end, suspension or modification. Never the number of delivered prizes will exceed the number of featured prizes in these official rules. In the possibility that drafts are interrupted, disrupted or cancelled for reasons of any kind for the duration of the contest, the sponsor reserves the right, at his sole discretion, to resume the draft of lots as soon as possible and in reasonable delays after the interruption or disruption of said drafts. In the possibility that drafts wouldn t be effectuated as it s prescribed by the present official rules, the sponsor reserves the right, at its sole discretion, to resume the said drafts in part or as a whole at the end of the contest duration. This contest is subject to the entirety of applicable federal and provincial laws as well as municipal rulings.
