2 Oakland Running Festival Exhibitor Agreement-Page 2 This Exhibitor s Contract Agreement (the Agreement ) is made by and between the Exhibitor and Corrigan Sports Enterprises (CSE), dba, The Oakland Running Festival, Inc., 6725 Santa Barbara Dr. Suite 114, Elkridge, MD ("Show Management" hereafter). Show Premises: The Oakland Marriott City Center, 1001 Broadway Ave. Oakland CA, Show Dates/ Hours: Load-in- Friday, March 18 12:00pm to 5:00pm Show Hours- Saturday, March 19 9:00am to 5:00pm Load-out- Saturday, March 19 5:00pm to 10:00pm Whereas; 1. Exhibitor desires to reserve and occupy booth space(s) as assigned by CSE in connection with the Oakland Running Festival Expo and to enter into this Agreement of space reservation. Exhibitor agrees to comply with all local and state retailer requirements. A California state reseller s certificate number is required. 2. All requests for electrical, telecommunications and additional booth decorations or equipment rental must be requested, communicated and paid for directly with the service providers, not the Show Management. 3. Exhibitor agrees to comply by all show rules and regulation, as well as, rules and regulation of the Oakland Marriott City Center, Exhibitor understands the Rules and Regulations, a copy of which is attached hereto and explicitly incorporated herein as additional terms of this Agreement. 4. Exhibitor agrees to only provide goods and services described within this agreement. Exhibitors may not assign, sublet or apportion the whole or any part of Exhibitor s Space without written permission of the Show Management 5. Show Management reserves the right to reassign or reallocate or reassign space at any time should they deem necessary for any reason. 6. Show Management provides security overnight from 500pm to 8:00am on Friday night. Show Management assumes no liability for lost or stolen items 7. Upon receipt from Exhibitor of a signed Agreement and payment in full of the amount mentioned above, the space will be considered reserved. 8. Cancellation fee of 50% of the total space fee will be granted up to 60 days prior to the stated set up date, upon written notice. No refunds will be granted after that date. Refunds will be processed within 30 days of written notice.

Exhibitor to Maintain Insurance Coverage - Exhibitor is responsible to obtain and maintain appropriate and sufficient insurance, with minimum of $1,000,000 per occurrence, to cover any and all claims, damages or losses of any kind incurred or suffered by Exhibitor or its employees, agents, representatives, guests or any other person or entity. Such insurance shall cover without limitation all claims, damages, injuries or losses of or regarding personal property or personal injury regardless of the cause thereof. Upon request by the Show Management, Exhibitor will provide certificates of insurance evidencing coverage and amounts. 10. Show Management assumes no responsibility for the Exhibitor legal rights to do business, including but not limited to, proper licensing and all retail tax related matters. 11. Indemnity - Exhibitor assumes full responsibility for and hereby agrees to protect, indemnify, defend and hold Show Management (Corrigan Sports Enterprises, Inc.) and all employees, agents representatives, principals, sponsors harmless against any and all claims, causes of action, losses, judgments and damages to person or property, governmental charges or fines arising out of or caused by or resulting from, in whole or in part, Exhibitor s installation, removal, maintenance, occupancy or use of Exhibitor s Space or the Exhibit Hall, or any portion thereof, or any other act or failure to act on the part of exhibitor or any of its employees, representatives, agents, independent contractors, guests or any other person acting or purporting to act on behalf of or for the benefit of Exhibitor. 12. The term and logos of the Oakland Running Festival and associated races are the sole property of Corrigan Sports Enterprises, Inc. and may not be used for any purpose without the written consent of Corrigan Sports. The undersigned Exhibitor acknowledges that its authorized representative designated below has read and understands the terms of this Agreement and the incorporated Rules and Regulations and that Exhibitor agrees to each and all of the terms and conditions hereof. 4 Expo Regulations: (The following are dictated by the Marriott) EXHIBIT BOOTH Exhibit booths must be installed so that they neither interfere with access to emergency exits nor restrict visibility of required emergency exit signs or equipment. Exhibitors may not extend their display into the aisles No stickers, decals or tape on the walls or floors No Helium balloons All audio must be kept at reasonable levels, as determined by expo management EXTENSION CORDS Extension cords used in the Hotel's meeting space must be 12/3 gauge, per the Oakland Fire Marshall regulations. NO EXCEPTIONS. Additionally, all cords or wires laying in the proximity of foot traffic must be taped down and covered safely (12/3 gauge cord can be rented through the Hotel's Audio-Visual Department). Contact Camelot Events to purchase electrical service in your booth. NAILS & STAPLES The use of nails or staples in the Hotel's meeting space is not allowed in exposed molding or walls. Damage charges will be accessed by the Hotel's Chief Engineer prior to the departure of the production company; therefore, questions regarding whether or not the use of nails or staples is necessary may be directed to the Hotel's Engineering Department, extension MOVE-IN/MOVE-OUT -No move-in may begin prior to 1:00PM on Friday and no move-out may occur after 11:00pm on Saturday anywhere on Hotel property. -Regarding exhibit setup, all booth equipment, furniture, and carpeting must be confined to the measured limits of the booth. No nails or bracing wires used in the exhibit display may be attached to the building. No painting, mixing of chemicals, or explosive materials are allowed in the Exhibit Halls East and West or Ballroom space of the Hotel -Any property damage destroyed by the exhibitor or contractor must be replaced in its original condition by the exhibitor or contractor at their expense. -Exhibits using food, beverage, ink, chemicals, or other liquids must be installed over Visqueen. The exhibitor must cover the entire booth area with a carpet of his choice. Any installations that affect fire codes must have prior approval of the Oakland Fire Marshall.

5 DRAYAGE AND MATERIAL HANDLING The Oakland Marriott City Center has no storage facilities for exhibit materials. All freight must be consigned to Camelot Events. Shipments that arrive prior to show time will be refused and/or forwarded to the official decorator at the exhibitor s expense. The service contractor must handle all decorating and material handling of exhibits and related products. All items belonging to the individual exhibitors must be brought to the back service entrance. There are no storage facilities available for empty crates, skids, containers, cartons, or vehicles. The service contractor must work directly with our staff should some exhibitor packages be sent directly to the hotel. EXHIBITOR SERVICES The expo service provider is Camelot Events. They can provide additional booth decorations, equipment, table & chairs, power, etc. Corrigan Sports will provide the following within the booth fee, (1) 6 Skirted Table / (2) folding chairs / (2) side walls / (1) 8' backdrop / (1) waste basket ELECTRICAL SERVICE ORDERS Contact Camelot Events to purchase electrical service in your booth. Camelot Events / Bill Benjamin / / bill@camelot-events.com AUDIO VISUAL/PRODUCTION COMPANIES The in-house staging and production company, AVMS ( ), is highly endorsed and recommended as the contractor for all staging, production, high speed internet and audio visual services at the Oakland Marriott. TELEPHONE PHONE ORDERS AVMS ( ) handles all phone requirements directly. All phone requests are to be received no later than ten (10) days prior to arrival. HIGH SPEED INTERNET ACCESS AVMS ( ) in coordination with ibahn has the exclusive right to provide high speed internet access throughout the Hotel. Please contact Swank for current pricing and services offered. Swank will negotiate a rental fee for the use of any outside internet services or equipment
