This event features pet-related businesses within the Windsor & Essex area and aims to raise awareness of the many resources that are available to pet owners. This isn t a fundraiser, but the Humane Society s way of helping promote the many wonderful products and services available to pet lovers in the area. 5 The Windsor/Essex County Humane Society (herein called WECHS ) is to hold pet-a-palooza Saturday May 4 th and Sunday May 5 th, 2013 at Roseland Golf & Curling Club in Windsor, Ontario. The WECHS reserves the right to exercise its sole discretion in the acceptance or refusal of all applications. Priority may be given to exhibitor applications according to the order of their receipt. Rules and Regulations Vendors may bring in their own stands, racks or display boards that fit within their space. All signage must be professional in appearance, no hand drawn signs allowed. Vendors may sell products, gift certificates and distribute brochures, samples and/or coupons at their booth. Vendors may not sell pets of any kind. The Exhibitor agrees that cancellation of this agreement will result in the forfeiture of monies which will be considered as partial payment towards the expense of preparing for the events on Exhibitor s behalf. The exhibitor agrees to allow the use of their name and/or logo in any advertising. Exhibitor agrees that any fees paid represent compensation for use of space and services only. Exhibitor agrees that space may not be shared with other companies or individuals and that promotion of products and services are restricted to those carried or provided by Exhibitor only. Exhibitor agrees that the booth will be manned at all times throughout the event. The WECHS agrees to host this event under normal circumstances. WECHS shall not be liable for failure or delays to host this event by causes beyond its control, including, but not limited to: strikes, lockouts, adverse weather conditions, outbreaks of hostilities, inability to obtain materials, shipping space, equipment breakdowns, delays of carriers or supplies, government acts and regulations, laws and actions of any parties outside this contract. In event of any of the aforesaid conditions, the performance of the parties under this agreement will be excused for such period as is reasonably necessary after such occurrence to remedy the effect thereof. In the event that such occurrence results in cancellation of Pet-A-Palloza, the obligations of the parties under this agreement will be terminated and all rental payments made under this lease will be refunded to the Exhibitor, less a pro rata share of expenses actually incurred by the WECHS. The WECHS will assign exhibits on a first-come, first-serve basis. The WECHS will make a best effort to accommodate Exhibitors special requests, but reserves the right to change the location assignments at any time prior to the exhibition dates as deemed necessary. WECHS retains the right to exclude or require modifications of any display or demonstration that, at the discretion of the WECHS, it considers unsuitable to the character of the event. All exhibits and display materials will be subject to approval by WECHS. This agreement does not constitute a partnership, employer-employee relationship, joint venture, or agency between WECHS and Exhibitor. This agreement for participation in this event should not be characterized as support of the WECHS for the Exhibitor. The Exhibitor assumes the entire responsibilities and liability for losses, damages and claims arising out of injury or damage to the Exhibitors displays, equipment and other property brought onto the premises of Roseland Golf & Curling Club (the venue) and shall indemnify and hold harmless WECHS, its sponsors, its owners, its employees and its volunteers, from any and all such losses, damages and claims. Exhibitors may only set up and dismantle their displays during those times specified by the WECHS. Move in of materials and set up of booths will take place on Friday May 3, 2013 between the hours of 4:00PM and 8:00PM. Otherwise Exhibitor forfeits their exhibit space to another Exhibitor. Tear down will only begin on Sunday May 5, 2013 beginning at 4:00PM. Exhibitor has read and understands all of the terms and conditions set out in this agreement and hereby executes this contract authorizing the WECHS to begin preparations with regards to the event on the Exhibitor s behalf and acknowledges receipt of this agreement. 1. Use of Space a. Liability: The Exhibitor is entirely responsible for the space leased and shall not injure, mark or deface the premises and the Exhibitor shall not drive nor permit to be driven any nails, hooks tacks or screws into any part of the building. Exhibitor shall not affix to the walls or windows of any building any advertisement, signs, etc., or use tape, masking tape or any other adhesive-type materials on painted surfaces. The Exhibitor agrees to reimburse the facility for any loss or damage to the premises or equipment occurring in the space leased to the Exhibitor. Show management and their sponsors shall not be liable for failure to perform its obligations under this contract as a result of strikes, acts of God or any other causes beyond its control. b. Aisles: Aisles, passageways and overhead spaces remain strictly under the control of the WECHS. All Exhibitors and personnel must remain within the confines of their

6 own space and no Exhibitor will be permitted to erect signs or display products in such a manner as to obstruct the view, or disadvantageously affect the display of other Exhibitors. No interference with the lights or space of another Exhibitor will be permitted. c. Space: the space contracted is to be used solely by the Exhibitor whose name appears on the contract and it is agreed that Exhibitor will not sublet or assign any portions of same without written consent of the WECHS. In the event the Exhibitor fails to occupy or use the space, or to have their exhibit completed and in place thirty (30) minutes prior to the opening of the show, they shall forfeit their right to the space and all prepaid fees. At that point the WECHS may reassign the booth space. d. All Demonstrations: Promotional activities must be confined within the limits of the purchased space. Noise resulting from the exhibit space must not interfere with other Exhibitors. e. Balloons: Due to risks if consumed by animals, balloons are not permitted. f. Restrictions: The WECHS reserves the right to restrict or remove exhibits, without refund, that may have been falsely entered or may be deemed unsuitable or objectionable. This restriction applies to noise, PA systems, persons, things, conduct, printed matter or anything of a character that might be objectionable to the show or the WECHS. Offenders maybe asked to leave the area if any of the above is violated and as an Exhibitor offender, no refund will be given. 2. Rules for Exhibits a. All Booths and Decorations: Must concur with the facility regulations, city ordinances and local fire codes. Any violations may result in the removal of any materials found to be in violation. b. Installations: Any special carpentry, wiring, electrical or other work, shall be installed at the Exhibitor s expense. c. Licenses: Any and all City, County, Municipal, Provincial or Federal licenses, inspections or permits as required by law of any Exhibitor in the installation or operation of his display shall be obtained by the Exhibitor at their own expense prior to the opening of the show. d. Amendments: Exhibitor agrees to abide by decision of the WECHS concerning all matters pertaining to the administration and success of the show. e. Attorney Fees: In the event suit or action is brought by the WECHS under this agreement to enforce any of its terms, it is agreed that as the prevailing party, WECHS shall be entitled to reasonable attorney fees to be fixed by the trial and appellate courts. 3. Security: We wish to provide the tightest security possible for the protection of your exhibit properties. However, neither the WECHS, nor the facility management nor our insurance companies are financially liable for losses or mysterious disappearances of any kind. We recommend that all Exhibitors contact their insurance agents to confirm proper coverage of exhibit materials (please read carefully the coverage provided by decorations and shipping companies to determine if additional coverage is necessary). The facility will be secured during set-up and on event days. Any additional security may be arranged by the Exhibitor at their expense. 4. Cancellation and Reduction Policy: Any cancellations or changes MUST BE IN WRITING and received by our office no later than thirty (30) days prior to the first day of the show (May 4). 5. Exhibitor Badges: Each Exhibitor is requested to submit a written list of staffing members prior to move-in. Exhibitor badges may be picked up at the registration counter on opening day or as they arrive. Liability: Neither the WECHS, event decorators, events sponsors, service contractors, nor their representatives, nor any member of the above named will be responsible for any injury, loss or damages that may occur to the Exhibitor or the Exhibitor s employees or property from any cause whatsoever. The Exhibitor, on signing the contract, expressly releases the aforementioned from any and all claims for such loss, damages or injuries. The Exhibitor has read and understands all of the terms and conditions set out in this agreement and hereby executes this contract authorizing the WECHS to being preparations with regards to the event on the Exhibitor s behalf and acknowledges receipt of this agreement.
