1 General Business Conditions for events of any kind 1. Scope The General Business Conditions apply to all events, such as seminars, conferences, banquets, being held at the Grand Resort Bad Ragaz and to all catering associated with these events. 2. Prices All prices are in Swiss Francs (CHF) and include the value added tax. In case of VAT increase, the prices can be adjusted accordingly. 3. Reservations option If a contract for the use of premises and services is not closed within the time allowed, the Grand Resort Bad Ragaz reserves the right to dispose of the reserved premises for other purposes. 4. Confirmation / advance payment After written confirmation, the Grand Resort Bad Ragaz guarantees the availability of the definitely reserved rooms, premises and services. The Grand Resort Bad Ragaz reserves the right to request an appropriate payment in advance for larger events and preparatory activities. 5. Liability for damages of the organizer If the Grand Resort Bad Ragaz incurs a loss due to infringement of the contract with regards to the rooms and premises (cancelling too late, non apppearance, late arrival, premature departure), the organizer in accordance with general contractual lay (OR 97ff) and legislation on rent law for premature return of the object (OR 264) is liable to cover these losses.

2 6. Terms of cancellation Cancellation of all reservations must be received by us at least 60 days before arrival, i.e. before the date of the event. For cancellations received later than 60 days before arrival, the Grand Resort Bad Ragaz will charge a cancellation fee as a % of the agreed price based on the following table: a) Event booking without rooms up until 60 days before the event 59 to 30 days before the event 50 % of the services booked b) Event booking with rooms and seminar rooms From rooms, incl. seminar rooms up until 60 days before the event 59 to 30 days before the event 50 % of the services booked From 51 rooms, including seminar rooms up until 90 days before the event 89 to 60 days before the event 50 % of the services booked 59 to 30 days before the event 80 % of the services booked Reserved rooms which are not occupied or only intermittently occupied by participants at the event are invoiced to the organizer at 100 % of the agreed price. This rule only applies at the Grand Resort Bad Ragaz if the rooms have been definitely reserved and could not be dedicated to other purposes because of too short notice of cancellation. In advance provided services by the Grand Resort Bad Ragaz are in any case to be pay. 7. Number of participants The definite number of participants for banquets and social meals must be communicated to the Grand Resort Bad Ragaz at the latest 10 days before the event. If the number of participants increases, the definite number of persons will be invoiced. In case of a reduction higher than 5 % of the original reported number of participants, we take the liberty to charge the original reported number after a deduction of 5 %. If there is a considerable change in the original number of participants, the Grand Resort Bad Ragaz reserves the right to alter the premises for seminars and banquets.

3 8. Liability of the organizer and insurance The organizer is responsible for insuring any material brought onto the premises. The Grand Resort Bad Ragaz accepts no responsibility. In case of damage to the premises or property of the Grand Resort Bad Ragaz, the damage will be invoiced to the full amount. 9. Payment The invoice from the Grand Resort Bad Ragaz is to be paid net within 30 days of the date on the invoice. Unpaid invoices for participants will be passed on to the organizer. 10. Night time charges If the services of the Grand Resort Bad Ragaz are required after o clock at the event, a night time charge will apply for every hour or part of an hour. Golf course cancellation In the event of invitational tournaments which are, subsequent to the 31 st of October, cancelled for the succeeding year, the following annulations costs are due: Tournaments with up to 80 persons: Tournaments with more than 80 persons: from CHF to flat rate CHF flat rate

Cancellation of sport activities The Grand Resort Bad Ragaz must be informed of the definitive number of participants in sporting activities provided by the Grand Resort Bad Ragaz no later than 7 days prior to the beginning of the respective event. Cancellations made subsequent to the expiration of this 7-day period cannot be taken into consideration in the settlement of costs. Written cancellations of services already booked will be confirmed free of cost up until 14 days prior to the date of the respective event. After the expiration of this 14- day time period, the Grand Resort Bad Ragaz will charge a cancellation fee in proportion to the previously agreed-upon price in accordance with the following list: up until 14 days prior to the event no cancellation costs 13 to 7 days prior to the event 50 % of the services booked 6 to 1 day prior to the event 100 % of the services booked 13. Smoking Due to non-smoking regulations implemented by the Canton of St. Gallen for the protection of non-smokers, smoking at the Grand Resort Bad Ragaz is only allowed in the Salon Davidoff.

5 14. General Publicity or advertising with reference to events at the Grand Resort Bad Ragaz by the organizer require our approval. Hospitality on the premises at the Grand Resort Bad Ragaz is affected exclusively with the food and drink available from the hotel. The conditions for exceptions must be negotiated in advance with the directorship of the Grand Resort Bad Ragaz. 15. Disposal If there is any additional expenditure for the disposal of waste brought by external, the Grand Resort Bad Ragaz reserves the right to charge the costs as follows: Disposal Quantity in CHF pro Unit Sweepings kilo 3.5 Bulky goods piece 20 Gloss magazine kilo 3.5 Carton kilo 3.5 ISS- Documents piece 0.5 Glass / Porcelain piece 2 Discarded metal piece 5 Electronic waste piece 10 Gardening waste kilo 10 Batteries piece Various fees The Grand Resort Bad Ragaz reserves the right to charge the organizer any costs of delivery, customs fees, port fees or similar incurred by the organizer or a third party issued to the Grand Resort Bad Ragaz. The Grand Resort Bad Ragaz does not charge for such services to third parties.
