6 By signing this Application, you agree to the attached Terms & Conditions. This signed document constitutes a binding and irrevocable (except as explicitly stated below) legal agreement. The individual signing this document represents and warrants that you are duly authorized to execute this binding contract on behalf of the Contracting Company. Cancellations must be made in writing and are subject to the terms and fees outlined in the Terms & Conditions. Terms are enforced regardless if Contracting Company does not attend the conference or the exhibit space is resold. (Should this agreement be referred to a collection agency/attorney for any reason, the Contracting Company and or representing agency of said Contracting Company, is responsible to pay reasonable attorney fees plus interest, lost discounts, and costs associated with any and all collection efforts.) Payment Options: Check (payable to RSA Security LLC) ACH TERMS & CONDITIONS 1. ACCEPTANCE. This Application & Contract for sponsorship, when signed by the Contracting Company (the Sponsor or Exhibitor ), constitutes a binding, irrevocable (except as specifically set forth herein), legal agreement. The Sponsor does hereby apply for the reservation of space at the Charge 2019 Conference at the Walt Disney Word Swan and Dolphin Hotel in Lake Buena Vista, Florida (the Conference ). RSA shall review Sponsor s Application & Contract and assign to the Sponsor company exhibit space, if available, consistent with show eligibility requirements, policies, and at the discretion of RSA. The Sponsor agrees that upon acceptance of this Application & Contract by RSA with or without appropriate payment of the exhibit fee, this Application & Contract shall become a legally binding contract; enforceable against the Sponsor in accordance with its terms. Acceptance of the contract will be made via . The individual signing this document represents and warrants that he or she is duly authorized to execute this binding contract on behalf of Sponsor. The Sponsor agrees to be bound by the Application and its corresponding Terms and Conditions (hereinafter the Application & Contract ), and/or any other regulations issued prior to the Conference. By signing this Application & Contract, Sponsor agrees they are responsible for full payment. The Sponsor also agrees to comply with all federal, state, and local laws, as well as rules of Walt Disney Word Swan and Dolphin Hotel (the Hotel ). 2. TERMINATION. a. Cancellation or Downsizing. Sponsor may cancel or change its sponsorship level upon providing written notice to RSA, subject to the following conditions: i. If a written cancellation or change in sponsorship level is received on or before July 1, 2019 RSA shall refund 50% of the commitment. ii. RSA shall not refund any commitment amounts for notices of cancellation or change in sponsorship level if received after July 2, b. Termination of Conference. RSA may terminate the Application & Contract if the Conference location is destroyed or damaged, or the Conference fails to take place as scheduled, is relocated, interrupted and discontinued, or access to the premises is prevented or interfered with by reason of any strike, lockout, injunction, act of war, act of God, emergency declared by any government agency, or for any other reason. In the event of such termination, Sponsor waives any and all damages and claims for damages and agrees that the sole liability of RSA shall be to return to Sponsor the Sponsor s space payment received, less a proportionate share of the Conference cost incurred. 7 3. PAYMENT. Sponsor shall pay the full amount of payment due under this Application & Contract upon receipt of invoice from RSA. Booth assignment is contingent upon receipt of payment in full. RSA reserves the right to cancel space and sell the space to another Sponsor without any rebate or allowances to Sponsor if the full amount of the payment due has not been received. EXHIBIT SPACE. a. Description of Space. For all RSA approved sponsorships, each company will receive a designated space where they can set up the booth of their choice (in accordance with the hotel rules for exhibiting). Each Sponsor will also receive as a part of their sponsorship a six foot draped table and two chairs. b. Sharing and Subletting. Sponsor shall not assign or sublet the whole or any portion of the rented space covered by this Application & Contract, including to clients or partners of the Sponsor, without RSA s express written consent. 5. SPONSOR S PRE-CONFERENCE DUTIES. a. Material Submission. Please your company description and logo to stacy.sakellariou@rsa.com. Logos can be accepted in an.eps,.ai or.tif file format. i. Use of Logo. Sponsor grants to RSA the right to use Sponsor s name and logo on the Conference website and on all other promotional and marketing materials prepared in connection with the Conference. b. Sponsor s Representative. Sponsor shall assign at least one person to be its official representative, with authorization to enter into such service contracts necessary for the installation and removal of exhibits and the provision of services, for which the Sponsor is responsible. Sponsor shall be responsible for ensuring that one Sponsor representative is present in the Sponsor s booth during all hours the Conference is open. c. Shipping. Shipping to the Conference will be handled by and the sole responsibility of the Sponsor. Sponsor shall follow directions as specified for individual guests in the Hotel Instructions document which is available upon request. Hotel does not offer storage space for crates. 6. SPONSOR S CONFERENCE DUTIES. a. Exhibit Labor. Sponsor shall be solely responsible for the set-up and tear-down of its exhibit space during the Conference. 8 b. Booth Set-Up. Sponsor shall complete its exhibit and put it into place by 5:00 p.m. on Monday, September 16, RSA reserves the right to set, at Sponsor s expense, any booths not set by 5:00 p.m. on Monday, September 16, If Sponsor does not comply with the terms of this section, RSA may occupy or rent to a third party any rented space Sponsor fails to occupy. Notwithstanding the foregoing, Sponsor shall continue to be liable for any payment due under this Application & Contract. c. Installation, Show, and Dismantling. RSA shall establish the installation, show, and dismantling dates and hours. Sponsor shall not pack or dismantle its exhibit outside of the hours established by RSA. Sponsor shall be liable for all storage and handling charges for failure to remove exhibits by the specified time and date. d. Floor Plan. All dimensions and locations shown on the official floor plan are believed, but not warranted, to be accurate. RSA reserves the right to make modifications to the official floor plan as necessary. RSA has the absolute right to allocate and assign space among Sponsors and to relocate Sponsors after initial assignment. e. Badges. RSA shall provide to Sponsor an identification badge for attendance at the Conference. Sponsor shall wear the badge at all times during the Conference. f. Posting Restrictions. Sponsor shall confine its exhibit (including signs, banners, and/or displays) to the space allocated to it. Sponsor shall distribute circulars, publications, advertising matter, and all promotional materials only within its booth space. Sponsor shall not post on, tack, nail, screw, or otherwise attach to any column, wall, floor or other parts of the building or furniture, any promotional or advertising material. g. Sound Restrictions. Sponsor must not disrupt the activities of neighboring Sponsors because of sound coming from their booth. h. Fireproofing. Sponsor shall smoke only in areas that hotel designates as smoking permissive. Sponsor shall be responsible for obtaining any necessary Local Fire Department approvals on Exhibit plans. i. Floor Covering. Basic floor covering (carpet) will be provided by the hotel. No other carpet is available for this Conference. j. Disability Provisions. Sponsor shall ensure that is exhibit is in full compliance with the Americans with Disabilities Act ( ADA ). Sponsor shall ensure the accessibility of its exhibit space and shall further hold harmless and indemnify RSA and Hotel against any claims, damages, loss or exposure, including reasonable attorney s fees and costs, arising out of or related to any alleged ADA violations. Should Sponsor have an ADA related request, Sponsor agrees to provide RSA and Hotel with reasonable advance written notice to review and determine whether any auxiliary aids and/or ADA related services or modifications are required. k. Copyright. Sponsor shall comply with all copyright restrictions applicable to Sponsors. Sponsor shall further obtain any additional license or grant of authority required of Sponsors under the copyright laws and be prepared to present RSA representatives with a copy of such license or grant upon reasonable request. l. Photography/Videotaping. Sponsor shall not take still photographs, nor videotape at any time or for any part of the Conference. m. Code of Conduct & Privacy Statement. Sponsor agrees to adhere to the following policies, which are hereby incorporated by reference: i. Code of Conduct available at and the ii. Privacy Statement at n. Compliance. Sponsor to comply with all federal, state and/or local law including applicable data protection and privacy laws (including any relating to direct marketing by electronic means) in respect of personal data you obtain RSA CHARGE 2019 SPONSORSHIP OPPORTUNITIES 8

9 from Conference and/or from individuals attending this Conference. It is the responsibility of Sponsor to obtain any necessary consent(s) to the sending of marketing communications to attendees, as applicable. Sponsor to ensure the consent it obtains covers any communication methods Sponsor intends to use for marketing (e.g., , SMS, telephone or fax) and complies with applicable law. In addition to refraining from sharing Conference related registration lists with any third-parties, Sponsor agrees not to use for marketing purposes any personal data that Conference makes available to it or that Sponsor obtains from the Conference unless it has obtained the necessary written consent. Sponsor also agrees to act promptly on any requests from individuals to opt out or unsubscribe from further marketing communications from Sponsor. o. Hotel Guidelines: i. Liability. Exhibitor hereby assumes entire responsibility and hereby agrees to protect, defend, indemnify and save RSA and the Hotel, its owners, its operator, Starwood Hotels & Resorts Worldwide, Inc., and each of their respective parents, subsidiaries, affiliates, employees, officers, directors, and agents harmless against all claims, losses or damages to persons or property, governmental charges or fines and attorney s fees arising out of or caused by its installation, removal, maintenance, occupancy or use of the exhibition premises or a part thereof, excluding any such liability caused by the sole gross negligence of the Hotel and its employees and agents. ii. Insurance. Exhibitor shall obtain and keep in force during the term of the installation and use of the exhibit premises, policies of Comprehensive General Liability Insurance and Contractual Liability Insurance, insuring and specifically referring to the Contractual liability set forth in these Terms and Conditions, in an industry standard amount to cover personal injury and property damage. The Hotel, its owners, its operator, and Starwood Hotels & Resorts Worldwide, Inc. shall be included in such policies as additional named insured. In addition, Exhibitor acknowledges that neither the Hotel, its owners, its operator, nor Starwood Hotels & Resorts Worldwide, Inc. maintain insurance covering exhibitor s property and that it is the sole responsibility of Exhibitor to obtain business interruption and property damage insurance insuring any losses by Exhibitor. p. Conference Hotel Reservations. Hotel reservations can be made by individual Conference guests calling into the Hotel directly to reserve rooms prior to TBD. All Conference guests staying at the Hotel for the Conference are responsible for their own guestroom, tax, Resort Service Package, and incidental charges upon checkout. 7. MISCELLANEOUS PROVISIONS. a. Governing Law. This Application & Contract will be governed in all respects according to the laws of the State of Massachusetts, superseding applicable choice-of-law rules or principles. RSA and Sponsor hereby irrevocably consent to the exclusive personal jurisdiction of the federal and state courts having jurisdictions over the State of Massachusetts. b. Entire Agreement. This Application & Contract, including all addenda hereto, constitute the entire agreement between the parties, and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter.
