This application and agreement does not give any exhibitor priority, right of first refusal, or guarantee of participation in any future shows. Minimum 50% nonrefundable deposit is required at time of application with final payment due July 31 st to secure your booth. We will work to provide the preferred booth space listed, but there is no guarantee for booth placement. Rules & Regulations: Exhibitor agrees to be bound and adhere to the rules and regulations set forth by HRGB Productions, LLC, Ramada Inn, & the Commonwealth of Kentucky, Jefferson County, and all other pertinent ordinances thereof. 2. Move In/Move Out: Move in and set up must be completed during the hours of 10am 7pm on Thursday, September 27, Additional setup is allowed Friday, September 28, 2018 between 9-11am but must be complete no later than 11am. Move Out may not begin before Sunday, September 30, 2018 at 5pm and must be completed by 11pm on Sunday or exhibit materials may be placed into storage at the Exhibitor s expense. 3. Booths: Booths will be set at 10 x8 with 8 high back drapes and 4 high divider drapes between each exhibitor. Booth will include 1 8 table and 2 chairs. Tables are required to be draped with a cloth material that is fire retardant. The space must be returned to the original condition when move out is completed. Signage may not extend outside of the booth parameters. 4. Electricity: Orders for electricity must be submitted by August 15, 2018 in order to guarantee electric services. 5. Use of Exhibit: All demonstrations or other promotional activities must be confined to the limits of the exhibit space. No firm or organization not contracted directly with HRGB Productions, LLC, will be permitted to solicit business within the exhibit area. HRGB Productions, LLC reserves the right to restrict exhibits which, because of noise, method of operation, materials or any other reason become objectionable, and also prohibit or remove any exhibit which, in the opinion of HRGB Productions, LLC may detract from the general character of the show. This reservation includes persons, things, conduct, printed material, or anything of a character with HRGB Productions, LLC determines is objectionable. In the event of such restriction or removal, HRGB Productions, LLC shall not be liable for any refunds or other exhibit expenses. Loud speakers & high-volume sound equipment is prohibited. 6. Taxes & Licenses: Exhibitor shall be responsible for obtaining any licenses permits or approvals, required under local or state law applicable to their activity at the show Exhibitor shall be responsible for obtaining any tax identification numbers and paying all taxes, license fees, or other charges that shall become due to any governmental authority in connection with their activity at the show. 7. Prohibited Items: Automobiles, tents, and sand are NOT ALLOWED in the exhibit area. 8. Terms of Booth Payment: A 50% deposit of the total amount due must be submitted with the completed application to be considered for the space. Applications received after July 31 st must be submitted with full booth payment. All deposits are nonrefundable. Cancellations made after July 31, 2018 will be required to make full booth payment. All outstanding booth balances are due July 31, 2018 or show management reserves the right to re-sell booth space with no obligation to the exhibitor. NSF Checks will have a $50 administration fee charged to the exhibitor. 9. Security and Insurance: The exhibitor is solely and fully responsible for its own exhibit material and should insure its exhibit against loss or damage from any cause. All property of an exhibitor is understood to remain its care and custody while in transit and while in the Exhibit Hall. 10. Other Shows or Events: It is not permissible to promote any other Show or Event at the Homeowners Resource Guide unless otherwise approved by show management in writing.

6 11. Booth Guarantee: This agreement does not reserve or guarantee a specific space, area, or booth, or offer first right of refusal for future events. The floor plan is subject to change without notification to the exhibitor. 12. Indemnification: Exhibitor agrees to indemnify and hold harmless HRGB Productions, LLC, its agents, employees, affiliates, and partners against all loss, damages, liabilities, claims, or injury of any nature whatsoever brought or asserted by any person that is in any way connected with the exhibitor s booth or any rental space used by exhibitor. This agreement to indemnify and hold harmless extends to all claims of injury or damage related to exhibitor actions or booth rented, whether direct or indirect, incidental or consequential, regardless of whether they are a result of negligence by HRGB Productions, LLC, it s employees, agents, affiliates, or partners. This agreement to indemnify and hold harmless also includes, without limitation all claims, demands and actions arising out of or in any way related to any license, copyright, trademark or patent rights or laws, AND all claims, demands and actions related to any theft or claim of theft of any personal property. 13. Liability: Neither HRGB Productions, LLC, it s agents, or representatives will be responsible for injury, loss, or damage that may occur to the Exhibitor or to the Exhibitor s employees or property from any cause whatsoever. Under no circumstance will HRGB Productions, LLC, it s agents, partners, or representatives be responsible for loss of profits or other damages. The Exhibitor shall obtain adequate insurance against such injury, loss, or damage. HRGB Productions, LLC, and partners shall not be liable for failure to perform its obligations under this contract as a result of strikes, riots, acts of God, or any other cause beyond its control. Anyone visiting, viewing, or participating in the Exhibitors exhibit is deems to be the invitee or licensee of the Exhibitor, rather than the guest of HRGB Productions, LLC, and partners. Exhibitor agrees to abide by existing agreements and regulations covering the use of services or labor in the conference and exhibit facility. The Exhibitor assumes full responsibility and liability for the actions of its agents, employees, or independent contractors, whether acting within the scope of their authority and agrees to hold harmless HRGB Productions, LLC and partners, and the exhibit hall from responsibility or liability resulting directly, indirectly, or jointly from causes which arise because of the actions or omissions of its agents, employees, or independent contractors. The rights of HRGB Productions, LLC, and partners will not be deemed waived except as specifically stated in writing and signed by an authorized officer of HRGB Productions, LLC. 14. Care of Building and Equipment: Exhibitors and its agents, employees, or independent contractors must not injure or deface the walls or floors of the building, the exhibit spaces, or the equipment of the exhibit spaces. If such damage appears, the exhibitor is liable to the owner of the property that was damaged. All materials used in decorations must be flameproof. Electrical wiring must conform with the National Electric Code Safety rules and all other applicable rules, regulations, fire laws, electrical codes, and other laws in which the show is located. Combustible materials and explosives are not permitted in the Exhibit Hall. The Exhibitor shall also comply with all reasonable requests of officials of the Exhibit Hall and HRGB Productions, LLC, with the respect to the installation, conduct, and disassembly of its exhibit. 15. Amendments: HRGB Productions, LLC, shall have full power to interpret and amend the rules as deemed necessary. When situations arise that are not addressed by the rules, HRGB Productions, LLC, and partners may make decisions it considers to be in the best interest of the Show and the exhibitor agrees to abide by these rulings.
