2 How the Key Equipment Finance Program Works Sage Software has partnered with Key Equipment Finance through a non-exclusive vendor agreement. Key Equipment Finance is an independent financial agent that works directly with the customer to arrange financing. Key Equipment Finance administers the entire program, from application through billing and collection. On Standard term leases, the Key Equipment Finance Program is structured as a One Dollar Buyout Financing agreement, which means there are no additional costs at the end of the financing term. The customer, not the finance company, is the licensee and owns the software at the end of the lease. 1. To participate in the program, the Sage Software business partner must first fill out and submit the Pre-fund Qualification Form (attached). Doing this NOW can speed up the approval cycle and bypass the paperwork later by pre-qualifying you to participate in this program! Once you ve been approved, you will be given a user name and password and have access to the Key Equipment Finance web site through a link on the Sage Software Online Finance Site. Key Equipment Finance will send you a packet with all the details, including the option of personalizing your customer application, linking to the Key Equipment Finance web site, and more. 2. The Sage Software business partner develops the total solution price and calculates the customer's monthly payments with the on-line calculator. Or, they may contact Key Equipment Finance for the financing proposal, offering a few different lease options. 3. The business partner can fill out and submit the Key Equipment Finance program customer application on-line. Or, the customer may fax or the application directly to Key Equipment Finance. 4. The Sage Software partner applies for and receives project pre-funding (up to 50%) from Key Equipment Finance 5. Upon approval, the customer signs and returns the Key Equipment Finance Program Agreement form to their Sage Software business partner for approval by Key Equipment Finance. Sage Software partners place software, services and equipment orders with their vendors, as usual. 6. Upon completion of the project, Key Equipment Finance releases the balance of the project funds to the Sage Software business partner and the lease commences. New and Improved Key Equipment Finance Program Including Lower Rates for Sage Business Partners! 0% Deferred Payment for 90 days with Key Equipment Finance New customers can choose to defer payment for 90 days! The deferral benefit applies to all Sage MAS 90, 200, 200 SQL, and 500 ERP transactions for customers who have been approved for financing. For details, refer to the Key Equipment Finance Program further in this document. 90-Day Same as Cash Option with Key Equipment Finance In addition to our 90-Day Deferred Payment option, we offer the 90-Day Same as Cash finance option. This option is designed for the customer looking for a 90-day cash term with the option to convert to a standard 24- or 36-month lease term after the 90 days. The partner is paid upfront, and the customer does not make any payments for 90 days (other than the $50 documentation fee). For details, refer to the Key Equipment Finance Program further in this document. Key Equipment Finance Program The Sage Software Key Equipment Finance program has been a huge success for our partners. Now, Sage Software Mid-Market Division, in partnership with Key Equipment Finance, is proud to announce new financing options for 2008!

3 NEW! 6-month Step Up Payments Lease If you have a client who needs to cover a budget funding time gap and has limited budget (i.e. Come back and see me when I get my new budget ), consider offering them the new six-month Step Up Payments Lease Program: Monthly payment of $99 for the first six months of the lease term Standard lease payments will then commence for 18, 30, 42 or 54 month term $1 end of lease buy-out 2% commission paid to the Sage business partner on the total amount of the lease Lease applies to software and support, business partner products and services, and other third party products and services (including hardware) NEW! Expanded 0% Financing Options and Lower Rates! To assist your customers in acquiring new Sage Software product solutions, and to help you close more deals, we are offering favorable new financing rates with three term options.* We have enhanced the 0% Financing option by adding 24-month terms to our existing 36-month offering. Formerly, the cost of financing was based upon the total dollars financed, which was approximately 20% of the SLP. However, moving forward, the cost of financing for all 0% finance leases will be based solely on the term and can be as low as 10%! Cost of Financing Over the Lease Term for All 0% Leases 24 months = 10% 36 months = 14% Note: These rates are not annual rates and represent the actual cost of the financing over the entire term of the lease. By lowering the rates, the usual 1% referral fee paid to partners by Key Equipment Finance has been discontinued on all 0% financing options. However, the referral fee on all standard term leases has been increased to 2%. 0% financing does not apply to maintenance. The maintenance portion of the sale for the term of the lease can be financed at normal interest rates on a separate schedule or purchased annually at the then-current list price. The partner must invoice Key Equipment Finance for the full standard list price (SLP) along with a credit memo equal to the cost of the financing. Key Equipment Finance will fund the net between the SLP and the cost of the financing (the cost of the financing will either be 10% or 14% of the SLP based upon the term of the lease). Note: Partners must specify the 0% Financing option in addition to the term when they place their orders through Sage Software. This financing option is an alternative to the Promotional price off SLP promotions and cannot be combined unless specifically stated. Please refer to the current Sage MAS 90, Sage MAS 200, and Sage MAS 500 ERP promotions listing specific promotions that offer 0% financing as an alternative to the promotional price off SLP. Following is an example of how a Key Equipment Finance 0% financing option transaction works: Based on a $10,000 product price (SLP) and a term of 36 months: Partner invoices customer and Key Equipment Finance for $10,000 Partner is required to identify the promo option and term on their invoice for correct processing Key Equipment Finance funds partner $8,600 (SLP less 14% to cover the cost of 0% financing for the 36- month term) Partner places order with Sage Software Sage Software invoices partner and applies a 14% off promotional price to SLP. Partner pays Sage for their cost on the $8,600 order Note: Key Equipment Finance requires separate schedules for software versus hardware and services. 0% financing is not available for maintenance and support, services or on hardware purchases. Note: Customers who qualify for 0% financing on Sage Abra and Sage SalesLogix purchases can also receive 0% financing for Sage MAS 90, 200, and 500 products purchased and financed in the same transaction.

4 0% Financing Option for QuickBooks Customers Migrating to Sage MAS 90 QuickBooks Users Edition or Sage MAS 500 Sage Software business partners can offer 0% financing to QuickBooks customers without the need to contribute any additional margin. Key Equipment Finance will withhold 10% or 14% from the funded amount based upon the term. Sage Software will then process the order at a promotional price of 10% off or 14% off, based upon the term. The above promotion is an alternative to the current QuickBooks to Sage MAS 90, 200, and 500 migration promotions. While these QuickBooks promotions cannot be combined, they offer your customers the choice to pay upfront and realize the savings at the time of sale or, spread the payments over 24 or 36 months with 0% financing over the course of the lease term. By weighing the impact either option will have on their purchase, your customer can make the selection that best suits their needs. Either way, it s a win for them over traditional financing options. To qualify for the 0% financing option, QuickBooks customers must submit a fax-back claim form through their business partner with a valid proof of purchase receipt for QuickBooks Software dated according to the terms of the current promotions. Please find the fax-back claim form on the Partner File Center under Promotions. No exceptions will be made to the requirement of a valid proof of purchase. This offer is only valid for an initial software purchase of Sage MAS 90, 200, and 500 and may not be combined with any other promotion. 0% financing is not available for maintenance and support, services or on hardware purchases. Standard Lease Terms with $1 Buyout Option (Applies to all leases other than the 0% Finance Option) New and improved rates are now available for all standard lease terms of months with a $1 buyout option.** Standard leases are based on first and last payments with a one-dollar buyout. Effective rates vary, depending on term and solution amount. Given the competitive rates and the 2% rebate on all standard leases, Key Equipment Finance is confident that they can beat any other leasing program.
