2 FAQs about the POA/C&E VISION MEMBER BENEFIT PROGRAM What s this program all about? This member benefit program will provide you, as a POA member, with: 1. Substantial savings on the ophthalmic supplies you use in your office; 2. The opportunity to have your POA/AOA dues paid for you in direct proportion to the amount of your purchases through the buying group (they can even be paid in full!); and 3. Acquisition of non-dues income for your state association to fund programs and minimize future dues increases. Of course, how much you and POA benefit depends on your utilization of the C&E Vision buying group. As a member of the C&E Vision buying group, you will be able to continue to purchase from virtually all of the suppliers with which you presently do business. Ordering your supplies is no more complicated than your current practices. However, you reap the benefit of the increased purchasing power of the group and all those savings are given directly to you in reduced prices. This program is a better investment than money in the bank! You re already spending the money but you ll pay less and still get credits as if you had invested those funds. Where do I find all the details? This Q&A sheet includes most of the information and the C&E Vision buying group Application and Membership Agreement includes the rest. When you enroll in the C&E Vision buying group, you can take advantage of C&E Vision s reduced pricing as soon as your application is processed, which is generally 1-2 days after being received. Dues credits and non-dues income to the association begins to accrue in the first month that you begin to make purchases through the buying group. How do I actually receive the benefits? The reduced prices of your supplies begin as soon as you begin billing through the C & E Vision buying group. Depending upon the vendor, your monthly statement may show your discounts for purchases or the amount billed may be shown net of the discount (i.e. discount applied to purchase price). Both dues credits and non-dues income are earned monthly when payment in full of your monthly statement has been received by C&E Vision by the 20 th of the month (i.e., payment in full of January 2013 statement has been received by C&E Vision by February 20, 2013). Credits toward POA/AOA dues are paid directly to the POA by November of each year and are applied to the following year. Your initial POA dues bill each year will reflect any credits to which you are entitled for the purchases you have made through the C&E Vision buying group during the previous year. For example, credits earned from October 1, 2011 through September 30, 2012, were applied to 2013 dues. Likewise, credits earned from October 1, 2012 through September 30, 2013, will be applied to 2014 dues. For added convenience, each monthly C&E statement will indicate how much credit has been earned toward next year s dues as of the previous month s payment.

3 Non-dues income to the association is calculated and paid directly to POA each quarter. A significant portion of the non-dues income which POA receives from the C&E Vision buying group is used to fund public information activities through the Vision Conservation Institute. Some of these monies are allocated to individual VCI areas for use in local area PR projects. The remaining portion of funds retained by POA support other programs and minimize the need for future dues increases. How are credits calculated for POA/AOA dues and POA non-dues income? Ophthalmic suppliers who participate in the C&E Vision buying group provide a discount to C&E Vision for administrative services in addition to the discount you receive. This discount does not in any way affect the reduced prices you pay for ophthalmic supplies. In addition to paying less for your supplies, you will receive a dues credit of two percent (2%) of your net purchases of frames, laboratory services, contact lenses (.75% on net distribution purchases through ABB), cases and other items that are billed through the C&E Vision buying group. A number of POA members who are purchasing through C&E Vision suppliers are generating sufficient credit to have much or all of their POA/AOA dues paid. Another smaller portion of the discount provided to C&E Vision by your purchases is returned to POA as nondues income. Does C&E support POA in any other way? In addition to the dues and non-dues credits earned by members through their purchases, C&E Vision supports many other activities throughout the year including sponsorship of events at annual POA meetings, sponsorship of activities of the Pennsylvania Paraoptometric Association as well as activities of individual local societies. What does this do to my bill paying system for ophthalmic supplies? Only one monthly check is required to pay for all supplies purchased through C&E Vision. C&E Vision recently re-designed its statement to provide your staff, in a clear and concise format, all of the information they will need to reconcile your statements with ease. The resulting time savings and staff satisfaction will be a major boost to your practice. Any credits due you are automatically deducted from the total purchases, not just from the vendor from which you received the credit. Your statement is available for online viewing on approximately the 6th of each month at Online payment is also available. What if I m already in another buying group? Those who are currently enrolled in another buying group will also want to join and use the C&E Vision buying group in order to receive the benefits which are available exclusively through the POA-sponsored buying group. This transition is easily made by completing the New Member Agreement and C&E will take care of converting your business. No other buying group directly and automatically pays your dues for you and contributes on your behalf to the activities of your profession. If you find it cumbersome to transfer your account, C&E Vision will gladly assist in switching your existing accounts to new ship-to numbers for hassle-free transition. 5 Terms and Conditions This contract and agreement is entered into and agreed upon by C&E Vision Services, Inc., a California corporation ( C&E ), and the named applicant. Account Terms: This credit account ( Account ) is offered and credit is issued by C&E Vision Services, Inc. (San Clemente, CA). When your application is approved, the complete terms applicable to the Account will be furnished to you. In the following disclosures, Buying Group, we, our, group and us refer to C&E Vision Services, Inc., and you, member, account, and your each refer to the applicant as a corporation, professional corporation, partnership, or individual applying to C&E for an Account. 1. C&E is committed to having your monthly statement available online by approximately the 8th of each month. Member acknowledges that C&E is not liable for lost, late or undelivered payments. C&E is committed to offering online or automatic payment options in order to guarantee timely payment. 2. Payments must be received in full by the due date as reflected on Member s monthly statement from C&E to receive volume, prompt pay or rebate discounts. Accounts not paid in full by the due date will be subject to finance charges of at least one and one-half percent (1.5%) per month, or fraction thereof, on the unpaid balance. However a minimum of $2.50 will be charged, and will be subject to a discount reversal fee of no more than twelve (12%) percent calculated on the amount due as reflected on the statement. 3. C&E reserves the right to charge a fee for each return or declined payment. Payments other than a corporate check may be assessed a convenience fee that will be billed at time of payment to members account with C&E. C&E reserves the right to process any and all physical checks as electronic payments via an ACH service provider. If member chooses to opt-out of this service C&E may charge a fee for processing manually. 4. Each member account is issued a credit limit. If the account goes over their credit limit, C&E reserves the right to charge an over-limit fee and/or suspend the account until the balance is brought below the credit limit. 5. Accounts not paid in full by the 15th of the following month that their bill is due will be suspended, and no further billings will be accepted. In the event that membership is suspended or terminated due to non-payment, all future or unbilled invoices will immediately become due and payable. 6. In the event that timely payment has not been received on more than three (3) occasions C&E reserves the right to terminate the account. 7. Member will place orders directly with the vendor by using the account number issued by said vendor. 8. If any order is not disputed in writing within 45 days of the statement date, the order will be conclusively presumed to be a good and valid billing as between C&E and Member. This shall not affect or change the right of Member to proceed or challenge any invoiced amount directly with the vendor. 9. Member acknowledges and agrees that C&E is a third party billing service and is not responsible for actions or business practices of participating vendors. All product and service fees associated with purchasing from vendor shall be agreed upon between member and vendor. C&E is not responsible for any state or federal taxes to be collected on purchased product from any participating vendor, including without limitation all sales, value added and other taxes. 10. C&E agrees to pass on all credits from participating vendors in the month that vendor issues them. Member understands that deductions from current month statement of expected future vendor credits will be subject to conditions of section two (2). C&E does not accept responsibility for disallowed credits from participating vendors or improperly returned products. 11. All orders are subject to approval by the vendor and member shall abide by the vendor s terms and conditions. Member is solely responsible for selecting the vendors in which he or she wishes to deal with. Any claims for defective or damaged merchandise, price discrepancies, or billing irregularities (including, without limitation, whether credits have been timely issued), shall be made only against the supplier of the merchandise or services; and Member agrees to hold C&E harmless from such claims. 12. Member shall be fully responsible for all purchases made with the account number, regardless of who actually placed the order for products or services. Member shall not hold C&E responsible for unauthorized use of account number. Member agrees to maintain appropriate security precautions to prevent and stop unauthorized access to account number, including but not limited to adding all authorized drop ship locations to their C&E Vision account. 13. In the event of change or transfer of ownership of Member s business, Member is required to send written notification to C&E. Member shall be responsible for all charges on Account until such notification is received by C&E. The successor of the business shall submit a new Account Application and signed member agreement reflecting credit information of the successor and an executed Member Agreement. 14. In the event Member is in default on these terms and conditions, Member agrees to pay for all costs of collection of amounts due under this Agreement, including court costs, attorneys contingency fees, attorney s fees as well as interest on the past due amounts, calculated in accordance with Section two (2) and otherwise at the maximum legal rate. Member also agrees to submit itself to the jurisdiction of the State of California and its laws and statutes should legal steps be taken to collect any amounts due under the terms and conditions of this agreement. 15. Member acknowledges that C&E arranges for volume or group purchase discounts with suppliers of optical goods and services throughout the United States depending upon the billing method applied, C&E either (i) retains a portion of the vendor discount and passes on the remaining portion to Member, or (ii) passes on the entire vendor discount to Member and charges an Administration Fee on Member purchases. 16. Failure to use C&E for more than six consecutive months or maintain a monthly balance of less than $500, may result in termination of membership without the necessity of notification. 17. Member hereby authorizes C&E to forward the name and practice address of Member to vendors in order to establish Member s accounts. Member understands that vendors may use this information to inform Member of special promotions and offers. C&E reserves the right to contact members via , fax or direct mail for promotions, offers and notifications from C&E related businesses. C&E will not share, sell or loan addresses to any third party without written consent from member. 18. Member hereby authorizes C&E to obtain a written or oral report from any credit-reporting agency and authorize bank and trade references to give C&E all information deemed necessary by C&E. 19. This Agreement shall remain in effect until terminated by either party by delivery of seven (7) days prior written notice, or immediately upon notice of a material default. The termination of this Agreement shall not relieve Member of its obligation to pay Member s account in full. 20. These terms and conditions supersede all prior and contemporaneous agreements relating to the subject matter hereof, shall be binding. C&E Vision reserves the right to change the terms of your account (including service fees) at anytime, for any reason without accounts permission or notice. 21. If you omit, or falsify any information on the application or form, we may deny your request for an account 22. If an account is opened, you will receive a member agreement with your welcome packet. By using the account, or authorizing the use of the account, member agrees to terms of the member agreement. 23. Refund Policy C&E Vision will issue a refund check for any credit balance resulting in a vendor credit or over payment at the request of the member. Refund request must be completed online through the members MyC&E online account. Refund checks will be issued within 2 billing cycles from date of request. Any credits that are more that 6 months old will be deemed abandoned and will be removed from the account and will not be reinstated. Information Sharing and Solicitations: The following describes your agreement with us with respect to information sharing and solicitations. By requesting, obtaining, or using credit from us you agree that we may release information in our records regarding you and your Account: to comply with any properly served subpoena or similar request issued by a state or federal agency or court; to share your credit performance with credit reporting agencies and other creditors who we reasonably believe are or may be doing business with you on your Account; to provide information on your Account to any third party who we believe is conducting an inquiry in accordance with the Federal Fair Credit Reporting Act; to share information with our employees, agents or representatives performing work for the Buying Group in connection with your Account; or to communicate information as to our transactions or experiences with you to persons or entities related by common ownership or with any third party (including non-affiliates). We may also share information such as (1) information other than your own transactions with you with persons or entities related to the Group by common ownership or corporate control or (2) information on your Account with certain companies to provide or offer you selected products, services, or member benefits which may include, but are not limited to, Fax, , telephone communications and direct mail solicitations. You may direct us not to share one or both of these. If this is your request submit in writing to C&E Vision Services, Inc., Member Services, P.O. Box 72001, San Clemente, California Be sure to include your name, address and Credit Account Number. You may receive a copy of our information on your Account by writing or calling us at the address or telephone number listed above. By requesting or obtaining credit, you authorize us to check your credit history. You authorize your bank and any other references listed to release and/or verify information to our affiliates and us in order to determine your eligibility for the credit and any renewal or future extension of credit. Confidentiality: Member acknowledges and agrees that the vendor list, pricing information and other information made available by C&E Vision to member is confidential information of C&E. Member agrees not to use the confidential information for any purpose other than to purchase products or services through C&E Vision. Member shall not disclose the confidential information to any third party, except to member s staff, accountants and any other private party consultants. Upon termination of this agreement, member agrees to immediately destroy all confidential information unless C&E Vision requests that it be returned C&E Vision Services, Inc.
