PLEASE TAKE FURTHER NOTICE that, on October 11, 2018, the Court entered that certain Order Granting Debtors Motion for an Order Modifying the Retention of Alvarez & Marsal North America, LLC, Effective Nunc Pro Tunc to August 29, 2018 [Docket No. 316] (together with the Initial Retention Order, the Retention Orders ). PLEASE TAKE FURTHER NOTICE that, in connection with the Retention Orders, Alvarez & Marsal North America, LLC ( A&M ) hereby files its report of compensation earned and expenses incurred for the period of August 6, 2018, through September 30, 2018 (the Compensation Period ), a copy of which is attached hereto as Exhibit A. 1 The Debtors in these chapter 11 cases, together with the last four digits of each Debtor s federal tax identification number, are as follows: RM Holdco LLC (6847); RM Opco LLC (7122); RM HQ LLC (8615); RM Chevys LLC (N/A); RM Acapulco LLC (N/A); and RM El Torito LLC (N/A). 7 Case MFW Doc 377 Filed 11/12/18 Page 7 of 7 Exhibit IV Summary of Services The following summary of services includes services performed by Alvarez & Marsal North America, LLC ( A&M ) on behalf of the Debtors during the time period August 6, 2018, through September 30, Served as Debtors Interim Chief Executive Officer and Interim Chief Financial Officer, overseeing all functional departments, daily operations, and financial reporting and analysis. Managed vendor relationships, including significant creditors. Served as Debtors Chief Restructuring Officer, managing the Debtors bankruptcy and asset sale processes; provided updates to the company s stakeholders on the progress of the Debtors turnaround and restructuring activities. Assisted the Debtors investment bankers in compiling, analyzing and presenting data relevant to the sale process, including, but not limited to: o Reviewed and provided financial and operational commentary to the Asset Purchase Agreement o Assessed materials provided by prospective competing bidders o Supported diligence efforts for potential competing bidders Created and implemented a communications strategy with Debtors customer and vendor bases, employees and the general media. Cash Management: o Assisted in the preparation and distribution of actual and forecasted financial information to the lenders and other stakeholders, including, but not limited to cash flow projections and DIP budgets o Controlled and tracked payments on account of prepetition obligations (as allowed by Court order); o Monitored the Debtors daily liquidity position and operating results to assess compliance with financial covenants. Worked directly with the Debtors management and counsel to aid in the preparation of key court filings and to assess the legal implications of certain business decisions. Facilitated the preparation of the the Statements of Financial Affairs and Schedules of Assets and Liabilities for each respective Debtor entity, initial and Monthly Operating Reports, and other court reports. Reviewed and assessed validity of claims asserted by various trade vendors. Evaluated the Debtors executory contracts and unexpired leases, and providing analytics related to the assumption or rejection of the agreements. Addressed various inquiries from the Debtors secured lenders and unsecured creditors.
