In support of the Application, BRG respectfully states as follows: JURISDICTION AND VENUE 1. The United States Bankruptcy Court for the Southern District of New York (the Court ) has subject matter jurisdiction to consider and determine the Application pursuant to 28 U.S.C. 157 and Venue is proper in this district pursuant to 28 U.S.C and This is a core proceeding pursuant to 28 U.S.C. 157(b)(2)(A). The statutory bases for the relief requested herein are sections 105(a), 330, 331 and 503(b) of the Bankruptcy Code, Bankruptcy Rule 2016, and Local Rule BACKGROUND 2. On May 25, 2017 (the Petition Date ), each of the Debtors filed a voluntary petition for relief under chapter 11 of the Bankruptcy Code (the Cases ) with the Court. The Debtors are authorized to continue operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. On June 20, 2017, United States Trustee for the Southern District of New York (the United States Trustee ) appointed a Patient Care Ombudsman in these cases. No trustee or examiner has been appointed in the Cases. 3. On June 8, 2017, the United States Trustee selected the Committee members. On June 15, 2017, the United States Trustee filed the Notice of Appointment of Official Committee of Unsecured Creditors and on June 16, 2017 filed an amended notice of appointment. The Committee is presently comprised of the following five members: (i) Elekta, Inc.; (ii) Florida Oncology Partners, LLC; (iii) McKesson Specialty Care Distribution Corporation; (iv) Steven Brehio and (v) Cardinal Health 108, LLC. Also on June 8, 2017, the Committee selected Page 2 of 15

7 Pg 7 of 111 Morrison & Foerster as its legal counsel, and BRG as its financial advisor. On August 12, 2017, this Court entered an order (Dkt. No.310) (the BRG Retention Order ) authorizing the Committee to retain BRG nunc pro tunc to June 8, 2017 to serve as financial advisor. 4. The BRG Retention Order authorized BRG to receive compensation and reimbursement of expenses upon appropriate application in accordance with section 328(a) of the Bankruptcy Code. 5. On July 19, 2017 this Court entered the Order (I) Establishing Procedures for Interim Compensation and Reimbursement of Expenses for Retained Professionals and (II) Granting Related Relief (Dkt. No. 233) (the Interim Compensation Order ). This Application is made in accordance with the terms of the Interim Compensation Order. 6. On October 13, 2017, the Debtors filed the Joint Chapter 11 Plan of Reorganization and related Disclosure Statement. As of the date hereof, the plan of reorganization has not yet been confirmed. PROFESSIONAL FEES AND DISBURSEMENTS 7. By this Application, BRG seeks allowance of fees in the amount of $1,502, for professional services rendered for and on behalf of the Committee during the Fee Period, and $3, for reimbursement of actual and necessary costs and expenses incurred in connection with the rendering of such services, for a total award of $1,506, BRG expended an aggregate of 2,275.0 hours at a blended hourly rate of $ Attached as Exhibit B is a summary of the hours expended by BRG professionals for each category of services (task code). 9. Attached as Exhibit C are BRG s time records for the Fee Period which include detailed daily time logs describing the time spent by each BRG professional in these cases. Page 3 of 15

8 Pg 8 of BRG also maintains records of all actual and necessary out-of-pocket expenses incurred in connection with the rendition of its professional services. Attached as Exhibit D is summary schedule of expenses incurred during the Fee Period. 11. Attached as Exhibit E is an itemization and description of each expense incurred within each category. The disbursements and expenses have been incurred in accordance with BRG s normal practice of charging clients for expenses clearly related to and required by particular matters. BRG has endeavored to minimize these expenses to the fullest extent possible. SUMMARY OF SERVICES RENDERED 12. BRG is a global strategic advisory and expert consulting firm that provides independent expert testimony, litigation and regulatory support, authoritative studies, strategic advice, advisory services relating to restructuring and turnaround, due diligence, valuation, and capital markets, and document and data analytics to major law firms, Fortune 500 corporations, government agencies, and regulatory bodies around the world. 13. Since being retained by the Committee, BRG has rendered professional services to the Committee as requested and as necessary and appropriate in furtherance of the interests of the unsecured creditors of the Debtors estates. BRG respectfully submits that the professional services that it rendered on behalf of the Committee were necessary and have directly benefited the creditor constituents represented by the Committee and have contributed to the effective administration of these cases. 14. BRG submits that the interim fees applied for herein for professional services rendered in performing services for the Committee in this proceeding are fair and reasonable in view of the time spent, the extent of work performed, the nature of the Debtors capitalization structure and financial condition, the Debtors financial accounting resources and the results Page 4 of 15

9 Pg 9 of 111 obtained. BRG s fees typically are based on the actual hours charged at BRG s standard hourly rates in effect at the time services are rendered. 15. The work involved, and thus the time expended, was carefully assigned in light of the experience and expertise required for a particular task. The staff utilized sought to optimize efficiencies and avoid redundant efforts. The staff of the Debtors or their advisors has been utilized where practical and prudent. 16. BRG believes that there has been no duplication of services between BRG and any other consultants or accountants to the bankruptcy estate. 17. BRG s approach is to utilize senior, experienced personnel and to encourage the Debtors to provide the staff-level support and analysis to minimize total cost. In addition, BRG s per diem rates for professionals of comparable experience are 10% to 20% lower than its competitors, the Big-Four accounting firms and certain other nationally-recognized specialty firms. We believe that the compensation in this Application is based on the customary compensation charged by comparably skilled professionals in cases other than cases under Title Because BRG s core staff consisted of senior professionals who performed a vast amount of the work, time spent communicating internally and reviewing the work product of junior associates was kept to a minimum. Additionally, because of the experience of BRG s professionals, in many instances only three or fewer BRG representatives attended meetings, hearings, or conference calls or performed specific functions. 19. No agreement or understanding exists between BRG and any other person for the sharing of compensation received or to be received for services rendered in connection with the chapter 11 cases, except for internal agreements among employees of BRG regarding the sharing of revenue or compensation. Neither BRG nor any of its employees has entered into an Page 5 of 15

10 Pg 10 of 111 agreement or understanding to share compensation with any entity as described in Bankruptcy Rule BRG s travel time policy is to not charge such time to a client unless productive work is performed during the travel period. In this engagement, non-productive travel time is not being charged to the Debtors. 21. The general summary of the services rendered by BRG during the Fee Period based on tasks and number of hours is set forth below. Asset Acquisition/Disposition Task Code Time charged to this task code relates principally to the analysis of the Debtors proposed core and non-core asset sales, and preparation of reporting to Counsel and the Committee thereon. 23. BRG has expended 51.3 hours on this category for a fee of $35, DIP Financing Task Code Time charged to this task code relates to the Debtor s DIP Financing, including: (i) evaluating the terms of the DIP Financing, (ii) analyzing DIP budget and related liquidity, (iii) analyzing the DIP Motion and (iv) developing reports for Counsel and the Committee with respect to the DIP Financing. 25. BRG has expended hours on this category for a fee of $62, Professional Retention/ Fee Application Preparation Task Code Time charged to this task code relates to the preparation, review and editing of BRG s retention application and June and July fee statements. 27. BRG has expended 51.9 hours on this category for a fee of $16, Page 6 of 15

BRG has expended 4.6 hours on this category for a fee of $4, Interaction/ Meetings with Debtors/ Counsel Task Code Time charged to this task code relates to BRG s attendance on calls and at meetings with the Debtors and its professionals concerning the Debtors business plan, DIP budget, proposed asset dispositions, estimated claims, operating performance, negotiation of restructuring terms, and preparation of and follow-up on information requests. 31. BRG has expended 90.0 hours on this category for a fee of $67, Interaction/ Meetings with Creditors Task Code Time charged to this task code relates to preparation for and participation in meetings/calls with the Committee, the Committee s Counsel, and individual creditors, and reviewing correspondence in order to update the Committee on the status of case issues. 33. BRG has expended hours on this category for a fee of $111, Employee Issues/KEIP Task Code Time charged to this task code relates to BRG s evaluation of the Debtors payroll motion and physician reimbursement proposals. 35. BRG has expended 13.0 hours on this category for a fee of $10, Recovery/ SubCon/ Lien Analysis Task Code Time charged to this task code relates to BRG s efforts in connection with recoveries to creditors pursuant to the Debtors proposed Restructuring Support Agreement ( RSA ), including: (i) evaluation and analysis of the proposed rights offerings and other RSA Page 7 of 15

BRG has expended hours on this category for a fee of $181, Claim Analysis/ Accounting Task Code Time charged to this task code relates to BRG s efforts in analyzing creditor claims and related interests, including forecasting total unsecured claims under varying case scenarios, and preparation of claims related presentations to Counsel and the Committee. 39. BRG has expended hours on this category for a fee of $146, Statements and Schedules Task Code Time charged to this task code relates to analysis of the Debtors schedules of assets and liabilities, statements of financial affairs and preparation of a related report to the Committee. 41. BRG has expended 97.2 hours on this category for a fee of $53, Intercompany Transaction/Balances Task Code Time charged to this task code relates to BRG s analysis of intercompany activity, including: (i) analyzing historical related party transactions, (ii) reviewing historical documentation of intercompany transactions and balances, and (iii) reporting to Counsel and the Committee thereon. 43. BRG has expended 37.7 hours on this category for a fee of $29, Executory Contracts/ Leases Task Code Time charged to this task code relates to analyzing the Debtors leases with affiliated parties, lease rejections, Management Services Agreement, and reporting to Counsel and the Committee thereon. 45. BRG has expended 99.9 hours on this category for a fee of $46, Operating and Other Reports Task Code Time charged to this task code relates to analysis of the Debtors operating reports and development of BRG reports to the Committee. Such reports included outlook for Medicare reimbursement rates, quarterly financial results, and other financial presentations. 49. BRG has expended 78.8 hours on this category for a fee of $47, Cash Flow/ Cash Management Liquidity Task Code This task code relates to time spent by BRG analyzing the Debtors weekly operating cash flows and forecasted liquidity, including analysis of the Debtors weekly reporting package, discussions with the Debtors management and regular reporting to Counsel and the Committee thereon. 51. BRG has expended hours on this category for a fee of $121, Projections/ Business Plan/ Other Task Code Time charged to this task code relates to BRG s efforts in evaluating the Debtors business plan, including analyzing assumptions underlying the business plan to determine reasonableness, comparing actual results with the business plan, evaluating the Debtors ability to support the proposed restructured capital structure, and reporting to Counsel and the Committee thereon. 53. BRG has expended hours on this category for a fee of $150, Page 9 of 15

BRG has expended 0.8 hours on this category for a fee of $ Tax Issues Task Code Time charged to this task code relates to BRG s efforts in evaluating the Debtors net operating loss carry forwards and potential impact on valuation. 57. BRG has expended 4.3 hours on this category for a fee of $4, Plan of Reorganization/Disclosure Statement Task Code Time charged to this task code relates to BRG s analysis of the Debtors Restructuring Supporting Agreement and assisting counsel with the Objection of the Official Committee of Unsecured Creditors to the Debtors motion for entry of an order authorizing the Debtors to enter into the Backstop Purchase Agreement, including preparation of the Kearns Backstop Fee Declaration in support thereof, which included evaluation of the: (i) proposed rights offerings structure, (ii) unsecured creditor recoveries, and (iii) proposed put option payment. 59. BRG has expended hours on this category for a fee of $200, Valuation Analysis Task Code Time charged to this task code relates to BRG s analysis of the Debtor s valuation and BRG s preparation of an illustrative range of valuations and related analyses. Specific tasks performed in this category included: (i) development of unsecured creditor recovery scenarios based on such illustrative range of valuations, (ii) the review of observable market data relevant to the valuation of the Debtors including the observed trading prices of the Debtors debt securities and transactions and trading multiples for comparable companies, (iii) analysis of the Page 10 of 15

15 Pg 15 of 111 valuation impact of the Rights Offerings and backstop agreements on creditor recoveries, (iv) valuation of the proposed warrants, (v) adjustment of the Debtors financial projections to reflect the valuation impact of operational cost savings initiatives, and (vi) the preparation of presentations to Counsel and the Committee thereon. 61. BRG has expended hours on this category for a fee of $98, Planning Task Code Time charged to this task code principally relates to preparation and update of BRG s work and staffing plans. 63. BRG has expended 29.1 hours on this category for a fee of $23, Document Review Task Code Time charged to this task code relates to time spent reviewing court documents and documents posted to the Debtors data room. 65. BRG has expended 10.7 hours on this category for a fee of $6, Overseas/Foreign Entity Proceedings Task Code Time charged to this task code relates to time spent by BRG reviewing and analyzing the Debtors international business unit (MDL). Specific tasks performed in this category included (i) reviewing historical information in regards to MDL s operations, (ii) preparing a stand-alone valuation of the MDL entity, (iii) analyzing MDL s liquidity forecast, and (iv) reporting to Counsel and the Committee thereon. 67. BRG has expended 37.8 hours on this category for a fee of $26, Business Transaction Investigation Task Code Time charged to this task code relates to time spent by BRG reviewing and analyzing the Debtors related party agreements. 16 Pg 16 of 111 included (i) reviewing historical financial filings for disclosures of related party transactions, (ii) analyzing potential insider claims, and (iii) reporting to Counsel and the Committee thereon. 69. BRG has expended 72.8 hours on this category for a fee of $38, ACTUAL AND NECESSARY EXPENSES 70. BRG incurred actual out-of-pocket expenses in connection with the rendition of the professional services to the Committee as summarized above, in the sum of $3, BRG submits that such expenses were reasonable and were necessary to discharge its services and were in conformity with the Local Guidelines, and BRG respectfully requests reimbursement in full. 71. The disbursements and expenses were incurred in accordance with BRG s normal practice of charging clients for expenses clearly related to and required by particular matters. Such expenses were often incurred to enable BRG to devote time beyond normal office hours to matters, which imposed extraordinary time demands. BRG has endeavored to minimize these expenses to the fullest extent possible. 72. BRG s billing rates do not include charges for photocopying, telephone and facsimile charges, computerized research, travel expenses, working meals, secretarial overtime, postage and certain other office services, because BRG charges each of its clients only for the costs actually incurred related to performing services for such client. BRG has endeavored to minimize these expenses to the fullest extent possible and does not consider such charges to constitute overhead. 73. In providing a reimbursable service such as copying or telephone, BRG does not make a profit on that service. In charging for a particular service, BRG does not include in the amount for which reimbursement is sought the amortization of the cost of any investment, Page 12 of 15

In seeking reimbursement for a service, which BRG justifiably purchased or contracted for from a third party, BRG requests reimbursement only for the amount billed to BRG by such third party vendor and paid by BRG to that vendor. CERTIFICATION 74. As required by the Guidelines, a certification that the facts set forth in this Application are true and correct, and that this Application complies substantially with the Guidelines, is attached hereto as Exhibit A and made part of this Application. COMPLIANCE WITH GUIDELINES 75. BRG believes that this Application substantially complies with the Guidelines. To the extent there has not been material compliance with any particular rule or guideline, BRG respectfully requests a waiver or an opportunity to cure. NOTICE AND NO PRIOR APPLICATION 76. Notice of this application has been given to (a) the Debtors; (b) counsel for the Debtors; (c) the Office of the United States Trustee for the Southern District of New York; (d) counsel to the ad hoc committee of lenders under the Debtors prepetition secured credit facility; (e) counsel to the administrative agent under the Debtors prepetition secured credit facility; (f) counsel to the Committee; (g) counsel to each of the administrative agent under the Debtor s prepetition secured credit facilities; (h) counsel to the indenture trustee for the Debtors 11% senior notes due 2023; (i) counsel for the ad hoc group of crossover lenders under the Debtors prepetition secured credit facilities and holders of the Debtors 11% senior notes due 2023; (j) counsel for the agent under the Debtors postpetition financing facility; (k) counsel to the lenders under the Debtors postpetition financing facility; and (l) to the extent not listed herein those parties requesting notice pursuant to Bankruptcy Rule In light of the nature of the relief requested herein, BRG submits that no further or other notice is required.
