Resolution to enter into a contract for the sale of 12 White Street, Cohoes, New York. - Mike Jacobson 5. Resolution to enter into a contract for sale of the following properties with TCB Holdings, Inc.: 1 Willow Street, 13 Willow Street, 113 Main Street, 122 Main Street, 173 Main Street and 185 Main Street, Cohoes, New York. - Mike Jacobson 6. Discussion of update to Procurement Policy- Debbie Jacques 7. Updates: - Mike Jacobson
2 MINUTES OF THE MEETING OF THE COHOES LOCAL DEVELOPMENT CORPORATION BOARD HELD AT City Hall Cohoes, NY August 10, 8:00 a.m. MEMBERS PRESENT: Ralph Signoracci Mike Jacobson John Frainier Fred Neudoerffer Ralph Pascale MEMBERS NOT PRESENT: N/A ALSO PRESENT: Mike Durocher, CFO Debbie Jacques, CEO John Frainier called the meeting to order at 8:01 a.m. MINUTES John Frainier presented the minutes. There were no changes or questions to the minutes. Ralph Signoracci made a motion to accept the minutes. Ralph Pascale seconded the motion. Motion passed unanimously. FINANCIALS Mike Durocher presented the financials as of August 7, 2017 and the Loan report as of July 31, Mike Durocher gave an update on the status of the loans and stated that the Brian Kremer was in process of filing judgment against The Black Cat. There were no further questions or changes to the financials. Ralph Signoracci made a motion to accept the financial statements. John Frainier seconded the motion. Motion passed unanimously. RESOLUTION TO ACCEPT PROPERTY LOCATED AT REMSEN STREET & 168 REMSEN STREET FROM THE COHOES INDUSTRIAL DEVELOPMENT AGENCY Mike Jacobson stated that the IDA is going to transfer Remsen Street and 168 Remsen Street to the CLDC. He further stated that he has been working with a developer to purchase 12 White Street from the CLDC and the developer would like to have the option to purchase these lots in the future, if necessary. Ralph Pascale made a motion to approve the resolution. John Frainier seconded the motion. Ralph Signoracci abstained from the vote. The motion passed. RESOLUTION TO ACCEPT PROPERTY LOCATED AT 179 REMSEN STREET FROM THE CITY OF COHOES Mike Jacobson stated that the City Council approved a resolution to transfer the parking lot at 179 Remsen Street to the CLDC. He further stated that like the lots at and 168 Remsen Street, this lot would have an option by the developer of 12 Wh ite Street, if necessary. John Frain ier questioned what the impact would be on the downtown parking. Mike Jacobson stated that by the time the options were executed an
3 alternative parking solution would be in place. Ralph Pascale made a motion to approve the resolution. John Frainier seconded the motion. Ralph Signoracci abstained from the vote. Motion passed. RESOLUTION AUTHORIZING THE GUARANTY OF THE IDA NOTE OF $217,500 UNDER THE $1,000,000 LINE OF CREDIT WITH PIONEER BANK Mike Jacobson stated that the IDA will be purchasing 84 & 88 Remsen Street by the end of the month. The bank attorney is requesting a resolution for each transaction under the line of credit. Mike Jacobson stated that the intention is to divide the parking lot next to Canal Square from 88 Remsen Street and the parking lot in the rear and then sell the building with the parking lot in the rear. Mike Jacobson made a motion to approve the resolution. Ralph Signoracci seconded the motion. Motion passed unanimously. UPDATES Debbie Jacques stated that Alana Sparrow was unavailable to come to the board meeting but that the group was still interested in pursuing the Spindle City Dog Park and would like the have the CLDC handle the finances. After a brief discussion the board agreed to handle the finances. Ralph Pascale asked Mike Jacobson when the work on the Cohoes Hotel was going to begin. Mike stated that they should be closing on the financing portion of the project and work should be beginning shortly. Mike Jacobson told the board that all of the CFA Grant Applications have been filed. Fred Neudoerffer asked the status of the ORI application. Mike Jacobson stated that Cohoes was called in for a personal interview as one of the finalist but, Hudson received the award. Being no further business Ralph Signorraci made a motion to adjourn the meeting. seconded the motion. Motion passed unanimously.
