1 2018 Seminar Awards Rules July 1, 2017 June 30, 2018 Sales Director and Consultant Queens Courts of Personal Sales Qualifications: Independent sales force members must have at least $40,000 or more in adjusted personal estimated retail production during the contest period (July 1, 2017 June 30, 2018). Ranking of the Top 20, including the Queen and Runners-Up in each court, will be determined by adjusted personal estimated retail production. Although the suggested retail value of the orders placed in a calendar month may be higher, no more than $13,000 adjusted personal estimated retail production per month will count toward your total contest credit. Ties will be broken by the adjusted wholesale amount of Section 1 orders placed during the Seminar contest period. Rewards: Courts of Personal Sales achievers receive onstage recognition and their choice of one of the prizes available for this court. See the Seminar Awards page on Mary Kay InTouch for details. Each Top 3 achiever of this court will receive one of the above court prizes, PLUS the: o Runners-Up or Queen Bee. o Runners-Up or Queen Ring. o $350 gift certificate for her spouse. Queen s Court of Sharing Qualifications: Independent sales force members must have at least 24 of more qualified* new personal team members during the contest period (July 1, 2017 June 30, 2018). A qualified* new personal team member is one: Whose initial order with the Company is $600 or more in wholesale Section 1 products, and it is received and accepted by the Company in the same or following calendar month that her/his Independent Beauty Consultant Agreement is received and accepted by the Company (A+1). OR Whose Independent Beauty Consultant Agreement is received and accepted by the Company during the contest period and who also achieves at least one quarter of Star Consultant status by June 15, Ranking of the Top 20, including the Queens and Runners-Up, will be determined by personal team commissions earned on the 24 or more qualified new personal team members. A maximum of 13 new team members may count toward the 24 required in any calendar month. A new team member who becomes qualified will count toward the monthly maximum of 13 in the month her signed Independent Beauty Consultant Agreement is received and accepted by the Company, not the month she becomes qualified. If more than 13 new team members Agreements are processed in a calendar month during the contest period, the 13 with the highest commissions earned by the

2 recruiter will count toward the maximum. Please note that a qualified new personal team member who returns product to the Company for repurchase during the contest period, resulting in net wholesale Section 1 production below $600 at the end of the contest period, will not count toward the Queen s Court of Sharing. Rewards: Court of Sharing achievers receive onstage recognition and their choice of one of the prizes available for this court. See the Seminar Awards page on Mary Kay InTouch for details. Each Top 3 achiever of this court will receive one of the above court prizes, PLUS the: o Runners-Up or Queen Bee. o Runners-Up or Queen Ring. o $350 gift certificate for her spouse. Independent Sales Director New Offspring Retail Credit Independent Sales Directors who debut one or more U.S. first-line offspring Independent Sales Directors from July 1, 2017, to June 30, 2018, can count up to $25,000 of their first-line offspring s unit retail production toward their own Unit Circle recognition. The U.S. first-line offspring Sales Director must maintain her status as an Independent Sales Director as of June 30, 2018, for the credit to be applied to the Senior Sales Director s year-end unit retail amount. Circle of Achievement ($300,000 - $600,000) Qualifications: Independent Sales Directors must achieve at least $300,000 in adjusted unit estimated retail production. Recognition begins at the $300,000 level of adjusted unit estimated Achieves the Circle of Achievement will receive a plaque with her name and circle level achieved and onstage recognition. Achieves a higher Unit Circle than her previous year will receive a $1,000 bonus. Exceeds all previous years production starting at the $300,000 unit estimated retail Achieves the $500,000 Circle of Achievement and above will receive her choice of one of the prizes available for the Half-Million-Dollar Circle of Achievement. Circle of Excellence ($650,000 $750,000) Qualifications: Independent Sales Directors must achieve at least $650,000 in adjusted unit estimated retail production. Recognition begins at the $650,000 level of adjusted unit estimated Achieves the Circle of Excellence will receive a plaque with her name and circle level achieved and onstage recognition.

3 Achieves a higher Unit Circle than her previous year will receive a $1,000 bonus. Exceeds all previous years production starting at the $650,000 unit estimated retail Achieves Circle of Excellence will receive her choice of one of the prizes available for the $500,000 Circle of Achievement Court. See the Seminar Awards page on Mary Kay InTouch for details. Achieves Circle of Excellence will earn the Top Sales Director Trip. Circle of Excellence Prestige ($800,000 and above) Qualifications: Independent Sales Directors must achieve at least $800,000 in adjusted unit estimated retail production. Recognition begins at the $800,000 level of adjusted unit estimated Achieves the Circle of Excellence Prestige will receive a plaque with her name and circle level achieved and onstage recognition. Achieves a higher Unit Circle than her previous year will receive a $1,000 bonus. Exceeds all previous years production starting at the $800,000 unit estimated retail Achieves Circle of Excellence Prestige will receive her choice of one of the prizes available for the $500,000 Circle of Achievement or the Prestige ring. See the Seminar Awards page on Mary Kay InTouch for details. Achieves Circle of Excellence Prestige will earn both the Top Sales Director Trip and the Prestige Trip. Each Independent Sales Director who achieves the Million-Dollar Circle of Excellence will receive all the above, PLUS: $1,000,000 Perks o Hotel Suite on the Top Sales Director Trip o Limousine service to the Awards Show o Onstage recognition with your unit members o $5,000 Bonus o Business-class airline upgrade for your Top Sales Director Trip $2,000,000 Perks, all the above, PLUS o An additional $5,000 bonus for a total of $10,000 Each Top 3 Sales Director will receive one of the Circle of Achievement, Circle of Excellence or Circle of Excellence Prestige prizes, PLUS Runners-Up or Queen Bee. Runners-Up or Queen Ring. $350 gift certificate for her spouse. Top 10 Sales Directors Ranking of the Top 10 Sales Directors for each Seminar area and nationwide, including the Queens and Runners-Up, will be determined by adjusted unit estimated retail production. Ties

4 will be broken based upon the adjusted wholesale amount of Section 1 orders placed during the Seminar contest period. Double Star Achievement Award Qualifications: Independent Beauty Consultants must achieve both the Consultant Queen s Court of Personal Sales and the Queen s Court of Sharing. Independent Sales Directors must achieve two of the three following categories: Sales Director Queen s Court of Personal Sales, Queen s Court of Sharing, or Circle of Achievement or Circle of Excellence. Rewards: Each Independent Beauty Consultant and Independent Sales Director who qualifies will receive a $100 gift certificate and onstage recognition. Triple Star Achievement Award Qualifications: Independent Sales Directors must achieve the Sales Director Queen s Court of Personal Sales, Queen s Court of Sharing AND the Circle of Achievement or Circle of Excellence. qualifies will receive A $100 gift certificate and onstage recognition. The 14-karat white gold wire necklace with add-on diamond charms. In the first year, she will receive the wire necklace and diamond loop. As her achievements grow each year, so does her necklace. After the ninth year, when the necklace is completed, she will receive matching earrings. Additional Qualification Details Spouses may be Mary Kay Independent Beauty Consultants. However, there may be only one Independent Sales Director per spouse team. They may operate separately, just as if they were not related. However, for Company record purposes, one will be considered a personal team member of the other. In other words, the spouse of an Independent Beauty Consultant must be recruited by that Beauty Consultant. The personal team commission and Team-Building Bonus normally paid on team members will not be paid when a spouse recruits her/his spouse. The spouse will not count in any way toward Independent Sales Director qualification or any Company promotions or awards, including Court of Sharing as well as qualification for or maintenance of a Career Car under the Grand Achiever Career Car program. When participating in the Courts of Personal Sales, Court of Sharing, Circles of Achievement or Excellence, you are competing for ranking within your designated Seminar affiliation. And in order to receive recognition at Seminar, you must attend your designated Seminar-affiliated event. The Top 20 qualifiers of each court must be registered for their designated Seminaraffiliated event by the registration deadline (on-site registration not applicable) and must attend their designated Seminar-affiliated event to be recognized as a Top 20 achiever.

5 Those who qualify for the Top 20 and register on-site may participate in the onstage court parade and receive their court prizes, but will not be featured in any designated Top 20 recognition. The Top 3 qualifiers of each court must be registered for their designated Seminaraffiliated event by the registration deadline (on-site registration not applicable) and must attend their designated Seminar-affiliated event to be recognized as a Top 3 achiever and earn the designated Queen/Runners-Up prizes and Applause recognition. Those who qualify for the Top 3 and register on-site may participate in the onstage court parade and receive their court prizes, but will not be featured in any designated Top 3 recognition. Additionally, those who do not register by the Seminar registration deadline and/or do not attend their designated Seminar-affiliated event will receive by mail their court prizes and a $500 check. If you debut as an Independent National Sales Director and achieve any of the courts and/or circles prior to your National Sales Director debut date, you will receive the prize associated with that court and/or circle. In addition, if a new National Sales Director achieves a higher Unit Circle, her Senior National Sales Director will also receive the $1,000 bonus. Estimated Retail Production equals adjusted estimated retail sales, calculated based on wholesale purchases of Section 1 products, and the retail value of Section 1 product bonuses. *Orders and Independent Beauty Consultant Agreements must be received and accepted by the Company between July 1, 2017, and June 30, 2018, to count toward Seminar 2018 contest credit. To receive an award, an Independent Beauty Consultant must be in good standing with the Company at the time the award is presented.
