2 INTRODUCTION Tourism Corporation of Gujarat Limited is a Company completely belonging to Government of Gujarat established under Companies Act, This Corporation was established in the year 1975 and the Corporation started its commercial work from The Corporation undertakes commercial and promotional activities for development of tourism industry as Nodal Agency of State Government. As per audited report for the financial year the financial detail of the Corporation is as under: Authorized share capital Paid up Share capital Total revenue receipt for the year Expenditure for the year Income tax paid for the year Rs Crore Rs Crore Rs Crore Rs Crore Rs Crore Grant to be received from Government are as under 1. Internal audit on quarterly basis for all branches (Unit/ TIB) including Head Office of the Corporation shall conducted and its quarterly report shall be sent in One copy to the Managing Director, TCGL, Gandhinagar. A list of Unit/TIB is enclosed herewith.

3 2. Under pre-audit system, pre-audit of vouchers for payment of more than Rs.10,000/- of the Corporation shall be conducted at Head Office of the Corporation during all working days. The Pre audit should be conducted by person who have completed Inter CA both Group as per the institute of chartered accountant of India and with have fully knowledge of GST Act 2017 and other all law of Income Tax. Pre Audit timing will be pm to 6.00 pm at Head Office of Gandhinagar The Pre Audit will be headed on Every Friday by Senior Chartered Accountant having knowledge of GST Act 2017 and other applicable laws of Income Tax. Pre Audit team must be constituted with Minimum 3 members and have to submit along with certificate of membership/completed Inter CA both Group and work of Experience 1) Senior Person as Pre Audit Team Leader 2) Senior Person knowledge of GST Act2017 3) Person who will be deployed at our office Remark: Member of the above Audit team shall not be changed without priorconsent of Audit Branch of TCGL. Penalty of Rs.500 per day can be imposed on Firm/ individual or any person who contravenes to any of the work related to this tender rules. And specifically, the EMD will be forfeited after one notice. 3. Accounts shall be get audited by Statutory Auditor and Internal auditors work shall be coordinated with Statutory Auditor as per requirement.

4 4. All ancillary works shall be carried out until annual accounts are passed in Audit Committee/Board of Directors and Annual General meeting. 5. When any opinion is sought with respect to any item of account/audit of Corporation, it shall be provided after verification of requisite record. 6. Besides above work, any work relating to internal audit shall be carriedout by selected firm/individual. 7. Audit Team will be working and reporting to Shri Vinod Bhadarka Assistant Manager Audit Branch, TCGL. STAGES FOR PAYMENT OF PROFESSIONAL FEES. Payment of professional fee shall be made in following stages: A. After completion of 6 months of current financial year i.e. 1 st October:25% of total fees. B. After completion of financial year i.e. 31st March: 50% of total fees. C. After approval of Annual Accounts in AGM :Balance 25% CRITERIA FOR SELECTION (Proof to be attached). Firm/ individual shall be a member of Institute of CharteredAccountants of India. Firm/individual shall have experience of at least 10 years. Firm/individual shall have minimum of 7 years experience in Government Company as Internal Auditor/Statutory Auditor/ TaxConsultant. Firm/individual shall have minimum of 5 years experience in Government Company as Statutory Auditor appointed by offices of Accountant General, New Delhi.

5 Firm/individual shall have experience of dealing with GST Work in Government Company. PERIOD OF WORK: This tender will be valid for 2 years, i.e & However, considering satisfactory work, the appointment may beextended for maximum of 1 more year. The Corporation reserves the rightto extend the tenure or terminate the appointment on account ofunsatisfactory performance. TECHNICAL & FINANCIAL BID 1. Every firm/individual shall submit technical bid along withsupporting documents with respect to selection criteria inspiral bound format. The envelope shall be super-scribed"tender for Appointment of Internal Auditor " and same shallbe deposited with Registered Office of the Corporation up to thelast date in sealed position. 2. No document/s etc. of financial bid should be submittedphysically. The financial bidding to be done through only. 6 TENDER FEE: Every firm/individual shall deposit Rs.1000/- as Tender fee and EMD Rs. 50,000/- along withtechnical bid. For tender fee and EMD, the D.D. shall be drawn in favour of "TourismCorporation of Gujarat Limited" payable at Gandhi agar. EMD of selected bidder will be deposited with corporation as security deposit. VERFICATION OF BID The technical bid will be verified by the Corporation and financial bid ofeligible firm/individual will be opened. FORCE MAJEURE CLAUSE: The Corporation reserves the right to accept or reject any tender for which, no reason shall be assigned. No dispute or correspondence in this regard shall be entertained.
