5 General Tender Terms & Conditions for e-procurement This tender is an e-tender and is being published online for Sinking & constructing of open well at Malayora Dairy campus. The tender is invited in two cover system from the registered and eligible firms/person through e-procurement portal of Government of Kerala ( Prospective bidders willing to participate in this tender shall necessarily register themselves with above mentioned e-procurement portal. The tender timeline is available in the critical date section of this tender published in A). Online Bidder registration process: Bidders should have a Class II or above Digital Signature Certificate (DSC) to be procured from any Registration Authorities (RA) under the Certifying Agency of India. Details of RAs will be available on Once, the DSC is obtained, bidders have to register on website for participating in this tender. Website registration is a one-time process without any registration fees. However, bidders have to procure DSC at their own cost. Bidders may contact e-procurement support desk of Kerala State IT Mission over telephone at , , or , through etendershelp@kerala.gov.in for assistance in this regard. B). Online Tender Process: The tender process shall consist of the following stages: i. Downloading of tender document: Tender document will be available for free download on However, tender document fees shall be payable at the time of bid submission as stipulated in this tender document. ii. Pre-bid meeting: No pre-bid meeting for this tender. iii. Publishing of Corrigendum: All corrigenda shall be published on and shall not be available elsewhere. iv. Bid submission: Bidders have to submit their bids along with supporting documents to support their eligibility, as required in this tender document (clause No.3, Instruction to Bidders) of No manual submission of bid is allowed and manual bids shall not be accepted under any circumstances. v.opening of Technical Bid and Bidder short-listing: The bids will be opened, evaluated and shortlisted on the date and time mentioned in critical date s section. 5
6 All documents in support shall be submitted (online). Failure to submit the documents online will attract disqualification. The department doesn t take any responsibility for any technical snag or failure that has taken place during document upload. (i). The Second Stage (Financial Cover or as per tender cover system): The Bidder shall complete the Price bid as per format given for download along with this tender. Note: The blank price bid should be downloaded and saved on bidder s computer without changing file-name otherwise price bid will not get uploaded. The bidder should fill in the details in the same file and upload the same back to the website. Fixed price: Prices quoted by the Bidder shall be fixed during the bidder's performance of the contract and not subject to variation on any account. A bid submitted with an adjustable/variable price quotation will be treated as non - responsive and rejected. v. Tender Document Fees and Earnest Money Deposit (EMD) The Bidder shall pay, a tender document fees of Rs.1,000/- and Earnest Money Deposit or Bid Security of Rs. 20,000/-. The Bid security is required to protect the purchaser against risk of Bidder s conduct, which would warrant the forfeiture of security. Online Payment modes: The tender document fees and EMD can be paid in the following manner through e-payment facility provided by the e-procurement system: i. State Bank ofindia (SBI) Internet Banking: IfabidderhasaSBIinternet banking account, then, during the online bid submission process, bidder shall select SBI option and then select Internet banking option. The e-procurement system will re-direct the bidder to SBI s internet banking page where he can enter his internet banking credentials and transfer the tender document and EMD amount. ii. National Electronic Fund Transfer (NEFT)If a bidder holds bank account in a different bank, then, during the online bid submission process, bidder shall select NEFT option. An online remittance form would be generated, which the bidder can use for transferring amount through NEFT either by using internet banking of his bank or visiting nearest branch of his bank. After obtaining the successful transaction receipt no., the bidder has to update the same in e-procurement system for completing the process of bid submission. Bidder should only use the details given in the Remittance form for making a 6
7 NEFT payment otherwise payment would result in failure in e-procurement system. As NEFT payment status confirmation is not received by e-procurement system on a real-time basis, bidders are advised to exercise NEFT mode of payment option at least 48 hours prior to the last date and time of bid submission to avoid any payment issues. NEFT payment should done according to following guidelines: i. Single transaction for remitting Tender document fee and EMD: Bidder should ensure that tender document fees and EMD are remitted as one single transaction. ii. Account number as per Remittance Form only: Account no. entered during NEFT remittance at any bank counter or during adding beneficiary account in Internet banking site should be the same as it appears in the remittance form generated for that particular bid by the e-procurement system. Bidder should ensure that tender document fees and EMD are remitted only to the account number given in the Remittance form provided by e-procurement system for that particular tender. Bidders must ensure that the banker inputs the Account Number (which is case sensitive) as displayed in the Remittance form. No additional information like bidder name, company name, etc. should be entered in the account no. column along with account no. for NEFT remittance. iii. iv. Only NEFT Remittance Allowed: RTGS payments, Account to Account transfers, State Bank Group Transfers (GRPT) or Cash payments are not allowed and are treated as invalid mode of payments. Bidder must ensure that the banker does NEFT transaction only irrespective of the amount and specially instruct the banks not to convert the payment type to RTGS or GRPT. Amount as per Remittance form: Bidder should ensure that the amount being remitted is neither less nor higher than the amount shown in remittance form. v. UTR Number: Bidders should ensure that the remittance confirmation (UTR number) received after NEFT transfer should be updated as it is, in the e- Procurement system for tracking the payment. vi. One Remittance Form per Bidder and per Bid: The remittance form provided by e-procurement system shall be valid for that particular bidder and bid and should not be re-used for any other tender or bid or by any other bidder. 7
8 Any transaction charges levied while using any of the above modes of online payment has be borne by the bidder. The supplier/contractor's bid will be evaluated only if payment status against bidder is showing Success during bid opening. vi. SUBMISSION PROCESS: For submission of bids, all interested bidders have to register online as explained above in this document. After registration, bidders shall submit their Technical bid and Financial bid online on along with online payment of tender document fees and EMD. It is necessary to click on Freeze bid link/ icon to complete the process of bid submission otherwise the bid will not get submitted online and the s ame shall not be available for viewing/ opening during bid opening process. 8
9 GENERAL TERMS & CONDITIONS Tender for Sinking and constructing open well of 4 meter diameter in the campus of Malayora Dairy, Kaithapram P.O, Sreekandapuram, Kannur. Malabar Regional Co-operative Milk Producers Union Ltd., Malayora Dairy invite competitive quotations for Sinking & constructing of open well of 4 meter in dia in Dairy campus for quantities detailed and subject to the following terms and conditions. 1. Eligibility and qualification requirements. 1.1 To be eligible for the award of Contact, bidders shall provide satisfactory evidence to the Malayora Dairy, Malabar Regional Co-operative Milk Producers Union Ltd regarding their eligibility, capacity and adequacy of resources to carry out the Contract effectively. To this end, all bids submitted shall include the following information. A. Details of the experience and past performance of the bidder (or of each party to a joint venture) on works of similar nature within the last three years, and details of current work in hand and other Contractural commintments shall be submitted as per Annexure II Schedule 1 and Schedule II of this bidding document. 1.2 For the purpose of this particular contract, bidder should meet the following qualifying criteria as minimum a. The bidder should be in business as contractor for civil works related to the water supply scheme viz. open well sinking, for a minimum period of five years at the time of bid opening. b. The bidder shall have executed a single work of value not less than 50% of the estimated value or two works each of not less than 40% of the estimated value, for which this invitation to bid is issued during the last ten years. c. Financial bids meeting requirements of the technical bids only will be opened for finalizing the tender. 1. Scope of work. a. Sinking and construction of an open well of 4m dia and 12m in depth with concrete side wall. 9
10 3. Schedule of Quantities and rates a. The specification for each item of work and schedule of quantities are given in the enclosed Annexures. b. The rate quoted shall be inclusive of all applicable taxes and duties, ESI Contribution, material cost, labour cost, transportation of materials to site, loading and unloading charges. Nothing extra will be paid on any account c. Quantities indicated in the schedule are only tentative and may vary to the +/- side. However, payment will be made for the actual quantity executed at site as per the directions of Engineer on unit rate basis. No extra claim shall be entertained on this account. d. The award of work shall be on item rate contract basis and no part of thework shall be considered on percentage or lumpsum basis unless specifically agreed by the undersigned. e. The unit rate quoted should remain firm for the entire duration of contract and nothing extra will be paid on any account 4. Tender Fee & Earnest Money Deposit a. The tender fee and EMD will be Rs. 1,000/- (Rs. One thousand only) and Rs.20,000(Rupees Twenty thousand only) respectively and the same shall be accepted through online NEFT transaction through the site b. The EMD of the successful quotationer will be released after signing of the agreement and submission of performance security. c. EMD will be returned through online NEFT transaction only. d. No interest will be paid for the EMD for the period for which it lies with the Malayora Dairy 5. Period of Validity The offers submitted by the quotationer shall remain valid for acceptance for a period of 90 days from the date of opening. 10
11 6. Period of Completion All the works specified in the scope of work should be completed in all respects within 180 days from the date of receipt of order. However, the quotationer after examining the scope of work and site conditions can specify in the offer, the shortest period by which he can complete the above works in all respects. 7. Agreement The successful bidder has to execute and agreement within 15 days of receipt of the order. Matter will be provided by Milma. 8. Submission of bills a. Bills shall be prepared in duplicate in the name of Dairy Manager, Milma, Kannur dairy, Pallikkunnu P.O, Kannur and shall be submitted to the Manager, Malayora Dairy for necessary certification and onward transmission to the office of MRCMPU, Kozhikode for releasing the payment. b. Payment shall be released against RA bills. However, the value of each bill shall not be less than Rs.3,00,000/- (Threee Lakhs only) c. After completion of the above work in all respects, the Contractor should submit the final bill along with the measurement sheets for all the works. d. While settling the bills, statutory deductions such as income Tax, sales tax on works contract, contribution to KCWWF, ESI,etc. will be deducted from the payment due to the contractor. 10. Guarantee:- The entire work executed should be guaranteed for a period of one year from the date of completion of the work for quality and workmanship. Incase any work or part thereof, is found defective due to substandard material, bad workmanship, the same shall be repaired/replaced by the contractor without any extra cost during the guarantee period and the entire expenditure towards such repair/replacement shall be borne by the contractor. 11 Liquidated Damages Incase the work is not completed within the stipulated period of completion, liquidated damage will be 1% per week for the value of the portion of work so delayed subject to a maximum of 10% of the unexecuted value of work. However, if the works are delayed due to genuine reasons beyond the control of the contractor, due consideration will be given while 11
12 operating the liquidated damages clause provided the contractor furnishes the documentary evidence for the same and the same is found to be acceptable. 12 General a. The work should be carried out in consultation with the Dairy Engineer, Malayora Dairy and should be strictly as per the specification, approved drawings and directions. b. The undersigned reserves the right to accept any quotation in part or full. c. The undersigned reserves the right to accept or reject any or all quotations without assigning any reason whatsoever and no explanation can be sought on this account. 12

15 FORM OF AGREEMENT (On Non-judicial stamp paper of Rs.500/-) THIS AGREEMENT made this day of (Two thousand and ) between Malabar Regional Co-operative Milk Producers Union Ltd. Asociety registered under the Kerala Co-operative Societies Act and having its registered office (herein after referred to as MRCMPU Malayora Dairy which expression shall, unless repugnant to the context meaning thereof include the successors and assignees of the MRCMPU Malayora Dairy) of the ONE PART, and (hereinafter referred to as the Contractor, which expression shall, unless repugnant to the context or meaning thereof. Include the heirs successors, assignees, executors and administrators f the contractor) of the OTHER PART. WHEREAS the MRCMPU is desirous that certain works should be executed viz., by work order no dtd accepted a bid by the Contractor for the execution. Completion and maintenance of such work. NOW THIS AGREEMENT WITNESSTH AS FOLLOWS: 1.0 In this agreement words and expressions shall have the same meanings as are respectively assigned to them in the Conditions of Contractor hereinafter referred to 2.0 The following documents shall be deemed to form and be read and constructed as a part of this agreement, viz., i. this Form of Agreement ii. the Letter of Acceptance iii. the said bid and Appendix iv. the Technical Specifications v. the Schedule of Quantities vi. the Schedule of Supplementary information vii. Special Conditions of Contract viii. General conditions of contract ix. Schedule of Materials to be issued by Owner/Malayora Dairy x. Form of Bank Guarantees 3.0 The aforesaid documents shall be taken as complementary and mutually explanatory of one another, but in the case of ambiguities shall take precedence in the order set out above 4.0 In consideration of the payment to be made by the Malayora Dairy to the Contractor as hereafter mentioned, the Contractor hereby covenants with the Malayora Dairy to execute, complete and maintain the works in conformity with the provisions of the contract. 15
16 5.0 The Malayora Dairy MRCMPU Ltd. hereby covenants to pay the Contractor in consideration of the execution, completion and maintenance of the works the Contract Price at the times and in the manner prescribed in the Contract. IN WITNESS WHEREOF the parties hereto have caused their respective common seals to be hereunto affixed the day, month and year first and written.
