GENERAL MANAGER S REPORT- Items for information and discussion A. Master Plan GM will provide verbal update General Manager Drexel gave an update and noted that the Master Plan is expected to be complete in September. Jim Nevin commented. B. Henderson Dam and Valve Repair Update GM will provide verbal update General Manager Drexel gave an update and noted that it would be nice to take care of the sludge and drain at the same time. C. Planning Grant GM will provide verbal update General Manager Drexel gave an update, noting that the ARSA Engineer is looking at different irrigation sites and options, including expanding the Hoskins and Bowers sites. D. System Status Report Chairman Peters noted a discrepancy in the Hoskins numbers on the Monthly Monitoring Report and the System Status Report. He also noted that the urgency in finding a solution needed to increase because time is running out and that by next month s meeting a plan should be in place. 7. ADMINISTRATIVE MATTERS A. Proposed Draft Budget for FY Review and Discuss Draft Budget. Schedule Public Hearing to Adopt Final Revised Budget General Manager Drexel presented the Draft Budget. The Board directed staff to work with the City of Sutter Creek on line items 21 through 25 and to adhere to the formula outlined in the JPA for members share of expenses and to bring it back to the Board for final approval. 15 STATE OF CALIFORNIA GOVERNOR S OFFICE OF EMERGENCY SERVICES Cal OES Instructions Cal OES Form 130 Instructions A Designation of Applicant s Agent Resolution for Non-State Agencies is required of all Applicants to be eligible to receive funding. A new resolution must be submitted if a previously submitted Resolution is older than three (3) years from the last date of approval, is invalid or has not been submitted. When completing the Cal OES Form 130, Applicants should fill in the blanks on page 1. The blanks are to be filled in as follows: Resolution Section: Governing Body: This is the group responsible for appointing and approving the Authorized Agents. Examples include: Board of Directors, City Council, Board of Supervisors, Board of Education, etc. Name of Applicant: The public entity established under the laws of the State of California. Examples include: School District, Office of Education, City, County or Non-profit agency that has applied for the grant, such as: City of San Diego, Sacramento County, Burbank Unified School District, Napa County Office of Education, University Southern California. Authorized Agent: These are the individuals that are authorized by the Governing Body to engage with the Federal Emergency Management Agency and the Governor s Office of Emergency Services regarding grants applied for by the Applicant. There are two ways of completing this section: 1. Titles Only: If the Governing Body so chooses, the titles of the Authorized Agents would be entered here, not their names. This allows the document to remain valid (for 3 years) if an Authorized Agent leaves the position and is replaced by another individual in the same title. If Titles Only is the chosen method, this document must be accompanied by a cover letter naming the Authorized Agents by name and title. This cover letter can be completed by any authorized person within the agency and does not require the Governing Body s signature. 2. Names and Titles: If the Governing Body so chooses, the names and titles of the Authorized Agents would be listed. A new Cal OES Form 130 will be required if any of the Authorized Agents are replaced, leave the position listed on the document or their title changes. Governing Body Representative: These are the names and titles of the approving Board Members. Examples include: Chairman of the Board, Director, Superintendent, etc. The names and titles cannot be one of the designated Authorized Agents, and a minimum of two or more approving board members need to be listed. Certification Section: Name and Title: This is the individual that was in attendance and recorded the Resolution creation and approval. Examples include: City Clerk, Secretary to the Board of Directors, County Clerk, etc. This person cannot be one of the designated Authorized Agents or Approving Board Member (if a person holds two positions such as City Manager and Secretary to the Board and the City Manager is to be listed as an Authorized Agent, then the same person holding the Secretary position would sign the document as Secretary to the Board (not City Manager) to eliminate Self Certification. 16 Amador Regional Sanitation Authority Item 6 Servicing Amador City, Martell, & Sutter Creek STAFF REPORT TO: ARSA BOARD OF DIRECTORS MEETING DATE: JULY 26, 2017 FROM: AMY GEDNEY, INTERIM GENERAL MANAGER SUBJECT: ARSA SYSTEM STATUS for Items 6A-6E RECOMMENDATION: For information and staff direction. BACKGROUND: The attached tables are intended to provide updated information regarding the components of the ARSA system. Due to sever winter storms in 2017, the ARSA system has excess effluent to be disposed. Since your last meeting, staff has been pursuing all avenues for disposal. DISCUSSION: The attachments listed below outline the technical details for the entire ARSA system. Attachment A is the monthly report submitted by the ARSA operator to the State. That includes irrigation outflows from the Bowers and Hoskins properties; and the outflows and freeboard levels at the ARSA maintained reservoirs. Attachment B shows the ARSA storage volumes as of 7/20/17. Attachment C shows historic volumes for the entire system from 2011 to the Present. On Monday July 24, 2017, staff met with staff from the Central Valley Regional Water Quality Control Board, CVRWQCB, to discuss options. Staff from the CVRWQCB was amenable to temporary approval of disposal on certain sites if it is consistent with existing applications and with landowner approval. As a result, staff will continue to work with CVRWQCB staff for final approval. Furthermore, ARSA staff will be working to resolve the technical issues related to disposal and will continue to report progress to the ARSA Board.

28 Amador Regional Sanitation Authority Item 7A Servicing Amador City, Martell, & Sutter Creek STAFF REPORT TO: THE HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL MEETING DATE: JULY 26, 2017 FROM: AMY GEDNEY, INTERIM GENERAL MANAGER SUBJECT: BUDGET RECOMMENDATION: Adopt Resolution * Adopting the annual operating budget. BACKGROUND: Each year the Board adopts a budget that defines how monies will be spent to operate the effluent disposal system and how much users will be charged to operate the system. Users are charged based on the previous year s wastewater flow to the City of Sutter Creek s, COSC, wastewater treatment plant. The ARSA Board contracts with the City of Sutter Creek, COSC, for management and operations of the ARSA system. The COSC determines the operating costs for employee services, and pays that directly to the COSC per the contract. Operational expenses such as fuel, liability insurance, engineering services etc are paid from ARSA funds directly to the vendor. DISCUSSION: This year s budget includes two key policy items that will need to be addressed in more detail once the Upper ARSA system planning has been concluded. Revenue: Grant- This was the Prop 13 grant for the Regional Feasibility Study. The study has been completed and ARSA has been reimbursed. Upper ARSA Improvement Planning Grant: This grant was funded with the intention of developing a long range plan for the upper ARSA system. The intent of the grant is to be able to review options and ultimately submit an application for a construction grant. The total planning grant is for $425,000 of which $66,000 has been expended and will be submitted for reimbursement. FEMA Reimbursement: Staff has been working with FEMA to be able to submit for reimbursement for costs incurred for storm damage repairs. Staff anticipates that these costs will be reimbursed. User Fees: This is revenue charged to ARSA users for members share of expenses based on actual flows into the COSC wastewater treatment plant. Amador City and the Amador Water Agency pay for their share of treatment directly to the COSC. Table 1 below shows historic flow percentages and how each members user fees are calculated.

First, the operations budget has a 5% set aside or contingency based on operational expenses. The Capital Expenses have a 10% set aside budgeted. Until we have completed the plans for the upper ARSA system, we do not know some of our future anticipated costs, but we need to begin programming a savings plan. As we develop a Capital Improvement Plan, we will be able to program these monies to projects. Summary: There remain a number of critical operational issues within the ARSA system, specifically, regarding Preston Reservoir. The costs relating to some of these issues remains unknown although staff is vigilantly pursuing options. It is anticipated, that the ending cash balance for the ARSA system will be roughly $660,000. This year we will be beginning set asides for and will in the future allocate those to specific projects as noted above.

30 RESOLUTION * A RESOLUTION OF THE GOVERNING BOARD OF THE AMADOR REGIONAL SANITATION AUTHORITY ADOPTING THE BUDGET FOR FISCAL YEAR WHEREAS, the Board of Directors of the Amador Regional Sanitation Authority, ARSA, desires to adopt an Annual Budget for the Fiscal Year July 1, 2017, to June 30, 2018; and WHEREAS, said Budget is a blueprint for anticipated expenses and revenues for the upcoming fiscal year, which will be reviewed on a monthly basis, and it may be necessary to make changes from time to time, and WHEREAS, the ARSA Board of Directors has reviewed said budget and has considered comments from the public, and NOW, THEREFORE, BE IT RESOLVED that the ARSA Board wishes to adopt the budget for Fiscal Year as shown in Attachment A which incorporates anticipated revenue assumptions and expenditures. BACKGROUND: At your last meeting, the ARSA board directed staff to return with an update regarding the status of the Gold Rush Ranch project located in the City of Sutter Creek. The City Attorney of Sutter Creek recently presented a report to the City Council regarding Gold Rush Ranch and his staff report is attached for your information.

34 STAFF REPORT TO: CITY COUNCIL MEETING DATE: MAY 15, 2017 FROM: DEREK COLE, CITY ATTORNEY SUBJECT: REPORT REGARDING CITY S OBLIGATIONS UNDER DEVELOPMENT AGREEMENT WITH THE GOLD RUSH RANCH DEVELOPER In 2010, the City approved entitlements for the development of the Gold Rush Ranch, including a Development Agreement with Gold Rush Golf, LLC (the Developer ). From 2010 until early 2016, these entitlements were under challenge by a plaintiff named Ken Berry. In late 2015, the Superior Court dismissed this lawsuit and Mr. Berry did not appeal. Technically, the lawsuit became final in late January 2016 (when the 60-day period for filing an appeal expired). Now that the Gold Rush Ranch litigation has concluded, the question arises whether the City has any obligations under the Development Agreement that it must fulfill as condition precedents to any of the Developer s obligations. The answer to that question is, most likely, yes. It appears that the City must complete its Sewer and ARSA Master Plans to facilitate the Developer s obligations concerning the construction of a new tertiary wastewater treatment plant ( Tertiary Plant ). In particular, Sections 1.8 and 2.15 of the Development Agreement describe the Parties responsibilities regarding the Tertiary Plant. Under Section 1.8, the Developer is required to execute a design and construction contact with the City regarding this broad subject. 1 The Developer is given 24 months from the date the Specific Plan for its overall project was approved, which occurred in January 2010, to enter into this agreement. The Developer also has up to 48 months from the date of the Specific Plan to complete construction of the Tertiary Plant. 1 Alternatively, the Developer may post bonds in an amount of 125% of the construction cost of the Tertiary Plant within the 24-month period. 35 There is, however, an important caveat to these deadlines. Section 4.7 of the Development Agreement suspended the Developer s obligations under the Agreement until any litigation challenging its overall Project became final. As noted, that occurred in January 2016, when Mr. Berry s lawsuit was finally concluded. In light of the suspension of the deadlines during the Berry litigation, the Developer s obligation to enter into the contract must occur by January And its obligation to complete construction of the Plant will run in January There is yet an additional and important caveat. Under Section 2.15 of the Development Agreement, the City is required to complete its Sewer and ARSA Master Plans to facilitate the Developer s construction of the Tertiary Plant. Section 2.15 recites that it is essential that the City Council continue to refine these plans to assure the final programs provide the most cost effective and efficient solution available to the City Council, the [Gold Rush] project, and other regional users. Section 2.15 references a 12-month period in which the City will complete these updates. Does this separate 12-month process extend the timing of the Developer s obligations? Unfortunately, on this question, the language of Section 2.15 is ambiguous. It states that the Developer s 24-month period to enter into a development and construction agreement includes the 12-month period for the City to complete the updates to the Sewer and ARSA Master Plans. Read literally, this means that the Developer should not be given any additional time beyond the 24 months to enter into the required agreement. If that 24-month period includes the 12-month period, then a plausible interpretation is that the latter should occur entirely during the 24-month period, and no extension of time beyond the 24 months was contemplated. However, other provisions of the Development Agreement counsel against this interpretation. Additional language within Section 2.15 states that the City shall not penalize the [Developer] for delays caused by the City s updating of the Sewer and ARSA Master Plans. This language suggests an intention to give the Developer additional time to meet its obligation to enter into a development and construction agreement if the City has not completed its plan updates. Further, in Section 4.7(d), the Development Agreement allows the Parties to extend any timeframes or deadlines by mutual consent. Coupled with the covenant of good faith and fair dealing that would apply in any contract essentially, an obligation by both Parties to act reasonably toward each other when ambiguities and performance issues arise the overall language of the Development Agreement would seem to allow the Developer to have more than 24 months to enter into a development and construction agreement if necessary because of delays in the City s updating the Sewer and ARSA Master Plans Because the City s updates of the Sewer and ARSA Master Plans are important to the Developer s obligation to enter into a development and construction agreement, I believe it is reasonable to add the City s 12-month update period to the Developer s 24-month agreement deadline. That is, I believe that it safe to interpret the Agreement to give the Developer 36 months (i.e., until January 2019) to enter into the required agreement.
