1 KeyBank/Utah Jazz Scratch and Win Fly Away Sweepstakes OFFICIAL RULES NO PURCHASE IS NECESSARY TO ENTER OR WIN A PRIZE; A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. 1. Eligibility: The KeyBank Scratch and Win Fly Away Sweepstakes ( Sweepstakes ) is open to legal residents of the state of Utah who are eighteen (18) years of age or older at the time of entry (each an Eligible Entrant ). Employees, officers and directors (including immediate family members (spouse, domestic partner, child, sibling, parent and their respective spouses/domestic partners, regardless of where they reside) and members of the same household, whether or not related) of KeyBank National Association ( Sponsor ), the Utah Jazz ( Jazz ), Larry H. Miller Sports & Entertainment ( LHMSE ), its parent affiliates (including without limitation the National Basketball Association ( NBA ) and all other member teams), and each of their respective parents, affiliated companies, subsidiaries, licensees, divisions, advertising and promotion agencies, and any and all other companies associated with the Sweepstakes (collectively, the Sweepstakes Entities ) are not eligible to participate or win the any of the Prizes including the Grand Prize as defined below. Colorado Public officers, members of the general assembly, local government officials or government employees, anyone in his/her immediate family (meaning spouse, parents, children and siblings and respective spouses), anyone domiciled with him/her, whether or not related, are excluded from this Sweepstakes. The Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited or restricted by law, rule or regulation. Participation constitutes entrant s full and unconditional agreement to these Official Rules and Sponsor s decisions, which are final and binding in all matters related to the Sweepstakes, including but not limited to the administration and operation of the Sweepstakes and the selection of the potential Winners. Winning a prize is contingent upon fulfilling all requirements set forth herein. 2. Promotional Period: The Sweepstakes begins on February 12, 2018 at 7:00 p.m. MST and ends February 28, 2018 at 11:59 p.m. MST (the Sweepstakes Period ). All entries must be received by Sponsor by the end of the Sweepstakes Period to be part of the Sweepstakes and eligible for the Drawing (defined below). Sponsor reserves the right to extend or shorten the Sweepstakes Period at its sole discretion, and to cancel, terminate, modify or suspend the Sweepstakes for any reason in Sponsor s sole discretion. Sponsor s clock shall, for all purposes, be the official clock of the Sweepstakes. 3. Scratch and Win; Participation: Eligible ticket holders who attend at least one of the Utah Jazz games on February 12, 2018 and/or February 14, 2018 (the Games ) will receive one (1) free game piece (each, a Game Piece ) on entry to the Arena. Eligible persons who do not wish to or are unable to attend one of the Games to receive a Game Piece, may also receive a Game Piece by mailing a post card marked with his or her name, mailing address, city, state, zip code, e- mail address, age, and day and evening telephone numbers to: Intersport, Inc., c/o 2018 KeyBank Scratch and Win Fly Away Sweepstakes Winner, 303 East Wacker, Ste. 2200, Chicago, IL Eligible persons will receive a Game Piece back in the mail upon receipt of the request. Mail-in requests must be submitted between February 14, 2018, and March 2nd, 2018, and requests by postcard must be postmarked by February 19, 2018, Sponsor is not responsible for lost, late, ineligible, damaged or misdirected requests or any typographical or other errors in the printing of the request, Request materials that have been tampered with or altered are void. The Game Piece will inform the participant of their prize. Limit: No more than one (1) Game Piece per person or ticket. Multiple participants are not permitted to share the same ticket. Any attempt by any participant to obtain more than the stated number of Game Pieces will void that participant's prize. Late, lost, damaged, illegally obtained, expired, reproduced, sold or electronically distributed game pieces will not be honored. 4. Scratch and Win; Obtaining Premium: Each Game Piece is redeemable for one of three Premiums. The Game Piece will instruct participants on how to obtain their premium. Please read through and follow the instructions on the Game Piece. Participants must surrender Game Piece to an authorized KeyBank representative at any participating KeyBank

2 branch in Utah, during normal operating hours during the Sweepstakes Period. Premiums may only be redeemed at a KeyBank branch location in Utah. For a full list of participating branch locations to please visit: Expiration dates may apply. IMPORTANT NOTE: Twenty Thousand (20,000) Game Pieces will be printed. Odds of winning each premium will depend on the number of Game Pieces given out and the number of prizes available. The number of Game Pieces distributed will be determined by the number of Game attendees. Unclaimed premiums, expired premiums and premiums on undistributed Game Pieces will not be awarded. Late, lost, damaged, illegally obtained, expired, reproduced, sold or electronically distributed game pieces will not be honored. No purchase necessary. Descriptions of all four potential Scratch and Win Prizes are below. 5. Scratch and Win; Premium Descriptions: Each Game Piece is redeemable for one of three Premiums. The Game Piece will instruct participants on which premium they won. 1. Premium 1: One (1) Cobranded Jazz/KeyBank fidget spinner. Approximate Retail Value ( ARV ) Two US Dollars $2.00. One Thousand Four Hundred (1,400) available. 2. Premium 2: One (1) Cobranded drink tumbler. Approximate Retail Value ( ARV ) Five US Dollars $5.00. Six Hundred Fifty (650) available. 3. Premium 3: One (1) Autographed Utah Jazz Team Jersey. Approximate Retail Value ( ARV ) Two Hundred US Dollars $ Ten (10) available. 6. Grand Prize; Entry: Every Participant that surrenders a Game Piece will be eligible to enter into the Grand Prize Sweepstakes. There is no purchase required to enter the Grand Prize Sweepstakes. During the Sweepstakes Period, Entrants can enter the Grand Prize Sweepstakes in one of two ways (each an Entry ): 1. Option 1 - In-Branch Entry: During the Sweepstakes Period, eligible persons who surrender a Game Piece at a participating KeyBank branch location in Utah can enter the into the Grand Prize drawing by printing his or her name, address, city, state, zip code, address, age, and day and evening telephone numbers on the back of the Game Piece before surrendering it to a KeyBank representative. Once Game Piece is surrendered entrant will be automatically entered in the Sweepstakes with a chance to win the Prize. 2. Option 2 - By Mail: During the Sweepstakes Period, eligible persons who receive a Game Piece may also enter the Grand Prize Sweepstakes by printing his or her name, address, city, state, zip code, address, age, and day and evening telephone numbers on the back of the Game Piece and mailing to: KeyBank, 36 S. State Street, Suite 2500, Salt Lake City, UT Sponsor will use addresses provided via the mail-in entry method for prize notification purposes only; however, eligibility to participate in the Sweepstakes is not dependent upon entrant's provision of this information. Entry must be submitted during the Sweepstakes Period, and entry by mail must be postmarked by February 24, 2018, and in either case entrant will be automatically entered in the Sweepstakes with a chance to win the Grand Prize. Limit: one (1) entry per person, per address, regardless of the method of entry during the Sweepstakes Period. Additional entries beyond this limit will be void. Sponsor is not responsible for lost, late, ineligible, damaged or misdirected entries or any typographical or other errors in the printing of the Game Piece, administration of the Sweepstakes or in the announcement of the prizes. Entry materials that have been tampered with or altered are void. The time of receipt of any valid entry shall be the time such valid entry becomes available to Sponsor. Sponsor shall be the official clock for the Sweepstakes Period. Any submission that does not comply with these Official Rules is void. In the event of a dispute, Entries will be deemed made by the authorized account holder of the address submitted at the time of Entry. The authorized account holder is deemed the natural person who is assigned to an address by an Internet access provider, service provider or other online organization that is responsible for assigning addresses for the domain associated with the submitted address. Entries made by any other individual or entity that is not the person named on the submitted Entry, or made in any manner inconsistent with these Official Rules, will be declared invalid and disqualified from this Promotion. All entry forms become the property of Sponsor and will not be returned.

3 CAUTION: ANY ATTEMPT TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ADMINISTRATOR RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS FEES) FROM ANY INDIVIDUAL ATTEMPTING SUCH ACTIONS TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 6. Grand Prize; Winner Selection: Sponsor will randomly select one (1) potential Winner from all Eligible Entrants within four (4) days after the end of the Sweepstakes Period (the Drawing ). Sponsor will attempt to contact the potential Winner via within forty-eight (48) hours after the end of the Drawing. If the potential Winner cannot be reached during the forty-eight (48) hour period or fails to respond within twenty-four (24) hours after said message is delivered, the potential Winner will be disqualified and an alternative potential Winner will be randomly selected from the remaining Eligible Entrants and contacted. Such process will continue until Sponsor contacts a potential Winners who return Sponsor s message and each such individual will be a Winner. At all times, Sponsor reserves to right to select an alternate Winner in the event that the Winner is found to have not complied with these Official Rules. Odds of winning will depend on the total number of eligible entries received during Sweepstakes Period. 7. Grand Prize; Prize Description: The Winner of the Drawing will receive the following prize package (the Grand Prize ): a VIP Flyaway trip for two (2) to see the Utah Jazz play the Portland Trailblazers on April 11, 2018 in Portland, OR. Included in VIP Flyaway trip is: (i) Round-trip airfare for two (2) from Salt Lake City International Airport (SLC) to Portland International Airport (PDX) departing Wednesday, April 11, 2018 and returning Friday April 13, 2018; (ii) accommodations for a two (2) night stay (April 11, 2018 through April 13, 2018) for two (2) persons at a hotel in Portland, OR selected by Sponsor (one room, standard double occupancy); (iii) a $500 KeyPossibilities MasterCard Gift Card to help offset costs including ground transportation and meals incurred by the Winner while on the trip and (iv) two (2) tickets to the game between the Utah Jazz and the Portland Trailblazers at the Moda Center in Portland, OR (April 11, 2018 at 8:30 p.m. MT). The approximate retail value ( ARV ) of the Grand Prize is Two Thousand US Dollars ($2,000). The Grand Prize is guaranteed to be awarded. The right to receive a prize is non-transferable and non-assignable. No cash redemption is permitted except at Sponsor s sole and absolute discretion. Sponsor reserves the right to substitute the Grand Prize (or any portion thereof) with one of comparable or greater value at its sole and absolute discretion. NBA game, event, and exhibition dates and times are determined in the sole discretion of the NBA and/or the applicable NBA team, as applicable, and may be subject to change. Exact seat locations will be determined by Sponsor. The terms and conditions of the tickets awarded as prizes will govern in the event a game, event or exhibition, as defined by the NBA, is not played due to weather, an Act of God, and an act of terrorism, civil disturbance, work stoppage or any other reason. Winner and his/her guest(s) agree to comply with all applicable stadium regulations in connection with the Grand Prize. Sponsor and the applicable NBA Entities reserve the right to remove or deny entry to Winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at any game, event or exhibition. Released Parties (as defined below) will not be responsible for weather, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other event that may cause the cancellation or postponement of any NBA game, event or exhibition. 8. Grand Prize; Conditions: All costs and expenses associated with the Grand Prize acceptance and use not specified herein as being provided, including but not limited to transportation costs, parking, food and beverages, gratuities and other expenses incurred by accepting and making use of the Grand Prize are the sole responsibility of the Winner (and Winner s guests, as applicable). All federal, state, or local taxes associated with the Grand Prize are each Winner's responsibility. A form 1099 may be issued based on the value of the prize as required by law. Winner and/or Winner s guest(s) will receive admission to the applicable game only upon presentation of an admission ticket and will be subject to the rules and regulations of the Moda Center and the Portland Trailblazers while attending the game. Winner and Winner s guests may be required to execute and return any required affidavit of eligibility and/or liability/publicity

4 release. To the extent requested, all such forms will be completed and returned within twenty-four (24) hours or Sponsor may disqualify the Winner and select and alternate Winner. Certain travel restrictions may apply. Certain travel restrictions may apply. Travel arrangements must be made through Sponsor, or its designee. If the Winner cannot travel on dates specified by Sponsor, the Winner may be disqualified and an alternate Winner may be selected in the Sponsor s sole discretion. The Winner and the Winner s travel companion must travel on the same itinerary and are responsible for obtaining all required travel documents, including, without limitation, government issued photo identification and passports for international travel. Each Winner may be required to present a valid credit card upon hotel check in to cover any incidental expenses incurred during the Winner s stay. 9. Privacy Policy: Any personally identifiable information collected during an entrant s participation in the Sweepstakes will be collected by Sponsor and used by Sponsor (i) for purposes of proper administration and fulfillment of the Sweepstakes as described in these Official Rules, and (ii) as described in Sponsor s privacy policy, found at In addition, each entrant agrees that Sponsor may share any personally identifiable information he or she supplies as part of the entry process with any of the Sweepstakes Entities, the use of which will be governed by the privacy policy maintained by such Sweepstakes Entity. 10. Release of Liability and Indemnification: By submitting an entry, each entrant agrees to be bound by these Official Rules and forever releases, discharges, and waives any and all claims, liabilities and actions of any kind, howsoever caused or arising and whether by negligence, any intentional act or otherwise, that entrant may have or that may arise against Sponsor, the Jazz, LHMSE, the NBA, and each of their respective parents, subsidiaries, affiliates, related entities, and advertising and promotion agencies, as well as each of the aforementioned parties respective directors, officers, owners, shareholders, partners, members, employees, representatives, successors, assigns, franchisees, and agents (collectively, the Released Parties ), with respect to or arising out of either (i) entrant s participation; or (ii) the receipt or use of the prizes (including, but not limited to, the substitution or changing of any prizing) awarded in the Sweepstakes. By submitting an entry, each entrant further agrees to defend, indemnify, and hold harmless the Released Parties and their insurers against any and all damages, costs, judgments, and/or expenses (including, but not limited to, attorneys fees and other legal fees) they may incur as a result of claims made against them in connection with either (i) entrant s participation; or (ii) the receipt or use of the prizes (including, but not limited to, the substitution or changing of any prizing) awarded in the Sweepstakes. As a condition of entering the Sweepstakes, each entrant agrees that (i) any and all disputes, claims, controversies or causes of action arising out of or relating to the Sweepstakes, or any prizes awarded (each, a Claim ), shall be (a) arbitrated on an individual basis only, and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party, and (b) settled by binding arbitration in New York County, New York before a single arbitrator appointed by the American Arbitration Association in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (ii) under no circumstance will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses. These Official Rules shall be governed by and construed and interpreted in accordance with the laws of the State of New York. 11. Publicity Release: Except where prohibited by law, in consideration for being permitted to participate in the Sweepstakes and the opportunity to win the prizes offered in the Sweepstakes, each entrant hereby agrees and consents, without further authorization, compensation, or remuneration of any kind, to the use of the entrant s name, likeness, voice, photograph, and/or biographical information in any and all advertising, promotions, and other publicity conducted by Sponsor (KeyBank) and Administrator (National Basketball Association and Utah Jazz) and each of their respective parents, subsidiaries, affiliates, agents, licensees, successors and assigns in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation unless prohibited by law. Nothing herein will obligate Sponsor or Administrator to make any use of any of the rights set forth herein.

Cancellation, Suspension, or Modification of the Sweepstakes: Sponsor and Administrator reserve the right to cancel, modify, or suspend the Sweepstakes and/or change dates or prizes (to a prize of equal or greater value) of the Sweepstakes in case of schedule changes, acts of God, force majeure events, computer viruses, bugs, or corruption of the security or administration of the Sweepstakes, or for any other reason at their sole discretion. 13. Void Where Prohibited: Participation in the Sweepstakes is void outside Utah and where prohibited. 14.
