Event: Subject to the terms and conditions of this Agreement, Green Valley leases to the Exhibitor the booth space described above for the Bear River Valley Home & Garden Showcase held February 24 & 25, Booth Space: Exhibitor agrees to lease booth space(s) listed above at the price listed above. Green Valley of Utah agrees to furnish pipe and drape for each booth, one table and up to two chairs as part of this Agreement. Exhibitor assumes all other costs such as additional lighting, signage, carpeting, etc. The leased booth space shall be used exclusively by Exhibitor for the exhibition of the items described above. Exhibitor shall not represent more than one business. 3. Booth Selection and Availability: Booth spaces are available on a first come, first served basis only. Green Valley does not guarantee specific booth spaces to Exhibitor until booth space has been paid in full. If the desired booth is not available, Green Valley may substitute a different booth to be occupied by Exhibitor. 4. No Assignment: Exhibitor shall not, without prior written consent of Green Valley of Utah, assign or sublet any part of this Agreement or the leased booths. 5. Failure to Comply: If Green Valley determines that Exhibitor has failed to comply with any provision of this agreement or the attached Rules of Use, Green Valley shall have the right to remove Exhibitor from the EVENT and, in which case, Exhibitor shall not be entitled to a refund of the Contract Price. 6. Failure to Occupy Leased Booth(s): Exhibitor agrees to occupy the leased booth(s) for the duration of the EVENT. We are asking the Exhibitor to stay for the full time so that we can ensure a good experience for all attendees. 7. Set Up and Take Down: All Exhibitors may set up Thursday night February 23 3pm 8pm and Friday morning February 24 8am to 10am. Exhibitor must have booth set up an hour before EVENT is scheduled to begin. If Exhibitor fails to set up booth in prescribed time Exhibitor will forfeit the leased booth(s) and payments and/or the Contract Price. Booth(s) must be dismantled by 9 pm on Saturday February 25. All items that Exhibitor has brought in must be taken down and removed. 8. Disruptive Behavior: If Green Valley determines that the conduct of Exhibitor is disruptive to the EVENT or that Exhibitor is not acting in a courteous and professional manner, Green Valley may remove Exhibitor from the EVENT and in which case, Exhibitor shall not receive a refund of the Contract Price.

3 9. Waiver of Liability: Green Valley will not be held liable or responsible for any damage or loss incurred by Exhibitor as a result of fire, theft, wind, storm, explosion, or any other cause whatsoever. Green Valley is not responsible for damage from loss of occupancy or other loss to Exhibitor by destruction or damage to the exhibit area. Exhibitor releases Green Valley from any and all responsibility for theft or damage to equipment, booth(s), or displays within the booths by fire, rain, accident or any other cause whatsoever. Exhibitor assumes full and total responsibility for all patrons of the EVENT who visit or enter Exhibitors booth and releases and agrees to indemnify Green Valley from any claim of any patron concerning the goods or services Exhibitor displays, provides, sells at or in connection with the EVENT. Exhibitor agrees to bear full responsibility for any damage caused to the exhibition facility by Exhibitor, his agents or employees during the EVENT while setting up or removing booth(s). Exhibitor agrees to indemnify, hold harmless, and covenants not to sue Green Valley for any liability, real or alleged, rising out of or in connection with this Agreement. Exhibitor agrees to pay all costs of collection, default, breach or enforcement hereunder, including reasonable attorney s fees. 10. Certificate of Insurance: Exhibitor shall provide Green Valley before commencing to set up booth(s) an original Certificate of Insurance indicating Exhibitor has the following minimum limits of insurance. Commercial General Liability $1,000,000 combined single limit per occurrence for bodily injury, personal injury, and property damage. Workers Compensation and Employers Liability (if applicable). Exhibitor will name Green Valley as well as Box Elder County Fairgrounds as additional named insurers under Exhibitors policy. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, cancelled, reduced in covered or in limit except after thirty days written notice. Interpretation of agreement: In the event of disagreement regarding of meaning or interpretation of this Agreement, the interpretation of Green Valley. 13.Door Buster Giveaways: Exhibitors have the option to contribute to the door buster giveaways. 4 Box Elder County Fairground Rules Box Elder County Reserves the right to prohibit any Event, Activity or Vendor from using the Fairground facilities if deemed inappropriate or controversial. Box elder County will not allow any event using a rope or lariat that is not sanctioned by the PRCA (Professional Rodeo Cowboy Association). Box Elder County Fairgrounds management reserves the right to make changes to the Rules, Policies, and Procedures at any time as deemed necessary. No alcoholic beverages or smoking allowed upon the Fairgrounds facilities. All dogs must be on a leash. Box Elder County is not responsible for lost or stolen articles. Depending upon the event, private security may be required. Promotors/Patrons shall vacate the premises immediately following their scheduled time slot or special event. Persons making reservations for special events will be responsible for collecting all fees for their group. Free riders must be out of the arena 45 minutes prior to any scheduled event. Please check reservation board for scheduled events. Reservations will be posted on a weekly basis. All scheduled reservations are subject to change without notice. Promotors/Patrons are responsible for all clean up and/or damages to Fairground facilities. Required clean up includes litter inside buildings, arenas, alley ways around outside buildings and parking areas. Users must clean up after animals in buildings. Remove jumps, poles, barrels etc. No Motorized vehicles inside the buildings. No parking of livestock trailers, or loading or unloading of livestock is allowed in the parking lot east of the museum. Park trailers and trucks north and east of Indoor arena only If you close the outdoor arena gates across the track, open them when you leave. Do not tie horses to arena fences. Do not turn horses loose in arena. Report any accidents or damages to the Fairgrounds office at (435) In case of emergency, call 911.
