16 Bagi pihak Lembaga Pengarah, saya dengan sukacitanya membentangkan Laporan Tahunan Uni.Asia General Insurance Berhad bagi tahun kewangan berakhir 31 Mac penyata pengerusi 7

17 Didorong oleh pertumbuhan pendapatan dari pengunderaitan yang lebih baik tetapi tersangkal oleh peruntukan ekuiti hasil d a r i p a d a p a s a r a n e k u i t i y a n g s u r a m, Uni.Asia General mencatat keuntungan sebelum cukai yang agak membanggakan sebanyak RM59 juta, berbanding keuntungan sebelum cukai yang dicatat pada tahun sebelumnya iaitu sebanyak RM71.8 juta. Ekonomi Malaysia Ekonomi Malaysia mencatat pertumbuhan KDNK pada kadar 7.1 peratus pada tahun 2004 berbanding 5.3 peratus pada tahun Kesemua sektor ekonomi kecuali sektor pembinaan merekodkan pertumbuhan kukuh termasuk sektor perkhidmatan yang tumbuh sebanyak 6.7 peratus. Ekonomi Malaysia mencatat pertumbuhan yang mantap dengan disokong oleh suasana politik dalam negara yang stabil di mana parti pemerintah, Barisan Nasional memperolehi kemenangan besar dalam pilihanraya pada bulan Mac 2004 dan peningkatan berikutannya kepada kadaran berdaulat Malaysia. Dalam tempoh tinjauan, terdapat beberapa peristiwa yang mengancam pertumbuhan ekonomi Malaysia. Diantaranya ialah Wabak Selsema Burung yang menular di rantau ini, keganasan yang berlaku di Selatan Thai, peningkatan ketara harga minyak mentah di seluruh dunia, kebimbangan terhadap kenaikan kadar AS yang pesat, ketidakpastian daripada kelembapan ekonomi China dan kejadian tsunami serta gempa bumi di Sumatera. Prestasi Kewangan Tahun tinjauan merupakan tahun yang mencabar bagi Uni.Asia General. Syarikat memperolehi keputusan pengunderaitan yang lebih baik berbanding yang dicapai pada tahun sebelumnya. Lebihan pengunderaitan selepas perbelanjaan pengurusan meningkat 22 peratus kepada RM35.9 juta daripada RM29.4 juta. Peningkatan di dalam keputusan pengunderaitan ini disebabkan oleh pengurangan keseluruhan perbelanjaan pengurusan dan keberkesanan pungutan semula hutang lapuk dalam tempoh berkenaan. Dalam tahun kewangan tinjauan, pendapatan bersih dari pelaburan dan pendapatan lain susut sebanyak 45 peratus kepada RM23.1 juta berbanding RM42.3 juta pada tahun sebelumnya. Pasaran ekuiti yang suram dan penurunan pada Indeks Komposit Bursa Malaysia sebanyak 3.4 peratus kepada 871 mata sepanjang tahun tinjauan telah menyebabkan peruntukan ekuiti yang lebih tinggi dan mengakibatkan pengurangan keuntungan pelaburan. Bagi premium diterima pula, Syarikat mencatat pertumbuhan premium sebanyak 1.4 peratus kepada RM321.0 juta berbanding RM316.6 juta yang diperolehi pada tahun sebelumnya. Pada keseluruhannya, Syarikat merekodkan keuntungan sebelum cukai bagi tempoh tinjauan sebanyak RM59.0 juta, merosot 18 peratus daripada jumlah yang dicapai sebelumnya iaitu RM71.8 juta. 8

18 9 Perspektif Masa Hadapan Suasana perniagaan 2005/06 dijangka sederhana dengan kadar pertumbuhan ekonomi Malaysia diramalkan di antara 5.0 peratus ke 6.0 peratus. Sektor perkhidmatan dijangka tumbuh pada kadar 5.7 peratus, disokong oleh pertumbuhan penggunaan sambil inflasi diramalkan sederhana iaitu lebih kurang 2.5 peratus. Penjualan automotif pula dijangka melebihi 500 ribu kenderaan. Berdasarkan petunjuk ekonomi yang sedemikian dan melainkan berlaku rintangan yang tidak terduga, Syarikat diramalkan mencapai pertumbuhan perniagaan yang sihat. Kami menjangka sumbangan yang besar daripada kekuatan agensi-agensi tradisi, para pemegang francais dan rakan kongsi bankasurans kami sambil disokong oleh penawaran beberapa produk dan perkhidmatan baru serta program khusus mengikut keperluan pelanggan. Dividen Dalam tahun tinjauan, Syarikat membayar dividen interim berjumlah RM7.2 juta bagi tahun kewangan berakhir Mac Memandangkan keputusan kewangan yang boleh dibanggakan, para Pengarah mencadangkan pembayaran dividen akhir kasar sebanyak 15 sen sesaham, iaitu dividen kasar sebanyak 5 sen sesaham, tolak 28 peratus cukai pendapatan dan dividen kasar yang dikecualikan cukai sebanyak 10 sen sesaham berjumlah RM13.6 juta, untuk diluluskan oleh ahli-ahli pada Mesyuarat Agung Tahunan Syarikat yang akan datang. Penghargaan Bagi pihak Lembaga Pengarah, saya ingin merakamkan setinggi-tinggi penghargaan kepada Encik Cheah Yoke Phow, atas segala khidmat dan sumbangan beliau. Encik Cheah mengundur diri dari Lembaga Pengarah pada 1 Oktober Saya mengambil kesempatan ini untuk mengucapkan penghargaan kepada pihak pengurusan dan seluruh kakitangan Syarikat dan rakan-rakan Pengarah di atas sumbangan, komitmen dan dedikasi mereka. 19 chairman statement 10 On behalf of the Board of Directors, I am pleased to present the Annual Report of Uni.Asia General Insurance Berhad for the year ended 31st March Driven by improved underwriting income growth but undermined by equity provisioning arising from a dismal equities market, Uni.Asia General recorded a fairly commendable profit before taxation (PBT) of RM59.0 million as compared to the previous year PBT of RM71.8 million. Malaysian Economy The Malaysian economy recorded a GDP growth rate of 7.1 percent in 2004 compared to 5.3 percent in All sectors of the economy except the construction sector registered strong growth including the services sector which grew 6.7 percent. The Malaysian economy achieved strong growth on the back of a stable domestic political environment wherein the ruling Barisan National party swept to a landslide victory in the March 2004 election and the subsequent upgrade of Malaysia s sovereign ratings. During the period under review there were a series of events that threatened to derail Malaysia s strong economic growth. They were the threat from the Bird Flu outbreak in the region, the violent clashes in Southern Thailand, the sharp rise in global crude oil prices, fear of rapid US rate hikes, uncertainty from China s economic slowdown and the tsunami and earthquake threats from Sumatra. Financial Performance The year under review has been very challenging for Uni.Asia General. The Company experienced improved underwriting results compared to the previous year. Underwriting surplus after management expenses increased 22 percent to RM35.9 million from RM29.4 million in the previous year. The improvement in the underwriting result is attributed to a decrease in overall management expenses and strong bad debt recoveries for the period. During the financial year, net investment and other income declined 45 percent to RM23.1 million as compared to RM42.3 million in the previous year. The decline in investment profitability was primarily due to higher equity provision arising from the dismal equity market when the Bursa Malaysia Composite Index declined 3.4 percent to 871 points during the period reviewed. As for premiums received, the Company registered premium growth of 1.4 percent to RM321.0 million compared to RM316.6 million in the previous year. Overall, the company recorded a PBT for the period of RM59.0 million a 18 percent decline compared to the previous figure of RM71.8 million. Future Outlook The 2005/06 business climate is expected to be moderate with the Malaysian economy expected to grow between 5.0 percent to 6.0 percent. The services sector is expected to grow by 5.7 percent supported by consumption growth and inflation is expected to average around 2.5 percent. Automotive sales is expected to exceed 500 thousand vehicles. Based on such economic indicators and barring unforeseen circumstances, the company is expected to achieve healthy business growth. We expect strong contributions from our traditional agency force, franchise holders and our bancassurance partners supported by the introduction of new products and services and special customized programs. Dividend During the year under review, the Company paid an interim net dividend of RM7.2 million in respect of the financial year ended March In view of the fairly commendable financial results, the Directors recommend the payment of a final dividend of 15 sen per share, consisting of gross dividend of 5 sen per share less income tax 28%, and tax exempt gross dividend of 10 sen per share, amounting to RM13.6 million, for approval of the members at the forthcoming Annual General Meeting of the Company. Appreciation On behalf of the Board of Directors, I would like to extend our deepest appreciation to Mr Cheah Yoke Phow, for his services and contributions. Mr Cheah resigned from the Board on 1st October I would also like to take this opportunity to extend our appreciation to the management and staff of the Company and my fellow directors for their contribution, commitment and dedication. 22 Berikutan kejayaan kempen penamaan semula dan penjenamaan semula pada Mei 2003, Uni.Asia General Insurance Berhad terus mengorak langkah dengan melaksanakan kempen pembinaan jenama bersepadu, bagi mewujudkan kesedaran jenama dan meletakkan jenama Uni.Asia sebagai Nama Yang Dipercayai dalam Insurans. Usaha untuk membina jenama Syarikat tidak terhad kepada aktiviti-aktiviti pengiklanan, promosi dan perhubungan awam; ia menjangkau perkongsian strategik saluran bankasurans dan jalinan kerjasama dengan jenama lain yang mantap dan disegani. tinjauan operasi 13

Peningkatan jumlah pelanggan berkualiti dicapai hasil daripada pembangunan saluran bankasurans secara berterusan; perlaksanaan program pemasaran strategik seperti Program Insurans Chevy dan Pelan Keutamaan Porsche dengan pemegang francais terpilih; dan pengenalan produk dan perkhidmatan inovatif seperti EMV Kemalangan Peribadi dan Insurans Kembara secara berterusan di sepanjang tahun kewangan. Uni.Asia General juga telah mempertingkatkan tahap perhubungan pelanggannya. Beberapa langkah diambil untuk memupuk perhubungan yang baik dan positif dengan para pelanggan termasuklah mewujudkan keadaan mesra pelanggan, produk dan perkhidmatan inovatif serta pada waktu yang sama memberikan perkhidmatan terbaik. Melalui segala usaha tersebut, Syarikat berupaya memberikan pulangan yang membanggakan kepada para pemegang sahamnya. Tahun Kewangan Dalam Tinjauan Bagi tahun 2004, keseluruhan sektor automotif menunjukkan prestasi di luar jangkaan. Berdasarkan laporan Persatuan Automotif Malaysia, jualan kenderaan motor baru telah meningkat sebanyak 20 peratus pada tahun 2004 kepada 487,000 unit daripada 405,000 unit pada tahun Jumlah ini dicapai walaupun terdapat sedikit kekeliruan pada awal tahun, apabila Dasar Automotif Malaysia yang baru dilaksanakan. Jumlah penjualan tersebut dicapai terutamanya kerana ekonomi negara yang agak rancak, pengenalan model-model kenderaan baru yang menarik, kadar sewa beli yang rendah dan tempoh pembayaran balik sewa beli yang lebih panjang. Ia juga disebabkan oleh kesedaran para pengguna bahawa harga kenderaan tidak akan menjadi lebih murah, sebagaimana dinyatakan dalam dasar-dasar; maka, mereka tidak perlu menunda hasrat untuk membeli kenderaan. Dalam tempoh berkenaan, segmen kereta penumpang mencatat peningkatan sebanyak 19 peratus kepada 380,000 unit sementara kenderaan komersil mencatat peningkatan sebanyak 39 peratus kepada 71,000 unit. Walaupun segmen kereta penumpang mencatat penjualan yang kukuh, penjualan kereta Proton hanya menunjukkan sedikit pertambahan iaitu sebanyak 7 peratus kepada 167,000 kenderaan dalam tempoh berkenaan. Berdasarkan keputusan permotoran yang positif dan dengan mengambilkira pertumbuhan sederhana dalam penjualan Proton, penjualan premium keseluruhan syarikat meningkat sedikit. Premium kasar bagi tahun kewangan dalam tinjauan meningkat sebanyak 1.4 peratus kepada RM321.0 juta daripada RM316.6 juta pada tahun kewangan yang lalu. Ini disebabkan oleh peningkatan sebanyak 4.7 peratus atau RM10.6 juta dalam segmen perniagaan motor, daripada RM225.9 juta pada tahun kewangan yang lalu kepada RM236.5 juta pada tahun kewangan semasa. Segmen perniagaan bukan motor merosot sedikit sebanyak RM6.2 juta menjadi RM84.6 juta.

24 Daripada perspektif saluran, sumbangan premium saluran pemegang francais, wakil penjual francais dan wakil penjual kereta tumbuh sederhana selari dengan penjualan segmen kereta nasional. Sebaliknya, wujud peningkatan yang ketara dalam sumbangan premium daripada saluran bankasurans. Saluran bankasurans terus tumbuh kukuh dengan peningkatan sebanyak 60 peratus dalam penjualan premium kepada RM42.8 juta daripada RM26.7 juta pada tahun sebelumnya. Walaupun kadar pertumbuhan kukuh dicatat daripada saluran berkenaan, prestasi saluran keseluruhan diimbangi oleh penurunan sebanyak 20 peratus dalam sumbangan saluran broker. Setelah mengambil kira penempatan insurans semula, premium bersih adalah sebanyak RM258.8 juta dan pada dasar terperoleh, pendapatan premium terperoleh ialah sebanyak RM254.0 juta berbanding RM249.5 juta dan RM271.6 juta masing-masing pada tahun sebelumnya. Bagi pembayaran faedah, jumlah tuntutan kasar yang dibayar berkurangan dengan ketara iaitu sebanyak 5.8 peratus kepada RM204.8 juta berbanding RM217.3 juta pada tahun lalu. Dalam pada itu, tuntutan tertanggung bersih berkurangan sebanyak 4.6 peratus kepada RM148.0 juta berbanding RM155.1 juta pada tahun lalu. Secara keseluruhan, nisbah tuntutan Syarikat berada pada 58.3 peratus berbanding 57.1 peratus pada tahun lalu, sementara nisbah tuntutan industri secara keseluruhan adalah sebanyak 60.5 peratus. Pertambahan minimum dalam nisbah tuntutan adalah disebabkan oleh input Risiko Belum Luput (UPR) berjumlah RM4.7 juta bagi tahun semasa. Tuntutan motor bagi tempoh berkenaan kekal sama seperti tahun lalu iaitu sebanyak 63 peratus sementara tuntutan bukan motor meningkat daripada kadar yang amat rendah iaitu 27 peratus pada tahun lalu kepada 35 peratus pada tahun dalam tinjauan, kadar yang masih dianggap rendah. Setelah mengambil kira pembayaran komisyen bersih, perbelanjaan pengurusan, perolehan daripada hutang lapuk dan hutang ragu serta perbelanjaan faedah pinjaman, Syarikat mencatat keuntungan pengunderaitan bersih sebanyak RM35.9 juta berbanding RM29.5 juta pada tahun lalu. Dalam aspek pengurusan pelaburan pula, Syarikat mencatat pendapatan pelaburan dan pendapatan lain kasar berjumlah RM29.3 juta. Komposisi pecahannya terdiri daripada pendapatan faedah sebanyak RM14.5 juta, keuntungan atas pelupusan berjumlah RM5.7 juta, pendapatan dividen sebanyak RM1.7 juta, pendapatan lain berjumlah RM7.4 juta. Tetapi, setelah mengambil kira peruntukan tambahan untuk pengurangan nilai RM6.2 juta, Syarikat mencatat pendapatan pelaburan dan pendapatan lain bersih sebanyak RM23.1 juta berbanding RM42.3 juta pada tahun kewangan sebelumnya. Pelaburan direalisasi dan jumlah pelaburan berada pada kadar 6.1 peratus dan 4.8 peratus masing-masing daripada nilai aset pelaburan purata sebanyak RM477.5.

Berbanding tahun lalu, Indeks Komposit Kuala Lumpur pada suku pertama 2005 ditutup 3.4 peratus lebih rendah iaitu pada 871 mata. Sehubungan itu, Syarikat perlu menyediakan peruntukan tambahan bagi pengurangan nilai sebanyak RM6.2 juta. Pengurangan dalam aset pelaburan adalah disebabkan terutamanya oleh pembayaran dividen kepada para pemegang saham, penggunaan dana bagi tujuan operasi dan pengelasan semula hartanah pelaburan kepada premis pejabat. Sehubungan itu, jumlah liabiliti berkurangan sebanyak 10.7 peratus kepada RM385.0 juta daripada RM431.0 juta pada tahun sebelumnya. Dua sebab utama pengurangan dalam liabiliti ialah pemindahan program persaraan kakitangan kepada KWSP dan peruntukan berlebihan cukai tahun sebelumnya kini telah dikembalikan. Dana pemegang saham syarikat ialah sebanyak RM186.0 juta, meningkat RM20.0 juta atau 12 peratus berbanding dengan jumlah yang dicapai pada tahun lalu iaitu sebanyak RM166.0 juta. Margin mampu bayar Syarikat terus berada melepasi 100 peratus kadar pematuhan. Bagi polisi rizab, rizab tuntutan tertunggak bersih Syarikat ialah sebanyak RM222.9 juta berbanding RM253.6 juta sebelum ini. Rizab tuntutan berbanding premium bersih yang diperolehi oleh Syarikat ialah pada 86 sen. Pendapatan bersih sesaham berkurangan sebanyak 2.0 peratus kepada 49 sen berbanding 50 sen pada tahun lalu. Aset ketara bersih meningkat kepada RM1.86 sesaham daripada RM1.66 sesaham pada tahun lalu. Keseluruhannya, Syarikat melaporkan keuntungan sebelum cukai sebanyak RM59.0 juta berbanding RM71.8 juta pada tahun kewangan lalu. Dalam suasana ekonomi yang stabil pada tahun 2005, Syarikat yakin untuk terus mencapai keuntungan yang kukuh dan meningkatkan nilai para pemegang saham. Pembangunan Industri Perniagaan insurans am tempatan mencatat pertumbuhan sederhana sebanyak 4.2 peratus kepada RM8.5 bilion pada 2004 iaitu kurang separuh daripada kadar pertumbuhan purata sebanyak 10.2 peratus yang dicapai bagi tempoh Premium bersih tumbuh pada kadar agak kukuh iaitu 7.1 peratus kepada RM6.9 bilion. Walaupun sumbangan pertumbuhan premium motor yang lebih kukuh iaitu sebanyak 6.7 peratus daripada pasaran kenderaan motor, kadar pertumbuhan keseluruhan berkurangan dalam kadar premium bagi perniagaan Marin, Penerbangan dan Transit.

Beberapa inisiatif Bank Negara termasuklah cadangan rangka kerja Modal Berasaskan Risiko, penerbitan garis panduan baru mengenai Jawatankuasa Audit dan Jabatan Audit Dalaman, garis panduan baru mengenai subkontrak untuk penanggung insurans, garis panduan mengenai Pengurusan Persekitaran Teknologi Maklumat, pengesahan prosedur menyokong Akta Pencegahan Pengubahan Wang Haram 2001, garis panduan untuk menyokong inisiatif e-kerajaan einsurans JPJ dan pembentukan pusat resolusi bantahan bersepadu bagi institusi-institusi kewangan yang dikenali sebagai Biro Pengantaraan Kewangan. Topik-topik dan maklumat baru ditambah kepada program pendidikan pengguna yang ada sekarang untuk meningkatkan tahap kesedaran dan penghargaan pengguna terhadap insurans. Pembangunan Korporat Pada 2004, Syarikat bersama Uni.Asia Life Assurance Berhad memulakan kempen pengiklanan jenama bersepadu untuk meletakkan dan mempromosikan jenama Uni.Asia sebagai Nama Yang Dipercayai Dalam Insurans. Pelbagai media pengiklanan, termasuk radio, papan iklan dan STAR LRT dimanfaatkan untuk kempen ini, yang disokong dengan kempen perhubungan awam yang mantap. Dari aspek pengurusan cawangan, Syarikat terus memberikan tumpuan kepada memberikan perkhidmatan mesra pelanggan. Dalam tempoh berkenaan, kami memindahkan cawangan Muar dan mengubahsuai cawangan Miri untuk mempamerkan identiti baru Syarikat. Kekuatan agensi Syarikat berjumlah Peningkatan selanjutnya telah dilaksanakan ke atas sistem Pentadbiran Agensi GeniSys pada tahun kewangan dalam tinjauan. Syarikat telah berjaya menghubungkan sistem tersebut dengan projek e-insurans JPJ dan 100 peratus daripada ejen kami mempunyai akses kepada sistem berkenaan. Sementara itu, pelbagai produk, pengunderaitan dan kursus latihan sistem telah dijalankan untuk ejen-ejen kami. Bagi perkhidmatan tuntutan pula: Bagi memastikan kos tuntutan dan tempoh penjelasan tuntutan diuruskan dengan cekap dan berkesan, Syarikat terus memastikan 100 peratus daripada tuntutan motor diserahkan dan diproseskan melalui sistem tuntutan. Menyedari akan pentingnya peranan modal manusia dalam mencapai matlamat organisasi, pelbagai kursus teknikal dan bukan teknikal telah diperkenalkan untuk mempertingkatkan kemahiran kakitangan Syarikat. The Financial Year Under Review For the year 2004, the overall automotive sector performed above expectation. Based on the Malaysian Automotive Association report, sales of new motor vehicles increased by 20 percent in 2004 to 487,000 units from 405,000 units in This figure was achieved despite the slight confusion in the beginning of the year when the new Malaysian Automotive Policy was implemented. The strong sales of new motor vehicles was largely due to the buoyant national economy, introduction of exciting new vehicle models, low hire purchase rates and longer hire purchase repayment periods. It was also contributed by consumers realization that vehicle prices will not be much lower following the announcement of the policies; thus there was no need to delay their purchases.

29 For the period, passenger car segment registered an increase of 19 percent to 380,000 units while commercial vehicles registered an increase of 39 percent to 71,000 units. Despite the strong sales in the passenger car segment, Proton sales increased marginally by 7 percent to 167,000 vehicles during the period. 20 Based on the positive motoring results and taking into account the moderate growth in Proton sales, the overall premium sales of the company increased marginally. Gross premium for the financial year increased by 1.4 percent to RM321.0 million from RM316.6 million in the previous financial year. This was attributed to a 4.7 percent or RM10.6 million increase in the motor business segment, from RM225.9 million in the previous financial year to RM236.5 million in the current financial year. The non-motor segment of business declined marginally by RM6.2 million to stand at RM84.6 million. From the channels perspective, franchise holders, franchise dealers and car dealers channels premium contribution grew moderately in line with the sales of the national car segment. On the other hand, there was huge increase in premium contribution from the bancassurance channel. The bancassurance channel continued to grow strongly achieving a 60 percent increase in premium sales to RM42.8 million from RM26.7 million a year earlier. Despite the strong growth rates from the above channels, the total channels performance was offset by a 20 percent decline in brokers channel contribution. On the portfolio mix, motor business constituted 74 percent of the overall premium sales compared with 71 percent in the previous year. After taking into account the reinsurance placements, net premium stood at RM258.8 million and on earned basis, earned premium income stood at RM254.0 million compared with RM249.5 million and RM271.6 million respectively in the previous year. On benefit payments, total gross claims paid reduced significantly by 5.8 percent to RM204.8 million compared with RM217.3 million last year. Meanwhile, net incurred claims reduced 4.6 percent to RM148.0 million compared to RM155.1 million last year. Overall, the Company s claims ratio was 58.3 percent as compared to 57.1 percent last year, while the overall industry claims ratio was 60.5 percent. 30 21 Motor claims for the period remained relatively the same as last year at 63 percent while non-motor claims increased from a very low 27 percent in the previous year to 35 percent for the year in review, which is also considered a low rate. After taking into account net commission payments, management expenses, recoveries from bad and doubtful debts and loan interest expenses, the Company registered a commendable net underwriting profit of RM35.9 million compared with RM29.5 million last year. On investment management front, the Company has registered a gross investment and other income of RM29.3 million. The composition of income consists of interest income of RM14.5 million, profit on disposals of RM5.7 million, dividend income of RM1.7 million and other income of RM7.4 million. However, after taking into account the additional provision for diminution in value of RM6.2 million, the Company has registered a net investment and other income of RM23.1 million compared to RM42.3 million last financial year. The market run-up was the highest in November at 917 level. In 1Q05 closing comparison vis-à-vis last year, the KLCI declined by 3.4 percent to 871. This has resulted in the Company having to provide an additional provision for diminution in value of RM6.2 million. On the assets management, total assets dropped by 4.0 percent to RM571 million compared to RM597 million last financial year. Investment assets stood at RM467 million or 81 percent of total assets. In term of growth, the investment assets declined by 4.5 percent compared to RM488 million last financial year. The decline in investment assets is mainly due to dividend payment to the shareholders, utilization of funds for operation purpose and reclassification of investment properties to office premises. Correspondingly, total liabilities decreased by 10.7 percent to RM385 million from RM431 million previously. The two reasons for the reduction in liabilities is the transfer of the staff retirement benefits program to EPF and the over provision of previous year taxes having been reversed.

31 Shareholders fund of the company stood at RM186 million, an increase of RM20 million or 12.0 percent compared with last year s figure of RM166 million. Solvency margin of the Company continue to be well above the 100 percent compliance rate. As for the reserving policy, the Company s net outstanding claims reserve stood at RM222.9 million compared with RM253.6 million previously. The strength of claims reserving over the net premium secured by the Company stood at 86 sen. Net earning per share decreased 2 percent to 49 sen as compared with 50 sen last year. Net tangible assets improved to RM1.86 per share from RM1.66 per share last year. 22 Overall, the Company reported a profit before taxation of RM59.0 million compared with RM71.8 million in the last financial year. Amidst the stable economic environment in 2005, the Company is confident of returning another round of strong profits and increasing shareholders value. Industry Development The local general insurance business registered a moderate growth of 4.2 percent to reach RM8.5 billion in 2004 which was less than half the average growth rate of 10.2 percent achieved for the period Net premium grew at a slightly stronger rate of 7.1 percent to reach RM6.9 billion. Despite a stronger motor premium growth contribution of 6.7 percent from a robust motor vehicle market, the overall growth rates were dragged down by a sharp decline in premium rates for the Marine, Aviation and Transit (MAT) business. On claims management, the overall net claims incurred ratio for the industry remained relatively unchanged at 60.5 percent from 59.8 percent a year earlier. 32 23 Some of Bank Negara s initiatives include the proposal of a Risk Based Capital framework, issuance of new guidelines on Audit Committees and Internal Audit Departments, new guidelines on Outsourcing for Insurers, guidelines on Management of Information Technology Environment, verification procedures supporting the Anti-Money Laundering Act 2001, guidelines to support the e-government JPJ einsurans initiative and the formation of an integrated dispute resolution center for financial institutions known as the Financial Mediation Bureau. As for the current Consumer Education Programme aimed at improving the level of consumer awareness and appreciation of insurance, new topics and literature has been added to the program. Various advertising media, including radio, billboards and the STAR LRT have been adopted for the exercise, supported by a strong public relations campaign. In the area of branch management, the Company continued to focus on providing greater accessibility to customers and creating stronger local area presence. During the period, we relocated our Muar branch and renovated our Miri branch to reflect the new identity of the Company. Whilst the Company has a nationwide presence of 31 branches, efforts are being made to upgrade the Call Center and Internet capabilities to serve its customers better. In the area of bancassurance, the Company has successfully transformed the bancassurance channel into a key distribution channel. For the financial year, the bancassurance channel contributed 13 percent of the gross premium compared to the previous year of 9 percent. On the program and product front, the Company is positioning itself as a dynamic and innovative insurer. It had entered into program partnerships with Auto Eurokars, the official distributor for Porsche vehicles, to develop the Porsche Priority Plan. It has also entered into program partnerships with Hicomobil, the official distributor for Chevrolet vehicles, to develop the Chevy Auto Insurance Program. Both of these

33 programs are generating healthy returns for the company in the area of product development. Riding high on the success of AutoPlus, the Company introduced AutoPro, an auto warranty protection plan targeting motor vehicles distributors. Other products that were launched during the year included the new Travel Insurance Plan and EMV Personal Accident in collaboration with the bancassurance channel. 24 On the agency front, the Company s agency force stands at Further enhancements have been made to the GeniSys Agency Administration system during the financial year. The Company has successfully linked the system with the JPJ s e-insurance project and 100 percent of our agents have access to the system. Meanwhile various products, underwriting and systems training courses have been conducted for our agents. On claims servicing, to ensure our claims cost and settlement turnaround time is managed efficiently and effectively, the Company continues to make sure that 100 percent of the motor claims are submitted and processed through the claims system. Recognizing the important role of human capital in achieving the objectives of the organization, various technical and non-technical courses have been introduced to enhance the current skill set of the staff. This includes the introduction of a comprehensive Induction Program to new recruits. In the area of sales development and to support the sales initiative of the company, the Staff Recognition Program had been implemented. The recognition program has generated strong staff interest and has been structured to promote an excellence in performance culture within the organization by recognizing and rewarding staff that had contributed towards the sales growth of the company. Other areas in which further development has taken place include the introduction of new risk management measures and the introduction of an enhanced performance appraisal system.
