1 MEMORANDUM OF AGREEMENT # 12/13-19 fr Edits frm SFCTA/TIDA meeting TIDA cmments Cnstructin Services fr the Yerba Buena Island Ramps Imprvement Prject THIS AGREEMENT is made and shall be effective n the [date 1: day] day f [mnth], [year], by and between the San Francisc Cunty Transprtatin Authrity ( the Authrity ) and the City and Cunty f San Francisc ( City ) acting thrugh the Treasure Island Develpment Authrity ( TIDA ), referred t cllectively as Parties r individually as Party. RECITALS A. The Authrity has been designated as the Cngestin Management Agency (CMA) fr the City and Cunty f San Francisc (the City ) under State law. In this capacity, the Authrity has a wide range f respnsibilities that includes preparing the lng-range Cuntywide Transprtatin Plan, priritizing state and federal transprtatin funds designated fr San Francisc, and develping and perating a cmputerized travel demand frecasting mdel. B. TIDA is the lcal reuse authrity fr purpses f the redevelpment and cnversin f frmer Naval Statin Treasure Island ( NSTI ) t prductive civilian uses, including prtins f Yerba Buena Island ( YBI ). C. TIDA asked the Authrity, in its capacity as the CMA, t lead the effrt t prepare and btain apprval fr all required technical dcumentatin fr the I-80/YBI Interchange Imprvement Prject because f its expertise in funding and interacting with the Califrnia Department f Transprtatin ( Caltrans ) n design aspects f the prject. The scpe f the I-80/YBI Interchange Imprvement Prject includes tw majr cmpnents: 1) The YBI Ramps Imprvement Prject ( Prject ), which includes cnstructing new westbund n and ff ramps (n the east side f YBI) t the new Eastern Span f the San Francisc-Oakland Bay Bridge ( SFOBB ); and 2) seismic retrfit f the existing YBI Bridge Structures n the west side f the island, a critical cmpnent f island traffic circulatin leading t and frm SFOBB. D. In May 2010, the Authrity entered int Cperative Agreement N (Appendix A) with Caltrans, which defined each agency s respective rles during the prject develpment prcess. Over the last fur years, the Authrity Prject team has wrked clsely with Caltrans n all aspects f the prject develpment prcess. The Final Envirnmental Impact Reprt/Envirnmental Impact Statement ( EIR/EIS ), with Caltrans as the Natinal Envirnmental Plicy Act lead agency under delegatin frm the Federal Highway Administratin and the Authrity as the Califrnia Envirnmental Quality Act lead agency, was apprved in December The Parties believe that the Prject has nt changed since the apprval f the EIR/EIS, and that n additinal envirnmental review is required as a result f \\insitefiles\granicus_nas\insite\files\sfrn\attachments\50723.dcx Page 1 f 29

2 this Agreement. The Authrity is currently cmpleting Plan, Specificatins and Estimates ( PS&E ) and right f way certificatin effrts in rder t ready the prject fr cnstructin funding authrizatin. E. In July 2008, the Parties entered int a Memrandum f Agreement ( MOA ) fr prject management and versight, engineering and envirnmental services fr the YBI Interchange Imprvement Prject ( Envirnmental MOA ). Under the terms f the Envirnmental MOA, TIDA s ttal lan bligatin t the Authrity amunt fr the nn-federal prtin is $10,287,000. TIDA s bligatin will be increased t $11,037,000 t accunt fr additinal required lcal match fr Envirnmental MOA activities as well as additinal prject csts nt anticipated t be cvered by State and Federal funds. The Parties anticipate apprximately $13,700,000 f the prject csts will be reimbursed t the Authrity frm the Federal Highway Bridge Prgram ( HBP ) funds, with TIDA being respnsible t reimburse the Authrity fr incurred interest expense and any and all csts nt cvered by state r federal funds. Prject csts fr envirnmental activities ttal t $24,737,000. If federal grant funds d nt becme available fr sme r all f the prject csts, r if the federal agency disallws the Authrity s reimbursement claims n sme r all f the prject csts, then pursuant t the Envirnmental MOA, TIDA bears the respnsibility t repay the Authrity fr all csts nt reimbursed by federal r state funds incurred n the YBI Interchange Imprvement Prject as set frth in the Envirnmental MOA. F. Thrugh Reslutin 14-XX, the Parties entered int an MOA, effective April 5, 2012, fr right f way certificatin services fr the Prject ( Right f Way MOA ). The ttal nt-t-exceed principal amunt f the Right f Way MOA is $4,200,000. The Parties anticipate $3,718,260 f the prject csts will be reimbursed t the Authrity frm Federal HBP funds and $481,740 frm State Seismic Retrfit Prpsitin 1B ( Prp 1B ) funds, with TIDA agreeing pursuant t the Right f Way MOA t reimburse the Authrity fr incurred interest expense, fiscal charges and any and all csts nt cvered by state r federal funds. G. The Authrity and Caltrans have negtiated a Cperative Agreement N fr the cnstructin phase f the Prject (Appendix B), and Amendment N. 2 t Cperative Agreement N (Appendix C) between Authrity and Caltrans with respect t certain changes in the Caltrans SFOBB prject that are required fr the Prject t physically tie in t the new SFOBB imprvements, mdifying the scpe f wrk fr Betterments required fr the Prject, and prviding fr the Authrity t pay $120,000 fr the Authrity s cntributin t the cst f cnstructin supprt fr the Betterments, and an increase f $1,199,400 fr the Authrity s additinal nt-t-exceed cntributin t the ttal cnstructin cst f such Betterments. The Parties anticipate that apprximately $1,319,400 f this amunt will be reimbursed t the Authrity frm the Federal HBP r State Prp 1B funds, with TIDA being respnsible t reimburse the Authrity fr any and all csts nt cvered by state r federal funds and the federal grant lcal matching funds requirements fr the additinal wrk as mre particularly set frth in this Agreement. H. T facilitate funding fr the Prject, the Authrity executed the Lcal Agency Advance Cnstructin ( AC ) Cmmitment Blck requested by Caltrans dated September 22, 2011 (the Funding Cmmitment ) (Appendix D), whereby the Authrity agreed t use lcal funds in lieu f federal funds t finance the cst f wrk identified as Lcal Funded AC until such time that federal funds becme available fr bligatin and subsequent reimbursement f eligible wrk. \\insitefiles\granicus_nas\insite\files\sfrn\attachments\50723.dcx Page 2 f 29

3 The Authrity was willing t d s n the understanding that TIDA wuld agree t reimburse the Authrity fr any Prject csts incurred by the Authrity and nt reimbursed by federal r state funds, as prvided in the Envirnmental MOA, the Right f Way MOA and this Agreement. I. Als in furtherance f the Prject, the Authrity has issued a Request fr Prpsals fr YBI Ramps Cnstructin Management Supprt Services (the Cnstructin Management RFP ). Award f a cntract fr the services requested in the Cnstructin Management RFP is cntingent upn allcatin f Federal HBP and State Prp 1B funds as well as executin f this Agreement, whereby TIDA agrees t reimburse the Authrity fr, and indemnify and hld the Authrity harmless frm, any and all csts and liabilities incurred by the Authrity in cnnectin with the Cnstructin Management RFP and the cntract fr services awarded pursuant theret as set frth in this Agreement. J. Pursuant t that certain Freeway Agreement 04-SF-80-PM 7.61/8.23 between the State f Califrnia and the City, Rute 80 between the East and West limits f YBI is designated a freeway. The City has cnsented t the clsing f certain City streets, cnstructin f frntage rads and ther lcal streets and ther cnstructin, and pursuant t that certain Freeway Maintenance Agreement 04-SF-80 PM 7.6R-8.3R t be entered int between the State and the City, the State and the City will agree upn the allcatin f respnsibility fr maintenance f the YBI Ramps Prject and such City frntage rads, and ther streets and facilities. The Authrity is willing t prceed with the cnstructin phase f the Prject prvided that TIDA assumes respnsibility fr actively crdinating and assisting with the cmpletin f negtiatins f the Freeway Maintenance Agreement and executin f such agreement by the intended parties theret and that the Freeway Maintenance Agreement is executed befre cnstructin cntract award. The Parties expect the Freeway Maintenance Agreement t be executed befre a cnstructin cntract is advertised. K. TIDA further requests that the Authrity, acting n TIDA s behalf, cmplete the freging steps necessary t pursue cnstructin f the Prject, issue an Invitatin t Bid ( ITB ) fr cnstructin wrk required fr the Prject, and enter int a cnstructin cntract ( Cnstructin Cntract ) cnsistent with the Califrnia Public Cntract Cde and the Califrnia Labr Cde. The Authrity is willing t d s prvided that TIDA agrees t reimburse the Authrity fr, and indemnify and hld the Authrity harmless frm, any and all csts and liabilities incurred by the Authrity in cnnectin with the Cnstructin Cntract as mre particularly set frth in this Agreement. L. The cst f the cnstructin phase f the prject is estimated t be $77.5 millin and the Parties anticipate this expense t be 100% reimbursed by a cmbinatin f Federal HBP funding and State Prp 1B funding. The Authrity will nt award the Cnstructin Cntract until these funds have been secured, as evidenced by the federal issuance f an E-76 and the State issuance f the Prgram Supplement Agreement fr the prject. M. On March 26, 2013, the Authrity apprved Reslutin 13-41, authrizing the Executive Directr t execute the Cperative Agreement fr Cnstructin Services and Right f Way Certificatin with Caltrans, the United States Cast Guard ( USCG ) License Agreement, assciated utility agreements and all ther supprting dcuments fr receipt f federal and state funds fr the Prject. 4 the Executive Directr t enter int an MOA with TIDA fr cnstructin services fr the Prject. N. This Agreement sets frth certain rights and bligatins f the Authrity and TIDA with respect t the cnstructin phase f wrk fr the Prject. The Parties agree t the fllwing: AGREEMENT 1. Prject Management and Administrative Services. The Authrity shall prvide prject management and administrative services described in Appendix E, Descriptin f Authrity Services, attached heret and incrprated by reference as thugh fully set frth herein. 2. Cnsultant Services, Caltrans Services and Cnstructin Services. a. Cnsultant Services. i. The Authrity shall maintain a cntract fr prfessinal services with the cnsultant chsen in accrdance with the Request fr Prpsal (the Cnsultant ) t perfrm the Phase 1 cnceptual engineering and preparatin f the Prject Reprt ( PR ) and the Envirnmental Dcument ( ED ), t perfrm 100% f the Phase 2 Design services thrugh final PS&E fr the Prject, and t prvide design services during cnstructin as mre particularly described in Appendix E. ii. The Authrity shall cntract fr the prfessinal cnstructin management services with the cnsultant chsen in accrdance with the Cnstructin Management RFP (the Cnstructin Manager ), as mre particularly described in the Cnstructin Manager Scpe f Services set frth in Appendix F (the Cnstructin Manager Services ). b. Caltrans Services. In rder t build the YBI ramps in cnjunctin with the cnstructin f the new Eastern Span f the SFOBB, the Authrity has executed tw critical Cperative Agreements with Caltrans, Agreement Ns (Appendix A) and (Appendix B) (the Cperative Agreements ). In rder t mve int the cnstructin phase fr the Prject, it is necessary fr the Authrity t enter int Amendment N. 2 f Cperative Agreement N (Appendix C). Cllectively, all wrk by Caltrans under the Cperative Agreements, as amended, is the Caltrans Services. c. Cnstructin Services. The Authrity shall prvide Cnstructin Services fr the Prject described in Appendix E. i. The Parties acknwledge and agree that in rder t prvide Cnstructin Services, the Authrity must enter int agreements with Caltrans and ther agencies. These agreements include: Cperative Agreement N with Caltrans; Amendment N. 2 t Cperative Agreement N with Caltrans; the TIDA Use Permit; the Utility Relcatin Agreements; the USCG License and ther similar agreements. The Parties further acknwledge and agree that the Authrity shall be deemed t d s at the request f and as an accmmdatin t TIDA, and it is TIDA s and the Authrity s intent that all csts and liabilities incurred and assumed by the Authrity pursuant t \\insitefiles\granicus_nas\insite\files\sfrn\attachments\50723.dcx Page 4 f 29

5 ii. iii. iv. such agreements shall be Authrity Cnstructin Csts that are subject t TIDA s Reimbursement Obligatin pursuant t Sectin 5 f the Agreement. The Authrity shall cntract fr cnstructin wrk with the cntractr chsen in accrdance with the ITB (the Cnstructin Cntractr ) t build the YBI Ramps, all as mre particularly described in the apprved final PS&E, and in accrdance with the estimated Cnstructin Cntractr Budget set frth in Appendix G, bth f which are incrprated by reference as if fully set frth herein. Upn executin f the Cnstructin Cntract the estimated Cnstructin Cntractr Budget set frth in Appendix G shall be replaced with the successful bid price fr the Cnstructin Cntract as executed by the Authrity and the Cnstructin Cntractr. Cllectively, all wrk by the Cnstructin Cntractr under the Cnstructin Cntract with the Authrity is the Cntractr Wrk. All bligatins undertaken and wrk perfrmed by the Authrity pursuant t the Cnstructin Cntract are Authrity Cnstructin Csts that are subject t TIDA s Reimbursement Obligatin pursuant t Sectin 5 f the Agreement. The Authrity shall btain, r shall cause the Cnstructin Cntractr t btain as part f the Cntractr Wrk, all Building apprvals required by the City s Department f Building and Inspectin. All bligatins undertaken and wrk perfrmed by the Authrity t btain such apprvals are Authrity Cnstructin Csts that are subject t TIDA s Reimbursement Obligatin pursuant t Sectin 5 f the Agreement. Befre awarding the Cnstructin Cntract, Authrity shall prepare and submit a bid summary t TIDA tabulating bid results and cnfirming that the recmmended cntractr has cmplied with requirements as described within the ITB and requesting TIDA apprval in accrdance with Sectin 4 f this Agreement. 3. Crdinatin. The Authrity and TIDA agree t the fllwing with regard t the perfrmance f the Prject Management Services, Administrative Services, Cnsultant Services, Cnstructin Manager Services, Caltrans Services and Cnstructin Services under this Agreement: a. The Parties acknwledge that TIDA may seek advice and cnsultatin frm the Department f Public Wrks ( DPW ) and ther City departments in fulfilling its bligatins under this Agreement, and Authrity agrees t cperate with TIDA and any City departments s designated by TIDA. All csts f participatin by City departments shall be paid by TIDA r the City. Authrity agrees t cperate and cnsult with TIDA n all material aspects f the Prject. The Parties agree t wrk tgether t establish apprpriate crdinatin and cnsultatin prcedures thrughut the bid and cnstructin perids t prmte effective and timely Prject delivery. b. TIDA shall participate in the selectin f Cnsultants, Cnstructin Manager and Cnstructin Cntractr in accrdance with Authrity s prcurement prcedures. c. TIDA and the Authrity shall establish a timeframe and wrk with Caltrans, FHWA, the Metrplitan Transprtatin Cmmissin, the Bay Area Tll Authrity, the Tll Bridge Prgram Oversight Cmmittee, the Califrnia Transprtatin Cmmissin, the Navy, the USCG, FHWA, the City s Department f Building Inspectin and ther relevant agencies t enable the timing f the design, engineering and cnstructin f the Prject t ccur in cnjunctin with the cnstructin f the new eastbund ramp that is part f the Eastern Span f the SFOBB Prject. \\insitefiles\granicus_nas\insite\files\sfrn\attachments\50723.dcx Page 5 f 29

The Authrity shall cnduct all cmmunicatins with the Cnsultant, the Cnstructin Manager, Caltrans, TIDA, the Navy, utility wners, the USCG, FHWA, the Cnstructin Cntractr and the City s Department f Building Inspectin and ther relevant agencies regarding deliverables, task updates r ther perfrmance f services. TIDA shall have the right t review r participate in cmmunicatins that cnstitute a decisin, actin r cmmitment by Authrity that wuld increase TIDA csts. e. The Authrity shall prvide timely deliverables t TIDA. The Authrity shall maintain prject recrds including deliverables, prgress reprts, crrespndence, and a full accunting f the Authrity Cnstructin Csts, and shall make such recrds available t TIDA upn request. f. The Authrity and TIDA shall have regular crdinating meetings, as needed. g. All services under this Agreement shall be perfrmed in accrdance with the Authrity s plicies, prcedures and custmary practices fr prjects f similar size, cst and scpe. 4. Apprvals. a. Authrity and TIDA agree t cperate in preparing and reviewing cntract dcuments, bid packages r any ther material dcument relating t the prject s as t facilitate timely apprval f final dcuments. Befre awarding Cnsultant, Cnstructin Manager r Cnstructin cntracts, r ther third party cntracts relating t the prject, and fllwing cnsultatin with TIDA, Authrity shall submit these cntracts t TIDA fr apprval and such apprval shall nt be unreasnably withheld. TIDA shall deliver apprvals r any disapprval t Authrity in writing and, in the case f disapprval, stating the basis fr the disapprval and changes needed in rder fr TIDA t apprve the cntracts r ther material dcument. b. Authrity shall submit t TIDA fr apprval any prpsed change r amendment t any cntract the value f which is greater than $250,000. Shuld an exigent circumstance arise in which an amendment r cntract change is required in rder t avid excessive cst, t prtect persns r prperty, r t cmply with an rder frm a legally cntrlling authrity, and the amunt f such amendment r cntract change exceeds the abve stated amunt that wuld require TIDA apprval, Authrity shall ntify TIDA f such fact and request apprval f the prpsed amendment r cntract change within 48 hurs f Authrity becming aware f such an ccurrence. If the prpsed amendment r cntract change is reasnably required t prtect persns r prperty r cmply with an rder frm a legallycntrlling authrity prir t receiving TIDA apprval, then Authrity may enter int such change withut TIDA s prir apprval. c. Authrity shall ntify TIDA in a timely manner shuld a claim r ntice f ptential claim be submitted by any cntractr if such claim is in an amunt greater than $100,000. Authrity shall cnsult with TIDA in analyzing any such large claim and submit t TIDA fr apprval any prpsed dispsitin f such claim. d. TIDA acknwledges that delay t any apprval can result in additinal cst. TIDA shall reimburse Authrity fr any additinal csts arising ut f failure by TIDA t prvide any timely apprval t the extent that such additinal csts are nt reimbursed frm federal r state surces. \\insitefiles\granicus_nas\insite\files\sfrn\attachments\50723.dcx Page 6 f 29

7 5. Prject Funding and TIDA Reimbursement Obligatin. a. TIDA and the Authrity shall wrk jintly in gd faith t seek state and federal bnd, grant r apprpriatin funds, r ther funds as needed, t pay fr all r any prtin f the envirnmental, design and engineering, right f way, and cnstructin wrk necessary fr the Prject. If either party becmes aware that any anticipated state r federal funding may nt becme available, that party shall immediately ntify the ther party, and TIDA and the Authrity in cnsultatin with Caltrans shall wrk tgether in gd faith t determine the crrect curse f actin in light f such fact. TIDA shall have the right t require the Authrity t prmptly stp wrking n the Prject if, at any time, TIDA determines that available funding may nt exist t pay fr such wrk TIDA acknwledges that any such stp wrk rder can result in additinal cst. TIDA shall reimburse Authrity fr any additinal csts arising ut f a stp wrk rder issued by TIDA t the extent that such additinal csts are nt reimbursed frm federal r state surces. b. Interest shall accrue n the utstanding unreimbursed Authrity Cnstructin Csts, cmpunded quarterly, at the City Treasurer s Pled Investment Fund rate r the Authrity s brrwing rate, whichever is applicable, beginning n the date when the Authrity first incurs Authrity Cnstructin Csts and cntinuing until the Authrity has received full reimbursement under this Sectin 5 frm TIDA and applicable state r federal agencies. Accrued and unpaid interest shall be deemed t be Authrity Cnstructin Csts as accrued. If the Authrity has nt issued lng-term debt, the applicable interest rate will be the City Treasurer s Pled Investment Fund rate, calculated quarterly. If the Authrity has issued lng-term debt fr any purpse, the applicable interest rate will be the all-in TIC f the Authrity s mst recent lng-term debt issuance. (The all-in TIC is defined as: The discunt rate, assuming semiannual cmpunding and a 30/360-day calendar, which sets the net present value f all payments f principal and interest equal t the par amunt f bnds plus accrued interest plus premium less riginal issue discunt less insurance premium less csts f issuance less ther up frnt expenses discunted t the issue date.) [Nadia t cnfirm] If at any time the Authrity issues lng-term debt and that increases the applicable interest rate under this subsectin, the Authrity shall mdify the rate t the apprpriate interest rate under this subsectin and use that new rate ging frward. The Authrity shall prvide written ntice t TIDA f any change in the interest rate and the date n which the Authrity applied the new rate. Ntwithstanding the freging, in n event shall the interest rate the Authrity applies exceed the maximum rate permitted under Califrnia Gvernment Cde Sectin c. Befre the Authrity issues any debt r therwise brrws funds t pay Prject Csts, the Authrity shall ntify TIDA. TIDA shall have the ptin, at its discretin, t include amunts fr Prject Csts in an Authrity brrwing r t make ther arrangements in rder t meet its payment bligatins under this Agreement. Alternatively, TIDA may request that the City issue debt t pay fr Prject Csts, r therwise pay Prject Csts as they are incurred by the Authrity. If City pays fr Prject Csts as they are incurred, then the Authrity shall prmptly reimburse City fr such payments upn Authrity s receipt f crrespnding federal and state reimbursements. d. The Parties acknwledge the Authrity is advancing Prpsitin K ( Prp K ) funds t pay fr Authrity Cnstructin Csts, with the intent that Prp K funds will be repaid by reimbursements frm federal, state r TIDA funds. Fr Authrity Cnstructin Csts that are nt subject t interest payments under subsectin 5 (b) abve, the Authrity shall invice \\insitefiles\granicus_nas\insite\files\sfrn\attachments\50723.dcx Page 7 f 29

8 TIDA fr, and TIDA shall be bligated t pay, an estimated pr-rata share f the interest and fiscal charges (including but nt limited t letter f credit fees, remarketing fees and rating agency fees) incurred by the Authrity thrugh its Cmmercial Paper Prgram ( Fiscal Fees ). Fiscal Fees shall be applied t the lwer f (1) the average quarterly utstanding unreimbursed Authrity Cnstructin Csts (including interest accrued pursuant t paragraph 5(b), abve) r (2) the ttal utstanding unreimbursed Authrity Cnstructin Csts (including interest accrued pursuant t paragraph 5(b), abve), beginning n the date when the Authrity first incurs Authrity Cnstructin Csts and cntinuing until the Authrity has received full reimbursement under this Sectin 4 frm TIDA and applicable state r federal agencies r ther funding surces. The Authrity shall invice TIDA fr reimbursement f Fiscal Fees in arrears within _sixty (60)_ days f the end f each quarter. TIDA shall reimburse the Authrity fr Fiscal Fees within frty-five (45) days frm receipt f Authrity invice. e. All Authrity Cnstructin Csts, accrued interest and Fiscal Fees with respect t Cnstructin Services under subsectins (a) and (b) abve are referred t in this Agreement as the Prject Csts. TIDA shall reimburse the Authrity fr all Prject Csts less any state r federal gvernment funds r ther funds actually reimbursed t the Authrity fr Authrity Cnstructin Csts (the TIDA Reimbursement Obligatin ). Ntwithstanding anything t the cntrary in this Agreement, the TIDA Reimbursement Obligatin shall nt include any csts incurred as a result f the Authrity s sle negligence r willful miscnduct. f. The Authrity and TIDA anticipate that the ttal Authrity Cnstructin Csts will be cvered by state and federal funds, including but nt limited t Federal HBP and State Prp 1B funds. TIDA shall be respnsible t reimburse the Authrity, interest calculated under subsectin 5 (b) abve and Fiscal Fees calculated under subsectin 5 (c) abve. If state r federal funds d nt becme available fr the Authrity Cnstructin Csts, the Authrity and TIDA shall wrk tgether in an effrt t identify ther funding surces. If state r federal funds are made available fr the Authrity Cnstructin Csts, but the applicable state r federal agency disallws the Authrity s reimbursement claims n csts related t Authrity Cnstructin Csts, the Authrity and TIDA shall wrk tgether with the applicable state and federal agency in an effrt t address and crrect any grunds fr the disallwance decisin. g. TIDA and the Authrity agree that if the TIDA Reimbursement Obligatin (nt including accrued interest r Fiscal Fees) exceeds the amunts recvered frm the anticipated state and federal funds, the Parties shall meet and negtiate in gd faith t evaluate a mutually agreeable repayment plan and schedule f the excess amunt f the TIDA Reimbursement Obligatin. Regardless f any adjustments t the schedule and deadlines fr repayment, TIDA shall be respnsible fr the full amunt f the TIDA Reimbursement Obligatin subject t the limitatins set frth in this Agreement. h. The Authrity and TIDA acknwledge that this Agreement memrializes a reimbursement bligatin f TIDA t the Authrity and shall nt be cnstrued as a grant r gift f funds frm the Authrity t TIDA. 6. Payments. a. Parties agree that all Prject invices fr payment r reimbursement frm all cntractrs, utility cmpanies and Caltrans shall be submitted directly t the Authrity fr review and payment. TIDA may, at its discretin, review invices related t cnstructin activities and agrees t d s within a timeframe that allws timely payment. Authrity shall prvide a cpy f the invices and supprting dcumentatin t TIDA. Authrity shall prvide a quarterly reprt t TIDA describing services rendered and the csts and expenses incurred by the Authrity fr the Prject Management Services, Administrative Services, Cnsultant Services, Cnstructin Manager Services, Caltrans Services and Cnstructin Services (cllectively, the Authrity Cnstructin Csts ). b. The Authrity shall prepare and submit invices fr the TIDA Reimbursement Obligatin, quarterly reprts, and supprting dcumentatin t TIDA. The Authrity shall have the discretin t submit invices t TIDA may be submitted n a mnthly, quarterly r annual basis as specified herein. TIDA shall reimburse the Authrity fr TIDA Reimbursement Obligatin within frty-five (45) days frm receipt f Authrity invice. 7. Cntrller s Certificatin f Funds. The terms f this Agreement shall be gverned by and subject t the budget and fiscal prvisins f the City Charter. Ntwithstanding anything t the cntrary cntained in this Agreement, there shall be n bligatin fr the payment r expenditure f mney by TIDA under this Agreement until the City Cntrller s Office first certifies, pursuant t Sectin f the City Charter, that there is a valid apprpriatin frm which the expenditure may be made and that unencumbered funds are available frm the apprpriatin t pay the expenditure. TIDA shall include an estimated amunt fr the TIDA Reimbursement Obligatin in TIDA s annual budget, and shall use gd faith effrts t seek apprpriatin and Cntrller s certificatin f the funds necessary t reimburse the Authrity in accrdance with this Agreement. The Cntrller s initial certificatin f funds fr this Agreement shall nt include the Authrity Cnstructin Csts. TIDA shall prmptly ntify Authrity in writing upn each instance f Cntrller s certificatin f funds required fr any cntract r ther activity fr the Prject. TIDA shall include in such ntificatin all details required by Authrity in rder t certify cntracts r take ther actins that require the Cntrller s certificatin f funds. The Parties acknwledge that any delay in receipt f Cntrller s certificatin f funds r any ther similar required certificatin culd result in the expiratin f cntractr bids r prpsals. The Parties shall cperate with each ther and with Cntrller t seek timely certificatin f funds as and when needed. 8. Term. The term f this Agreement shall be frm July 1, 2013 t December 31, Time extensins shall be by amendment t this Agreement and by mutual agreement between the Parties. TIDA s Reimbursement Obligatin under Sectin 5 and 6 shall survive beynd the term f this Agreement. 9. Indemnificatin. In cnsideratin f the Authrity s perfrmance f the Cnstructin Services and direct entry int the Cnstructin Services Agreements fr the benefit f TIDA, TIDA agrees t prtect, indemnify, defend and hld harmless the Authrity, its Bard f Cmmissiners, fficers and emplyees ( Indemnitees ) frm and against any and all lsses, liabilities, csts, expenses, claims, suits, actins, and damages f any kind (including reasnable attrney s fees) arising frm the Cnstructin Services Agreements r the actins r inactins f the Authrity r TIDA undertaken in cnnectin with the Cnstructin Services, except t the extent the same arise ut f the sle negligence r willful miscnduct f the Authrity. TIDA further acknwledges and agrees that the freging indemnity is a material part f the cnsideratin fr the Authrity s entry int this Agreement, and that the Authrity wuld nt enter int the Cnstructin Services Agreement in the absence f such indemnity.
