( Organizer ) for sponsorship ( Sponsorship ) and exhibit space (the Space ) at Organizer s CONVERGE18 event (the Event ), for the Fees indicated below and pursuant to the terms and conditions of this Application, the attached Prospectus, and the Terms of Sponsorship. Sponsorships are assigned on a first come, first served basis. 5 TERMS OF SPONSORSHIP Acceptance Company s Sponsorship of the Event is subject to Organizer s approval. No contract is created until the Application is accepted by Organizer. Organizer may withdraw its acceptance at any time by refunding the total Fee paid if Organizer, in its sole discretion, determines Exhibitor or its product detracts from the purpose of the Event. Event Location and Time The Event is scheduled to take place at the Omni Interlocken, Broomfield, CO (the Venue ), beginning Monday, October 8, 2018 and ending Thursday, October 11, Company acknowledges and understands that the venue(s), hours, and/or dates of the Event may be modified at Organizer s discretion. Organizer will notify Company of any such changes in writing. Organizer makes no warranties regarding the number of persons who will attend the Event. Payment Terms Payment of the Fees shall be made in United States Dollars and in the manner previously stated. Company s payment is due upon the earlier of (a) thirty (30) days from the date the Application is signed by Company or (ii) immediately if Application is signed after September 1, Payment must be received in full by Organizer before the Event begins in order for Company to participate in the Event. Organizer reserves the right to decline payment and/or terminate the Sponsorship Agreement. Exhibit Space and Promotional Distribution a. Use of Space. Company may not sublet, assign, or apportion any part of the Space contracted for herein, nor represent, advertise, distribute literature for, or otherwise promote the products or services of any other firm or individual except as approved in writing by Organizer. Company may not display outside the confines of its assigned exhibit space. b. Benefits and License Grant. Organizer will provide the Space at the Event for Company to display its products and services. The Sponsorship Fee includes use of the Space and any other benefits specified in the Application and Prospectus, taken together. Company grants Organizer the right to use Company s name, logo, and employees in connection with the promotion of the Event. c. Organizer will assign Space and notify all sponsors of assigned locations approximately thirty (30) days prior to the event. Platinum and Gold sponsors will receive priority Space. Company reserves the right, at its sole discretion, to designate exhibit Space or make changes thereto. Distribution of marketing materials outside of Company s defined exhibit Space is strictly prohibited. At its sole discretion, Company may withhold or withdraw permission from Company with regard to specific items, giveaways, advertisements or promotions not deemed appropriate by Company. d. Own Risk. Company has sole responsibility for any loss of its equipment or proprietary information, or any other loss. Compliance With Laws and Rules Laws and Rules. Company shall comply with applicable laws, regulations, ordinances, and rules set forth by Organizer in connection with its participation in the Event. Company shall not violate any proprietary rights of third parties in connection with its participation in the Event, including but not limited to playing, posting, or distributing copyrighted material without a license or other legally effective permission. Company personnel must wear identification badges while in the Event venue. Recording Release Company agrees that the Event may be recorded or reproduced, and authorizes Organizer and its designees to record, transcribe, modify, reproduce, perform, display, and distribute the Event, and Company s participation therein, in any shape or form, for purposes of promoting its services. 5

6 Cancellation or Termination a. Cancellation. Organizer may cancel all or any part of the Event for any reason beyond its reasonable control, including but not limited to natural disaster, wartime, acts of God, acts of terrorism, insufficient participation, market fluctuations, regulation, or similar, in which case Organizer will refund any Fees to Company, except to the extent Fees have been expended on behalf of Company. Following such refund, Company shall have no further recourse against Organizer. b. Termination. Organizer may take possession of the Space and terminate Company s participation in the Event should Company fail to meet any obligation under the Sponsorship Agreement, including but not limited to failure to: (i) timely pay Fees; (ii) set up the Space; (iii) meet Organizer s standards of conduct (including, but not limited to, engaging in violent, threatening, discriminatory, or illegal conduct). Any Fees paid prior to a termination for any of the above reasons shall not be refunded and belong to Organizer as an agreed measure of compensation, and are not to be deemed or construed a penalty. Limitation of Liability Neither Organizer, its affiliates, nor the Venue, shall in any event be liable for any special, indirect, incidental, consequential, or exemplary damages, or for lost profits, revenue, data, or use, arising from their acts or omissions in connection with the Event, whether such liability arises in an action in contract or tort, even if Organizer or Venue have been advised of the possibility of such damages. In no event shall Venue or Organizer s liability hereunder exceed the amount of Fees paid by Company under this Contract. Indemnity Company shall defend, indemnify, and hold harmless Organizer, Venue, and those lawfully within the Venue s premises from any claim, loss, liability, or damage arising from (a) Company s construction of an unsafe Space; (ii) the negligence or misconduct of Company or its agents, and/or (iii) Company s breach of this Sponsorship Agreement. Miscellaneous This Sponsorship Agreement constitutes the entire agreement between Company and Organizer concerning the subject matter herein, and may only be modified by a writing signed by both parties. If any term of this Sponsorship Agreement is declared invalid or unenforceable, the remaining terms shall continue in full force and effect. Any action arising from this Sponsorship Agreement must be brought in the State of Colorado and governed by the laws of the State of Colorado, excluding its conflict of law rules, and Company hereby consents to the jurisdiction of such courts. Company may not assign or otherwise transfer any portion of its interest in this Sponsorship Agreement. Initial Here: 6
