2 MEMO To: Mayor Mark Vicary and the City Council From: William J. Ganek, Administrative Consultant Subject: John Shipley Loan to Establish a Restaurant from the City of Genoa Revolving Loan Fund Date: February 28, 2019 Staff has been working to assist a local business entity, John Shipley as an individual, to establish a new restaurant at the former Moscato's restaurant located at 313 West Main St. Genoa. Mr. Shipley is working with several potential tenants that have experience in the operation of restaurants pending approval of the loan and remodeling of the interior and possibly the exterior of the property at 313 West Main Street. John Shipley has submitted a CDAP application for financing assistance through the City's low interest loan program to establish a new restaurant in Downtown Genoa. This individual has the funds in place for the purchase of the property and the portion of the project not covered under the loan program. Resource Bank has reviewed the overall financing and appears ready to provide additional financing for the project if the City low interest loan program financing is approved as part of the overall project. As with previous business loans entered into with the City under the low interest loan program, CDAP State guidelines are used to continue to provide loans when funds are available. Approval of the City loan is necessary in order for the overall project financing to proceed. Timing of this approval is important to move the project forward. Mr. Shipley would like this loan to be considered by the City Council at the March 5, 2019 meeting for approval as closing is planned for the following week. Therefore, we have placed, for City Council consideration, an Ordinance approving the loan for $50,000 payable over 10 years of equal installments with 3% interest rate (Payment Schedule is attached}. The City originally started the revolving loan program through a loan to Sycamore Precision in 1988 by obtaining the initial funds for the loan program via a grant from the State of Illinois. Since that time, the City has entered into a number of loans including loans with Service Concepts, the Genoa Pharmacy, Lloyd's Landscaping and Garden Center and Rivers Mexican Cantina and Grill. The Loan fund operates solely from the principal and interest payments repaid back into the fund through the years. Thus, all of these loans represent no expenditure of City tax dollars or operating funds and do not negatively affect the City operations financially, other than providing an additional positive benefit of potentially increasing City revenue through the growth of new businesses. We have received a completed loan application and substantial supporting materials from Mr. Shipley. We have been using the voluminous State of Illinois Department of Commerce and Economic Opportunity loan forms besides following the criteria in the recapture strategy previously adopted by the City to prepare the loan documents. The City's staff has reviewed the application, financials, and supporting

4 ORDINANCE NO AN ORDINANCE AUTHORIZING THE EXECUTION OF A REVOLVING LOAN WITH JOHN SHIPLEY FOR A RESTAURANT AT 113 WEST MAIN STREET BE IT ORDAINED by the Mayor and City Council of the CITY OF GENOA, DeKalb County, Illinois, as follows: WHEREAS, the City of Genoa began a Community Development Assistance Program by providing low interest loans to encourage economic development in 1988; and WHEREAS, the loans previously granted have increased development and employment within the City of Genoa; and WHEREAS, the CDAP Loan Fund operates solely from the principal and interest payments made by borrowers, and therefore, represents no expenditure of City tax or operating funds; WHEREAS, John Shipley is purchasing the property at 113 West Main Street, which is currently vacant and John Shipley plans to open a restaurant at this location; and WHEREAS, John Shipley is requesting the loan funds to purchase furniture and equipment for this new restaurant; and WHEREAS, this loan would encourage economic development and activity within the downtown by providing partial funding for opening a restaurant and therefore providing additional employment opportunities; NOW THEREFORE, be it ordained by the Corporate Authorities of the City of Genoa, DeKalb County, Illinois as follows: SECTION 1: That the Mayor is authorized to execute a revolving loan with John Shipley, future owner of 113 West Main Street subject to the final closing and purchase of the property. SECTION 2: That these loan funds will be for the purpose of opening a new restaurant at 113 West Main Street. SECTION 3: That this loan in the amount of $50,000 will be paid back over the course of 10 years at a 3% interest rate in equal installments until the loan is paid in full. 10 MEMO To: From: Subject: Date: Mayor Mark Vicary and City Council Janis Tures, Finance Office Manager/ Treasurer IEPA Loan Application IEPA Water Pollution Control Loan Program 2/28/2019 The City has the opportunity to apply for a Loan and possible grant for our North Water Tower repainting, S. Genoa Street and Hill Street Water Main replacement and Well# 4 improvements. Rich Gentile and I have been working with Baxter & Woodman Engineers to complete the required documents to apply for the loan. The loan will be for $1,639,000 to be paid over a 20 year period. As part of our efforts to receive this funding we are required to adopt an Ordinance authorizing the City to borrow funds from the Illinois Environmental Protection Agency Water Pollution Control Loan Program. The adopted Ordinance will be submitted with any additional required financial information. We expect to have final loan confirmation by the end of June. 12 CITY OF GENOA, DEKALB COUNTY, ILLINOIS ORDINANCE NUMBER AN ORDINANCE authorizing the City of Genoa, DeKalb County, Illinois to borrow funds from the Public Water Supply Loan Program WHEREAS, the City of Genoa, DeKalb County, lllinois operates its public water supply system (the "System") and in accordance with the provisions of 65 ILCS 5/ and the Local Government Debt Reform Act, 30 ILCS 350/1 (collectively, the "Act"), and WHEREAS, the Mayor and City Council of the City (the "Corporate Authorities") have determined that it is advisable, necessary and in the best interests of public health, safety and welfare to improve the System by maintaining the North elevated storage tank, constructing water main improvements along Genoa Street and Hill Street, and constructing improvements at Well No. 4 ("the Projects"), in accordance with the plans and specifications prepared by consulting engineers of the City; which Projects have a useful life of 20 years; and WHEREAS, the estimated cost of construction and installation of the Projects, including engineering, legal, financial and other related expenses is $1,639,000 and there are insufficient funds on hand and lawfully available to pay these costs; and WHEREAS, the loan shall bear an interest rate as defined by Adm. Code 662, which does not exceed the maximum rate authorized by the Bond Authorization Act, as amended, 30 ILCS 305/0.01 et seq., at the time of the issuance of the loan; and WHEREAS, the principal and interest payment shall be payable semi-annually, and the loan shall mature in 20 years, which is within the period of useful life of the Project; and WHEREAS, the costs are expected to be paid for with a loan to the City from the Public Water Supply Loan Program through the Illinois Environmental Protection Agency, the loan to be repaid from the City's Water and Sewer Fund and the loan is authorized to be accepted at this time pursuant to the Act; and WHEREAS, in accordance with the provisions of the Act, the City is authorized to borrow funds from the Public Water Supply Loan Program in the aggregate principal amount of $1,639,000 to provide funds to pay the costs of the Project; and WHEREAS, the loan to the City shall be made pursuant to a Loan Agreement, including certain terms and conditions, between the City and the Illinois Environmental Protection Agency; NOW THEREFORE, be it ordained by the Corporate Authorities of the City of Genoa, DeKalb County, Illinois, as follows:

13 SECTION 1. INCORPORATION OF PREAMBLES The Corporate Authorities hereby find that the recitals contained in the preambles are true and correct, and incorporate them into this Ordinance by this reference. SECTION 2. DETERMINATION TO BORROW FUNDS It is necessary and in the best interests of the City to construct the Project for the public health, safety and welfare, in accordance with the plans and specifications, as described; that the System continues to be operated in accordance with the provision of the Act; and that for the purpose of constructing the Project, it is hereby authorized that funds be borrowed by the City in an aggregate principal amount (which can include construction period interest financed over the term of the loan) not to exceed $1,639,000. SECTION 3. PUBLICATION This Ordinance, together with a Notice in the statutory form (attached hereto as Exhibit A), shall be published once within ten days after passage in The Daily Chronicle, a newspaper published and of general circulation in the City, and if no petition, signed by electors numbering 10% or more of the registered voters in the City asking that the question of improving the System as provided in this Ordinance and entering into the Loan Agreement, therefore, be submitted to the electors of the City, is filed with the City Clerk within 30 days after the date of publication of this Ordinance and notice, then this Ordinance shall be in full force and effect. A petition form shall be provided by the City Clerk to any individual requesting one. SECTION 4. ADDITIONAL ORDINANCES If no petition meeting the requirements of the Act and other applicable laws is filed during the 30-day petition period, then the Corporate Authorities may adopt additional ordinances or proceedings supplementing or amending this Ordinance providing for entering into the Loan Agreement with the Illinois Environmental Protection Agency, prescribing all the details of the Loan Agreement, and providing for the collection, segregation and distribution of the City's Water and Sewer Fund, so long as the maximum amount of the Loan Agreement as set forth in this Ordinance is not exceeded, and there is no material change in the Project or purposes described herein. Any additional ordinances or proceedings shall in all instances become effective in accordance with the Act or other applicable law. This Ordinance, together with such additional ordinances or proceedings, shall constitute complete authority for entering into the Loan Agreement under applicable law. However, notwithstanding the above, the City may not adopt additional ordinances or amendments which provide for any substantive or material change in the scope and intent of this Ordinance, including but not limited to interest rate, preference, or priority of any other ordinance with this Ordinance, parity of any other ordinance with this Ordinance, or otherwise alter or impair the obligation of the City to pay the principal and interest due to the Public Water Supply Loan Program without the written consent of the Illinois Environmental Protection Agency.

14 SECTION 5. LOAN NOT INDEBTEDNESS OF CITY Repayment of the loan to the Illinois Environmental Protection Agency by the City pursuant to this Ordinance is to be solely from the revenue derived from the City's Water and Sewer Fund, and the loan does not constitute an indebtedness of the City within the meaning of any constitutional or statutory limitation. SECTION 6. APPLICATION FOR LOAN The Mayor is hereby authorized to make application to the Illinois Environmental Protection Agency for a loan through the Public Water Supply Loan Program, in accordance with the loan requirements set out in 35 Ill. Adm. Code 662. SECTION 7. ACCEPTANCE OF LOAN AGREEMENT The Corporate Authorities hereby authorize acceptance of the offer of a loan through the Public Water Supply Loan Program, including all terms and conditions of the Loan Agreement as well as all special conditions contained therein and made a part thereof by reference. The Corporate Authorities further agree that the loan funds awarded shall be used solely for the purposes of the project as approved by the Illinois Environmental Protection Agency in accordance with the terms and conditions of the Loan Agreement. SECTION 8. AUTHORIZATION OF MAYOR TO EXECUTE LOAN AGREEMENT The Mayor is hereby authorized and directed to execute the Loan Agreement with the Illinois Environmental Protection Agency. The Corporate Authorities may authorize by resolution a person other than the Mayor for the sole purpose of authorizing or executing any documents associated with payment requests or reimbursements from the Illinois Environmental Protection Agency in connection with this loan. SECTION 9. SEVERABILITY If any section, paragraph, clause or provision of this Ordinance is held invalid, the invalidity of such section, paragraph, clause or provision shall not affect any of the other provisions of this Ordinance. SECTION 10. REPEALER All ordinances, resolutions or orders, or parts thereof, which conflict with the provisions of this Ordinance are, to the extent of such conflict, hereby repealed. 16 Exhibit A NOTICE OF INTENT TO BORROW FUNDS AND RIGHT TO FILE PETITION NOTICE IS HEREBY GIVEN that, pursuant to Ordinance Number, adopted on--~ 2019, the City of Genoa, DeKalb County, 111inois (the "City"), intends to enter into a Loan Agreement with the 111inois Environmental Protection Agency in an aggregate principal amount not to exceed $1,639,000 and bearing annual interest at an amount not to exceed the maximum rate authorized by law at the time of execution of the Loan Agreement, for the purpose of paying the cost of certain improvement to the public water supply system of the City. A complete copy of the Ordinance accompanies this notice. 19 THECITVOF ~~ GENOA Senator Dave Syverson 105E State Capitol Building Springfield, IL February 25, 2019 Dear Senator Syverson, This letter is in response to the Governor's formation of a Taskforce on the Feasibility of Consolidating Pension Systems Statewide. As we have previously discussed, the City of Genoa was burdened with the responsibility of establishing our own independent police pension fund after surpassing a population of 5,000 in Over a decade later, our population remains 5,200. Not only is our police pension fund new and underfunded, but it's also small leaving us with limited access to investment opportunities and lower returns than that of a larger pension fund. Just like many other municipalities throughout the State of Illinois, the City of Genoa struggles to balance our budget. The cost of the police pension has become an enormous burden in recent years, now representing approximately 51% of our entire property tax levy and 25% of our Police Department's overall budget each year. For the City of Genoa to employ a full-time police officer, the police pension cost is an added 90% of the officer's salary. The current pension program has become incredibly counter-productive, making it nearly impossible for the City of Genoa to employ an additional full-time officer. This has resulted in minimal full-time staffing and less public safety in our community. It is our understanding that the Illinois Municipal League has proposed a number of alternatives that would consolidate the nearly 650 individual police and firefighter pension funds, therefore, increasing investment opportunities while decreasing administrative costs for accountants, actuaries, investment managers, and attorneys. We are enthused by the progress that a resolution to the pension c~isis continues to make as we have advocated for a number of years that reform must take place in order for small communities such as ourselves to continue to provide police protection as pension costs continue to rise. We would like to ask for your help to support these legislative reform proposals drafted by the IML. If current legislation remains the same, both Genoa and dozens of other Illinois municipalities are left with no choice but to continue to reduce services and avoid hiring full-time officers, which is a threat to public safety, and opposed to job creation within our State.
