2 About this Request for Proposals 1.1 This Request for Proposals (RFP) is issued in accordance with the Cayman Islands Public Management Finance Law and its Regulations. All submissions will be subject to the rules and regulations of the Central Tenders Committee, and interested service providers should familiarize themselves with these rules in order to ensure that submissions are compliant. 1.2 Any questions, queries or requests for clarification on this request for proposal should be submitted by to no later than 3 days prior to submission deadline. Any response provided will be copied to all vendors having received the tender documentation. SECTION 2 ORGANIZATIONAL BACKGROUND & SCOPE OF ACTIVITIES Cayman Airways Limited (CAL) is an airline providing scheduled passenger and cargo flights to, from and within the Cayman Islands. The airline also provides charter flights on a demand basis. The company currently operates aircraft on international flights as well as service to the sister island, Cayman Brac. The company provides fee based air transportation as well as air cargo services. The company also owns and operates Twin Otter aircraft (Cayman Airways Express). These aircraft provide service between Grand Cayman and the sister islands of Cayman Brac and Little Cayman. This sister island service is currently supplemented with wet leased Embraer 120 aircraft operating between Grand Cayman and Cayman Brac. The airline generates additional revenue by various means including, providing handling services to other airlines at Owen Roberts Airport in Grand Cayman. Customers and Location of Activities The services provided by Cayman Airways Limited are by scheduled jet service between Grand Cayman, Miami, Tampa, New York, Chicago, Havana, Kingston, Montego Bay, La Ceiba, Dallas, Panama City and Cayman Brac. Additional routes continue to be evaluated in conjunction with the Cayman Islands Ministry of Tourism and the Cayman Islands Department of Tourism to facilitate decision making on any potential nationally strategic opportunities. SECTION 3 - IDENTIFIED OBJECTIVES AND SCOPE OF SERVICES Cayman Airways wishes to obtain one (1) Saab 340 B+ aircraft on an operating lease with the specifications outlined below: Page 2 of 8

3 3.1 Scope Providers must meet the following criteria in order to be considered and evaluated: 1. Proposals must include full specifications for the aircraft being offered, including but not limited to the maintenance program, modifications, structural repair and airworthiness directive status of the airframe, engines and major components. 2. The total cycles flown on the aircraft should not to exceed 40, No MPD inspections, maintenance tasks or time limited component replacements, should be due before 2,400 cycles, 1,100 hours and 12 months, unless the interval limit is less than those parameters, in which case there should be no more than 10 cycles since last accomplishment. 4. The aircraft fuselage and tail will be painted in the Cayman Airways Livery. 5. All structural repairs will be flush where possible and permanent in accordance with the Manufacturers Structural Repair Manual (SRM). 6. The aircraft will be in full compliance with all applicable EASA and FAA Airworthiness Directives (ADs) that have a compliance date within 12 months of delivery. All ADs will be complied with on a terminating action basis where such an options is available. 7. Engines will be GE ECMP compliant and be able to operate on wing for at least 2,400 cycles and 1,100 hours before next shop visit. 8. All engine, propeller, landing gear and airframe life limited parts will be supplied with complete back to birth traceability records. 9. Aircraft will be delivered FAR 121 compliant and with an Export Certificate of Airworthiness from the FAA. 10. The aircraft must have a GPS navigational system and be capable of conducting RNAV approaches. 11. The aircraft must be offered on an operating lease not to exceed 60 months. The lease must include a provision which gives Cayman Airways the right to purchase the aircraft if it so desires, at a prescribed price at any time during the lease. Should this right be exercised, the lease payments and all of the unused maintenance reserve payments should be applied as credit toward the prescribed purchase price. 12. Interior must be in refurbished condition and configured with 34 seats and a forward lavatory. 13. The aircraft fuel and operational systems, and operating manuals and chart shall be in imperial measurement units. 3.2 Service Period 60 months commencing on delivery of aircraft 3.3 Extent of Services N/A 3.4 Operational information N/A SECTION 4 SERVICE PROVIDER CRITERIA/CAPABILITIES To provide the required aircraft as outlined in 3.1 above, Circa October 1, 2016 but not to exceed November 1, Page 3 of 8

4 SECTION 5 INSTRUCTIONS ON SUBMISSION OF PROPOSALS 5.1 Structure of Proposals Please address the following information in your proposal detailing specifications where applicable:- Company registered name, address and trading name (if different). Provide contact details (including ) for correspondence in relation to this RFP. Name, position and biographies of key management and account personnel. 5.2 Evaluation Criteria The Tender will be awarded based on the weighted evaluation criteria below. Monthly lease and reserve rates and terms 25% Aircraft age and condition 20% Maintenance status (times to next maintenance requirement) 20% Purchase right option terms 25% Delivery and redelivery conditions 10% 5.3 Receipt of RFP Documentation Upon receipt of this Request for Proposals, service providers will sign for receipt and acknowledge; i. 5 5.4 Conditions i. CAL is under no obligation to accept any proposal ii. iii. iv. CAL can cancel the RFP process and/or reject any or all proposals at any time. The CAL and the Cayman Islands Government shall not be responsible for any cost incurred by respondents in preparing, submitting or presenting their response. CAL shall not be bound to accept the lowest or any tender proposal, and reserves the power to accept any part of any tender proposal Responses shall be evaluated according to the criteria outlined in Sections 4, 5.1 and 5.2 above. The contract is non-exclusive. 5.5 Timetable Responses to this RFP should be delivered to the Central Tenders Committee no later than 4:00pm, Tuesday 13 th July, Responses should be submitted in hand or by courier. It is intended to consider the evaluated RFPs at the next scheduled meeting of the Central Tenders Committee. CAL intends to notify vendors as to the successful proposal no later than July 22, 2016, although CAL has no obligation to do so. CAL intends to sign the contract relating to this RFP by July 29, 2016 after final negotiation with the winning Tender. Delivery of services is expected to start circa October 1, 2016 but not to exceed November 1, Confidentiality This document may contain information that is confidential and is provided for the sole purpose of soliciting submissions. Information provided may not be used in connection with any other matter. In accordance with the obligations and duties placed upon the CIG by the Freedom of Information Law, all information submitted may be disclosed in response to a request made for its release. In respect of any information that the service provider considers commercially sensitive, the vendor should: i. Identify the information which they consider commercial sensitive ii. Explain the implications of disclosure of such information iii. Provide an estimate of the period of time during which the vendor believes such information will remain commercially sensitive. 6 Any response on this matter should be submitted as an Appendix to the RFP. Where the vendor identifies information as commercially sensitive, CIG will endeavor to maintain confidentiality. CIG may be required to disclose such information in accordance with the Freedom of Information Law, regardless of a commercially sensitive designation, and offers no guarantee in this regard. CAL acknowledges that all information submitted shall be kept in strict confidence. 5.7 Compliance Submissions must be presented in a format consistent with section 5.1. Failure to address any requirements will be interpreted as a non-compliant response. 5.8 Non-Binding Document The Central Tenders Committee reserves the right to change without notice the basis of the competitive tendering process or to terminate it at any time. Under no circumstances shall CIG incur any liability in respect of this RFP or any supporting documentation. 5.9 Additional Information The Central Tenders Committee reserves the right to require vendors to provide additional information supplementing or clarifying any of the information provided in response to this RFP. Where no response is received within five (5) working days to such a request for additional information, then CIG reserves the right to reject the proposal. CAL may seek independent financial and market advice to validate information declared Required Review Tenders should carefully review this solicitation for defects or omissions. Comments concerning defects and omissions must be made in writing and received by tenders@caymanairways.net by the time and date indicated. This will expedite issuance of any necessary amendments. It will also help prevent the opening of a defective solicitation and unnecessary exposure of Tender s proposals, upon which an award could not be made. Protests based on any omission or error, or on the content of the solicitation, will be disallowed if these faults have not been brought to the attention of the Evaluation Committee, in writing, before the time indicated Conflict of Interest Tenders must disclose any instances where the organization or any individuals working on the proposal has a possible conflict of interest and, if so, the nature of that conflict. The Government of the Cayman Islands reserves the right to cancel the award if any interest disclosed from any source could either give the appearance of a conflict or cause speculation as to the objectivity of the Tender s proposal. The CIGs determination regarding any questions of conflict of interest will be final. Page 6 of 8

7 All materials submitted in response to this RFP become the property of the Cayman Islands Government and should be appended to any formal documentation, which would further define or expand any contractual relationship between the Government and tender resulting from this process. The Evaluation Committee may reject any proposal that does not comply with all of the material and substantial terms, conditions, and performance requirements of the RFP. Tenders may not qualify the proposal. If a Tender does so, the Evaluation Committee may determine the proposal to be a non responsive counter offer and the proposal may be rejected. The Evaluation Committee may waive minor informalities that: Do not affect responsiveness Are merely a matter of form or format Do not change the relative standing or otherwise prejudice other offers Do not change the meaning or scope of the RFP Are negligible or immaterial in nature Do not reflect a material change in the work, or Do not constitute a substantial reservation against a requirement or provision 5.12 Supplemental Terms and Conditions Bid Proposals including supplemental terms and conditions will not be accepted. Any proposals with supplemental conditions that conflict with those contained in this RFP or that diminish the Government s right's under any contract resulting from the RFP will be considered null and void. The Government is not responsible for identifying any conflicting supplemental terms and conditions that have been submitted in Bid Proposals before issuing a contract award. After award of contract: 5.13 Contract Negotiation After final evaluation, the Evaluation Committee may negotiate with the Tender of the highest-ranked proposal. Negotiations, if held, will be within the scope of the request for proposals and limited to those items that would not have an effect on the ranking of proposals. If the highest-ranked Tender fails to provide necessary information for negotiations in a timely manner, or fails to negotiate in good faith, the Government may terminate negotiations and negotiate with the Tender of the next highest ranked proposal Tender Notification of Selection After the completion of contract negotiation, all Tenders will be advised of the result of their submission. The successful Tender is advised not to begin work, purchase materials, or enter into subcontracts relating to the service until both the successful Tender and CAL sign the contract. Page 7 of 8

8 SECTION 6 APPENDICES AND SUPPORTING DOCUMENTATION APPENDIX A INFORMATION REQUIREMENTS The vendor short-listed as the preferred service provider will be required during negotiations to provide certain information, including but not limited to the following:- - An acceptable banker s reference as to the vendor s financial ability to finance its contractual obligations to the standards and for the duration of the contact - Details of public, general and professional liability insurance currently held, including dollar value of cover, insurer, and date of expiry. - Three (3) clients who may be approached for references. *END OF REQUEST FOR PROCUREMENT* Page 8 of 8
