5 RESOLUTION A RESOLUTION OF THE BOARD OF SUPERVISORS OF THE MIDTOWN MIAMI COMMUNITY DEVELOPMENT DISTRICT RELATING TO THE AMENDMENT OF THE ANNUAL BUDGET FOR THE FISCAL YEAR BEGINNING OCTOBER 1, 2018, AND ENDING SEPTEMBER 30, 2019 WHEREAS, on September 13, 2018, pursuant to Resolution , the Board of Supervisors (hereinafter referred to as the Board ) of the Midtown Miami Community Development District (hereinafter referred to as the District ), adopted a Budget for Fiscal Year 2018/2019; and budget. WHEREAS, the Board desires to amend the previously adopted Fiscal Year 2018/2019 Section 1. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE MIDTOWN MIAMI COMMUNITY DEVELOPMENT DISTRICT: Exhibit A attached hereto; and Section 2. Form 8B Memorandum of Voting Conflict FOURTH ORDER OF BUSINESS Discussion: Park Project Ms. Samuel provided the following update: 50 In applying for the permits, the City requested a survey and an arborist and Staff fulfilled 51 those requirements. 52 While awaiting the permits, Ms. Samuel conferred with District Staff regarding engaging 53 a contractor to complete the labor items and then, through the CDD, purchase park equipment, 54 turf, lighting fixtures etc., directly, without the markup. 55 The permits were expected to be issued in mid-march. 56 A reasonably-priced contractor is being appointed to perform the demolition, move the 57 brittle statues and handle the irrigation, fencing, electrical and turf installation. 58 The data and scope of work was forwarded to District Counsel to prepare the contract. 59 Equipment for the Children s Park is currently being priced with two vendors that are 60 ADA-compliant and that the City recognizes. 61 All necessary landscaping work would be incorporated as part of the regular 62 landscaping, instead of as part of the park project. 63 Approval of the first part of the contract was requested; cost estimates for the 64 equipment, chairs, tables, turf and lighting fixtures would be presented at the next meeting. 65 Ms. Wald recapped that the Board previously authorized Ms. Samuel to find a 66 contractor for the park project and for the District to make direct purchases of the goods and 67 commodities and complete the project in phases. The agreement is currently in draft form and 68 would be forwarded to Ales Group Inc. for review. The agreement is slightly more intense than 69 previous small project agreements because the project is only slightly below $300,000, which is 70 the statutory threshold that would require going out to bid, through the Request for Proposals 71 (RFPs) process. Although the agreement is still being finalized, Ms. Wald recommended 2

46 MIDTOWN MIAMI DRAFT February 12, approval, based on the information provided as to the scope of services that will be performed, 73 in a not to exceed amount of $300, On MOTION by Mr. Padula and seconded by Mr. Masarin, with all in favor, the 76 Construction Services Agreement with Ales Group Inc., for the scope of work, 77 in a not to exceed amount of $300,000, was approved Ms. Cerbone stated, as completion of the construction approaches and the District 81 commences purchasing equipment, certain rules must be in place, prior to re-opening the area 82 to the public. The rules must be reviewed at a Board Meeting and a public hearing must be 83 held. She would forward a copy of the agreement to the insurance carrier, when the project is 84 ready to commence, and then present the following insurance-related items for consideration: 85 Required increases, once the park is completed, for general liability. 86 Once items are placed in the park, there will be an increase in property coverage. 87 Whether the CDD should split out any hard fixtures, such as lighting poles, benches, 88 flower pots, etc., from the garage coverage and have it broken out into separate coverage. 89 Discussion ensued regarding insurance claims, establishing new thresholds on insurance 90 related to the park, community demographics, the garage and the budget. Ms. Samuel stated 91 that, later, she would discuss with Staff one Capital Improvements project with to be 92 determined (TBD) in the amount, for which $250,000 or $300,000 was approved. The 93 $150,000 second floor painting project could be deferred to next year. Ms. Cerbone stated that 94 the General fund has $200,000 earmarked for the Midtown Community Park and there is 95 $50,000 for general capital projects. As discussed at the previous meeting, insurance was 96 already over budget and, based on carrier review and examining the COREA, the CDD had 97 approximately $35,000 to $40,000. Ms. Wald stated her concern about the timing with the 98 budget, as the CDD enters into an agreement with the Community Park contractor, because the 99 project is occurring over two budget periods. The contractor cannot force the District to pay for 100 things that have not happened and will not happen until the following fiscal year FIFTH ORDER OF BUSINESS Approval of Unaudited Financial 103 Statements as of December 31,

Miami Avenue, Suite 132 Development District Miami, Florida Managers Report March Non-Standard Improvements As the property ages some pf the non standard improvements have deteriorated and are in need of repair and or replacement, A cost effective way of addressing these items is to have them electrostatic sprayed. The items in question are the landscape lights, bollards,and trash cans. Thus far we have started the landscape light program. We have already had about 50 landscape lights electrostatic sprayed. We have also slowly converted the lights to LED light bulbs. The light fixtures have been discontinued so we have manged to find parts ion ebay. We have also started to purchaser new light fixtures with a similar look and feel in the cases where we could not repair the old ones. We have purchased 50 new lights thus far. We will be starting a program to slowly paint bollards, trash cans beginning April 1. We may also have to replace some of the bollards and trash cans. With this is mind and we may decode to crate a capital project to address this next years SEE EXHIBIT A Bike Racks We have had several bicycle robberies reported in front of Target, Mid block and Midtown 4. We have met with local police to discuss strategies. They will plan a sting operation in an effort to capture the perpetrators We also discussed relocating the Target bike-rack form the curb on 36th and Buena Vista, and closer to their store entrance where they have security guard posted. We are waiting for their feedback FEC Fence We have a fence opening on FEC railroad behind Midtown 4. Many people, mostly construction workers use that fence opening to cross the railroad and enter the property in the early am and in the afternoon. The fence belongs to FEC. We closed it several times but they keep opening it. We contacted FEC and advised them of the issue. FEC stated that they will send FEC police for enforcement We also called code enforcement in an attempt to get the property on Ne 2nd addressed because the fence on the other side has also been removed SEE EXHIBIT B

There are a lot of moving pieces and we prefer to have everything lined up before starting. Our goal is to have minimal impact on retailers and shoppers and try not to have the areas disrupted with too many gaps in between. The later proposed a combination of changing the curb to a different city standard curb and effectively flipping the parallel parking spots slope and using a valley curb between them and the northbound traffic lane which has been approved by the city and works with maintaining our design standards Irrigation system Kimley Horn design for our building was based on the current WASD as-builts of the area that we now know did not show the post installed original infrastructure work by the District to tie in their right of way irrigation system, hence the districts back flow irrigation system was removed by WASD according to Kast construction is working to have the account open and reinstalled. Tree disposition we have had talks with the city and are now meeting with Kast and their tree disposition as we believed too many trees are slated for removal.
