1 KANSAS DISTRICT BOARD OF TRUSTEES MEETING MINUTES Sunday, August 7, 2016, Wichita, Ks. 1. Call to Order / Invocation Governor-designate Cynthia Bender called the meeting to order at 10:50 am. The invocation was given by Ron Moser. Governor-designate Bender introduced our Kiwanis International Counselor Chain Chu-Ching George from the Taiwan District and his interpreter Angela Liu. Recognized as being present were Governor Warren Eckelman, Past Governors Rusty Thomas, Dave Hurrelbrink, Shirley McLoughlin, Robert Maxwell, Dot Leakey, Mary Hammond, John Fagen, and Kansas District CKI Governor, Diego Esparza. 2. Approval of or additions to the agenda Discussion was held on the proposed agenda, Secretary Candidate Jim Germann pointed out that Item 11 d. on the proposed agenda was acted upon by the Board of Trustees during the 5 August 2016 board meeting so no action was required at this meeting. After discussion, Dave Hurrelbrink motioned that the agenda be accepted as presented with the removal of item 11 d. Victor Steiner 2nded the motion. No further discussion. Motion unanimously approved via voice vote. Motion carried. 4. Minutes of the Friday, August 5, 2016, Board of Trustees meeting in Wichita: Deferred IAW the District By-Laws, the District Secretary has 30 days to prepare the minutes of the meeting and provide a copy to the board. 5. Board approval of District Secretary appointment for Governor-designate Cynthia Bender requests board approval of her appointment of Jim Germann, Junction City South Club, as the District Secretary for the year. Governor-designate Cynthia Bender informed the board that she has asked Jim Germann to perform the duties of District Secretary for the Kiwanis year. She requested board approval of her selection. After discussion, John Shields motioned that the board approve her appointment of Jim Germann as District Secretary. Jan Maxwell 2nded the motion. No further discussion. Motion unanimously approved on a voice vote. Motion carried. Governor Warren Eckelman presented Governor-designate with a District Secretary pin for presentation to Secretary-designate Jim Germann. Board approval of committee appointments for Governor-designate Cynthia Bender requests board approval for her appointments to the committees listed in Attachment B for the year. Governor-designate Cynthia Bender informed the board that she selected the individuals listed in Attachment B to perform the duties of Committee Chairs for the Kiwanis year. She requested board approval of her selections. After discussion, Dave Hurrelbrink motioned that the board approve her Committee selections. Ron Moser 2nded the motion. No further discussion. Motion unanimously approved on a voice vote. Motion carried. 7. District Treasurer s Report Doug Clark Deferred 8. District Secretary s Report Jim Germann Deferred 9. Reports: a. Kansas Kiwanis Foundation President John Fajen reported that the Kansas Kiwanis Foundation was starting the year Money Ahead and that it was going to be a good year. He reported that there are opportunities for district members to become involved in the foundation and that committees were available for interested Kiwanians. He reported that the next Foundation meeting would be on 15 October 2016 at the UMB bank in Salina. The meeting will start around 11:00 am and lunch will be served. All Kiwanians are welcome to attend, but he asked that interested parties inform Kenton if they plan to be there, so they have enough food at lunch for all attendees. b. Kiwanis International Foundation Bill Donegan (Not Present No Report) c. Lt Governor s Committee Jo Schwartz reported that she had been reelected as the Chair of the committee today. The meeting went well and the LT Governors Committee donated $ to the Rock Springs Project. d. Past Governor s Committee Robert Maxwell reported that he was the Chair of the committee and had nothing to report to the board. e. Aktion Club Sumer Whitaker (Not Present). In her absence, Governor-designate Cynthia Bender reported that Sumer was busy getting ready for the new Kiwanis year and would be attending upcoming Aktion Club Leadership conference in Sioux City Nebraska. She will be attending with 5 members of District Aktion clubs. f. Builders Club - Dick McCall; Kurt Rickert (Neither Present No Report) g. Bylaws and Policies - Robert Maxwell informed the board that there were no actions pending review. h. Circle K - Ron Jackson (Not Present) in his absence, Diego Esparza, CKI District Governor reported that CKI in the District was doing well. They are currently working on their budgets and will make things work, even though their budget was cut by 2/3rds. District Convention - Jim Germann reported that a site for the 2017 District convention has yet to be chosen, but that the Overland Park Kiwanis club has expressed interest in being a host club for the district convention in either 2017 or He reported that he will be contacting them after the meeting to coordinate the possibility. He also reported that there would be further discussion about the 2017 District Convention in Item 10 b. of the agenda. j. Finance Doug Clark had nothing to report to the board. k. The Formula Coordinator Carolyn Dwire reported that they had a good session on the Forumla yesterday with many members. She stated she is excited about the team that is growing in the District. There are still positions available on the team within each division and asked the Lt Governors to find people to be on the team. She reported that the new Pot Co / Wamego Kiwanis club will be holding their charter night the evening of the 7 th of September. Invitations will be coming out shortly. l. Human and Spiritual Values Ron Williams (Not Present No Report) m. Kiwanis International Convention - Dave Hurrelbrink Coupe de Ville the 2017 Kiwanis International convention is a once in a lifetime opportunity to see the sights of Paris and experience Kiwanis. He also recommended taking a little extra time to tour Europe while you are there. n. Key Club - Chuck Sack (Not Present No Report). In his absence, Governor-designate Cynthia Bender thanked the board members who met with the Key Club Lt Governors yesterday. o. Key Leader Linda Keller reported that the dates for the 2017 Key Leader weekend have yet to be set. She challenged the Lt Governors to get more kids to Key Leader. She reported that Nicoli Mellinger, McPherson Key club, has been appointed to be the District Key Club s Ambassador to Key Leader this year in the hopes of increasing attendance at Key Leader by district Key club members. She informed the Lt Governors that work needed to be done on increasing attendance at Key Leader for kids from western Kansas. She reported there were none in attendance from western Kansas this year. p. Kiwanis Kids - Jo Schwartz reported there are currently 8 K-Kids club in the Kansas District, four of which are located in Pittsburg. q. Leadership Development Coordinator - Jim Mitchell (Not Present No Report) r. Partnership Coordinator - Robert Ross (Not Present No Report). In his absence, Governordesignate Cynthia Bender reported that he would be attending training at Kiwanis International in October for the position. s. Political Action Committee Governor Warren Eckelman reported that there was no activity in the District, but that our previous District Counselor, Dewey Smith, will be a candidate for Kiwanis International Vice President at the 2017 International convention and that the District should support his candidacy. Public Relations Coordinator - Mary Hammond reported that the Imaging class presented yesterday with the assistance of Governor-designate Cindy and Jim Germann was a great success. There was good interaction between attendees and KI Counselor George was very helpful during the presentation. She reported she is looking forward to developing the District PR plan in consultation with Governor-designate Cindy, President-Elect-designate Jan, Vice Governor-designate Rick and Secretary-designate Jim Germann. She hopes to have the plan in place and ready for action by 1 October to start the new Kiwanis year. u. Resolutions - Robert Maxwell nothing to report. v. Risk Manager - Marc Potter (Not Present No Report) w. Service Greg Bender (Not Present No Report) x. Youth Protection Manager - Tomi Foust (Not Present No Report) y. Rock Springs Project Dave Hurrelbrink reported that the District presented Rock Springs with a check for $15, this weekend. That brings the total donations toward the project up to $155, so far. He reported that they had received between $3, and $4, from clubs and individuals during the convention. These donations will start building for our next presentation during the Mid-Year conference in March. z. Eliminate Project Dot Leakey reported that she needed assistance with helping Model Clubs fulfill their pledges to the Eliminate project. She presented the 23 July pledge reports (Attachment C) to the board members. She also distributed the campaign update flyer (Attachment C-1) and a new Quick Facts pocket guide (Attachment C-2) to the board members. Jim Germann, District Web Manager, asked about the district pledge and contact information on the Eliminate page on the district web site and if we still wished to have the Division contacts shown. He felt this might not be necessary since we have passed the active recruitment and pledge phase and have entered the fulfillment stage of the project. The consensus opinion was to leave the information for the division contacts on the web site. 10. Old Business: a. Mid-Year 2017 will be held in Hutchinson, in conjunction with CKI on March 3 & The Hutchinson and Downtown Hutchinson clubs will be the host clubs. - Governor-designate Cynthia Bender informed the board members of the location of the Mid-Year conference and that a committee has already been working on the conference. More information will follow. b. The DCON 2017 location and dates are yet to be determined. Due to the mid July dates for the 2017 International convention in Paris, if the district board would like to keep out traditionally scheduled dates in the first weekend of August for DCON, we will be required to request permission from Kiwanis International to hold our convention within 30 days of the International Convention. Clubs with an interest in hosting the convention in their city need to contact the District Secretary. - Governor-designate Cynthia Bender presented the information to the board members about the 2017 Page 4 Energize The Dream that every child is happy, healthy, safe and loved.

Secretarydesignate Jim Germann explained that due to the mid July timing of the 2017 international convention, if the board would like to hold the 2017 District convention on our customary first weekend in August, we would need to seek permission from Kiwanis International to hold it within 30 days of the international convention. Rusty Thomas pointed out that since there were numerus district conventions already planned within the 30 day window, Kiwanis International will more than likely issue a blanket approval. After discussion, the consensus opinion of the board was to keep our normally schedule first weekend in August date and to seek approval from Kiwanis International. Secretary-designate Jim Germann instruct to contact Kiwanis International for approval. 11. New Business: a. Approval of the District Budget Treasurer Doug Clark presented the proposed During discussion, Governor Warren Eckelman noted that the amount received from the Kansas Kiwanis foundation for SLP support should be $3, Secretary-designate Jim Germann pointed out that there were no monies budgeted for the district photographer. Public Relations Chair Mary Hammond was asked about the position and she stated that she believed that the district photographer was needed and it should fall under the public relations umbrella. She stated that she would make the $1,500 allocated to Public Relations cover the costs associated with the district photographer and that since public relations was a new committee this year, the board will need to reassess the allocation during next year s budget discussions. No other changes in the proposed budget were discussed. After discussion, Dave Hurrelbrink motioned that the proposed budget with the corrected dollar amount for SLPs be approved. Warren Eckelman 2nded the motion. No further discussion. Motion unanimously approved on a voice vote. Motion carried. Treasurer Doug Clark instructed to publish the approved budget. Attachment D Secretary-designate Jim Germann reminded the board that the approved change in the District policy and procedures at the 5 August 2016 board meeting required that they establish an amount for the Contingency Reserve Fund. The current year amount is $72, Discussion was held on the amount of funds necessary in the reserve fund. After discussion, Dave Hurrelbrink motioned that the Contingency Reserve fund amount be set at $72, for the Kiwanis year. Jan Maxwell 2nded the motion. No further discussion. Motion unanimously approved on a voice vote. Motion carried. b. Routine business to be included in one motion: 1.) Approve banking arrangements and signature cards. 2.) Appoint District Secretary as approving authority for expense vouchers. 3.) Authorize direct credit purchases from Kiwanis International for Governor and District Secretary. removed. 4.) Authorize Surety Bond for District Secretary and Treasurer. 5.) Authorize a credit card for use by the District Secretary, Governor, and Treasurer. Governor-designate Cynthia Bender presented the routine business to the board. During discussion, Rusty Thomas pointed out that item three was no longer required since due to the advent of credit cards, Kiwanis International no longer allowed direct credit purchases. After discussion, Dave Hurrelbrink motioned that the routine business be approved minus item 3. John Shields 2nded the motion. No further discussion. Motion unanimously approved by voice vote. Approval to change the official district mailing address and move the District office from th St, McLouth, KS to 922 Sunrise Hill Dr. Junction City, KS Governor-designate Cynthia Bender informed the board that due to the appointment of a new District Secretary, these changes were requested. Governor Warren Eckelman questioned on what date this action would take effect. Secretary-designate Jim Germann informed the board that this action would be effective 1 October 2016 and that between this board meeting and that date, he would be contacting District Secretary Rusty Thomas to get listings of the district property and work out the details of the movement of the property to the new district office location. After discussion, Shirley McLoughlin motioned for approval to change the official district mailing address and move the District office from th St, McLouth, KS to 922 Sunrise Hill Dr. Junction City, KS Tom Sirridge 2nded the motion. No further discussion. Motion unanimously approved on a voice vote. Motion carried. d. Set the final date for submission of expense reports to be sent to the district secretary for processing and submitting to district treasurer for payment. Item removed from the agenda. (Refer to Item 3) e. Approval of Division realignment committee. Governor-designate Cynthia Bender requests board approval of the formation of a committee to study the possible realignment of divisions within the District. The committee will present recommendations to the board at the next board meeting. Governor-designate Cynthia Bender explained that she felt that the district need to look into realignment of the current divisions due to the fact that Division 6 is currently down to 3 clubs and have not had a Lt governor representing them in several years. She explained that perhaps one option for the committee to look at maybe combining divisions 6 & 7. But she would like the committee to look at the district as a whole and present recommendations for board action at the mid-year conference. She said she would like to have a report from the committee with suggested recommendations by 1 November. Carolyn Dwire questioned if the proposal to combine divisions 6 & 7 was a short term or permanent option and was informed that it was merely an example as to why the realignment committee was necessary. Carolyn volunteered to perform the duties of Lt Governor for Division 6, but was informed that due to her appointment as the Formula Chair, she could hold no other district position per the current policies and procedures. Duane Oestmann volunteered to be the division 7 lt governor, but was informed that there is currently a Lt Governor in that position. Carolyn Dwire asked if a LT Governor could represent 2 Divisions and was informed that current by-laws prohibit one person from holding 2 positions on the board. Jan Maxwell stated that she thought that this was a good idea and that there were divisions other than 6 & 7 that need to be examined as well. She said she would be happy to be on the committee. Duane Oestmann volunteered to be a member. Jo Schwartz volunteered to be a member provided that she could participate telephonically due to the upcoming election. Shirley McLoughlin volunteered to be on the committee. After discussion, Dave Hurrelbrink motioned that the board approve Governor-designate benders request to form the special committee with Jan Maxwell, Duane Oestmann, Jo Schwartz, and Shirley McLoughlin as members. KI District Counselor Chian Chu-Ching George thanked the board for allowing him and Angela (his interpreter) to attend the district convention. He has had a great weekend. He said this weekend the district has put a lot of effort into informing members about the Formula and the I-Plan. He applauded the district s achievements with the Eliminate Project. He stated that Governor Warren Eckelman is a hard working governor and that with the board working together we can grow even more. He believes that our District will achieve our goals. He recognized Rusty Thomas for all of her hard work as the outgoing District Secretary and presented her with a District Secretary Medal from the Taiwan Kiwanis District. He said that incoming District Secretary Jim Germann has a lot of work ahead of him and presented him with a District Secretary Medal from the Taiwan Kiwanis District. b. Past Governor Warren Eckelman stated that the district is off to a running start for the new year and is looking forward to helping the district grow. c. Vice-Governor-designate Richard Dickman said that his first year will be educational for him. He said that before he considered placing himself in consideration for the Vice Governor position, he contacted Kiwanis International about the division 12 clubs. He was trying to find out about all of the clubs that had closed in division 12 so that he could visit all of the communities and find out about the former clubs and see if there was a possibility of trying to get the clubs going again. He said that if he can perhaps get some of the former clubs restarted in division 12 and it works, it may be something to try district wide. d. Governor Elect designate Jan Maxwell thanked the district membership for allowing her to serve as the President-Elect for the Kiwanis year. She thanked Governor Warren Eckelman for including her in the I-Plan team, she learned a lot. She thanked Governor-designate Cynthia Bender for allowing her to be a presenter during the Formula breakout session. She said it made her stop and really think about the Formula and membership growth in the district. She said her concentration as Governor-Elect will be on membership and that she is taking her role in the Formula and membership very seriously. We will hear from her! e. Governor-designate Cynthia Bender 1. Explanation of District Goals 2. Distinguished Criteria: district, division, club, and member. 3. Lt Governor preparation for Governor-designate Cynthia Bender thanked everyone for volunteering to serve as members of Dream Team 102. She said we are going to have a great year. She stated that it was her intention to have a teleconference with the Lt Governors every six weeks during the year to discuss items. She informed the Lt Governors that now was the time for them to start contacting their clubs to schedule the officer installations for each club and she recommended that the Lt Governors attend a meeting of each of their clubs prior to the office installation just to introduce themselves and check on how the club is doing. She provided the board members with a Membership Made Easy handout (Attachment E). She provided the board members with Kiwanis International President-designate Jane Erikson s goals for the year (Attachment E-1), a copy of the Kiwanis International Recognition Program (Attachment E-2), and a copy of the Kiwanis International District Membership goals (Attachment E-3). She explained that during her speech on Saturday night at the Governor s Banquet, she said that her goal was three new members per club and four new clubs, but upon review of the Kiwanis International goals for the district, she was increasing that goal to five new members per club or 370 new members in the district. She pointed out that the Kiwanis International goal for the district was 329 new members and 3 new clubs. She emphasized that Dream Team 102 was going to have a great year. TaDa! Governor-designate Cynthia Bender announced that the next regular Board of Trustees meeting will be at the Mid-Year Conference in Hutchinson time and date TBD. Governor-designate Cynthia Bender asked if there was any other business for the board. Governor Warren Eckelman urged the Lt Governors to have the clubs keep up with their membership numbers reported to Kiwanis International. He requested that clubs add and remove members as the event occurs because he would like to avoid the traditional end of year drop in membership numbers as clubs prepare for the new Kiwanis year. He reported that as of the latest membership report from Kiwanis International, the district was up 72 members and if we keep this up, this year will be the first year in the past several years where the district has achieved positive growth. 13. Adjournment. Governor-designate Cynthia Bender asked for a motion to adjourn. Governor Warren Eckelman made a motion that the meeting be adjourned. Dave Hurrelbrink 2nded the motion.
