1 Department of General Services GSPUR-13B Rev. 2/20/01 SPECIAL CONTRACT TERMS AND CONDITIONS CONTRACT SCOPE/OVERVIEW: This Collective No. CN (identified here and in the other documents as the Contract ) will cover the requirements of Commonwealth agencies for Snap-set Forms. ORDER OF PRECEDENCE: These Special Contract Terms and Conditions supplement the Standard Contract Terms and Conditions For Statewide Contracts for Supplies. To the extent that these Special Contract Terms and Conditions conflict with the Standard Contract Terms and Conditions For Statewide Contracts for Supplies, these Special Contract Terms and Conditions shall prevail. TERM OF CONTRACT: The Contract shall commence on the Effective Date no earlier than June 1, 2004 and expire on May 31, OPTION TO EXTEND: The Department of General Services reserves the right, upon notice to the Contractor, to extend the Contract or any part of the Contract for up to three (3) months upon the same terms and conditions. This will be utilized to prevent a lapse in Contract coverage and only for the time necessary, up to three (3) months, to enter into a new contract. OPTION FOR SEPARATE COMPETITIVE BIDDING PROCEDURE: The Department of General Services reserves the right to purchase supplies covered under this Contract through a separate competitive bidding procedure, whenever the department deems it to be in the best interest of the Commonwealth. The right will generally be exercised only when a specific need for a large quantity of the supply exists or the price offered is significantly lower than the Contract price. MINIMUM ORDERS/SHIPMENT: Minimum order is 2,500 sets. QUANTITY VARIATION ALLOWED: (a) variation between quantities ordered and shipped, not exceeding the smaller of 10 percent or 10,000 sets, is acceptable. Page 1 of 3

PRICING OF ORDERS: The agency will compare prices for each order against each of the awarded contracts and from this the lowest overall price is determined. In the event copy proofs or other materials furnished by the Commonwealth are not furnished as scheduled, the shipping date is extended automatically by the number of workdays that copy, proofs or other materials are withheld from the supplier. Further extensions of delivery days the supplier must request in writing by the contractor and approved by the ordering agency. In the event an adjustment of schedule was requested by the supplier and is approved by the ordering agency in writing, the contractor is required to meet the adjusted shipping date and is considered delinquent if the adjusted delivery schedule is not met. INCLUDE IN PRICING: Static Bar Coding when requested by using Agency. This is used for inventory control. PROOFS AND DELIVERY: The supplier will submit three (3) sets of proofs within ten (10) days after receipt of purchase order. Delivery is within 30 days of approved proof. (Days are considered as workdays ). The supplier will use best efforts to meet the occasional emergency deliveries as required. When the supplier fails for any reason to make delivery, the Agency may have the forms completed by another printer and the defaulting supplier is liable to the Commonwealth for the difference between the amount of his contract and the contract of the other printer.. SCHEDULE OF PRICES: (a) If a supplier proposes to furnish without charge to the commonwealth any listed item of production or service, indicate by inserting NC (No Charge) as their quotation for that item. Leave no space blank. (b) Supplier may bid on the flat charge or a per 1,000 (M) basis or both. If the contract(s) is/are renewed, the same terms and conditions shall apply. IMPORTANT - BIDDERS NOTE: Stock requirements on this contract for lb. bond Paper and less paper is recycled stock with no less than 30% Post Consumer Stock. When applicable the supplier may substitue corresponding Offset Paper weights for bond Paper weights. PRICE ADJUSTMENT CLAUSE: It is recognized by the Commonwealth that during the term of the contract changes may occur relative to the industry and material costs. During the term of this contract, the Commonwealth shall adjust prices based upon the Producer Price Index Series ID WPU Unit Set Forms (unadjusted). The base is February 2004 Page 2 of 3

3 Department of General Services GSPUR-13B Rev. 2/20/01 The Commonwealth shall review prices on the following dates: compare the current Producer Price Index (unadjusted) with base, February A multiplier is calculated by dividing current by base. A multiplier of 1. + will result in an increase in all prices; a multiplier of less than 1. will result in a decrease in all prices. Current Producer Price Index (unadjusted) is reviewed for November ; the price change effective dates is January 1. Also the price is reviewed in May and the price change effective date is July 1. Price Index Commodity is reviewed on a six month basis; prices are adjusted accordingly. No change will occur in the three month option to extend period, if the Commonwealth executes that right. 4 SPECIFICATIONS 2.1 SCOPE: The contract covers the operations needed in the manufacture of multiple part manifolding sets known as Snap outs, Zipsets, Easy outs, Speedi-sets, Snap easy, or similar in the sizes specified and within the limitation set forth hereinafter. Agencies can order Sets with interleaved carbons, or without carbons and printed on a chemical transfer (carbonless) paper. This is a multi-supplier contract award. Agencies will determine the total cost of the order and place a purchase order to the lowest total pricing, providing that the supplier can meet the delivery requirements. 2.2 GENERAL SPECIFICATIONS: (a) All operations and materials such as printing, collating, punching, perforating, registration, joining, paper and carbon must insure sets satisfactory for the operation and usage requirements specified. (b) All operations required performed with utmost care to insure that (1) the printing on the sets delivered is clean and sharp, with full and uniform ink coverage, free from filled or broken letters, grayness or pinpoints in the printing, or other imperfections; (2) the margins as indicated in the specifications or copy are followed and uniform on all copies: (3) the spacing in the finished set will conform to the copy submitted or instructions in the specifications; (4) the printed image is squared with the trimmed edges, unless otherwise specified; (5) all corresponding elements of the various parts register with each other when the parts are assembled into sets; and (6) the sets are uniformly and evenly trimmed to the size indicated in the specifications. 2.3 DEFINITIONS: For purposes of this contract the following definitions shall apply; (a) Parts - as used herein in these specifications are defined as one sheet of paper other than carbon. (b) Stub Length - is the dimension of the bound edge. The dimension of the stub length may vary from 5/8 to 3/4 at the option of the supplier s standard and workable for easy separation. (c) Width - is the dimension of the sheet edge at right angles to the stub. (d) Binding - all carbon-interleaved forms are securely fastened in the stub, not less than 5/8 in depth, by pasting, gluing or forced gluing. (1) Pasting or gluing is generally defined as attaching the sets inside the stub by means of an adhesive applied in strips approximately 1/8 or more in width or by dots of adhesive approximately 3/16 diameter and spaced approximately 1/2 to 1 apart, measuring along and inside the stub. (e) The use of correct stub perforations is the responsibility of the supplier. Perforation must guarantee easy separation of all parts of one operation, but sufficient strength retained to prevent disengagement of any part under normal handling and shipping conditions. 2.4 SHIPPING CONTAINERS: All shipping containers new corrugated or solid fiberboard; bearing no inscription or advertising other than the manufacturer s certificate; 275 PSI; with lapped body joint; manufactured in complete accordance with the current Federal Specification PPP-B-636H, and any amendments. 2.5 PAPER: All paper furnished by the supplier. Paper stock suitably sized for writing on with ink without feathering. Supplier is required to supply various colors and weights of paper. All paper weights as stated herein are based on 500 sheets (17 x22 ). The standard color sequence of paper is white, canary pink, goldenrod, green, buff, blue and salmon (when available). 5 SPECIFICATIONS contract for 15 lb. is recycled stock that contains no less than 30% Post Consumer Recycled material. See paper upcharge for papers not included in the base running charges. 2.5 A The use of less papers is encouraged throughout the Commonwealth. All less papers in the following colors and weights shall contain no less than 30% Post Consumer material, CF white 15 lb lb. CF white, Canary, Pink, Goldenrod lb. As other Post Consumer less colors become available to the industry, suppliers are expected to use them. Paper grade NCR Recovery or equal. Brightness factor a minimum of 80. Also the request for Blue and black pricing was deleted from this contract. All less forms are expected to copy on regular office copiers. 2.5 B SPECIAL PAPER: During the term of this contract, it may be necessary to print orders under this contract using special papers not provided for in the schedule of prices. In these cases, agencies will solicit quotations for paper from participating suppliers under this contract. Paper costs are treated as a paper upcharge. The paper charges are in addition to the regular printing charges under the contract, and award is to the supplier with the lowest total charges. 2.6 COMBINATION ORDERS: Agencies may combine two or more form orders, the same size and stub width in the same position, to take advantage of the total quantity discount rates. The basic flat charge is always determined on the order with the greatest number of parts. Combination orders may consist of changes in composition, parts, ink, paper, perforations or file hole punching. If the only change between orders is other than composition, all charges are estimated as if all one order. The quantity discount is also applied on the total number of parts comprising the combination. 2.7 PAPER ROLL CHANGE: Any change in grade, weight, size or color of paper between parts in a set or between combination orders is a roll change. The paper roll change will apply to paper, colors and weights of papers other than those specified in the base running charge. 2.8 MARGINAL WORDS: Marginal words are any word or phase that denotes the disposition or use of the various parts in a set of forms. This charge applies to all marginal words after the first part and printed in red or black ink at the option of the supplier. 2.9 DELETION CHARGE: Deletion is the removal of type matter or rules from any part of a set without the substitution of other rules or type matter to occupy the same space. Where an affected area contains both horizontal and vertical rules, a deletion charge shall apply only when the rules are eliminated. If only one or the other is eliminated, the charge is the same as a composition charge. There is no charge for a deletion on any part of a form that also involves a composition change BACK PRINTING: This flat charge includes additional preparation costs applicable to the basic form for all back printing. Also, included is identical printing on the back of one or more parts in black or gray ink COLORED INKS: This flat charge is allowed when any ink other than standard black is used on the face (black or gray for back printing of any one or more parts of a form). When the face and back are printed in the same color other than black or gray, only one flat charge is allowed FILE HOLE PUNCHING: This charge applies for file hole punching of each hole, three or less of standard size 5/32, 3/16, 7/32, 1/4, 5/16, or 13/32 ). For more than three holes per 1,000, charge per hole applies CARBON PERFORATIONS: This flat charge applies per location when a carbon perforation is required UPCHARGE FOR SHORT CARBONS OR OPAQUES: This flat charge applies when all carbons or opaques are not of the same length in a set. 6 SPECIFICATIONS 2.15 CONSECUTIVE NUMBERING: Consecutive numbering refers to numbers printed in the same position on all parts with no change from part to part. Red or black ink is at the option of the supplier. Supplier must furnish a missing number list. 2.15A CONSECUTIVE NUMBERING - NO MISSING NUMBERS: Supplier must guarantee no missing numbers. Flat and running charges applies. 2.15B CONSECUTIVE NUMBERING IN TWO POSITIONS: This flat charge or running charge applies for two consecutive numbers printed in two positions on one or more parts RESETTING OF NUMBERING MACHINE: This flat charge applies when running consecutive numbered forms in combination or groups of orders and resetting numbering machine NO OVERRUNS / NO UNDERRUNS: This upcharge percentage shall apply only to the actual press-running charge TRIMMING CHARGE: This upcharge applies when stub widths are ordered for sizes not listed in the schedule of rates, charge per 1,000 sets SHRINK WRAPPING: When packaging is requested, all forms packaged in polywrap 75 gauge clear plastic and completely sealed against moisture. This per package charge applies PALLETIZING AND BANDING: All pallets requested by the ordering agency are of hardwood construction and reusable. The agency will refuse shipments arriving on one way pallets or not of hardwood construction. Pallets, when ordered, are furnished by the supplier when the containers fill 2 layers or more on the pallet. The maximum overall height of the loaded pallet (including pallet) must not exceed 55. The gross weight of the pallet and paper should not exceed 2,000 pounds. Do not place shipping containers loosely on pallets. Fasten containers to the pallet in some manner such as, but not limited to, straps over shipment, edge protectors or glued to each other or completely polywrapped to prevent shifting while in transit. The method of fastening is at the option of the supplier. Pack flush to corners, no over hang permitted at any edge. Pallets suitably packed to insure acceptance and safe delivery called for in the order. Mark one end of each pallet to show contents of the pallet. The size of the markings is one quarter of an inch or longer bold letters MAJOR CHANGE: Includes all alterations in composition, front or back, exclusive of deletions that includes an area parallel to the printing in the body of the form over one half of the form in depth, or that involves changes in horizontal or vertical rules. All necessary platemaking prices are included in this charge. MINOR CHANGE: A minor change per part applies to face or back, when the change: (1) exceeds two one-line changes per part; (2) any typographical change not exceeding 1 in depth parallel to the printing that does not involve changes in vertical or horizontal rules; or (3) any deletion(s) that may include the insertion of not more than 1 in depth of new copy occurring within the body of the form EXACT REORDER - DEDUCTION ALLOWANCE: This deduction allowance shall apply when a supplier receives an exact repeat order when no changes in composition are required OMISSION OF CARBON - ALLOWANCE: This allowance applies if a form is required with one or more carbon sheets omitted. Allowances are priced on a per 1,000 basis BASE FLAT CHARGES: The base flat charge will include all preparations necessary such as composition, negatives, offset or letter press platemaking and press make-ready. 7 SPECIFICATIONS charges is the deletion of the previous P.O. number / date and printing current P.O. number / date in stub area of form BASE PRESS RUNNING CHARGE: Includes printing with black ink on white or colored No. 4 sulphite bond paper, weights either 12, 13, 14 or 15 pound with black or blue carbon. These paper weights and colors intermixed at the option of the ordering agency PAPER UPCHARGES: The paper upcharges shown in the schedule are in addition to those included in the base press running charges COMPOSITION ALLOWANCE: This allowance will apply when an original camera-ready master is furnished to the supplier for reproduction BOOKBINDING: Forms bound in quantities of 25 or 50 sets, 2 or 3 staples, chipboard backer for rigidness and either one or two piece wrapped tag stock cover with or without printing. Occasionally 6 sheets of reusable carbon are required and are included at no charge IMPRINTING: Imprinting of forms limited to a minimum of 500 forms and restricted to an aggregate of 2 in depth and a maximum of 5 in width. Multiple part forms imprinted by plate charges or crash printing methods. All charges are in addition to the forms price. Prices quoted must include the cost of any necessary film and / or printing media for imprint lines, press charges and make ready and other materials and operations required MULTIPLE DESTINATIONS AND DISTRIBUTION: All orders of printed materials produced under this contract requesting shipment directly to multiple consignees are F.O.B. destination. Shipments are made by the supplier at the lowest cost possible and within prescribed limitations by either small parcel delivery or regular common carrier. Supplier is reimbursed for the actual transportation charges. Prices quoted must include shipping containers, furnishing and preparing bills of lading, labels, addressing and affixing labels to cartons. Distribution lists will accompany such orders DOLLAR VALUE DISCOUNT SCHEDULE: Upon computing the prices from the Schedule of Prices in this contract, the Commonwealth is authorized to deduct the dollar value discount percentage based on the total dollar value of the order(s). AUTHOR S ALTERATIONS: This refers to time work for author s alterations for changes in composition after proofs were submitted to the ordering agency A PROOF CHARGES: These proof charges are applicable only when used in conjunction with author s alterations in preceding paragraph. SCHEDULE OF PRICES: This is a multi-supplier contract. Prices quoted are F.O.B. destination unless otherwise indicated in specific items. If a supplier proposes to furnish any listed items of production or service at no charge, they must indicate by inserting NC (no charge) as their quotation for that item. For any items the supplier wishes to NB (no bid), he must insert NB. The supplier is not considered for an order where he quotes NB. All items being quoted base on the most economical method of production. Except for items individually priced, fractional parts of 1,000 are prorated at the per 1,000 rate as applicable to the various items in the schedule. Page 4 of 4
