General 1.1 The conditions of contract are the NEC3 New Engineering and Construction Contract ((Third edition issued June 2005) as amended by: Main Payment Option B (Priced Contract with Bill of Quantities) ECC Secondary Options T (Changes in the Law) M (Contractor's Liability for Design) G (Performance Bond) P (Retention Bond) R (Delay Damages) U (CDM Regulations) W1 (Dispute Resolution) Y (UK) 2 (published by the ICE April 1998), Z Clauses and As modified within the Contract Agreement dated..tbc. between Liverpool City Council and the preferred contractor and hereafter referred to as the Conditions of Contract'. 1.2 The Works are the Edge Lane West (ELW) Highways and Environmental Improvement Scheme, and comprise the demolition of residential and business properties, various accommodation works including works to listed properties, coordination and diversion of all statutory undertakers apparatus, extensive temporary traffic management plans and traffic regulation orders, junction improvement at the Holt Road/ Durning Road Junction, Marmaduke Street/ Jubilee Drive Junctions and at Hall Lane/ Edge Lane Junction, upgrade existing crossing at Dorothy Street, construction of new central reservation along the entire route, construction of School Lane access road, carriageway re-construction, closure of redundant accesses and side roads, new communal square, carriageway resurfacing, footway refurbishment, installation of new lighting column, installation new advance directional signage, new carriageway markings, soft landscaping, and public artwork. 1.3 The Employer is Liverpool City Council Municipal Buildings, Dale Street, Liverpool, L69 2DH and is represented by Mr Robert Dunn 1

Dispute resolution for the contract is arbitration The period of reply is 7 days The Pre- Construction Information Pack is issued by the CDM Coordinator Amendments to the Conditions of Contract are as listed in the Schedule of Amendment in the Contract Agreement Additions to the Conditions of Contract are as listed in the Schedule of Amendment in the Contract Agreement The Project Risk Register is located in Volume 2 2. The Contractor's Main Responsibilities 2.1 The Contractor's liability for Defects due to his design that are not listed on the Defects Certificate is unlimited. 2.2 The Contractor submits to the Project Manager a copy of the Construction Industry Board's registration certificate within 28 days of the Contract Date confirming registration of the Site under the Considerate Constructor's Scheme. 2.3 The Contractor prepares forecasts of Actual Cost for the works at intervals no longer than 4 weeks. 2.4 The Contractor is required to arrange Early Warning and Compensation 3
9 Event meetings at intervals no longer than 2 weeks. 3. Time 3.1 The starting date of the Contract Period is TBC. 3.2 The possession dates are: Part of the Site... Date 3.3 The Completion Date for the whole of the works is 3.4 The Employer is not willing to take over the Works before the Completion Date. 3.5 The Contractor is to submit a first programme for acceptance within 2 weeks of the Contract Date. 3.6 The Contractor submits a revised Programme at intervals no longer than 4 weeks 3.7 Delay damages for Completion of the whole of the works are per day. 4. Testing and Defects 4.1 The defects date is 52 weeks after the Completion Date for the whole of the works with the exception of Thin wearing course systems exceeding 40mm thickness to Clause 942, which will have a defects date of 36 months after completion. 4.2 The defects correction period is 4 weeks. 4.3 The landscaping defects and aftercare requirements will include all soft landscaping and tree planting within the works and will be maintained for a period of 156 weeks (3 years) after the Completion Date for the whole of the works. The landscape aftercare requirements are detailed in Volume Payment 5.1 The currency of this contract is sterling ( ). 5.2 The assessment interval is 4 weeks. 5.3 The period within which payments are to be made is 28 days. 4
10 5.4 The interest rate is 3% per annum above the rate of the Bank of England. 5.5 The retention free amount is NIL. The retention percentage amount is 5 %. 5.6 The amount of the guarantee bond is 10% of the contract sum. 5.7 Exchange rates are those published in the Financial Times on the Contract Award Date. 5.8 A schedule of Assessment Dates is to be agreed between the Project Manager and the Contractor. 6. Compensation Events 6.1 The place where weather is to be recorded is the nearest Meteorological Station, located at Liverpool Sandon Dock. 6.2 The weather measurements to be recorded for each calendar month are the cumulative rainfall (mm) the number of days with rainfall more than 5mm the number of days with minimum air temperature less than 0 degrees Celsius the number of days with snow lying at 08:00 hours GMT and these measurements: working hours with windspeed exceeding 60km/hr 6.3 The weather data are the records of past weather measurements for each calendar month which were recorded at Liverpool City Centre (Sandon Dock) and Crosby Marina and which are available from The Met Office Fitzroy Road Exeter Devon EX1 3PB Tel: or at 7. Risks and insurance 8.1 The amount of the minimum limit of indemnity for insurance in respect of loss of or damage to property (except the Works, Plant and Materials and Equipment) and liability for bodily injury to or death of a person (not an 5
11 employee of the Contractor) caused by activity in connection with this contract for any one event is 10,000, unlimited. 8.2 The amount of the minimum limit of indemnity for insurance in respect of death of or bodily injury to employees of the Contractor arising out of and in the course of their employment in connection with this contract for any one event shall comply with the statutory requirements of the law. 8.3 The minimum limit of indemnity for insurance in respect of damage to the works due to non recoverable Road Traffic Accident for any one event is 10, unlimited. 8.4 The amount of the minimum limit of indemnity for Contractors All Risks insurance is the price of the work to date. 8.5 The Employer does not provide any of the insurances stated in the Insurance Table. 8.6 The Contractor s total liability to the Employer for all matters arising under or in connection with this contract, other than excluded matters is limited to the price of work to date. 8.7 The end of liability date is 12 months after the completion of the whole of the works 8.8 A report of performance against each Key Performance Indicators is provided at intervals of 3 months 8.9 The additional conditions of contract are as listed in Part 3 of the Schedule of Amendments 9. Disputes and termination 9.1 The body which will choose a new adjudicator if the Parties cannot agree a choice is the Institution of Civil Engineers. 9.2 The Adjudicator is the person appointed as follows: a) In the event that a first dispute is referred to adjudication, the referring Party at the same time applies to the Institution of Civil Engineers to appoint an Adjudicator. b) The application to the Institution includes a copy of this definition of the Adjudicator. c) The referring Party pays the administrative charge made by the Institution. d) The person appointed is also the Adjudicator for later disputes. e) Guidance Notes on the Appointment of an Adjudicator. 6
12 Applications to the Institution are only accepted if made on ICE Form AdjICE. The form assumes that there is a formal 'Notice of Adjudication' which is attached to the application. The NEC contracts do not require any specific formalities to be followed. It is suggested that a covering letter be sent with the application form.
