2 Montgomery Independent School District Walden Road, Montgomery, TX REQUEST FOR PROPOSALS Lawn Maintenance & Ground Service RFP #: The MONTGOMERY INDEPENDENT SCHOOL DISTRICT, hereinafter referred to as MISD or the District, is accepting sealed proposals for Lawn Maintenance & Ground Services in accordance with the instructions, specifications, terms and conditions contained in this solicitation. MISD reserves the right to revise and amend the specifications prior to the date set for the opening. Respondents are requested to clarify any ambiguity, conflict, discrepancy, omission or other errors in the RFP in writing and request modification or clarification desired. Revisions or amendments, if any will be made by issuing an addendum. This addendum will be posted to our website prior the opening of this RFP. It is the responsibility of each vendor, prior to submitting the Proposal to check out our website for any addendums for this RFP. The contract shall be effective July 1, 2017 through June 30, In order to promote efficiency and economy the district reserves the right to extend this contract for a renewal up to four (4) additional years if the vendor and the District mutually agree to the same terms, conditions, and favorable prices. MISD invites qualified vendors who are interested in being included in the District s vendor pool to submit one (1) original and two (2) copies of their proposal. FAXED AND ED PROPOSALS ARE NOT ACCEPTED. Sealed proposals, one (1) original and two (2) duplicate copies, must be received by the PURCHASING OFFICE before the hour of opening on the date specified. The original proposal must be in a three (3) ring bound binder and organized by specific sections listed below. FAILURE TO SUBMIT your RFP RESPONSE IN DUPLICATE WILL RESULT IN REJECTION OF OFFER. Any proposal received later than the specified time, whether delivered in person or mailed, shall be disqualified. There is no guarantee of an award either expressed or implied. Any and all costs associated with preparing a proposal in response to this RFP is at the sole discretion and expense of the bidder. Vendors maybe required performing a presentation, giving a demonstration, and/or providing samples, literature, or participating in any interview process as related to this solicitation. No award of any agreement is final until approved by the MISD Board of Trustees. There is no obligation for the Board of Trustees to approve any proposal nor is there an obligation to seek the approval of the Board of Trustees for any proposal that does not fully meet the needs of MISD as solely determined by MISD. Failure to follow these instructions may cause a proposal to be determined as non-responsive and the proposal rejected. Vendors must fill in all the blank forms and answer such as yes or not for all fields. 3 Schedule of Events RFP Posting to Paper: May 25, 2017 & May 29, 2017 Walk Through & Questions/Answer: June 2, 2017 at 8:00 am meeting at the Maintenance Department office, Liberty Street, Montgomery, Texas Opening of Proposals: June 12, 2017 at 9 am at Walden Road, Montgomery Texas The proposals will not be read aloud at the time of proposal opening. Award of Contract: This will be presented at the scheduled Board of Trustees meeting on June 20, Unless all proposals are rejected, there will be no information released as to the finalist until the proposal has been approved by the Board of Trustees. Services will begin July 1, 2017 (weather permitting) Discrepancies & Questions Any discrepancies found in this document will result in the option that most benefits MISD as determined by MISD. If this is unclear, please document any concerns in writing for clarification prior to submitting your proposal. All questions must be submitted in writing to RFP @misd.org, The RFP number must be included at the beginning of the subject line. Vendors shall not contact any other district personnel with regard to the proposal process, status of evaluation, questions, or contents of proposals. Failure to abide by these requirements may be cause to reject the proposal of the vendor and/or all proposals. If Applicable, vendors who attend the Walk through & Question/Answer meeting will automatically be listed as potential bidders and will automatically receive all responses to all properly submitted questions. 4 Scope of Work Proposals for Lawn Maintenance and Grounds Service include mowing, trimming, edging all lawn areas and blowing grass clippings off of all non-porous surfaces. The mulching of flower beds will be done in August prior to opening of school, based on the school calendar for the given year. Quotes shall be listed by individual location and the district may award any part or location listed. The contractor shall submit the following agreement effective July 1, 2017 through June 30, In order to promote efficiency and economy the district reserves the right to extend this contract for a renewal up to four (4) additional years if the vendor and the District mutually agree to the same terms, conditions, and favorable prices. All grass areas will be serviced according to the following seasonal scheduled visits per month Eleven (11) campuses (including 3 new campuses to open, see facility list for possible start dates), two (2) transportation centers, district office, athletics, aquatic facilities: Monthly visits for Lawn Maintenance & Grounds Service January 1 February 1 March 4 April 4 May 4 June 3 July 4 August 4 September 4 October 3 November 2 December 2 Total visits Additional mowing as requested by MISD Maintenance Director shall be billed as listed within this proposal per mowing rate for individual campus and/or facility. 2. Shrubs, hedges, and Crepe Myrtles to be pruned and/or trimmed as needed to maintain a uniform appearance. Crepe Myrtles need to be trimmed, February 1-14, during the first two weeks of February. 3. Beds are to be weeded and/or cleaned each visit and grounds must maintain a neat appearance. 4. Outer fence lines at all locations must be weedeated as needed. 5. Fertilizer is only to be applied upon request of the MISD Maintenance Director. Pricing, labor and cost will be billed at the price list within this proposal. 6. Installation of annual bedding plants to provide seasonal color is only to be applied upon request of the MISD Maintenance Director. Pricing, labor and cost will be billed at the price list within this proposal. 7. Mulching or re-mulching of beds as requested by the MISD Maintenance Director. Mulch cannot cover weep holes. 5 8. Plant replacement, and plant installation must be pre-approved or requested by the MISD Maintenance Director prior to. Pricing, labor and cost of which must be pre-approved prior. This is not included in this agreement and will be billed at retail prices. 9. Contractor will furnish no less than five (5) personal including supervisor, and equipment necessary to perform the services covered in this agreement. 10. All equipment that is equip from the manufacturer with safety devices must be used and in working order. All deck guards on mowers must be used and in working order. 11. All damage caused from mowing or weed eating is the responsibility of the vendor. If damage occurs the vendors supervisor must contact the administration for the campus or department in which the damage occurred and the Maintenance Director. 12. If licensed applicator, please give license number. **District must be notified before any chemicals are used on the grounds for approval. 13. Furnish a list of commercial references including business. 14. Upon arrival to MISD campus or facilities the vendor must contact the front office at each location/campus. 15. Gravel parking lots can be sprayed for weeds after checking with the Districts IPM Coordinator. 16. Areas to be mowed at each location will be discussed during the scheduled walk-through. 17. Contractor is to furnish their own locks and must check in at the front office of each location before beginning work. 18. Upon approval by the MISD Board of Trustees, the vendor will need to complete the Texas Ethics Certificate of Interested Parties Form 1295 and send the notarized form to the MISD Purchasing department. Proposals must be signed by an official authorized to bind the provider to its provisions for at least 60 days. Receipt of a signed proposal shall be considered an offer on the part of the Contractor. The terms, conditions and specifications of this proposal will become the contract, if the proposal shall be deemed approved and accepted by Montgomery ISD. In the event of a default on the part of the Contractor after acceptance, the district may take such action as it deems appropriate including legal action for damages or specific performance. 9 Bidder Qualifications 1. Documented minimum of five (5) year history of providing the services and/or solutions described (or equivalent) to commercial and/or educational institutions in the Montgomery County area or areas adjacent to Montgomery County, Texas. (Preference is given for K-12 experience). 2. Bidder must provide a minimum of three (3) client references, at the approximate user base as MISD, who have received the same or like services as described in this RFP from the bidder. (Preference is given for K-12 experience) 3. Provide a description of service provided to the clients listed with sufficient detail for MISD to verify it is equivalent to the solution described in this RFP. 4. Bidder is to list any state or local purchasing or buying cooperatives to which they are a qualified vendor. Such as cooperative: BuyBoard, Region IV, Region V, TIPS, etc. 5. Bidder is to note if they are a HUB as defined by the state of Texas. 6. Where not sealed by a court of law prior to the release of this RFP, document any K-12 or Higher Education entity in the state of Texas within the past five (5) years who has pursued any form of legal action to reclaim funds paid to the bidder, or sub-contractor of the bidder who will be expected to deliver any form of goods or services as part of your proposal. Failure to provide this information is grounds for the cancelation of any resulting contracts without penalty to MISD. 7. Vendors who are awarded contracts with MISD will be required to complete an Employee Background Check and a Felony Conviction Notification form for all contractors physically working on MISD property. 8. If there is a conflict of interest, please include the attached Conflict of Interest with your proposal. 9. 10 Response Format To have a proposal considered, you must respond to this RFP in the following format. The original proposal must be in a three (3) ring bound binder and organized by the specific sections listed below. Sections 1. Introduction - Introduction to your company. 2. Bidder Qualifications - Bidder qualifications as outlined under Bidder Qualification Deliverables excluding client references. 3. References - References as described in number three (3) and number four (4) under Bidder Qualification Deliverables. 4. Proposal Your detailed proposed solution including the total yearly price at the end of this section. 5. Options - Any optional products and/or services related to your proposals that are not required to meet the stated deliverables. Please clearly itemize all optional costs. Options should not be included in the total price. 6. Costs This section must include all cost, including maximum percentage of increase per year, and a detailed description of the cost for years two (2), three (3), four (4), and five (5). 7. Non-Deliverables The requirements and deliverables of this RFP will supersede any resulting agreement or contract. Any deliverable or requirements that cannot be met must be clearly identified in this section along with any alternate options for that deliverable or requirement. 8. 11 General Terms and Conditions Billing and payment Unless a contactor offers a prompt payment discount in their original proposal response, MISD terms will be Net 30 days. Evaluation of Proposals Proposal evaluation will be done based on the information provided by the vendor. It is very important that the vendor provide all required information as part of their proposal. Failure to provide necessary information and documentation could result in the proposal being rejected. Proposal Evaluations In accordance with Education Code (b), in evaluating qualified proposals for contract award, Montgomery ISD will use the Best Value Method to determine the awarded Bidder(s). In determining Best Value, the District shall consider the following. It is not the policy of the MISD to purchase on the basis of low proposals alone. NOTE: Order does not represent priority: 1. Purchase price 2. Reputation of the vendor and/or services 3. Quality of vendor s good and/or services 4. District s needs 5. Past relationship 6. Ability of the district to comply with laws and rules relating to historically underutilized businesses 7. Total long-term cost to the District for vendor s goods and/or services 8. For a contract for goods and services, other than goods and services related to telecommunications and information services, building construction and maintenance, or instructional materials, whether the vendor or the vendor's ultimate parent company or majority owner: a. Has its principal place of business in this state; or b. Employs at least 500 persons in this state 9. Any other relevant factor specifically listed in the request for bids or proposals. 10. Implementation of the services and timelines 11. Experience with K-12 environments. Applicability These conditions are applicable and form a part of the contract documents in each supply and/or service contact and a part of the terms of each purchase order for items of equipment and/or service included in the specifications and proposal forms issued herewith. 12 Proposal Response Unless otherwise specified, vendors are requested to submit an executed original of the proposal. Proposal response must contain: Signed, Certification of Proposal form Proposal pricing References Felony Convictions Notice Form Conflict of Interest Form CIQ Employee Background Checks and Assurances Any additional documents required by this solicitation Those Who Do Not Propose Notify MISD Purchasing in writing if vendor wishes to receive future proposals. Failure to do so may result in their being deleted from our prospective vendor s list. HUB Certification Bidding companies that have been certified by the State of Texas as Historically Underutilized Business (HUB) entities are encouraged to attach a copy of their HUB Certification when responding to this proposal. MISD will highlight HUB status on all recommendations and awards. Disclosures By signing this proposal, the vendor affirms that he/she has not given, offered to give, more intends to give at any time hereafter any economic opportunity, future employment, gift, loan, gratuity, special discount, trip, favor or service to a public servant in connection with the proposal submitted. Funding Out Clause Any resulting agreement, contract or lease must include a Funding out Clause if applicable. Regardless of length of agreement, any resulting contract for the acquisition, including lease, of real or personal property is a commitment of the District s current revenue only. The District retains the continued right to terminate the agreement or contract at the expiration of each budget period during the term of the contract without penalty should funding not be appropriated due to unforeseen budgetary shortfalls. The agreement or contract must be conditioned on the best faith efforts attempt by the District to obtain and appropriate funds for the payment of the resulting agreement or contract. By submitting a response to this RFP, you are acknowledging that you and any other co-entity who holds an interest in a resulting agreement or contract understand this clause and agree that it will supersede any terms within a resulting agreement or contract. This clause cannot be altered without the express written consent of the MISD Board of Trustees. Funding Out Clause: Multi-Year Acquisition Any contract for the acquisition, including lease, or real or personal property is a commitment of MISD current revenue only: a. MISD retains the continuing right to terminate the contract at the expiration of each budget period during the term of the contract. b. It is MISD s intent to execute a contract for the longest period providing the lowest total cost to the district. Any resultant contract is conditioned on a best efforts attempt by MISD to RFP# Lawn Maintenance & Ground Services Page 12 of 22

13 obtain and appropriate funds for payment of the contract. Contract for Purchase Contracts will be put into effect by means of a purchase order(s) executed by the purchasing department or designee after the contract has been awarded. a. Any additional agreements/contracts to be signed by MISD shall be included with the proposal. b. Prices for all goods and/or services shall be negotiated to a firm amount for the duration of this contract or as agreed to in terms of time frame. Assignments and Subcontracting No part of this order may be assigned or subcontracted without the prior written consent of MISD Purchasing department. Payment can only be made to the supplier named in this order. Public Record All proposals become the property of MISD. Accepted proposals and any subsequent award become public records. Proprietary material must be clearly marked as such. Pricing and service elements of the successful bid will not be considered proprietary information. Changes This contract shall not be modified, altered, or changed except by mutual consent confirmed in writing by an authorized representative of each party to this contract. The purchasing department or designee shall administer this contract on behalf of MISD. The vendor agrees to waive all claims for adjustment in regard to any services performed without prior receipt of an appropriate written Change Order. MISD Purchasing department shall review, approve and process all changes. Hold Harmless Vendor shall indemnify and hold MISD harmless from all claims for personal injury, death, and/or property damage arising from any and all causes whatsoever, resulting directly or indirectly from vendor s performance. Vendor shall procure and maintain, with respect to the subject matter of this proposal, appropriate insurance coverage including, as a minimum, public liability and property damage with adequate limits to cover vendor s liability as may arise directly or indirectly from work performed under terms of this proposal. Where deemed appropriate by the buyer the limits of coverage will be included in the Special Instructions/Specifications. Certification of such coverage must be provided to the buyer upon request. Cancellation Buyer shall have the right to cancel for default all or any part of the undelivered portion of this order if seller breaches any of the terms hereof-including warranties of seller or if the seller becomes insolvent or commits acts of bankruptcy. Such right of cancellation is an addition to and not in lieu of any other remedies with buyer may have in law or equity. RFP# Lawn Maintenance & Ground Services Page 13 of 22

14 Non-Performance Whenever, in the opinion of MISD, the work is neglected by the vendor, MISD may request to have the vendor bring additional labor, materials, and supplies into the work. If the vendor fails to correct the unsatisfactory condition(s) within five (5) working days, the vendor will be advised of so in writing. MISD will have no obligation to give the vendor more than two (2) notices of unsatisfactory performance during the contract period, and should the vendor again fail to perform the services pursuant to the contract, MISD may declare the contract in default, terminate the contract. MISD may cancel within thirty (30) days written notification of intent and remove the vendor from the active bid file for a period of time not less than one (1) year. MISD may choose to re-bid the services or contract with the next lower responsible bidder, if accepted by the bidder. In the event of default by the vendor, MISD shall be liable only for the payment of those services performed and accepted prior to the date of termination. Additionally, the vendor and/or surety may be held liable and may be assessed any and all cost for the re-procurement of services. MISD retains the right to utilize cooperative purchasing contracts that may offer a better value to the district. Changes to Proposal MISD retains the right to negotiate changes in a proposal by any vendor and to reject any or all proposals if none of the submissions are responsive to its needs. Changes in Requirements Should MISD, at any time during the progress of said work, request any alterations, deviations, additions, or omissions from the said agreement, specifications or plans, it shall be at liberty to do so. Any the same shall in no way affect or make void the agreement, but will be added to or deducted from the amount of said agreement price as the case may be; buy a fair and reasonable valuation subject to the mutual agreement of the parties. Unrestricted Quantities MISD is not limited to purchase all of its requirements from any contract resulting from this proposal. Dismissal of Unsatisfactory Employees If any person employed by the vendor or any subcontractor fails or refuses to carry out the directions of MISD representative, or is, in the opinion of MISD representative, incompetent, unfaithful, intemperate, or disorderly, or uses threatening or abusive language to any person at the facility; or if otherwise unsatisfactory, he/she shall be removed from the work immediately, and shall not again be employed on the work except upon consent of MISD s representative. Maintain records for MISD of any and all renewals or changes. Covered employees with disqualifying criminal histories are prohibited from serving at a school district. The vendor selected may also be required to provide a list of personnel who will be assigned to do the work. When requested this information must be furnished within twenty-four (24) hours and shall apply to any new personnel due to employee turnover. a. MISD reserves the right to review the personal background and conduct security clearances on the vendor s assigned personnel. The vendor shall certify that all employees assigned to work under the contract have successfully passed a criminal background check, prior to assignment. The vendor shall cooperate with MISD authorities and shall comply with all regulations in effect during the contract period. b. Upon the request of MISD, the successful bidder maybe required to provide the names of all persons who may be assigned to do the work on the contract for the purpose of the completing a criminal background check. The following information shall provide with each name to MISD: date of birth, Texas driver s license number and current address. c. Any person or person not acceptable to MISD shall be prohibited from working on the contract. The contract may not be awarded if the vendor will be unable to perform the work with the number of persons acceptable to MISD RFP# Lawn Maintenance & Ground Services Page 15 of 22

16 Invoicing Send the original invoice to: Montgomery ISD Attn: Accounts Payable PO Box 1475 Montgomery, Texas Each invoice shall contain a minimum of the following information: invoice number, date, remittance address, purchase order number, quantities, item descriptions, unit prices, extensions, fees and invoice total. The vendor shall obtain a purchase order number from MISD for each separate order. These are individually numbered for control purposes and each separate order/invoicing will require a unique purchase order number to be issued to the vendor by MISD. If the purchase order number does not appear on the vendor invoice, payment may be delayed. RFP# Lawn Maintenance & Ground Services Page 16 of 22

17 Employee Background Checks and Assurances Effective January 1, 2008, an entity that contracts to provide services to the Montgomery I.S.D. must obtain national criminal history information on all new or existing employees who: 1. has, or will have continuing duties related to contracted services and 2. has, or will have direct contact with students. In compliance with Texas Senate Bill 9 (SB9), MISD will not allow entrance of an employee of a contractor and/or the contractor providing services to the district if that employee has been convicted of a Title 5 felony against a minor or student, or the employee is required to register as a sex offender because of an offense against a minor or student. In an emergency, the contractor is required to seek permission from the district, and if granted, MISD will allow an otherwise impermissible contractor employee to enter district property, so long as the person is accompanied at all times by a district employee. The law states that contractors must obtain criminal history information on any employee hired on or after 1 January 2008, before or immediately after the person is employed. It also requires that the contractor begin reviewing the criminal history information on current employees employed before 1 January 2008 as soon as practical. Compliance with these requirements will not prohibit the district from obtaining independent information on a contractor employee as permitted by this law. Furthermore, nothing herein is meant to impart legal advice to the contractor on the laws or procedures required by law. All contractors are urged to seek independent legal advice before signing the required assurances under Texas SB9. If contract is awarded, the below information will be required. Contractor Acknowledgment of Background Check Policy I,, acknowledge that I have read and understood the Employee Background Checks and Assurances Policy for Montgomery I.S.D. I am currently in compliance with the Requirements of this policy and will remain so for the duration of my contract with Montgomery I.S.D. Signature Printed Name Date Organization/Business 1. Contractor has obtained all required criminal history record information regarding its covered employees. None of the covered employees has a disqualifying criminal history. 2. If Contractor receives information that a covered employee subsequently has a reported criminal history, Contractor will immediately remove the covered employee from contract duties and notify the District in writing within 3 business days. 3. Upon request, Contractor will provide the District with the name and any other requested information of covered employees so that the District may obtain criminal history record information on the covered employees. 4. If the District objects to the assignment of a covered employee on the basis of the covered employee s criminal history record information, Contractor agrees to discontinue using the covered employee to provide services at the District.
