Dear Sirs, Sub: - KSCSC Delivery of Supplyco Fortified Atta and PDS Sugar at the door steps of ARDs- Offers invited reg. The Kerala State Civil Supplies Corporation Ltd., (hereinafter called the Corporation) invites expression of interest from firms/parties having own vehicles for the distribution of Supplyco Fortified Atta and PDS Sugar at the door steps of ARDs coming under Kothamangalam taluk. The Supplyco Fortified Atta and PDS Sugar shall have to be lifted from the Kothamangalam Supplyco depot godown and delivered at the door steps of Retail Ration Shops ( ARDs ) coming under Kothamangalam taluk. TERMS & CONDITIONS 1. Sealed competitive tenders should reach this office addressed to The Manager(Levy Sugar), The Kerala State Civil Supplies Corporation Ltd., Head Office, Mavelibhavan, Gandhinagar, Kochi , on or before 11 A.M. on and offers thus received will be opened at A.M. on the same day at Head Office at Gandhinagar. If the date fixed for receiving /opening the offer is subsequently declared as a holiday, the tender will be opened on the next working day at the same time and place. 2. PARTIES TO THE CONTRACT: The parties to the contract are transportation contractors and the Kerala State Civil Supplies Corporation represented by its Manager (Levy Sugar) and/or any other person authorized and acting on his/her behalf. The persons submitting the tender or any other documents forming part of the tender on behalf of any other person or firm shall be deemed to warrant that he/she has the authority to bind such other persons or the firm, as the case may be, in matters pertaining to the contract.

3 3. The Kerala State Civil Supplies Corporation reserves the right to accept or reject any or all offers without assigning any reason. This is only an invitation for expression of interest for the work contract and is no way guarantee any allotment of work or claim for award of any contract. 4. SECURITY DEPOSIT: In the case of offers being accepted, the successful Party shall furnish within 05 days of communication of acceptance, a security deposit of Rs.50,000/- (Rupees Fifty Thousand only) in the form of a Bank Guarantee/Demand Draft. On acceptance of the offer the party shall enter into an agreement with the corporation. In case the selected party fails to abide by any of the conditions stipulated in this offer or committed breach of contract, the security deposit will be forfeited and the contract will be awarded to any other contractors in full or part. The security deposits will be refunded / returned after satisfactory performance of the contract.the above mentioned cash security deposit / bank guarantee shall not carry any interest. 5. The party should quote rates in Schedule I (Commercial Bid) Offer forms with Commercial Bid (Schedule I) duly filled and duly signed on all pages should be submitted in sealed cover to The Manager (Levy Sugar), The Kerala State Civil Supplies Corporation Ltd., Head Office, Mavelibhavan, Gandhinagar, Kochi , so as to reach in time.the offers received from parties/firms who were convicted or against whom any kind of criminal cases are pending on complaint or FIR filed by the Corporation, will not be considered for acceptance. 6. PERIOD OF CONTRACT: The contract will be for a period of one year from the date of awarding the contract. The Corporation reserves the right to extend the period of contract at the existing rate, terms & conditions for a further period of one year. However the contract can be terminated on giving 2 months notice on either side on reasonable grounds. 7. RATES: Applicants will have to quote one rate for the entire period of contract for delivering Supplyco Fortified Atta and PDS Sugar at the door steps of ARDs in Kothamangalam taluk as per Corporation s requirement communicated from time to time. The operation shall

4 involve lifting the Supplyco Fortified Atta and PDS Sugar from the Kothamangalam Supplyco depot godown and delivering the same at the door steps of Retail Ration Shops coming under Kothamangalam taluk, inclusive of all taxes and levies. The transportation contractor shall pay the loading charges including atti/mari at the Kothamangalam Supplyco depot godown. However, the unloading charges including atti/mari at the destination Ration Shops will be paid by the concerned ARDs. All expenses involved from lifting of the stock up to the delivery of the same at the Ration Shops shall be borne by the contractor and this rate should be quoted in schedule I. 8. NEGOTIATION The negotiation will be conducted only with the L1 of the tenderers. The Corporation reserves the right to conduct negotiations with any or all of the applicants if necessary on technical clarifications or document scrutiny, immediately after opening the offers on the same day or on any other day which will be declared while opening the offers before finalizing the contract. No applicant shall have the right to insist on negotiation by the corporation or challenge it for resorting to negotiations. 9. TRANSPORTATION: The Supplyco Fortified Atta and PDS Sugar belonging to the First Party (Civil Supplies Corporation) should be delivered at the door steps of Retail Ration Shops coming under Kothamangalam taluk and transportation contractor will be exclusively responsible for the proper transportation and delivery. The stocks should be transported in clean and hygienic vehicles covered with tarpolin sheets. A sticker having the caption ON SUPPLYCO DUTY shall be prominently exhibited in front of the vehicle. Any loss to the stock due to Fire/Flood/Theft/Rain, or any reasons on transportation shall be borne by the contractor in full and to prevent such losses, the contractor shall deliver the stock as early as possible. 10.MONITORING: The Contractor is responsible for the safety and security of the vehicle in which the stocks are transported. The Contractor shall also be responsible for the safety and security of the Supplyco Fortified Atta and PDS Sugar from the point of lifting from Kothamangalam Supplyco depot godown till the stock is reached at the Retail Ration Shops. Officials of the Civil Supplies Corporation and Civil Supplies Department of Kerala shall have the right to get the vehicle/stock inspected on the roads during the

5 transportation of stock from Kothamangalam Supplyco depot godown to the Ration Shops. Violation of any condition of this tender will result penal action as per provisions of PDS (Control) Order 2001 or its subsequent updations/amendments and will result in imposition of penalties under EC act 1955 in addition to criminal, civil proceedings and any other penal action which the Corporation may deem fit. 11.MAINTENANCE OF ACCOUNTS: The Contractor shall maintain separate accounts of the stock he lifts and delivers. These accounts may be inspected at any time by the officers of the Corporation and of the Civil Supplies Department. 12. DELIVERY: The monthly retail authority list of Supplyco Fortified Atta and PDS Sugar prepared by the concerned Taluk Supply Officer is handed over to the Supplyco depot. The ARDs remit the cost of the Supplyco Fortified Atta and PDS Sugar for the quantity specified in the authority list and submit the remittance chalans at the depot. The Depot Manager will generate Goods Issue Sheet (in triplicates for each ARD) for the quantity of Supplyco Fortified Atta and PDS Sugar against which remittance of cost has been made by the ARD. The Depot Manager will hand over the Goods Issue Sheets to the Contractor and the Contractor delivers the stock as per the Goods Issue Sheets, at the door steps of the concerned ARDs, on proper acknowledgement. The Contractor shall retain one copy of Goods Issue Sheet after getting proper acknowledgement of ARDs against the receipt of stock. On completion of the delivery of stock, the Contractor returns the balance stock, if any, with Goods Issue Sheets duly acknowledged by the ARDs to the depot. On verifying the Goods Issue Sheets and claim bills submitted by the Contractor, payment of transportation charges will be released to the Contractor. (a) Delayed Supply: The Corporation reserves the right to impose penal cut for the belated supply of each item to each ARD as per each Goods Issue Sheet. (b) Liquidated Damage: In case the Contractor fails to supply the ordered quantity within the stipulated period or the extended period, the Corporation reserves the right to

6 deliver stocks at the risk and cost of the defaulting Contractor from any source and recover the damages caused thereby from the defaulting Contractor. Any loss to the Corporation as goodwill damage or actual sales loss etc. on account of any irregular performance of the Contractor will be recoverd from the Contractor by applying appropriate law. In such event, the Corporation reserves the right to forfeit the security deposit as per the contract, to impose monetary penalties and to blacklist the contractor from the allotment of any work in future. 13. PAYMENT: Payment will be made by way of account payee cheque or Demand Draft from the depot. Payment will be released monthly on completion of supply satisfactorily in the destination as per the Goods Issue Sheets given. Income tax and other statutory charges as applicable from time to time will be deducted from the bills of the contractor as per the Govt.Act & Rules in force.the contractor shall maintain proper accounts of the stock lifted from the depot and delivered. The records shall be maintained up to date and made available for inspection by the Civil Supplies Corporation. 14. APPLICABILITY OF R.R ACT: In case any amount is due to the Corporation under the contract or any other contract from the contractor and as assessed by the Corporation, the same shall be recovered as arrears of public revenue due on land or land revenue under the provisions of the Revenue Recovery Act. 15. SET OFF: Any sum of money due and payable to the Contractor (including Security Deposit in any form furnished by him/her, any bill pending. Etc) under the contract may be appropriated by the Civil Supplies Corporation and set off against any claim of the Corporation for the payment of any sum of money arising out of this contract or under any other contract made by the Contractor with the Corporation. 16. DISPUTES AND JURISDICTION: All disputes relating to this tender or otherwise arising there from between the contractor and the Corporation shall be subject to and be referred to the court of competent jurisdiction constituted within the limits of city of Kochi.

7 17. FORCEMAJEURE: Neither party here to shall be considered in breach thereof if its failure to perform or observe any or all of the terms, conditions and stipulation herein contained shall be caused, to any extent by War, Warlike operations, Acts of State, Fire, Floods, Earthquakes, Strikes, Lockouts, Embargo, Riots and Civil Commotion. However, that such occurrence or the consequences thereof, which have not continued beyond a continuous period of fifteen days, shall not be regarded as a state of force majeure for the purpose of this clause. The party claiming occurrence of any event under force majeure shall give immediate notice to the other in writing with full proof of such reasons.in case the performance is delayed by any reasons including force majeure reasons, acceptance of the belated supply will be only at the discretion of the Corporation.
